阿里云产品及服务协议
总则
《阿里云产品及服务协议》是阿里云计算有限公司(以下简称“阿里云”)与您就阿里云所提供服务的相关事项所订立的有效合约。《阿里云产品及服务协议》以下或简称“本服务协议”、“服务协议”或“本协议”。阿里云计算有限公司(以下简称“阿里云”)与您就阿里云所提供服务的相关事项所订立的有效合约。《阿里云产品及服务协议》以下或简称“本服务协议”、“服务协议”或“本协议”。
在接受本协议之前,请您仔细阅读全部内容;如对相应条款有疑问,请通过阿里云相关业务部门或致电客服部门进行询问,阿里云将向您进行解释和说明;如您无法准确理解阿里云对条款的解释和说明,或者您不同意本服务协议的任意内容,请不要进行后续操作。您通过网络页面点击确认、实际购买或使用阿里云所提供的产品及/或服务、下载打印后加盖印章等操作均表示您已阅读并充分理解本协议之内容,与阿里云就订购相应阿里云的产品及/或服务已达成合意,并同意接受本服务协议的全部约定内容,受其约束。
在订购阿里云提供的产品及/或服务时,您除应遵守本协议外,还应遵守您所订购的产品及/或服务的专用服务条款(以下简称“专用条款”)(如有)、产品规则(如有)、计费规则等内容,专用条款为本协议的有效组成部分,其效力与本协议相同;如遇本协议与专用条款二者不一致之处,优先适用各产品及/或服务的专用条款的约定。
关于本协议,特别提示您关注:关于限制、免责、违规/违约行为的认定处理、以及管辖法院的选择等条款内容,前述条款可能以加粗及/或加下划线形式提示您注意。

1. 产品及/或服务内容
1.1本服务协议中的“产品及/或服务”指:阿里云向您提供www.alibabacloud.com网站(即阿里云官网)上所展示的产品及/或服务,以及相关的技术及网络支持服务,具体服务内容以您所订购的服务内容为准。
2. 产品及/或服务价格及费用
2.1.阿里云将通过www.alibabacloud.com网站的相关页面上向您列明服务价格,或根据您选择的产品及/或服务的规格配置为您提供订购服务的应付费用,您应按照订购产品及/或服务当时在www.alibabacloud.com网站上的价格体系支付相应费用。
2.2.您可以通过支付宝、网上银行或银行汇款等途径向您的阿里云账户充值,之后再进行具体产品及/或服务的订购;您应保持账户余额充足以确保服务的持续使用。支付方式及其他相关的具体规则以阿里云官网上的页面展示内容为准。
2.3.根据您所订购产品及/或服务的类型不同,您需按照阿里云官网页面展示的相应时限完成服务费用支付;在您未按照约定支付全部费用之前,阿里云有权不向您提供相应产品及/或服务(包括技术支持),或有权终止相应产品及/或服务(包括技术支持),并有权按日收取欠费金额的万分之五作为逾期付款违约金,阿里云将您欠费后的任一时间点向您提出收取违约金的要求:
2.3.1. 先付费后使用类产品及/或服务:
2.3.1.1.若您购买包月或资源包(套餐包)形式售卖的产品及/或服务,阿里云将在您付清全部服务费用后为您提供服务。
2.3.1.2.您需在订单提交后及时完成支付;未能及时完成支付的,订单将可能失效:(1)下单后超过7天未付款,订单自动失效;(2)未付款期间出现该产品及/或服务库存不足的,订单自动失效。订单一旦失效,您和阿里云就订单所载明的产品及/或服务内容及价格内容所达成的一切合意或行为均失效。
2.3.1.3.若您计划在所订购的产品及/或服务的服务期届满后继续使用该服务的,请至少在服务期满前的7天内支付续费款项,以使服务得以继续进行。
2.3.2. 先使用后付费类产品及/或服务:
若您购买以按量付费形式售卖的产品及/或服务,您可先开通、使用服务,阿里云将根据产品类型的不同,以小时、天或月等周期为单位,自动计算上1(壹)个计费周期的实际使用量,并从您的阿里云账户余额中扣减相应的服务费用。具体扣费规则以及计费项以阿里云官网页面届时公布的内容为准。
2.4.阿里云会定期或不定期推出优惠活动或政策(统称为“优惠活动”),例如:一次性订购满一定期限或服务量,赠送一定服务内容、延长服务期限或提供直接折扣、发放免费代金券、双十一产品特价/折扣、推荐码优惠等等形式;您理解并确认:
2.4.1.此类优惠活动或政策均为阿里云在正常服务价格之外的特别优惠,优惠内容不包括赠送服务项目的修改、更新及维护费用,并且赠送服务项目不可折价冲抵服务费用。
2.4.2.由于部分优惠活动或政策是基于您对于服务时长或服务量的使用承诺为前提,因此,若您无理由擅自退订相应服务,阿里云有权采取恢复原价计费、收取违约金或收取退订/退款手续费、作废、要求您承担已使用免费代金券等方式进行处理,以相应官网展示页面或相应订单中载明的方式为准。
2.4.3.除非您所订购的产品及/或服务另有明确约定,或您与阿里云以书面形式另有其他明确约定,否则,多种优惠不可同时叠加适用。
2.4.4.就您所订购的服务享受的优惠活动或政策,您负有保密义务;一经发现您未能遵守本条保密义务,阿里云有权取消该等优惠,并有权决定是否暂停或终止服务。
2.5.您理解并认可,阿里云可能通过开展邀请测试、公测等方式为您提供免费服务或在一定使用额度内为您提供免费服务,在免费期间或免费额度内,您不需支付服务费用;阿里云不排除日后收取费用的可能,届时阿里云将提前10个自然日通过在网站内合适版面发布公告或发送站内通知等方式公布收费政策及规范;如您仍使用相应服务的,您应按届时有效的收费政策付费。
3. 权利及义务
3.1. 您的权利及义务
3.1.1.在使用服务前,您应仔细阅读并遵守阿里云在官网页面上展示的相应服务说明、技术规范、使用流程、操作文档等内容,并准确理解相关内容及可能发生的后果;在使用服务过程中,您应依照相关操作指引进行操作,对于您违反相关操作指引所引起的后果由您自行承担,阿里云不承担任何责任;请您自行把握风险谨慎操作。如果您使用阿里云提供的openAPI方式订购产品及/或服务,您还应承诺您将定期及/或在购买具体服务前,查阅阿里云在官网页面的上述内容以及更新并确保您知晓其含义。
3.1.2.您应向阿里云提交执行本服务协议的联系人和管理您网络及云平台上各类服务的人员名单和联系方式;如以上人员发生变动,您应自行将变动后的信息在线进行更新。因您提供的人员的信息不真实、不准确、不完整,以及因以上人员的行为或不作为而产生的任何后果,均由您自行承担。
3.1.3.您须依照《互联网信息服务管理办法》等法律法规的规定保留自己网站的访问日志记录,包括发布的信息内容及其发布时间、互联网地址(IP)、域名等,在国家有关机关依法查询时应配合提供。您应自行承担未按规定保留相关记录而引起的全部后果和责任。
3.1.4.您对自己存放在阿里云云平台上的数据以及进入和管理阿里云云平台上各类产品与服务的口令、密码的完整性和保密性负责;因您维护不当或保密不当致使上述数据、口令、密码等丢失或泄漏所引起的一切损失和后果均由您自行承担。
3.1.5.如果您利用阿里云提供的产品及/或服务进行的活动需要获得国家有关部门的许可或批准的,您应及时获得该有关许可或批准。包括但不限于:
(1)如果您开办了多个网站,须保证所开办的全部网站均获得国家有关部门的许可或批准;
(2)如您网站提供非经营性互联网信息服务的,必须办理非经营性网站备案,并保证所提交的所有备案信息真实有效,在备案信息发生变化时及时在备案系统中提交更新信息;
(3)如您网站提供经营性互联网信息服务的,还应自行在当地通信管理部门取得经营性网站许可证;
(4)如您经营互联网游戏网站的,您应依法获得网络文化经营许可证;
(5)如您经营互联网音、视频网站的,您应依法获得信息网络传播视听节目许可证;
(6)若您从事新闻、出版、教育、医疗保健、药品和医疗器械等互联网信息服务,依照法律、行政法规以及国家有关规定须经有关主管部门审核同意,在申请经营许可或者履行备案手续前,应当依法经有关主管部门审核同意。
您理解并认可,以上列举并不能穷尽您进行从事经营或非经营活动需要获得国家有关部门的许可或批准的全部类型;您在从事相应活动时,应符合国家及地方不时颁布相关法律法规之要求。
3.1.6. 您进一步承诺,不会从事以下行为:
3.1.6.1.您不会利用阿里云提供的产品及/或服务散发不受欢迎的或者未经请求的电子邮件、电子广告或包含反动、色情等有害信息的电子邮件;
3.1.6.2.您不会将阿里云所提供的服务用作虚拟服务器,非法代理服务器(Proxy)以及邮件服务器;
3.1.6.3.您不会利用阿里云提供的产品及/或服务从事DDoS防护、DNS防护等经营性活动;
3.1.6.4.您不会从事损害阿里云和/或其关联公司(包括但不限于,阿里巴巴集团旗下的各企业,例如淘宝、阿里妈妈;以及阿里巴巴集团的关联企业,例如支付宝等)合法权益之行为,该等损害权益的行为包括但不限于:违反这些公司公布的任何服务协议/条款、管理规范、交易规则等内容,破坏或试图破坏阿里巴巴公司公平交易环境或正常交易秩序等;
3.1.6.5.您不会利用阿里云提供的资源和服务上传(Upload)、下载(download)、储存、发布如下信息或者内容,不会为他人发布该等信息提供任何便利(包括但不限于设置URL、BANNER链接等):
(1)违反国家规定的政治宣传和/或新闻信息;
(2)涉及国家秘密和/或安全的信息;
(3)封建迷信和/或淫秽、色情、下流的信息或教唆犯罪的信息;
(4)博彩有奖、赌博游戏、“私服”、“外挂”等非法互联网出版活动;
(5)违反国家民族和宗教政策的信息;
(6)妨碍互联网运行安全的信息;
(7)侵害他人合法权益的信息和/或其他有损于社会秩序、社会治安、公共道德的信息或内容;
(8)其他违反法律法规、部门规章或国家政策的内容。
3.1.6.6.您不会大量占用,亦不会使用可能导致程序或进程非正常大量占用阿里云云计算资源(如服务器、网络带宽、存储空间等)所组成的平台(以下简称“云平台”)中服务器内存、CPU或者网络带宽资源,给阿里云云平台或者阿里云的其他用户的网络、服务器(包括但不限于本地及外地和国际的网络、服务器等)、产品/应用等带来严重的负荷,影响阿里云与国际互联网或者阿里云与特定网络、服务器及阿里云内部的通畅联系,或者导致阿里云云平台服务或者阿里云的其他用户所在的服务器宕机、死机或者用户基于云平台的产品/应用不可访问等;
3.1.6.7.您不会进行任何破坏或试图破坏网络安全的行为(包括但不限于钓鱼、黑客、网络诈骗、网站或空间中含有或涉嫌散播:病毒、木马、恶意代码,及通过虚拟服务器对其他网站、服务器进行涉嫌攻击行为如扫描、嗅探、ARP欺骗、DDoS等)。
3.1.6.8.您不得在阿里云服务或平台之上安装、使用盗版软件;您理解并同意,阿里云有权拒绝使用盗版软件的相关应用系统在阿里云服务或平台之上部署。您应对自己行为(如自行安装的软件和进行的操作)所引起的结果承担全部责任。如因您自行安装相关软件的合法版权人向阿里云提出侵权投诉、指控或其他主张,您应当采取一切合理措施以保证阿里云免责,包括但不限于进行情况澄清、提供正版软件使用证明,以及其他足以使合法版权人撤回其前述主张的措施。
3.1.6.9.除阿里云以书面形式明示许可外,您不得修改、翻译、改编、出租、出借、出售、转许可、在信息网络上传播或转让阿里云提供的软件或服务,也不得逆向工程、反编译或试图以其他方式发现阿里云提供的软件的源代码;同时,您也不会进行任何改变或试图改变阿里云提供的系统配置或破坏系统安全的行为。
3.1.7.您理解并同意,中华人民共和国的国家秘密受法律保护,您有保守中华人民共和国的国家秘密的义务;您使用阿里云服务应遵守相关保密法律法规的要求,并不得危害中华人民共和国国家秘密的安全。
3.1.8.若阿里云的服务涉及第三方软件之许可使用的,您同意遵守相关的许可协议的约束。
3.1.9.如果第三方机构或个人对您提出质疑或投诉,阿里云将及时通知您,您有责任在规定时间内进行说明并出具证明材料;如您未能提供相反证据或您逾期未能反馈的,阿里云将采取包括但不限于立即删除相应被质疑/被投诉信息、暂停或终止服务等处理措施。
3.1.10.您应自行负责数据备份,并自行完成相应操作;阿里云不对您自行进行的数据备份工作或结果承担任何责任。
3.2. 阿里云的权利、义务
3.2.1.阿里云有义务依据本服务协议以及阿里云官网产品及/或服务所展示的内容向您提供服务,但阿里云无义务为您提供前述展示内容之外的功能或服务。。
3.2.2.您理解并确认,受技术所限,阿里云无法保证其所提供的服务毫无瑕疵(如阿里云的整体安全防护或安全产品并不能保证您的硬件或软件的绝对安全),但阿里云承诺将不断提升服务质量及服务水平,为您提供更加优质的服务。据此,您同意:如果阿里云所提供的服务虽然存在瑕疵,但该等瑕疵是当时行业技术水平所无法避免的,其将不被视为阿里云违约。您同意和阿里云一同合作解决上述瑕疵问题。
3.2.3.阿里云负责操作系统以下的底层部分及阿里云提供的软件的运营维护,例如:云服务器(即弹性计算服务,简称ECS)、云数据库(RDS)的相关技术架构及操作系统等。操作系统之上的部分(如您在系统上安装的应用程序)由您自行负责。此外,您自行升级操作系统可能会造成宕机等不良影响,您应自行把握风险并谨慎操作负责。
3.2.4.阿里云可能会为提供的服务配置具有日常数据备份功能的工具,但该等工具并非阿里云所提供服务的必要组成部分,阿里云将不对您能使用或不能使用该等备份工具负责;您应自行负责数据备份,并自行完成相应操作。
3.2.5.您理解并认可,阿里云可能会根据您所订购的产品及/或服务的类别、特性及规格等,对您使用服务的方式、范围、功能等进行限制,您应认真阅读阿里云关于您所订购的产品及/或服务的专有条款、使用文档及其他相关说明,理解并遵守该等使用限制;且您进一步同意,如果您所使用的服务超过其购买的服务规格,阿里云有权根据自己的判断,对您相关服务进行限制或暂停提供服务。
3.2.6.您理解并认可,阿里云将为您提供基于某些服务的安全防护(如“云盾安骑士服务”)以及管理与监控的相关功能及服务(如“云监控”),尽管阿里云对该等服务经过详细的测试,但并不能保证其与所有的软硬件系统完全兼容,亦不能保证其软件及服务的完全准确性。如果出现不兼容及软件错误的情况,您应立即关闭或停止使用相关功能,并及时联系阿里云,获得技术支持。
3.2.7. 服务期限内,阿里云将为您提供如下售后服务:
3.2.7.1.阿里云将提供7×24电话咨询服务以及在线工单咨询服务,解答您在使用中的问题;
3.2.7.2.阿里云将为您提供故障支持服务,您应通过在线工单申报故障;阿里云将及时就您非人为操作所出现的故障提供支持,但因您的人为原因和/或不可抗力、以及其他非阿里云控制范围内的事项除外。
3.2.8.您理解并认可,阿里云在必要时可能会将您的产品及/或服务所在的底层物理设备进行机房迁移。阿里云进行上述操作前将提前7个自然日通知您,由于进行上述操作可能需要修改您相关域名的DNS或进行其他配置调整,因此您需在接到阿里云通知后按照阿里云要求的时间将DNS修改到阿里云指定IP上或进行相应的配置调整,否则因此造成网站无法访问或产品及/或服务无法正常使用的,由您自行负责。
3.2.9.在不披露您保密信息的前提下,在本服务协议有效期内,阿里云可以就您使用阿里云服务的情况作为使用范例或成功案例用于阿里云自身及/或业务的宣传与推广,在这类宣传推广中,阿里云有权使用您的名称、企业标识;除此之外,未经您书面许可,阿里云不会擅自使用您的企业名称、企业标识、相关logo等。
3.2.10.如本服务协议内容发生变动,阿里云应通过提前30天在阿里云官网的适当版面公告向您提示修改内容;如您不同意阿里云所做的修改,您有权停止使用阿里云的服务。此等情况下,您应通知阿里云终止服务,并自行负责将业务数据迁出,阿里云将及时与您进行服务费结算(如有)。如您继续使用阿里云服务,则视为您接受阿里云所做的相关修改。
3.2.11.阿里云的某些服务可能具备账户授权管理功能,即您可将您对服务的全部或部分操作权限授权给您指定的一个或多个被授权账户,此种情况下,任一被授权账户下进行的所有操作行为,均将被视为您通过本人账户所进行的行为;您理解并同意,使用用户与授权管理功能是您自行独立审慎判断的结果,该被授权账户下的所有操作行为以及由此产生的结果,都将由您自行承担全部责任,并承担相应的服务费用。
3.2.12.如您违反3.1条所述的任何约定,阿里云有权根据情况采取相应的处理措施,包括但不限于暂停或终止服务、删除有害信息/程序等。
4. 用户数据
4.1. 用户业务数据
4.1.1.阿里云理解并认可,您通过阿里云提供的服务,加工、存储、上传、下载、分发以及通过其他方式处理的数据(即在线数据),以及利用阿里云可能配置的备份工具备份的数据(即离线数据)均为您的用户业务数据,您完全拥有您的用户业务数据。
4.1.2.您应对您的用户业务数据的来源及内容负责,阿里云提示您谨慎判断数据来源及内容的合法性。因您的用户业务数据内容违反法律法规、部门规章或国家政策而造成的全部结果及责任均由您自行承担。
4.1.3.就用户业务数据,阿里云除执行您的服务要求外,不进行任何未获授权的使用及披露;但以下情形除外:
4.1.3.1.在国家有关机关依法查询或调阅用户业务数据时,阿里云具有按照相关法律法规或政策文件要求提供配合,并向第三方或者行政、司法等机构披露的义务;
4.1.3.2. 您和阿里云另行协商一致。
4.1.4.您可自行对您的在线数据进行删除、更改等操作。如您自行释放服务或删除在线数据的,阿里云将立即实时删除您的在线数据,对应的离线数据(如有)按照您设定的备份规则(如未设定,则按阿里云默认的规则)存储并删除。就数据的删除、更改等操作,您应谨慎操作。
4.1.5.当服务期届满、服务提前终止(包括但不限于双方协商一致提前终止,其他原因导致的提前终止等)或您发生欠费时,除法律法规明确约定、主管部门要求或双方另有约定外,阿里云仅在一定的缓冲期(以您所订购的产品及/或服务适用的专有条款、产品文档、服务说明等所载明的时限为准)内继续存储您的用户业务数据(如有),逾期阿里云将删除所有用户业务数据,包括所有缓存或者备份的副本,不再保留您的任何用户业务数据。您理解并同意,阿里云没有继续保留、导出或者返还用户业务数据的其他义务。
4.1.6.在线数据或离线数据一经删除,即不可恢复;在线数据及离线数据均被删除后,您在阿里云的全部数据均被清空。您应自行承担数据因此被删除所引发的后果和责任。
4.2. 用户账户信息
4.2.1您的用户账号信息,包括您在登录阿里云账户或订购、使用阿里云服务时:(1)所填写或提交的包括公司名称、营业执照信息、姓名、性别、出生年月日、身份证号码、护照信息、电话号码、电子邮箱、地址(含邮政编码)、支付账号及(2)阿里云对服务过程的记录,包括您的账单、历史购买信息、咨询记录、报障记录以及排障过程等。
4.2.2.因收集您的信息是为了向您提供服务及提升服务质量的目的,为了实现这一目的,阿里云仅把您的信息用于下列用途,除非您和阿里云另行协商一致或在国家有关机关依法查询或调阅时,阿里云按照相关法律法规或政策文件要求提供配合,并向第三方或者行政、司法等机构披露:
4.2.2.1. 向您提供您使用的各项服务,并维护、改进这些服务;
4.2.2.2.在符合相关法律法规的要求下,向您推荐您可能感兴趣的内容,包括但不限于向您发出产品和服务信息。
4.3.您理解并同意,为了及时响应您的帮助请求,保障云平台的整体安全,改进阿里云的服务,阿里云将检测、浏览、记录您的服务使用行为、递交的支持请求以及您数据的不安全特征等用户支持数据。用户支持数据不包括用户业务数据和用户账户信息。
4.4.除您与阿里云另行协商一致,阿里云在中华人民共和国境内的数据中心存储用户业务数据。阿里云恪守对用户的安全承诺,保护用户存储在中华人民共和国境内数据中心的数据。
5. 知识产权
5.1.在本协议项下一方向对方提供的任何资料、技术或技术支持、软件、服务等的知识产权均属于提供一方或其合法权利人所有;除提供方或合法权利人明示同意外,另一方无权复制、传播、转让、许可或提供他人使用上述知识成果,否则应承担相应的责任。
5.2.您应保证提供至阿里云的各项信息、上传至阿里云服务上的全部数据、对阿里云服务的使用,以及使用阿里云服务所产生的相应成果不会侵犯任何第三方的合法权益;如有第三方就您所提供、上传或使用的信息、数据或就您的行为及工作成果向阿里云提起任何投诉、索赔、诉讼或其他类型的诉求,则您理解并确认,您立即出面解决,并应赔偿阿里云因此遭受的全部直接经济损失,包括但不限于各种费用、赔偿支出等。
5.3.如果第三方机构或个人对阿里云服务的知识产权归属提出质疑或投诉,您应及时告知阿里云,阿里云将进行处理。如果第三方机构或个人对您使用阿里云服务所涉及的相关素材的知识产权归属提出质疑或投诉,您有责任出具相关知识产权证明材料,并配合阿里云进行的相关处理工作。
6. 保密条款
6.1.本服务协议所称保密信息,是指一方(以下简称“接受方”)从对方(以下简称“披露方”)取得的、获知的、或因双方履行本服务协议而产生的商业秘密(包括财务秘密)、技术秘密、经营诀窍和(或)其他应予保密的信息和资料(包括但不限于产品资料、产品计划、价格、财务及营销规划、业务战略、客户信息、客户数据、研发、软件硬件、API应用数据接口、技术说明、设计、特殊公式、特殊算法等),无论上述信息和资料以何种形式或载于何种载体,无论披露方在披露时是否以口头、图像或书面等方式表明其具有保密性。
6.2.双方应采取适当措施妥善保存对方提供的保密信息,措施的审慎程度不少于其保护自身的保密信息时的审慎程度。双方仅能将保密信息用于与本服务协议项下的有关用途或目的。
6.3.双方保证保密信息仅可在各自一方从事该业务的负责人和雇员范围内知悉,并严格限制接触上述保密信息的员工遵守本条之保密义务。
6.4.本条上述限制条款不适用于以下情况:
6.4.1.在签署本服务协议之时或之前,该保密信息已以合法方式属接受方所有;
6.4.2.保密信息在通知给接受方时,已经公开或能从公开领域获得;
6.4.3.保密信息是接受方从与其没有保密或不透露义务的第三方获得的;
6.4.4.在不违反本服务协议约定责任的前提下,该保密信息已经公开或能从公开领域获得;
6.4.5.该保密信息是接受方或其关联或附属公司独立开发,而且未从通知方或其关联或附属公司获得的信息中获益;
6.4.6.接受方应法院或其它法律、行政管理部门要求(通过口头提问、询问、要求资料或文件、传唤、民事或刑事调查或其他程序)因而透露保密信息;
6.4.7.接受方为向行政管理部门、行业协会等机构申请某项业务资质、获得某项认定、或符合国家、行业标准/认证,需结合对方情况向前述机构提交材料或进行说明的而披露的信息,在该等情况下,接受方应秉持必要情况下最少披露原则及要求因此获知保密信息的机构按不低于本服务协议的标准予以保密。
6.5.您和阿里云都应尽最大的努力保护上述保密信息不被披露。一旦发现有上述保密信息泄露事件,双方应合作采取一切合理措施避免或者减轻损害后果的产生。如因此给对方造成损失的,应赔偿因此给对方造成的直接经济损失。
7. 服务的开通、变更与终止
7.1. 您可通过您的阿里云帐号或通过API方式开通、使用服务。
7.2. 以包月或资源包(套餐包)形式售卖的服务:
7.2.1.您付费后服务即开通,开通后您获得阿里云向您发送的登录、使用服务的密钥、口令即可使用服务,服务期限自开通之时起算(而非自您获得登录、使用服务的密钥、口令时起算)。
7.2.2.以包月形式售卖的服务,服务期限至订购的期限届满为止;以资源包(或套餐包)形式售卖的服务,服务期限则至您订购的资源包服务期限到期或资源包中的服务被使用完毕为止(以前述二者早发生为准)。
7.2.3.服务期限届满前,若您无理由擅自退订相应服务,阿里云有权采取恢复原价计费、收取违约金或收取退订/退款手续费等方式进行处理,以相应官网展示页面或像已经订单中载明的方式为准。
7.2.4.您应在服务期限内将资源包的服务数量使用完毕,如资源包的服务期限届满,您已订购但未使用完毕的服务将被作废且阿里云将不提供其他替代或补充。您对于服务的使用将优先消耗订购的资源包,除法定及双方另行约定外,如资源包中的各项服务使用完毕或者服务期限到期,且您未继续订购资源包服务但持续使用此项服务的,阿里云将视为您使用阿里云以按量形式售卖的该服务(如有),阿里云将持续计费并根据计费结果予以扣划服务费用。
7.3. 以按量付费形式售卖的服务:
除非另有其他约定,或您未结清其他应付款项的,您开通服务即可使用阿里云的服务;您应确保您的账户余额充足,以便持续使用阿里云的服务。
7.4.您理解并认可,阿里云将不断改进服务质量、提升服务水平以不断提升客户体验,为此,阿里云将可能变更所提供服务的形式、规格或其他方面,阿里云将尽最大努力提前以网站公告、站内信、邮件或短信等一种或多种方式进行事先通知。
7.5. 发生下列情形之一的,服务期限提前终止:
7.5.1. 双方协商一致提前终止的;
7.5.2.您严重违反本服务协议(包括但不限于,您严重违反相关法律法规规定,或您严重违反本协议项下之任一承诺内容等),阿里云有权提前终止服务直至清除您的全部数据;
7.5.3.您理解并充分认可,虽然阿里云已经建立(并将根据技术的发展不断完善)必要的技术措施来防御包括计算机病毒、网络入侵和攻击破坏(包括但不限于DDoS)等危害网络安全事项或行为(以下统称该等行为),但鉴于网络安全技术的局限性、相对性以及该等行为的不可预见性,因此如因您网站遭遇该等行为而给阿里云或者阿里云的其他网络或服务器(包括但不限于本地及外地和国际的网络、服务器等)带来危害,或影响阿里云与国际互联网或者阿里云与特定网络、服务器及阿里云内部的通畅联系,阿里云可决定暂停或终止服务。如果终止服务的,将按照实际提供服务月份计算(不足一个月的按天计)服务费用,将剩余款项(如有)返还;
7.5.4.您认可并同意,为技术升级、服务体系调整或经营策略调整等需要,阿里云保留通过提前30天在阿里云官网(www.alibabacloud.com)上发布公告、发站内通知或邮件通知等方式,暂停或终止向您提供部分产品及/或服务(或服务中的相应功能)的权利;届时阿里云将及时结算相关费用,并退还您已支付但未消费的款项。
8. 违约责任
8.1. 本服务协议任何一方违约均须依法承担违约责任。
8.2.您理解,鉴于计算机、互联网的特殊性,除不可抗力和意外事件外,下述情况亦不属于阿里云违约:
8.2.1. 阿里云在进行服务器配置、维护时,需要短时间中断服务;
8.2.2.由于Internet上的通路阻塞造成您网站访问、应用或服务运行等的速度下降。
8.3.阿里云均不对任何间接性、惩戒性的损害,包括您使用阿里云服务而遭受的利润损失承担责任(即使您已被告知该等损失的可能性)。
8.4. 阿里云对本服务协议所承担的违约赔偿责任总额按照如下方式确认:
8.4.1.如为包月或资源包(套餐包)服务发生故障,违约赔偿总额不超过故障发生所在服务期限内,您就故障所涉及的服务所缴纳的服务费用总额;
8.4.2.如为按量付费服务,违约赔偿总额不超过故障发生时过往12个自然月您就该故障服务已缴纳的服务费用总额(如不足12个自然月的,则据实计算)。
9. 责任的限制及免除
您应理解并同意,阿里云在对服务进行公测、邀测等您免费试(使)用服务期间或免费服务额度内,虽然阿里云会对服务可用性和可靠性提供支撑,但阿里云将不对任何服务可用性、可靠性做出承诺;阿里云亦不对您使用或不能使用阿里云服务的工作或结果承担任何责任。
10. 不可抗力和意外事件
10.1.因不可抗力或者其他意外事件,使得本服务协议的履行不可能、不必要或者无意义的,遭受不可抗力、意外事件的一方不承担责任。
10.2.不可抗力、意外事件是指不能预见、不能克服并不能避免且对一方或双方当事人造成重大影响的客观事件,包括但不限于自然灾害如洪水、地震、瘟疫流行等以及社会事件如战争、动乱、政府行为、电信主干线路中断、黑客、网路堵塞、电信部门技术调整和政府管制等。
11. 法律适用及争议解决
11.1.本服务协议的订立、执行和解释及争议的解决均受中华人民共和国法律管辖。
11.2.在执行本服务协议过程中如发生纠纷,双方应及时协商解决。协商不成时,任何一方可直接向杭州市西湖区人民法院提起诉讼。
12. 其他
12.1.阿里云在阿里云官网(www.alibabacloud.com)相关页面上的服务说明、价格说明和您确认同意的订购页面(包括特定产品的专用条款、服务说明、操作文档等)均为本服务协议不可分割的一部分。如果阿里云官网(www.alibabacloud.com)相关页面上的服务说明、价格说明和您确认同意的订购页面与本服务协议有不一致之处,以(1)服务说明、价格说明、其他订购页面,(2)专用条款,(3)本服务协议的顺序予以适用。
12.2.阿里云有权通过提前30天在阿里云官网(www.alibabacloud.com)上发布公告、发站内通知或邮件通知等方式将本服务协议的权利义务全部或者部分转移给阿里云的关联公司,同时关联公司不会实质性降低您可获得服务的质量,否则阿里云与关联公司向您承担连带责任。
12.3.本协议项下之保证条款、保密条款、知识产权条款、法律适用及争议解决条款等内容,不因本服务协议的终止而失效。
12.4.若双方之间另有盖章文本,且与网络页面点击确认的本服务协议存在不一致之处,以双方盖章的文本内容为准。
本专用条款仅适用于您所购买的Quick本专用条款仅适用于您所购买的Quick BI,如同《阿里云产品及服务协议》所述,本专用条款与《阿里云产品及服务协议》、以及其他条款条件共同构成约束阿里云与您权利义务的全部文件。
Quick BI产品协议相关专用条款
1. 如您购买了阿里云云Quick BI服务,您理解并确认如下内容: BI报表服务可能会提供一定量的免费存储空间供您用于数据分析,以便您能更快捷的分析本地数据以及将云数据与其他数据进行融合探索分析,您应对您使用前述免费存储空间的数据进行备份,并由您承担数据丢失的风险。
2. Quick BI产品的最大请求量为每小时每个 license不超过3000次查询请求,如阿里云一旦发现您的查询请求高于前述最大请求量,则阿里云Quick BI 有权暂时停止向您提供服务。
3.智能小Q服务规范
您使用智能小Q服务前应仔细阅读并遵守本协议约定的要求。由于本服务可能涉及深度合成技术及大模型能力服务,我们在此特别向您强调,针对您使用本服务制作的信息内容(即您使用本服务过程中所上传、复制、生成、存储、发布、传播的所有内容),我们依法提出如下要求:
3.1 您在本服务上的全部行为应符合法律法规及政策、社会公共秩序和道德风尚,如禁止反动、色情、暴力、冒犯、侮辱等不良信息内容的输入和生成。我们有权采取技术或者人工方式对您的输入数据和合成结果进行审核,但您注册账号下的一切行为由您自行完全负责。如您基于自身特定需求,未采用我们的审核措施或要求我们降低审核门槛,由您自行负责信息内容输出安全,则您已完全同意并知悉可能产生的风险,我们建议您加强输出内容的安全审核与应急保障,由此引发的经济责任、法律责任需由您自行完全承担;
3.2 您确保,您使用本服务制作的信息内容,是您所有或被相关权利人授权同意处理的信息,我们根据您的指令分析、处理该等信息内容以及生成新的信息内容不会侵犯任何第三方的合法权益(包括但不限于人格权、著作权、财产权);
3.3 您不得利用本服务编造、传播虚假信息。您在发布或传播利用本服务制作生成的非真实信息时, 依法应当以显著方式予以标识(包括但不限于在生成图片中添加水印、附上非真实信息声明)。如您非法利用本服务编造、传播虚假信息的,我们会依法保存有关记录,并向网信部门和有关主管部门报告;
3.4 对于您发布、上传、链接或通过服务提供的任何内容,无论内容的形式如何,您应对您所上传的内容承担责任。在法律允许的范围内,我们对您创建或上传的内容任何公开显示或使用不承担责任,但我们有权删除我们或有权的监管机构认为违反了任何法律或平台协议或政策的内容。
4.针对第三方模型及技术服务的特别说明
4.1 您理解并知悉,智能小Q内接入由第三方服务商开发并提供的模型或技术服务(或统称“三方模型及技术服务”)。对于该等三方模型及技术服务,您应在正式使用前了解三方服务商的约束类协议并审慎评估风险,并确保在知悉并接受相关约定的前提下再开始使用相应服务。
4.2 您理解并同意,当您选择使用三方模型及技术服务时,智能小Q会向您调用的三方模型(含三方服务提供商)传输相关数据。您在使用三方模型及技术服务过程中产生的任何争议或责任,与我们或其他我们关联公司无关;若您违反前述协议条款约定的行为导致我们或其他我们关联公司承担任何侵权诉讼、或其他责任的,您应向我们承担赔偿责任。
4.3 针对三方模型及技术服务,您知悉并理解,我们不会对三方模型及技术服务和其生成内容的时效性、可用性、安全性、合规性作出任何承诺,您应当自行判断并承担因使用三方模型及技术服务引起的风险。
4.4 您知悉并理解,出于监管侧要求、商业上考虑,我们有权在未经提前通知您的情况下对三方模型及技术服务进行中止、关停或下架,并在合理的时间范围内对您发出事后通知。

1.
定义
1.1.
软件服务:系指瓴羊通过研究开发的计算机软件和网络向您提供的标准化服务,具体指阿里云官网(www.alibabacloud.com)上所展示的Quick BI产品/服务,也可被称为“服务”、“软件服务产品”或者“产品”。
1.2.
软件:系指机器可读的计算机程序,包括任何复本、错误修复、更新或升级。
1.3.
服务说明书:系指本协议附件,其载明本协议项下您订购的软件和/或服务的具体内容。
1.4.
试用:系指瓴羊向您免费提供的使用软件服务的权限。
1.5.
账号:系指瓴羊向您提供的、授权您访问和使用瓴羊产品的用户名、密码等,以汉字、字母、数字、字符等形式体现。
1.6.
用户:系指实际使用服务的一方或者个人,除非另有说明,本协议用户也可被称为“您”“服务接收方”或者“客户”。
1.7.
服务提供方:系指实际提供服务的一方,即指“瓴羊”,包括瓴羊关联公司以及其他根据本协议实际提供服务的第三方。
1.8.
知识产权:系指任何有形或无形的:(1)与所有著作作品相关的权利,包括但不限于著作权、邻接权、掩膜作品及其所有衍生作品;(2)商标和商号权以及类似权利;(3)商业秘密权;(4)专利、外观设计、算法和其他工业产权。包括世界范围内所适用法律认可或者不禁止享有的以任何形式存在的对数据库和知识财产的初始创造、更新、扩展、延续、分发、注册登记等的权利。
1.9.
关联公司:系指一方现在或将来通过股权或者协议安排控制、受其控制或与其处于共同控制之下的任何公司、合法机构以及上述公司、合法机构的合法继承人。“控制”是指(1)直接或间接持有过半数的投票权;(2)直接或间接享有过半数的可分配利润;(3)直接或间接控制董事会半数以上成员的组成;或(4)直接或间接持有过半数的注册资本。
1.10.
中国:系指中华人民共和国大陆地区,为本协议之目的,不包括香港、澳门和台湾地区。
1.11.
日:除非本协议或者附件另有说明,系指日历日或者自然日。
2.
软件服务范围
2.1.
瓴羊向您提供的服务具体可实现的功能为阿里云官网(www.alibabacloud.com)上所展示的Quick BI产品/服务,以及相关的技术及网络支持服务,具体产品/服务内容以您所订购的产品/服务内容为准。[4]
2.2.
瓴羊保留适时自行决定对服务进行变更、升级、迭代的权利,但不应实质性影响您使用服务;瓴羊进一步保留在服务中开发新的模块、功能或其他语种服务等的权利。上述所有新增或变更后的模块、功能、服务的提供,除非瓴羊另有说明,否则仍适用本协议。
2.3.
您购买的服务功能模块说明为本协议的组成部分,该说明包含瓴羊不时制定和修改的在网站公示、附带于产品中的单独说明等。
2.4.
您在使用瓴羊软件服务过程中,如需从瓴羊、瓴羊的关联公司或者任何第三方采购任何其他硬件或者软件的,由您另行签订采购协议。
3.
承诺与保证
双方保证:
3.1.
具备签署及履行本协议所需权利和资格;
3.2.
在本协议有效期内遵守全部适用法律、法规和规章;
3.3.
其有充分权利、权力及授权可为本协议所述之授权;
3.4.
履行本协议不会违反上述法律法规或与第三人之协议;
3.5.
截止到签署本协议之日,据其所知最大范围内不存在可能影响本协议履行的正在进行的诉讼或纠纷、或受威胁之的诉讼或者纠纷(包括涉及其知识产权是否侵犯第三方知识产权的情形)。
4.
双方权利义务
4.1
4.1.
您的权利及义务
4.1.1.
您在使用瓴羊软件服务前,应仔细阅读并遵守相应的软件服务说明、技术规范、使用流程、操作文档等内容,并准确理解相关内容及可能发生的后果;在使用瓴羊软件服务过程中,您应依照相关操作指引进行操作,对于因您违反本协议约定及/或相关操作指引所引起的后果由您自行承担,瓴羊不承担任何责任。
4.1.2.
您可通过账号(登录名+密码)登录的方式使用瓴羊软件服务。瓴羊应当妥善保存并且建立内容访问控制机制,不得将该账号以任何形式向任何第三方转让、出租、出借、泄露、披露等。如登录名、密码遭到未获授权的访问、使用或发生其他安全问题时,您应立即通知瓴羊,瓴羊不对未经授权的访问承担任何责任;一旦发现您有向第三方转让、出租、出借、泄露、披露服务账号的行为,瓴羊有权随时无责收回账号并终止本协议;服务期结束后,瓴羊有权收回账号。
4.1.3.
您在使用瓴羊软件服务期间,应当遵守国家法律法规、规章条例等规范性文件、本协议及各项瓴羊规则的规定和要求,不会利用瓴羊软件服务从事下列行为:
1)
利用瓴羊软件服务散发不受欢迎的或者未经请求的电子邮件、电子广告或包含反动、色情等有害信息的电子邮件;
2)
从事损害瓴羊及其关联公司合法权益之行为,该等损害权益的行为包括但不限于:违反公布的任何服务协议/条款、管理规范、交易规则等内容,破坏或试图破坏公平交易环境或正常交易秩序等;
3)
利用瓴羊软件服务上传、下载、储存、发布如下信息或者内容,或为他人发布该等信息提供任何便利(包括但不限于设置URL、BANNER链接等):
a)
违反国家规定的政治宣传和/或新闻信息;
b)
涉及国家秘密、国家安全、情报、间谍行为的信息;
c)
封建迷信和/或淫秽、色情、低俗的信息或教唆犯罪的信息;
d)
博彩有奖、赌博游戏、“私服”、“外挂”等非法互联网出版活动;
e)
违反国家民族和宗教政策的信息;
f)
妨碍互联网运行安全的信息;
g)
侵害他人合法权益的信息和/或其他有损于社会秩序、社会治安、公共道德的信息或内容;
h)
其他违反网络信息内容生态治理等法律法规、部门规章或国家政策的内容。
4)
进行任何破坏或试图破坏网络安全的行为(包括但不限于钓鱼,黑客,网络诈骗,网站或空间中含有或涉嫌散播:病毒、木马、恶意代码,及通过虚拟服务器对其他网站、服务器进行涉嫌攻击行为如扫描、嗅探、ARP欺骗、DDoS等)。
5)
未经瓴羊书面同意擅自修改、翻译、改编、出租、出借、出售、转许可、在信息网络上传播或转让瓴羊软件。
6)
逆向工程、反编译、反汇编或试图以其他方式发现瓴羊软件的源代码,或进行任何改变或试图改变瓴羊系统配置或破坏系统安全的行为。
7)
仿冒或抄袭瓴羊软件部分或全部软件设计程序;或进行任何危害或可能危害瓴羊软件知识产权的行为。
4.1.4.
您理解并同意,瓴羊有权但无义务对您使用瓴羊软件服务所发布的内容、信息进行审核,若经审核瓴羊认为您使用瓴羊软件服务所发布的内容、信息违法违规或违反本协议约定,瓴羊将通知您进行删改或自行进行删改。
4.1.5.
您应向瓴羊提交执行本协议的联系人员的名单和联系方式;如以上人员发生变动,您应及时将变动后的信息告知瓴羊。因您提供的联系人员的信息不真实、不准确、不完整,以及因联系人员的行为或不作为而产生的任何后果,由您自行承担。
4.1.6.
您需符合瓴羊当前且不时修改的服务的开通标准和准入规则,包括向瓴羊提供真实、合法、准确、有效的信息和资料,包括但不限于企业经营资质、商标注册证明、品牌授权、有效联系方式、其他证明文件等相关信息。
4.1.7.
瓴羊对您提供的信息和资料仅有在合理商业判断下的形式审查义务,如信息不实,瓴羊有权要求您更正并承担因此对瓴羊和/或第三方造成的损失。
4.2.
瓴羊的权利义务
4.2.1.
瓴羊应按本协议约定及瓴羊软件服务所展示的内容向您提供服务。
4.2.2.
您理解并同意,在您使用瓴羊软件服务期间,瓴羊可过短信、邮件、电话或其他合法方式向您发送各类服务信息,包括各类通知及商业化信息。
4.2.3.
在不披露您保密信息的前提下,瓴羊及其关联公司可以在市场宣传或者投标文件中介绍本协议项下的服务,瓴羊有权为该等目的披露合作关系、使用您的名称、企业标识、相关logo等。
4.2.4.
您在使用瓴羊软件服务期间,瓴羊应确保提供的软件系统的稳定性,如果您有证据证明确因瓴羊原因导致您无法正常使用瓴羊软件服务核心功能的,您应及时联系瓴羊进行处理,瓴羊未处理或者处理完仍有问题的,瓴羊将对您给予相应补偿。同时,瓴羊将为您提供相应的售后运维服务以及技术运维保障服务。为确保瓴羊能够有效提供运维服务,您确认并同意,在服务期间内,向瓴羊指定的运维人员开放必要的系统权限,包括但不限于:租户管理权限、密钥管理权限以及访问相关软件系统和数据的必要操作权限。在运维服务结束或合同终止后,您有权收回授予瓴羊的上述系统权限。
4.2.5.
瓴羊向您提供的软件服务仅为您从事经营活动的参考,您应当自行判断做出经营决策或者采取相关行动,瓴羊提供软件服务并不构成瓴羊对于您做出正确经营决策或者行动的保证。
4.2.6.
您同意,在保障服务质量的前提下,本协议项下的服务全部或者部分可由瓴羊的关联公司实际履行或由瓴羊分包给第三方,而瓴羊无需事先通知您;在提前十五(15)日书面通知您的前提下,瓴羊有权将本协议的权利义务全部或者部分转移给瓴羊的关联公司。
5.
软件服务费订购及支付方式
5.1.
您可根据自身业务情况订购瓴羊软件或软件服务,瓴羊将通过阿里云官网(www.alibabacloud.com)的相关页面上向您列明产品/服务价格,或根据您选择的产品/服务的规格配置为您提供订购产品/服务的应付费用(除另有说明,服务价格为含税价,货币类型为人民币),您应按照订购产品/服务当时在www.alibabacloud.com网站上的价格体系支付相应费用。
5.2.
您知晓并确认,待价款有效期届满后,瓴羊有权对软件服务费价款进行调整。
5.3.
本协议中所涉及所有费用,您未按约定时间延迟向瓴羊支付的,瓴羊有权不向您提供相应产品/服务(包括技术支持),或有权终止相应产品/服务(包括技术支持),同时您需按照延迟日向瓴羊支付延迟支付每日万分之五(0.05%)的延迟支付违约金并计收复利,您延迟付费超过三十(30)日的,瓴羊有权在通知您后暂停或终止对您提供的所有服务并不承担任何责任。
5.4.
瓴羊有权根据实际需要对本服务的收费标准、方式等进行调整,也可能会对全部和/或部分暂不收费服务开始收费。前述调整前,瓴羊将提前十(10)个工作日通知您,包括但不限于在相应服务订购页面进行通知或公告。
6.
软件许可
6.1.
许可的授予。本协议软件许可的范围以您所订购的产品/服务内容为准。瓴羊授予您为本协议目的在本协议范围内非排他性、有限的、不可转让和分许可、可撤销的使用软件的权利。前述授予的权利受瓴羊软件使用权利、产品条款以及瓴羊相应规则的约束。
6.2.
许可的持续时间。除非另有约定,本软件许可使用期限与您所订购的产品/服务内容期限一致。
6.3.
不转让所有权。在您付费使用瓴羊软件服务期间不转让瓴羊对软件、更新/升级程序或服务交付物的所有权,瓴羊保留未明确授予您的所有权利。瓴羊在本协议和瓴羊软件服务中所提供内容的知识产权归瓴羊、瓴羊合作伙伴及/或其关联公司所有。
6.4.
更新、修复和补丁。如您和/或用户收到程序的更新、修复或补丁程序,用户可接受、适用随附的关于该更新、修复或补丁程序的协议条款。如没有随附协议条款,则更新、修复或补丁仅受本协议的约束。
6.5.
使用限制。您在使用瓴羊软件服务期间不得:
6.5.1.
删除瓴羊软件中的任何技术限制、标识等;
6.5.2.
对瓴羊软件进行反向工程、反编译或反汇编,或者以其他方式尝试发现软件源代码;
6.5.3.
通过修改或伪造瓴羊软件运行指令、数据,增加、删减、变动瓴羊软件的功能或运行效果,或者将瓴羊软件、方法用于运营或向公众传播,无论该等行为是否为商业目的;
6.5.4.
为他人未经瓴羊许可而复制、使用瓴羊软件提供便利;
6.5.5.
出租、租赁或出借瓴羊软件;
6.5.6.
向任何第三方转让瓴羊软件。
7.
知识产权
7.1.
本协议将不会引起任何知识产权所有权的转移。在本协议项下一方向对方提供的任何资料、技术或技术支持、软件、服务等的知识产权均属于提供一方或其合法权利人所有;除提供方或合法权利人明示同意外,另一方无权复制、传播、转让、许可或提供他人使用上述知识成果,否则应承担相应的责任。
7.2.
瓴羊保证对其销售的产品/服务拥有完全的所有权/处置权或已取得相关授权,不侵犯任何第三方的专利、商标、著作权和其他合法权利。任何情形下,关联公司等第三方授权使用的知识产权将始终由关联公司等第三方享有。
7.3.
除另有约定,本协议项下各方独立开发的知识产权归开发方所有。在交付成果和/或服务中含有在本协议生效之前各方已拥有的知识产权,或在本协议生效后各方独立开发的与项目无关的知识产权,由开发方拥有。服务期间瓴羊的新发明或发现的技术、软件、算法、模型、建模方法等知识产权及所有权归属瓴羊。
7.4.
您不应仿冒或抄袭软件部分或全部相同或类似软件设计程序;您不应进行任何危害或可能危害瓴羊软件知识产权之行为;就软件的使用,您应要求其最终用户遵守本协议产品许可部分。
7.5.
以上及其他任何本协议和产品包含的内容和知识产权均受到法律保护,未经瓴羊事前书面许可,任何人不得以任何形式进行使用或创造相关衍生产品。
8.
保密条款
8.1.
本协议所称保密信息,是指一方(以下简称“接受方”)从对方(以下简称“披露方”)取得的、获知的、或因双方履行本协议而产生的商业秘密(包括财务秘密)、技术秘密、经营诀窍和(或)其他应予保密的信息和资料(包括但不限于产品资料,产品计划,价格,财务及营销规划,业务战略,客户信息,客户数据,研发,软件硬件,API应用数据接口,技术说明,设计,特殊公式,特殊算法等),无论上述信息和资料以何种形式或载于何种载体,无论披露方在披露时是否以口头、图像或书面等方式表明其具有保密性。
8.2.
双方应采取适当措施妥善保存对方提供的保密信息,措施的审慎程度不少于其保护自身的保密信息时的审慎程度。双方仅能将保密信息用于与本协议项下的有关用途或目的。
8.3.
双方保证保密信息仅可在各自一方从事该业务的负责人和雇员范围内知悉,并严格限制接触上述保密信息的员工遵守本条之保密义务。
8.4.
本条上述限制条款不适用于以下情况:
8.4.1.
在签署本协议之时或之前,该保密信息已以合法方式属接受方所有;
8.4.2.
保密信息在通知给接受方时,已经公开或能从公开领域获得;
8.4.3.
保密信息是接受方从与其没有保密或不透露义务的第三方获得的;
8.4.4.
在不违反本协议约定责任的前提下,该保密信息已经公开或能从公开领域获得;
8.4.5.
该保密信息是接受方或其关联公司或附属公司独立开发,而且未从披露方或其关联公司或附属公司获得的信息中获益;
8.4.6.
接受方应法院或其它法律、行政管理部门要求(通过口头提问、询问、要求资料或文件、传唤、民事或刑事调查或其他程序)因而透露保密信息;
8.4.7.
接受方为向行政管理部门、行业协会等机构申请某项业务资质、获得某项认定、或符合国家、行业标准/认证,需结合对方情况向前述机构提交材料或进行说明的而披露的信息,在该等情况下,接受方应秉持必要情况下最少披露原则及要求因此获知保密信息的机构按不低于本协议的标准予以保密。
8.5.
双方都应尽最大的努力保护上述保密信息不被披露。一旦发现有上述保密信息泄露事件,双方应合作采取一切合理措施避免或者减轻损害后果的产生。如因此给对方造成损失的,应赔偿因此给对方造成的直接经济损失。
9.
数据安全及个人信息保护
9.1.
数据安全
9.1.1.
在您使用瓴羊软件服务期间,双方承诺并保证将根据相关法律法规采取安全技术措施和保密措施,建立了适当的数据安全能力,落实了必要的管理和技术措施,并定期检查、评估上述管理和技术措施的有效性,以防止数据遭受泄露、损毁、丢失或被篡改。
9.1.2.
针对因使用瓴羊软件服务而存储在瓴羊服务器内的个人信息、您业务运营数据等数据,瓴羊应当采取合理安全的技术措施,确保数据安全性。
9.1.3.
您应保证提供至瓴羊的各项信息、上传至瓴羊软件的全部数据、对瓴羊软件服务的使用,以及使用瓴羊软件服务所产生的相应成果不会侵犯任何第三方的合法权益;如有第三方就您所提供、上传或使用的信息、数据或就您的行为及工作成果向瓴羊提起任何投诉、索赔、诉讼或其他类型的诉求,则您应立即出面解决,并应赔偿瓴羊因此遭受的全部经济损失,包括但不限于各种费用、赔偿支出等。
9.1.4.
您明确知悉,瓴羊仅根据本协议向您提供软件技术服务,瓴羊仅会在您授权的目的和范围内处理数据。您在使用瓴羊软件服务期间,委托瓴羊处理数据的,应另行签署数据委托处理协议。同时,您作为数据的控制者,应当保证该等数据来源及委托处理目的和方式合法合规,如因此违法或者造成第三方损失的,由您自行承担相应责任;如因上述原因导致瓴羊遭受损失,您应承担瓴羊的损失。
9.1.5.
在您使用瓴羊软件服务过程中,如因您未采取合理措施导致数据泄露的,您应当:
1)
及时通知瓴羊,瓴羊将协助您采取预防或补救措施,以降低数据安全风险。
2)
按照相关法律法规的规定及时将事件相关情况以邮件、信函、电话、推送或公告等方式告知受影响的相关方。
3)
按照相关法律法规的规定将安全事件及时上报主管部门。
4)
因您未能及时将安全事件向相关方告知和/或向主管部门上报,您应当自行承担因迟延告知和/或上报造成的损失和处罚。
9.2.
个人信息保护
9.2.1.
双方均应严格遵守网络安全与数据保护相关法律法规的要求,其中,您使用瓴羊软件服务收集、储存、处理、使用的个人信息和实施与这些数据有关的活动,须遵循合法、正当、必要原则,且应当遵守相关法律法规、本协议和瓴羊相应规则的规定。
9.2.2.
如涉及您、您员工、任何第三方个人信息,您应保证其数据来源合法合规,为合法业务采集且已获得个人信息主体同意,不存在违法获取、使用、泄露个人信息等情形。
9.2.3.
根据法律规定、第三方主张或者个人信息主体的权利请求,瓴羊必须更正、删除、停止使用个人信息或者数据的,影响服务的全部或者部分功能时,您应当配合;如第三方或者个人信息主体直接向您提出主张,您应当立即以书面方式通知瓴羊并按照瓴羊认为妥当的方式处理,在通知瓴羊之前,您不应当自行决定与第三方或者个人达成任何解决方案。
9.3.
双方在中国境内开展业务活动所收集和产生的数据及个人信息,原则上应存储于中国境内。如任何一方需将存储于中国境内的数据及个人信息向境外提供,或允许从境外进行访问,应依据《中华人民共和国数据安全法》《中华人民共和国个人信息保护法》等相关法律法规要求,履行数据出境安全评估、个人信息保护认证或订立国家网信部门制定的标准合同等必要合规义务。
9.4.
瓴羊Quick BI软件服务提供多个境外部署站点(包括美国、新加坡、中国香港、德国、马来西亚、印度尼西亚和日本)。若您作为中国境外用户订购本服务,或主动选择将数据存储于境外,为优化服务体验,相关数据将根据节点部署位置、访问效率等因素,从上述站点中选择其一进行存储。您知悉并确认,存储于境外站点的数据将受该站点所在地法律法规的管辖与约束。
9.5.
您理解并同意,上述安排涉及数据跨境传输与存储。您应独立承担与此相关的一切法律、合规及安全风险。您有义务确保:
9.5.1.
您向境外站点提供的数据,其收集、使用及传输行为已获得充分授权并完全符合数据来源地的适用法律;
9.5.2.
数据在跨境传输及存储于境外站点期间,持续符合存储地及传输路径所涉司法管辖区的所有合规要求。
9.5.3.
若因您选择使用境外站点服务、或您提供的数据及指令违反相关法律,而引发任何合规调查、争议、索赔或损失,均由您自行负责解决并承担全部责任。
10.
反商业贿赂
10.1.
任何一方均不得在帐外暗中向对方及其关联企业之员工、顾问、亲友提供任何形式的不正当利益,包括以借款、佣金、礼金、抽成费、中介费、咨询费、劳务费、赞助费、宣传费、回扣金、馈赠、感谢费等名义向利益相关人提供实物、现金、卡券、股权股份或现金等价物等。甲乙双方均清楚并严格遵守中华人民共和国以及适用的任何其他国家或地区的反贿赂法律法规、党内法规、相关国际公约以及双方公司关于反贿赂的政策要求。
10.2.
您获知或者有合理理由怀疑员工或与本项目相关人员有违反合规承诺与保证事项的,有义务立即以书面方式向瓴羊廉正合规负责人联系,瓴羊均承诺对联系信息进行保密。

11.
出口管制
11.1.
双方承诺遵守本协议所适用的中国及根据国际义务适用的其他国家出口管制法律法规。您向第三方直接或间接地销售、出口、再出口或转移由瓴羊提供的受管制商品、软件、技术、数据或服务时,必须遵守本协议所适用的出口管制和制裁法律法规。
11.2.
您保证其根据本协议从瓴羊取得的受管制商品、软件、技术或服务不被用于以下目的:
11.2.1.
不会提供给适用的法律法规所列出的受限国家/地区或受限名单中的实体或个人;
11.2.2.
不会被用以军事用途,不会被用以扰乱国际和平与安全,包括不会被用以设计、开发、生产、储存或以任何方式使用核武器、生物化学武器、弹道导弹等大规模杀伤性武器、攻击性武器,或运输上述类似武器,或任何支持上述类似武器的活动;
11.2.3.
双方承诺遵守中国《对外贸易法》《出口管制法》《数据安全法》等法律要求的货物、技术、服务、数据出口规定和管制物项出口规定。除非依法获得审批和许可证,本协议项下服务不被用于出口军民两用物项、军品、核、导弹、监控化学品或者易制毒等特定化学品、生物两用品等国家安全利益物项,包括纸质或者电子数据文档、技术资料等。
12.
违约责任和损害赔偿
12.1.
双方均应严格遵守本协议条款履约,任何一方不履行义务或者履行义务不符合约定的,应当承担继续履行、采取补救措施或者赔偿损失等违约责任。
12.2.
因您违反法律、本协议约定或者侵犯瓴羊或者任何第三方合法权益的,瓴羊有权根据自己的独立判断并随时单方采取以下措施中的一种或多种:
12.2.1.
暂停、中断或终止向您提供部分或全部软件服务;
12.2.2.
要求您立即修改、删除违规内容;
12.2.3.
删除算法、模型、数据;
12.2.4.
终止您使用服务,终止本协议且不退还已收取的服务费用(如有);
12.2.5.
追究您的法律责任,并要求您赔偿瓴羊因您违约行为遭受的一切损失;
12.2.6.
其他瓴羊认为适合的处理措施。
12.3.
如因您违反有关法律法规或者本协议、相关规则之规定,使瓴羊遭受任何损失、受到其他用户、任何第三方的索赔或任何行政管理部门的处罚,您应对瓴羊、其他用户或相关第三方的损失进行全额赔偿,包括合理的律师费用。
13.
责任的限制及免除
13.1.
鉴于软件服务的特殊性,您理解并同意瓴羊会面向所有用户变更、中断部分或全部的软件服务,而无需提前通知您,亦无需承担任何责任。
13.2.
您理解并同意,在法律允许的范围内,瓴羊对以下情形导致的服务中断或受阻不承担责任:
13.2.1.
因瓴羊系统、设备以外的网络、故障设备或配置调整引起的,包括但不限于电信部门技术调整、电信/电力线路故障;
13.2.2.
由于您原因或第三方产品的故障、网络故障、服务器故障等使软件无法正常运行;受到计算机病毒、木马或其他恶意程序、黑客攻击的破坏;
13.2.3.
您操作不当使用瓴羊软件服务,或您以违反本协议约定或非瓴羊许可的方式使用瓴羊软件服务的;
13.2.4.
瓴羊预先通知您后进行的系统维护、更新所引起的,包括割接、维修、升级和模拟故障演练;
13.2.5.
其他瓴羊无法控制或无法合理预见的情形。
13.3.
您理解并同意,若瓴羊在对瓴羊软件服务进行公测、邀测等瓴羊免费试用服务期间或免费服务额度内,虽然瓴羊会对软件服务可用性和可靠性提供支撑,但瓴羊将不对任何服务可用性、可靠性做出承诺;瓴羊亦不对您使用或不能使用瓴羊软件服务的工作或结果承担任何责任。
13.4.
若瓴羊发现您发现因包括但不限于组织机构解散、注销、被吊销等任何原因导致民事行为能力、民事权利能力终止的情况,为保障您和其他主体的合法权益,瓴羊将有权决定立即终止本服务,且无需承担任何责任。
13.5.
您理解并同意,瓴羊依据本协议约定获得处理违法违规内容或行为的权利,但该权利不构成瓴羊在本协议项下的义务或承诺,瓴羊不能保证及时发现违法违规情形或进行相应处理。
13.6.
任何情形下,瓴羊基于本协议向您承担的赔偿责任的总额,不超过本协议总金额;同时瓴羊不对您的任何间接的、偶然的、特殊的或惩罚性的损害和损失(如利润损失、机会损失、向第三方支付的费用、声誉/商誉损失或损害、数据丢失等)承担责任,无论基于协议、保证、侵权或任何其他责任理论,不论瓴羊是否知道或应当知道上述损失或损害的可能性。
14.
期限和终止
14.1.
如发生下列情形,本协议提前终止:
14.1.1.
双方协商一致提前终止的;
14.1.2.
除本协议另有明确约定,一方非实质性违反本协议,经守约方书面通知后十五(15)个日历日内该违约方仍然未能就该等违约事件进行纠正的,守约方有权书面通知以终止本协议;
14.1.3.
因监管合规要求、国家法律或政策调整、瓴羊业务调整或产品策略调整等原因,瓴羊决定向所有客户暂停或终止提供本协议项下服务的,瓴羊有权提前十(10)个工作日书面通知您终止本协议;因瓴羊业务调整或产品策略调整等原因终止本协议的,若您已预付服务费,瓴羊应退还您已支付但未消耗的费用,若您未付款的,则您应向瓴羊支付实际消耗的服务费用;
14.1.4.
您存在违反本协议约定的陈述、保证、承诺和义务或因存在合规风险被执法机关调查的,瓴羊可立即向您发出书面通知终止本协议;
14.1.5.
一方已发生或有明显迹象表明其人事状况、财务状况和/或经营状况发生重大变化,或一方进入破产申请或清算程序的,另一方有权终止本协议,本协议自该有权终止方发出通知之日起终止;
14.1.6.
如您使用瓴羊提供的服务需要在瓴羊或其关联公司注册账号,则因任何原因导致该账号停用的。
14.2.
本协议部分条款从属性上或已明确约定不受本协议终止的影响的,本协议终止后仍应持续有效,此部分条款包括但不限于本协议承诺与保证、知识产权、保密条款、数据安全和个人信息保护、出口管制、违约责任和损害赔偿、责任的限制及免除、法律适用和争议解决。
15.
不可抗力
15.1.
如任何一方由于不可抗力而无法全部或部分履行其在本协议项下的任何义务,则该义务应在受不可抗力影响期间内在受影响的范围内中止履行。根据本条主张不可抗力的一方在必要时有权根据实际情况合理延期履行该义务。
15.2.
本协议所述之不可抗力是指不能预见、不能克服、不能避免且对一方或双方当事人造成重大影响的客观事件,包括但不限于自然灾害如洪水、地震、瘟疫流行等公共卫生事件以及社会事件如战争、动乱、政府行为、电信主干线路中断、黑客、网路堵塞、电信部门技术调整和政府管制等,但不包括主张不可抗力一方的财务困难。
15.3.
遭受不可抗力的一方应在不可抗力事件发生后三(3)日内通知另一方,并采取合理措施减轻损害的发生,同时向另一方提交有关部门出具的证明文件。在可能的情况下,遭受不可抗力的一方应在不可抗力结束后十(10)日内恢复履行本协议。如果因不可抗力致使任何一方延迟履行本协议超过三十(30)日, 另一方有权向其发出书面通知后,终止本协议。
16.
通知与送达
16.1.
瓴羊可选择通过您签约时预留的电话、电子邮件地址等联系方式的一种或几种向您送达各类通知和信息。对于联系方式发生变更的,您有义务及时更新有关信息,并保持可被联系的状态。您接收站内信、系统消息的会员账号(包括子账号),也作为您的有效联系方式。
16.2.
瓴羊将向您的上述联系方式的其中之一或其中若干向您送达各类通知,而此类通知的内容可能对您的权利义务产生重大的有利或不利影响,请您务必及时关注。
16.3.
瓴羊通过上述联系方式向您发出通知,其中以电子的方式发出的书面通知,包括公告,向您提供的联系电话发送手机短信,向您提供的电子邮件地址发送电子邮件,向您的账号发送系统消息以及站内信信息,在发送成功后即视为送达;以纸质载体发出的书面通知,按照提供联系地址交邮后的第五个自然日即视为送达。
16.4.
您应当保证其提供的联系方式是准确、有效的,并进行实时更新。因您提供的联系方式、送达地址有误、不详尽或更新不及时导致的任何后果及损失,由您自行承担。
17.
法律适用和争议解决
17.1.
本协议之订立、效力、解释、执行应适用中国法律。
17.2.
任何因本协议引起的或与本协议相关的任何争议,双方应首先通过友好协商或调解以解决该争议。如未能于争议开始后三十(30)日之内以上述方式解决有关争议,则任一方均可向被告所在地有管辖权的人民法院起诉。争议解决期间,除争议事项外,双方应继续履行本协议未涉争议的其它部分。
18.
其他
18.1.
本协议的附件,以及瓴羊在阿里云网站相关页面上对Quick BI服务说明、价格说明和您确认同意的订购页面(包括产品的专用条款、服务说明、操作文档等)均为本协议不可分割的一部分。
18.2.
如本协议中任何条款因任何原因而被认定无效,此无效条款并不影响其他条款的有效性,且此无效条款应自始视为不存在。
18.3.
任何一方未能或延迟行使其在本项下的权利,不能解释为对该权利的放弃。
Alibaba Cloud Product and Service Agreement
General Provisions
The Alibaba Cloud Product and Service Agreement constitutes a valid and binding contract entered into between Alibaba Cloud Computing Co., Ltd. (hereinafter referred to as “Alibaba Cloud”) and You with respect to the relevant matters concerning the services provided by Alibaba Cloud. The Alibaba Cloud Product and Service Agreement may hereinafter be referred to as the “Service Agreement”, “Agreement”, or “this Agreement”. Alibaba Cloud Computing Co., Ltd. (hereinafter referred to as “Alibaba Cloud”) and You with respect to the relevant matters concerning the services provided by Alibaba Cloud. The Alibaba Cloud Product and Service Agreement may hereinafter be referred to as the “Service Agreement”, “Agreement”, or “this Agreement”.
Before accepting this Agreement, please carefully read the entire contents thereof; if you have any questions regarding the relevant provisions, please inquire through Alibaba Cloud’s relevant business department or by calling the customer service hotline, and Alibaba Cloud will provide you with explanations and clarifications; if you are unable to accurately understand Alibaba Cloud’s explanations and clarifications of the provisions, or if you disagree with any content of this Service Agreement, please do not proceed with any further actions. Your actions such as clicking to confirm on the web page, actually purchasing or using the products and/or services provided by Alibaba Cloud, or downloading, printing, and affixing a seal thereto, shall all indicate that you have read and fully understood the contents of this Agreement, have reached a consensus with Alibaba Cloud regarding the subscription of the corresponding Alibaba Cloud products and/or services, and agree to accept all stipulations of this Service Agreement and be bound thereby.
When subscribing to products and/or services provided by Alibaba Cloud, in addition to complying with this Agreement, you shall also comply with the specific service terms (hereinafter referred to as the “Specific Terms”) (if any), product rules (if any), billing rules, and other such contents applicable to the products and/or services you subscribe to. The Specific Terms constitute an integral part of this Agreement and shall have the same effect as this Agreement; in the event of any inconsistency between this Agreement and the Specific Terms, the provisions of the Specific Terms applicable to the respective products and/or services shall prevail.
With respect to this Agreement, we particularly draw your attention to the provisions concerning limitations, disclaimers, identification and handling of violations/breaches, and selection of jurisdiction courts, etc. The aforementioned provisions may be highlighted in bold and/or underlined to draw your attention thereto.
Main Text
Article 1 Product and/or Service Content
1.1 The term “Product and/or Service” as used in this Service Agreement shall refer to: The products and/or services displayed on the website www.alibabacloud.com (i.e., the Alibaba Cloud official website) provided by Alibaba Cloud to you, as well as the related technical and network support services, with the specific service content subject to the services you subscribe to.
Article 2 Product and/or Service Prices and Fees
2.1 Alibaba Cloud shall list the service prices to you on the relevant pages of the website www.alibabacloud.com, or provide you with the payable fees for the subscribed services based on the specifications and configurations of the products and/or services you select. You shall pay the corresponding fees in accordance with the pricing system for the products and/or services as displayed on the website www.alibabacloud.com at the time of subscription.
2.2 You may recharge your Alibaba Cloud account through channels such as Alipay, online banking, or bank remittance, and thereafter proceed with the subscription of specific products and/or services; you shall maintain sufficient account balance to ensure the continuous use of the services. The payment methods and other related specific rules shall be subject to the content displayed on the pages of the Alibaba Cloud official website.
2.3 Depending on the type of products and/or services you subscribe to, you shall complete the payment of service fees within the corresponding time limits as displayed on the pages of the Alibaba Cloud official website; prior to your full payment of the fees as agreed, Alibaba Cloud shall have the right to withhold the provision of the corresponding products and/or services (including technical support) to you, or to terminate the corresponding products and/or services (including technical support), and shall have the right to charge a penalty for late payment at the rate of five ten-thousandths (0.05%) per day on the overdue amount. Alibaba Cloud may, at any time after the occurrence of your overdue payment, require you to pay such penalty:
2.3.1 Prepaid Products and/or Services:
2.3.1.1 If you purchase products and/or services sold in the form of monthly packages or resource packs (bundle packages), Alibaba Cloud shall provide the services to you upon your full payment of the service fees.
2.3.1.2 You shall promptly complete payment after submitting the order; failure to do so in a timely manner may result in the order becoming invalid: (1) if payment is not made within seven (7) days after placing the order, the order shall automatically become invalid; (2) if there is insufficient inventory of the product and/or service during the unpaid period, the order shall automatically become invalid. Once the order becomes invalid, any consensus or actions reached or taken by You and Alibaba Cloud with respect to the product and/or service content and pricing specified in the order shall become invalid.
2.3.1.3 If you intend to continue using the services after the expiration of the service period for the subscribed products and/or services, please pay the renewal fees at least seven (7) days prior to the expiration of the service period to ensure the continuity of the services.
2.3.2 Postpaid Products and/or Services:
If you purchase products and/or services sold on a pay-as-you-go basis, you may activate and use the services first, and Alibaba Cloud shall, depending on the product type, automatically calculate the actual usage quantity for the previous one (1) billing cycle on an hourly, daily, or monthly basis, and deduct the corresponding service fees from your Alibaba Cloud account balance. The specific deduction rules and billing items shall be subject to the content published on the Alibaba Cloud official website at the relevant time.
2.4 Alibaba Cloud may periodically or from time to time launch promotional activities or policies (collectively referred to as “Promotional Activities”), such as: Upon a one-time subscription for a certain duration or service volume, providing gifted service content, extending the service period, or offering direct discounts; issuing free vouchers; Double Eleven product special prices/discounts; referral code discounts, and other forms. You understand and acknowledge that:
2.4.1 Such Promotional Activities or policies are special offers by Alibaba Cloud in addition to the normal service prices, the promotional content does not include fees for modifications, updates, or maintenance of gifted service items, and the gifted service items may not be converted into cash or offset against service fees.
2.4.2 As certain Promotional Activities or policies are premised on your commitments regarding service duration or service volume, if you unilaterally cancel the corresponding services without justification, Alibaba Cloud shall have the right to handle the matter by reverting to original pricing for billing, charging a penalty, or imposing a cancellation/refund handling fee, forfeiting the benefits, or requiring you to bear the cost of any free vouchers already used, subject to the methods specified on the corresponding official website display pages or in the relevant orders.
2.4.3 Unless otherwise expressly agreed in the products and/or services you subscribe to, or unless You and Alibaba Cloud have another express written agreement, multiple promotions may not be cumulatively applied.
2.4.4 With respect to the Promotional Activities or policies enjoyed by the services you subscribe to, you shall bear confidentiality obligations; upon discovery of your failure to comply with this confidentiality obligation, Alibaba Cloud shall have the right to cancel such promotions and shall have the right to determine whether to suspend or terminate the services.
2.5 You understand and acknowledge that Alibaba Cloud may provide you with free services or free services within certain usage limits through invitation-based testing, public beta testing, or other means, and during the free period or within the free usage limits, you shall not be required to pay service fees; Alibaba Cloud does not rule out the possibility of charging fees in the future, and at that time, Alibaba Cloud shall announce the charging policies and specifications at least ten (10) natural days in advance through appropriate sections on the website or by sending in-site notifications. If You continue to use the corresponding services, you shall pay fees in accordance with the charging policies effective at that time.
Article 3 Rights and Obligations
3.1 Your Rights and Obligations
3.1.1 Prior to using the services, you shall carefully read and comply with the relevant service descriptions, technical specifications, usage procedures, operation documents, and other such contents displayed on the pages of Alibaba Cloud’s official website, and accurately understand the relevant contents and possible consequences; during the process of using the services, you shall operate in accordance with the relevant operation guidelines, and you shall bear sole responsibility for the consequences arising from your violation of the relevant operation guidelines, with Alibaba Cloud bearing no liability therefor; please exercise caution and manage risks at your own discretion. If you subscribe to products and/or services using the openAPI method provided by Alibaba Cloud, you shall also undertake to periodically and/or prior to purchasing specific services, review the aforementioned contents and updates on the pages of Alibaba Cloud’s official website and ensure that you are aware of their meanings.
3.1.2 You shall submit to Alibaba Cloud the contact person for executing this Service Agreement and the name list and contact information of personnel managing various services on your network and cloud platform; in the event of any changes to the above personnel, you shall update the changed information online by yourself. You shall bear sole responsibility for any consequences arising from the untrue, inaccurate, or incomplete information provided regarding the above personnel, or from the acts or omissions of such personnel.
3.1.3 You shall retain access log records of your own website in accordance with the provisions of laws and regulations such as the Measures for the Administration of Internet Information Services, including the published information content and its release time, internet address (IP), domain name, etc., and shall cooperate in providing them when queried by relevant national authorities in accordance with the law. You shall bear all consequences and liabilities arising from failure to retain the relevant records as required.
3.1.4 You shall be responsible for the integrity and confidentiality of the data you store on Alibaba Cloud’s cloud platform and the passwords and credentials for accessing and managing various products and services on Alibaba Cloud’s cloud platform; you shall bear all losses and consequences arising from the loss or leakage of the above data, passwords, credentials, etc., due to your improper maintenance or inadequate confidentiality.
3.1.5 If the activities you conduct using the products and/or services provided by Alibaba Cloud require permission or approval from relevant national authorities, you shall obtain such permission or approval in a timely manner, Including but not limited to:
(1) If you operate multiple websites, you shall ensure that all such websites have obtained permission or approval from relevant national authorities;
(2) If your website provides non-commercial Internet information services, you must complete the filing for non-commercial websites and ensure that all filed information is true and valid, and promptly submit updated information in the filing system when changes occur to the filed information;
(3) If your website provides commercial Internet information services, you shall also obtain a commercial website license from the local communications administration department by yourself;
(4) If you operate an Internet game website, you shall obtain an Internet cultural operation license in accordance with the law;
(5) If you operate Internet audio or video websites, you shall obtain an Information Network Audiovisual Program Transmission License in accordance with the law;
(6) If you engage in Internet information services related to news, publishing, education, medical care, pharmaceuticals, and medical devices, etc., which require review and approval by relevant competent authorities in accordance with laws, administrative regulations, and relevant national provisions, you shall obtain such review and approval from the relevant competent authorities in accordance with the law prior to applying for operation permits or fulfilling filing procedures.
You understand and acknowledge that the above enumerations do not exhaust all types of permissions or approvals required from relevant national authorities for the commercial or non-commercial activities you engage in; when engaging in the corresponding activities, you shall comply with the relevant laws, regulations, and requirements promulgated from time to time by the state and local governments.
3.1.6 You further undertake not to engage in the following acts:
3.1.6.1 You shall not use the products and/or services provided by Alibaba Cloud to disseminate unsolicited or unwanted emails, electronic advertisements, or emails containing reactionary, pornographic, or other harmful information;
3.1.6.2 You shall not use the services provided by Alibaba Cloud as virtual servers, illegal proxy servers (Proxy), or mail servers;
3.1.6.3 You shall not use the products and/or services provided by Alibaba Cloud to engage in commercial activities such as DDoS protection, DNS protection, etc.;
3.1.6.4 You shall not engage in any acts that infringe upon the legitimate rights and interests of Alibaba Cloud and/or its affiliates (including but not limited to enterprises under the Alibaba Group, such as Taobao, Alimama; and affiliates of the Alibaba Group, such as Alipay, etc.), such infringing acts including but not limited to: Violating any service agreements/terms, management rules, transaction rules, etc., published by these companies, disrupting or attempting to disrupt the fair trading environment or normal trading order of Alibaba companies, etc.;
3.1.6.5 You shall not use the resources and services provided by Alibaba Cloud to upload, download, store, or publish the following information or content, nor shall you provide any convenience for others to publish such information (including but not limited to setting up URLs, BANNER links, etc.):
(1) Political propaganda and/or news information in violation of national regulations;
(2) Information involving state secrets and/or security;
(3) Information on feudal superstitions and/or obscene, pornographic, vulgar information or information inciting crimes;
(4) Illegal Internet publishing activities such as lottery gambling, gambling games, “private servers”, “cheats”, etc.;
(5) Information in violation of national ethnic and religious policies;
(6) Information that hinders the safe operation of the Internet;
(7) Information that infringes upon the legitimate rights and interests of others and/or other information or content that harms social order, social security, public morals;
(8) Other content in violation of laws, regulations, departmental rules, or national policies.
3.1.6.6 You shall not excessively occupy, nor use programs or processes that may cause abnormal excessive occupation of the server memory, CPU, or network bandwidth resources in the platform composed of Alibaba Cloud’s computing resources (such as servers, network bandwidth, storage space, etc.) (hereinafter referred to as the “Cloud Platform”), thereby causing serious load on the network, servers (including but not limited to local, remote, and international networks and servers, etc.), products/applications, etc., of Alibaba Cloud’s Cloud Platform or other users of Alibaba Cloud, affecting the smooth connection between Alibaba Cloud and the international Internet or specific networks, servers, and internal connections of Alibaba Cloud, or leading to downtime, crashes of servers where Alibaba Cloud’s Cloud Platform services or other users of Alibaba Cloud are located, or making products/applications based on the Cloud Platform inaccessible to users, etc.;
3.1.6.7 You shall not engage in any acts that damage or attempt to damage network security (including but not limited to phishing, hacking, network fraud, containing or suspected of disseminating in websites or spaces: viruses, trojans, malicious code, and suspected attack behaviors on other websites or servers through virtual servers such as scanning, sniffing, ARP spoofing, DDoS, etc.).
3.1.6.8 You shall not install or use pirated software on Alibaba Cloud’s services or platforms; you understand and agree that Alibaba Cloud has the right to refuse the deployment of application systems using pirated software on Alibaba Cloud’s services or platforms. You shall bear full responsibility for the results arising from your own acts (such as software installed by yourself and operations performed). If the legitimate copyright holder of the relevant software installed by yourself raises infringement complaints, accusations, or other claims against Alibaba Cloud, you shall take all reasonable measures to ensure that Alibaba Cloud is exempted from liability, including but not limited to clarifying the situation, providing proof of use of genuine software, and other measures sufficient to cause the legitimate copyright holder to withdraw the aforementioned claims.
3.1.6.9 Except as expressly permitted by Alibaba Cloud in writing, you shall not modify, translate, adapt, lease, lend, sell, sublicense, distribute over information networks, or transfer the software or services provided by Alibaba Cloud, nor shall you reverse engineer, decompile, or attempt to discover the source code of the software provided by Alibaba Cloud in any other manner; at the same time, you shall not engage in any acts to alter or attempt to alter the system configurations provided by Alibaba Cloud or to damage system security.
3.1.7 You understand and agree that the state secrets of the People’s Republic of China are protected by law, and you have the obligation to keep the state secrets of the People’s Republic of China; your use of Alibaba Cloud services shall comply with the relevant confidentiality laws and regulations, and shall not endanger the security of the state secrets of the People’s Republic of China.
3.1.8 If Alibaba Cloud’s services involve the licensed use of third-party software, you agree to be bound by the relevant license agreements.
3.1.9 If third-party institutions or individuals raise questions or complaints against you, Alibaba Cloud shall promptly notify you, and you shall be responsible for providing explanations and supporting evidence materials within the stipulated time; if you fail to provide contrary evidence or fail to respond within the time limit, Alibaba Cloud shall take measures including but not limited to immediately deleting the relevant questioned/complained information, suspending or terminating services, etc.
3.1.10 You shall be responsible for data backup by yourself and complete the corresponding operations; Alibaba Cloud shall bear no responsibility for the data backup work or results performed by you.
3.2 Alibaba Cloud’s Rights and Obligations
3.2.1 Alibaba Cloud shall have the obligation to provide you with services in accordance with this Service Agreement and the contents displayed for the products and/or services on Alibaba Cloud’s official website, provided, however, that Alibaba Cloud shall have no obligation to provide you with any functions or services beyond those specified in the aforementioned displayed contents.
3.2.2 You understand and acknowledge that, due to technical limitations, Alibaba Cloud cannot guarantee that the services it provides are entirely free of defects (for example, Alibaba Cloud’s overall security protection or security products cannot guarantee the absolute security of your hardware or software). However, Alibaba Cloud undertakes to continuously improve service quality and levels to provide you with higher-quality services. Accordingly, you agree that if the services provided by Alibaba Cloud have defects that cannot be avoided under the prevailing industry technical standards at the time, such defects shall not be deemed a breach by Alibaba Cloud. You agree to cooperate with Alibaba Cloud in resolving the aforementioned defects.
3.2.3 Alibaba Cloud shall be responsible for the operation and maintenance of the underlying components below the operating system and the software provided by Alibaba Cloud, such as the relevant technical architecture and operating systems for cloud servers (i.e., Elastic Compute Service, abbreviated as ECS) and cloud databases (RDS). The portions above the operating system (such as the applications You install on the system) shall be your sole responsibility. Furthermore, your independent upgrades to the operating system may result in adverse effects such as downtime, and you shall assume the risks thereof and exercise caution in performing such operations at your own responsibility.
3.2.4 Alibaba Cloud may configure tools with daily data backup functions for the provided services, but such tools shall not constitute an essential part of the services provided by Alibaba Cloud, and Alibaba Cloud shall bear no responsibility for your ability or inability to use such backup tools; you shall be solely responsible for data backup and shall complete the corresponding operations independently.
3.2.5 You understand and acknowledge that Alibaba Cloud may impose restrictions on the manner, scope, and functions of your use of the services based on the categories, features, and specifications of the products and/or services you subscribe to. You shall carefully read the specific terms, usage documents, and other relevant descriptions for the products and/or services you subscribe to on Alibaba Cloud, understand and comply with such usage restrictions; moreover, you further agree that if the services you use exceed the specifications of the services you have purchased, Alibaba Cloud shall have the right, at its sole discretion, to restrict or suspend the provision of the relevant services to you.
3.2.6 You understand and acknowledge that Alibaba Cloud shall provide you with security protection services based on certain services (such as the “AliYunDun Agent Service”) as well as related management and monitoring functions and services (such as “Cloud Monitor”). Although Alibaba Cloud has conducted extensive testing on such services, it cannot guarantee their complete compatibility with all software and hardware systems, nor the complete accuracy of their software and services. In the event of incompatibility or software errors, you shall immediately disable or cease using the relevant functions and promptly contact Alibaba Cloud to obtain technical support.
3.2.7 During the service term, Alibaba Cloud shall provide you with the following after-sales services:
3.2.7.1 Alibaba Cloud shall provide 7 × 24 telephone consultation services and online ticket consultation services to address issues you encounter during use;
3.2.7.2 Alibaba Cloud shall provide fault support services, and you shall report faults through online tickets; Alibaba Cloud shall promptly provide support for faults arising from non-human operations on your part, excluding those caused by your human factors and/or force majeure events, as well as other matters beyond Alibaba Cloud’s control.
3.2.8 You understand and acknowledge that Alibaba Cloud may, when necessary, migrate the underlying physical equipment on which your products and/or services are hosted to a different data center. Prior to performing the aforementioned operations, Alibaba Cloud shall notify you at least seven (7) natural days in advance. As such operations may require modifications to the DNS of your relevant domains or other configuration adjustments, you shall, upon receipt of Alibaba Cloud’s notification, modify the DNS to the IP address specified by Alibaba Cloud or make the corresponding configuration adjustments within the time frame required by Alibaba Cloud; otherwise, any resulting inaccessibility of your website or inability to use the products and/or services normally shall be your sole responsibility.
3.2.9 Without disclosing your confidential information, during the term of this Service Agreement, Alibaba Cloud may use your use of Alibaba Cloud services as usage examples or success cases for its own and/or business promotion and publicity purposes, and in such promotion and publicity, Alibaba Cloud shall have the right to use your name and corporate logo; except as otherwise provided, Alibaba Cloud shall not use your corporate name, corporate logo, related logos, or similar without your prior written consent.
3.2.10 In the event of any changes to the contents of this Service Agreement, Alibaba Cloud shall notify you of the modifications by posting an announcement in an appropriate section of Alibaba Cloud’s official website at least thirty (30) days in advance; if you disagree with the modifications made by Alibaba Cloud, you shall have the right to cease using Alibaba Cloud’s services. In such circumstances, you shall notify Alibaba Cloud to terminate the services and shall be responsible for migrating your business data independently, while Alibaba Cloud shall promptly settle any service fees with you (if applicable). If you continue to use Alibaba Cloud services, it shall be deemed that you accept the relevant modifications made by Alibaba Cloud.
3.2.11 Certain services of Alibaba Cloud may feature account authorization management functions, whereby you may authorize all or part of your operation permissions for the services to one or more authorized accounts designated by you; in such cases, all operational acts performed under any authorized account shall be deemed acts performed by you through your own account; you understand and agree that the use of such authorized accounts and the authorization management function is the result of your independent and prudent judgment, and you shall bear full responsibility for all operational acts under such authorized accounts and the consequences arising therefrom, as well as the corresponding service fees.
3.2.12 If you violate any provisions under Article 3.1, Alibaba Cloud shall have the right to take corresponding remedial measures based on the circumstances, including but not limited to suspending or terminating services, deleting harmful information/programs, etc.
Article 4 User Data
4.1 User Business Data
4.1.1 Alibaba Cloud understands and acknowledges that the data you process, store, upload, download, distribute, and handle in other ways through the services provided by Alibaba Cloud (i.e., online data), as well as the data backed up using the backup tools that Alibaba Cloud may configure (i.e., offline data), shall all constitute your user business data, and you shall fully own your user business data.
4.1.2 You shall be responsible for the sources and contents of your user business data, and Alibaba Cloud reminds you to exercise caution in determining the legality of such data sources and contents. All consequences and liabilities arising from the contents of your user business data violating laws, regulations, departmental rules, or national policies shall be borne solely by you.
4.1.3 With respect to user business data, Alibaba Cloud shall not engage in any unauthorized use or disclosure thereof except as instructed by your service requirements; provided, however, that the following circumstances are excepted:
4.1.3.1 When relevant national authorities lawfully inquire about or access user business data, Alibaba Cloud shall have the obligation to cooperate by providing such data in accordance with relevant laws, regulations, or policy documents, and to disclose it to third-party or administrative, judicial, or other institutions;
4.1.3.2 Upon separate agreement between You and Alibaba Cloud.
4.1.4 You may independently perform operations such as deleting or modifying your online data. If you independently release services or delete online data, Alibaba Cloud shall immediately delete your online data in real time, and the corresponding offline data (if any) shall be stored and deleted in accordance with the backup rules you have set (or, if none are set, in accordance with Alibaba Cloud’s default rules). You shall exercise caution in performing operations such as deletion or modification of data.
4.1.5 Upon expiration of the service term, early termination of the services (including but not limited to early termination by mutual agreement or due to other reasons), or the occurrence of your overdue payments, except as otherwise expressly provided by applicable laws and regulations, required by competent authorities, or separately agreed between the parties, Alibaba Cloud shall continue to store your user business data (if any) only during a certain grace period (subject to the time limits specified in the specific terms, product documents, service descriptions, etc., applicable to the products and/or services you subscribe to). Upon expiration of such grace period, Alibaba Cloud shall delete all user business data, including all cached or backed-up copies, and shall no longer retain any of your user business data. You understand and agree that Alibaba Cloud shall have no further obligations to continue retaining, exporting, or returning user business data.
4.1.6 Once online data or offline data is deleted, it shall be irrecoverable; upon deletion of both online data and offline data, all of your data on Alibaba Cloud shall be cleared. You shall bear all consequences and liabilities arising from such deletion of data.
4.2 User Account Information
4.2.1 Your user account information shall include: (1) the information you fill in or submit when logging into your Alibaba Cloud account or subscribing to or using Alibaba Cloud services, including company name, business license information, name, gender, date of birth, ID number, passport information, telephone number, email address, address (including postal code), payment account, and (2) Alibaba Cloud’s records of the service processes, including your bills, historical purchase information, consultation records, fault reporting records, and troubleshooting processes, etc.
4.2.2 The collection of your information is for the purposes of providing you with services and improving service quality. To achieve these purposes, Alibaba Cloud shall use your information solely for the following uses, unless otherwise separately agreed between You and Alibaba Cloud or when relevant national authorities lawfully inquire about or access it, in which case Alibaba Cloud shall cooperate by providing such information in accordance with relevant laws, regulations, or policy documents, and disclose it to third-party or administrative, judicial, or other institutions:
4.2.2.1 To provide you with the various services you use and to maintain and improve such services;
4.2.2.2 In compliance with relevant laws and regulations, to recommend content that may be of interest to you, including but not limited to sending you information about products and services.
4.3 You understand and agree that, to promptly respond to your requests for assistance, ensure the overall security of the cloud platform, and improve Alibaba Cloud’s services, Alibaba Cloud shall detect, browse, and record your service usage behaviors, submitted support requests, and insecure features of your data, etc., as user support data. User support data shall not include user business data or user account information.
4.4 Except as otherwise separately agreed between you and Alibaba Cloud, Alibaba Cloud shall store user business data in data centers located within the territory of the People’s Republic of China. Alibaba Cloud adheres to its commitments to user security and protects the data you store in data centers within the territory of the People’s Republic of China.
Article 5 Intellectual Property
5.1 Any intellectual property rights in the materials, technologies or technical support, software, services, or other items provided by one Party to the other Party under this Agreement shall belong to the providing Party or its legitimate rights holder; except as expressly agreed by the providing Party or the legitimate rights holder, the other Party shall have no right to copy, distribute, transfer, license, or make available to any third-party the aforementioned intellectual achievements, failing which it shall bear the corresponding liabilities.
5.2 You shall ensure that all information provided to Alibaba Cloud, all data uploaded to Alibaba Cloud services, the use of Alibaba Cloud services, and the corresponding results generated from such use do not infringe upon the legitimate rights and interests of any third-party; in the event that a third-party raises any complaints, claims, litigation, or other forms of demands against Alibaba Cloud with respect to the information, data provided, uploaded, or used by you, or with respect to your acts and work results, you understand and acknowledge that you shall immediately step in to resolve the matter and shall indemnify Alibaba Cloud for all direct economic losses suffered thereby, including but not limited to various fees, compensation payments, and the like.
5.3 If a third-party institution or individual raises questions or complaints regarding the ownership of intellectual property rights in Alibaba Cloud services, you shall promptly inform Alibaba Cloud, and Alibaba Cloud shall handle the matter. If a third-party institution or individual raises questions or complaints regarding the ownership of intellectual property rights in the relevant materials involved in your use of Alibaba Cloud services, you shall be responsible for providing the relevant intellectual property proof materials and cooperating with Alibaba Cloud in the relevant handling efforts.
Article 6 Confidentiality Provisions
6.1 The term “Confidential Information” as used in this Service Agreement shall refer to any trade secrets (including financial secrets), technical secrets, business know-how, and/or other information and materials that should be kept confidential (including but not limited to product materials, product plans, pricing, financial and marketing plans, business strategies, customer information, customer data, research and development, software and hardware, API application data interfaces, technical descriptions, designs, special formulas, special algorithms, etc.), obtained, learned, or generated by one Party (hereinafter the “Receiving Party”) from the other Party (hereinafter the “Disclosing Party”) or arising from the performance of this Service Agreement by both Parties, regardless of the form in which such information and materials are presented or the medium on which they are carried, and regardless of whether the Disclosing Party indicates their confidentiality by oral, visual, or written means at the time of disclosure.
6.2 Both Parties shall take appropriate measures to properly safeguard the Confidential Information provided by the other Party, with the degree of care no less than that exercised in protecting its own Confidential Information. Both Parties shall use the Confidential Information solely for purposes or uses related to this Service Agreement.
6.3 Both Parties undertake that the Confidential Information shall be known only to the principals and employees within their respective organizations who are engaged in the relevant business, and shall strictly require employees with access to such Confidential Information to comply with the confidentiality obligations under this Article.
6.4 The foregoing restrictive provisions of this Article shall not apply to the following circumstances:
6.4.1 Such Confidential Information was already lawfully owned by the Receiving Party at the time of signing this Service Agreement or prior thereto;
6.4.2 Such Confidential Information was already public or available from the public domain at the time it was notified to the Receiving Party;
6.4.3 Such Confidential Information was obtained by the Receiving Party from a third-party with no confidentiality or non-disclosure obligation to the Disclosing Party;
6.4.4 Such Confidential Information becomes public or available from the public domain without violating the obligations under this Service Agreement;
6.4.5 Such Confidential Information was independently developed by the Receiving Party or its affiliates or subsidiaries, without benefiting from information obtained from the Disclosing Party or its affiliates or subsidiaries;
6.4.6 The Receiving Party is required by a court or other legal or administrative authority (through oral questioning, interrogation, demands for documents or files, summons, civil or criminal investigations, or other proceedings) to disclose such Confidential Information;
6.4.7 The Receiving Party discloses such Confidential Information in connection with applications to administrative authorities, industry associations, or other institutions for business qualifications, recognitions, or compliance with national or industry standards/certifications, where submission of materials or explanations to such institutions incorporating the other Party’s circumstances is required; in such cases, the Receiving Party shall adhere to the principle of minimal disclosure where necessary and require the institutions gaining knowledge of the Confidential Information to maintain confidentiality at standards no lower than those under this Service Agreement.
6.5. Both You and Alibaba Cloud shall make every reasonable effort to protect the aforementioned Confidential Information from disclosure. Upon discovery of any leakage of such Confidential Information, both Parties shall cooperate in taking all reasonable measures to avoid or mitigate the occurrence of damage consequences. In the event of any direct economic losses thereby caused to the other Party, the responsible Party shall indemnify the other Party therefor.
Article 7 Activation, Changes, and Termination of Services
7.1 You may activate and use the services through your Alibaba Cloud account or via API methods.
7.2 Services Sold in the Form of Monthly Packages or Resource Packs (Bundle Packages):
7.2.1 Upon your payment, the services shall be activated, and after activation, you may use the services upon receipt of the keys and credentials for login and service use sent by Alibaba Cloud to you; the service term shall commence from the time of activation (and not from the time you receive the keys and credentials for login and service use).
7.2.2 For services sold in the form of monthly packages, the service term shall extend until the expiration of the subscribed term; for services sold in the form of resource packs (or bundle packages), the service term shall extend until the expiration of the subscribed resource pack service term or until the services within the resource pack have been fully utilized (whichever occurs earlier).
7.2.3 Prior to the expiration of the service term, if you unilaterally cancel the corresponding services without justification, Alibaba Cloud shall have the right to handle the matter by reverting to original pricing for billing, charging a penalty, or imposing a cancellation/refund handling fee, or other such methods, subject to the methods specified on the corresponding official website display pages or in the relevant orders.
7.2.4 You shall utilize the service quantities within the resource pack during the service term; upon expiration of the resource pack service term, any subscribed but unused services shall be forfeited, and Alibaba Cloud shall not provide any alternatives or supplements therefor. Your use of the services shall preferentially consume the subscribed resource pack; except as otherwise provided by law or separately agreed between the parties, if the services within the resource pack are fully utilized or the service term expires, and you fail to renew the subscription for the resource pack services but continue to use such services, Alibaba Cloud shall deem you to be using the relevant services sold by Alibaba Cloud on a pay-as-you-go basis (if available), and Alibaba Cloud shall continue to bill and deduct the corresponding service fees based on the billing results.
7.3 Services Sold on a Pay-as-You-Go Basis:
Unless otherwise agreed or you have unsettled other payable amounts, you may use Alibaba Cloud’s services immediately upon activation; you shall ensure that your account balance remains sufficient to enable the continuous use of Alibaba Cloud’s services.
7.4 You understand and acknowledge that Alibaba Cloud shall continuously improve service quality and enhance service levels to continually elevate the customer experience, for which purpose Alibaba Cloud may change the form, specifications, or other aspects of the services provided, and Alibaba Cloud shall make its best efforts to provide prior notice thereof in advance through one or more methods, such as website announcements, in-site messages, emails, or SMS notifications.
7.5 The service term shall terminate early upon the occurrence of any of the following circumstances:
7.5.1 Early termination by mutual agreement of both Parties;
7.5.2 If You materially breach this Service Agreement (including but not limited to your material violation of relevant laws and regulations, or your material violation of any commitments under this Agreement), Alibaba Cloud shall have the right to terminate the services early and up to the deletion of all of your data;
7.5.3 You understand and fully acknowledge that, although Alibaba Cloud has established (and shall continue to improve based on technological developments) necessary technical measures to defend against network security threats or acts (hereinafter collectively referred to as such “acts”) including computer viruses, network intrusions, and attack damages (including but not limited to DDoS), given the limitations, relativity, and unpredictability of network security technologies and such acts, if your website is subject to such acts resulting in harm to Alibaba Cloud or Alibaba Cloud’s other networks or servers (including but not limited to local, remote, and international networks and servers), or affecting the smooth connections between Alibaba Cloud and the international Internet or between Alibaba Cloud and specific networks, servers, and internal connections, Alibaba Cloud may decide to suspend or terminate the services. If the services are terminated, the service fees shall be calculated based on the actual months of service provided (with any period less than one month calculated on a daily basis), and any remaining amounts (if any) shall be refunded;
7.5.4 You acknowledge and agree that, for needs such as technical upgrades, adjustments to the service system, or adjustments to business strategies, Alibaba Cloud reserves the right to suspend or terminate the provision of certain products and/or services (or corresponding functions within the services) to you by announcing in advance on the Alibaba Cloud official website (www.alibabacloud.com) at least thirty (30) days prior, or by sending in-site notifications or email notifications; at such time, Alibaba Cloud shall promptly settle the relevant fees and refund any amounts you have paid but not yet consumed.
Article 8 Liability for Breach
8.1 Any Party to this Service Agreement who breaches the Agreement shall bear liability for such breach in accordance with applicable law.
8.2 You understand that, given the special nature of computers and the Internet, except for force majeure and unforeseen events, the following circumstances shall not constitute a breach by Alibaba Cloud:
8.2.1 Temporary interruption of services required during Alibaba Cloud’s server configuration and maintenance;
8.2.2 Decreased speed in accessing your website, applications, or services due to congestion on Internet pathways.
8.3 Alibaba Cloud shall not be liable for any indirect or punitive damages, including loss of profits incurred from using its services (even if you have been informed of such potential losses).
8.4 The total amount of Alibaba Cloud’s liability for breach compensation under this Service Agreement shall be determined as follows:
8.4.1 For monthly package or resource pack (bundle package) services, in the event of a fault, the total breach compensation shall not exceed the total service fees you have paid for the services involved in the fault during the service term in which the fault occurs;
8.4.2 For pay-as-you-go services, the total breach compensation shall not exceed the total service fees you have paid for the services involved in the fault during the preceding twelve (12) natural months at the time of the fault (calculated pro rata if less than twelve (12) natural months).
Article 9 Limitations and Exemptions of Liability
You shall understand and agree that during the period in which Alibaba Cloud provides you with free trial (use) services through public beta testing, invitation-based testing, or similar means, or within the free service quota, although Alibaba Cloud shall provide support for service availability and reliability, Alibaba Cloud shall make no commitments or warranties regarding any service availability or reliability; Alibaba Cloud shall also bear no responsibility for the work or results arising from your use or inability to use Alibaba Cloud services.
Article 10 Force Majeure and Unforeseen Events
10.1 If the performance of this Service Agreement becomes impossible, unnecessary, or meaningless due to force majeure or other unforeseen events, the Party affected by such force majeure or unforeseen event shall not be liable.
10.2 Force majeure or unforeseen events shall refer to objective events that cannot be foreseen, overcome, or avoided and that have a material impact on one or both Parties, including but not limited to natural disasters such as floods, earthquakes, and epidemics, as well as social events such as wars, unrest, government actions, interruptions in telecommunications backbone lines, hacker attacks, network congestion, technical adjustments by telecommunications departments, and government controls, etc.
Article 11 Governing Law and Dispute Resolution
11.1 The establishment, execution, interpretation, and resolution of disputes under this Service Agreement shall all be governed by the laws of the People’s Republic of China.
11.2 In the event of any dispute arising during the execution of this Service Agreement, both Parties shall promptly negotiate to resolve it. If negotiation fails, either Party may directly initiate legal proceedings before the Xihu District People’s Court of Hangzhou Municipality.
Article 12 Miscellaneous
12.1 The service descriptions, price descriptions on the relevant pages of Alibaba Cloud’s official website (www.alibabacloud.com), and the subscription pages You confirm and agree to (including specific product specific terms, service descriptions, operation documents, etc.) shall all constitute an integral and inseparable part of this Service Agreement. In the event of any inconsistency between the service descriptions, price descriptions, and the subscription pages you confirm and agree to on the relevant pages of Alibaba Cloud’s official website (www.alibabacloud.com) and this Service Agreement, the provisions shall apply in the following order of precedence: (1) service descriptions, price descriptions, other subscription pages, (2) specific terms, (3) this Service Agreement.
12.2 Alibaba Cloud shall have the right to transfer all or part of the rights and obligations under this Service Agreement to Alibaba Cloud’s affiliates by announcing at least thirty (30) days in advance on Alibaba Cloud’s official website (www.alibabacloud.com), or by sending in-site notifications or email notifications, provided that such affiliates shall not substantially reduce the quality of the services available to you; otherwise, Alibaba Cloud and the affiliates shall bear joint and several liability to you.
12.3 The warranty provisions, confidentiality provisions, intellectual property provisions, governing law and dispute resolution provisions, and other similar contents under this Agreement shall survive the termination of this Service Agreement and remain effective.
12.4 In the event of any stamped text executed between both Parties that is inconsistent with this Service Agreement as confirmed by clicking on the web page, the contents of the stamped text agreed upon by both Parties shall prevail.
These specific terms shall apply solely to the Quick BI you have purchased. As described in the Alibaba Cloud Product and Service Agreement, these specific terms, together with the Alibaba Cloud Product and Service Agreement and other terms and conditions, constitute the complete set of documents governing the rights and obligations of Alibaba Cloud and You.
Quick BI Specific Service Terms
1. If you purchase Alibaba Cloud’s Quick BI service, you understand and acknowledge the following: The BI reporting service may provide a certain amount of free storage space for your use in data analysis, enabling you to more efficiently analyze local data and integrate and explore cloud data with other data sources. You shall back up the data you use in the aforementioned free storage space and shall bear the risk of any data loss.
2. The maximum request volume for the Quick BI product shall be no more than 3,000 query requests per hour per license. If Alibaba Cloud discovers that your query requests exceed the aforementioned maximum request volume, Alibaba Cloud Quick BI shall have the right to temporarily suspend the provision of services to you.
3. Quick BI Smart Q Service Specifications
Prior to using the Quick BI Smart Q service, you shall carefully read and comply with the requirements stipulated in this Agreement. As this service may involve deep synthesis technologies and large model capability services, We hereby particularly emphasize to you the following requirements with respect to the information content You create using this service (i.e., all content you upload, copy, generate, store, publish, or disseminate during your use of this service), in accordance with applicable law:
3.1 All of your activities on this service shall comply with laws, regulations, and policies, as well as social public order and moral standards, and shall prohibit the input or generation of harmful content such as reactionary, pornographic, violent, offensive, or insulting information. We shall have the right to review your input data and synthesis results through technical or manual means, but you shall bear sole and full responsibility for all activities under your registered account. If you, based on your specific needs, choose not to adopt our review measures or request us to lower the review threshold, you shall bear sole responsibility for the security of the output information content; in such case, you shall be deemed to have fully agreed and acknowledged the potential risks involved, and we recommend that you strengthen the security review of output content and emergency safeguards. Any resulting economic or legal liabilities shall be borne solely and fully by you;
3.2 You shall ensure that the information content you create using this service is owned by you or authorized by the relevant rights holder for processing, and that our analysis, processing of such information content, and generation of new information content in accordance with your instructions shall not infringe upon the legitimate rights and interests of any third-party (including but not limited to rights of personality, copyright, and property rights);
3.3 You shall not use this service to fabricate or disseminate false information. When publishing or disseminating non-authentic information generated using this service, you shall, in accordance with applicable law, mark it in a conspicuous manner (including but not limited to adding watermarks to generated images or attaching disclaimers of non-authenticity). If you unlawfully use this service to fabricate or disseminate false information, we shall lawfully retain relevant records and report them to the cyberspace administration authorities and other relevant competent authorities;
3.4 With respect to any content you publish, upload, link, or provide through the service, regardless of the form of such content, you shall bear responsibility for the content you upload. To the extent permitted by law, we shall bear no responsibility for any public display or use of content you create or upload, but we shall have the right to delete any content that we or authorized regulatory authorities deem to violate any laws, platform agreements, or policies.
4 Special Notes Regarding Third-Party Models and Technical Services
4.1 You understand and acknowledge that the Quick BI Smart Q incorporates models or technical services (collectively referred to as the “Third-Party Models and Technical Services”) developed and provided by third-party service providers. With respect to such Third-Party Models and Technical Services, you shall familiarize yourself with the restrictive agreements of the third-party service providers and prudently assess risks prior to formal use, and shall ensure that you commence use of the relevant services only after becoming aware of and accepting the related terms.
4.2 You understand and agree that, when you choose to use Third-Party Models and Technical Services, the Quick BI Smart Q will transmit relevant data to the Third-Party Models you invoke (including the third-party service providers). Any disputes or liabilities arising from your use of the Third-Party Models and Technical Services shall have no relation to us or our other affiliates; if your violation of the aforementioned agreement terms results in us or our other affiliates bearing any liability for infringement litigation or other responsibilities, you shall indemnify us therefor.
4.3 With respect to the Third-Party Models and Technical Services, you acknowledge and understand that we make no commitments or warranties regarding the timeliness, availability, security, or compliance of the Third-Party Models and Technical Services or the content they generate, and you shall independently determine and bear all risks arising from your use of the Third-Party Models and Technical Services.
4.4 You acknowledge and understand that, for regulatory requirements or commercial considerations, we shall have the right to suspend, shut down, or delist the Third-Party Models and Technical Services without prior notice to you, and shall issue a post-facto notice to you within a reasonable time frame thereafter.

Thank you for signing this Quick BI Software Service Agreement (this “Agreement”) with Lingyang Intelligent Technology Co. Ltd. (“Lingyang”) and use the services.
The index headings preceding the clauses of this Agreement are provided solely to facilitate understanding of their intent and shall not affect or restrict the meaning or interpretation of the clauses herein. To safeguard your interests, it is recommended that you read the specific wording of each clause carefully.

[Acceptance of Agreement] By reading and clicking to agree to this Agreement or otherwise choosing to accept this Agreement, you acknowledge that you have fully read, understood, and accepted all the terms of this Agreement and reached an agreement with Lingyang. This Agreement shall be established from the date you click to confirm on the webpage or otherwise choose to accept this Agreement. If you disagree with this Agreement or any clause herein during the reading process, please do not proceed with the acceptance or execution of this Agreement.
1.
Definitions
1.1.
“Software Service” refers to the standardized services provided by Lingyang to you through its proprietary computer software and networks, specifically the Quick BI products/services displayed on the Alibaba Cloud official website (www.alibabacloud.com), which may also be referred to as the “Service”, “Software Service Product”, or “Product”.
1.2.
“Software” refers to machine-readable computer programs, including any copies, error fixes, updates, or upgrades thereof.
1.3.
“Service Specification” refers to an appendix to this Agreement, which specifies the details of the Software and/or Service you have subscribed to under this Agreement.
1.4.
“Trial” refers to the authorization granted by Lingyang to you to use the Software Service free of charge.
1.5.
“Account” refers to credentials such as username and password provided by Lingyang to you for accessing and using the Lingyang Product which may consist of Chinese characters, letters, numbers, or symbols.
1.6.
“User” refers to the party or individual actually using the Service. Unless otherwise specified, “User” may also be referred to as “you,” the “Service Recipient”, or the “Customer” hereunder.
1.7.
“Service Provider” refers to the party actually providing the Service, namely “Lingyang”, including Lingyang’s Affiliates and other third parties that actually provide services under this Agreement.
1.8.
“Intellectual Property Rights” refers to any tangible or intangible rights, including (1) all rights related to works of authorship, including copyrights, neighboring rights, mask work rights, and all derivative works thereof; (2) trademarks, trade names, and similar rights; (3) trade secrets; and (4) patents, designs, algorithms, and other industrial property rights. These include rights recognized or not prohibited by applicable laws worldwide in any form concerning the initial creation, updating, expansion, renewal, distribution, and registration of databases and intellectual property.
1.9.
“Affiliate” refers to any company, legal entity, or its lawful successor that, now or in the future, is directly or indirectly controlled by, controls, or is under common control with a party through equity or by contract. “Control” means (1) the direct or indirect holding of more than half of the voting rights; or (2) direct or indirect entitlement to more than half of the distributable profits; or (3) direct or indirect control over the nomination of more than half of the members of the board of directors; or (4) direct or indirect holding of more than half of the registered capital.
1.10.
“China” refers to the mainland of the People’s Republic of China, which, for the purposes of this Agreement, excludes Hong Kong, Macao, and Taiwan.
1.11.
“Day” refers to a calendar day, unless otherwise specified in this Agreement or its appendices.
2.
Scope of the Software Service
2.1.
The specific functionalities of the Software Service provided by Lingyang to you are those of the Quick BI products/services as described on the Alibaba Cloud official website (www.alibabacloud.com), including related technical and network support. The specific scope of the Service shall be subject to the actual products/services you have subscribed to. [4]
2.2.
Lingyang reserves the right, in its sole discretion, to modify, upgrade, or iterate the Service from time to time, provided that such actions shall not materially affect your use of the Service. Lingyang further reserves the right to develop new modules, features, or services in other languages within the Service. Unless otherwise stated by Lingyang, this Agreement shall still apply to the provision of all such newly added or modified modules, features, or services.
2.3.
The descriptions of the functional modules of the services you have purchased constitute an integral part of this Agreement. Such descriptions include the separate instructions formulated and modified by Lingyang from time to time, which are published on the website or attached to the Product.
2.4.
If you need to procure any other hardware or software from Lingyang, its Affiliates, or any third party during your use of the Lingyang Software Service, you shall enter into separate procurement agreements.
3.
Undertakings and Warranties
Either party warrants to the other party that:
3.1.
It has the full right and qualification to execute and perform this Agreement.
3.2.
It shall comply with all applicable laws, regulations, and rules during the term of this Agreement.
3.3.
It has the full right, power, and authority to grant the authorization described in this Agreement.
3.4.
The execution and performance of this Agreement will not violate applicable laws and regulations or any agreement with a third party.
3.5.
As of the execution date of this Agreement, to the best of its knowledge, there are no pending or threatened litigation or disputes that may affect the performance of this Agreement (including any potential infringement upon third-party Intellectual Property Rights).
4.
Rights and Obligations of the Parties
4.1
4.1.
Your Rights and Obligations
4.1.1.
Before using the Lingyang Software Service, you should carefully read and comply with the corresponding service descriptions, technical specifications, usage processes, and operational documents, and accurately understand the relevant content and its potential consequences. During the use of the Service, you shall follow the applicable operational guidelines. You shall solely bear any consequences arising from your violation of this Agreement and/or these guidelines, and Lingyang shall assume no liability therefor.
4.1.2.
You may use the Lingyang Software Service by logging in with your Account credentials (username and password). Lingyang shall properly keep the Account credentials, establish a content access control mechanism, and shall not transfer, rent, lend, leak, or disclose the Account credentials to any third party in any form. If your username or password is subject to unauthorized access, use, or other security issues, you shall immediately notify Lingyang. Lingyang shall not be liable for any unauthorized access. Once it is found that you have transferred, rented, lent, leaked, or disclosed the Service Account to a third party, Lingyang has the right to recover the Account and terminate this Agreement at any time without any liability. Upon the expiration of the service term, Lingyang has the right to recover the Account.
4.1.3.
While using the Lingyang Software Service, You shall comply with national laws, regulations, rules and other normative documents, this Agreement, and all Lingyang rules, and shall not use the Lingyang Software Service to engage in the following acts:
1)
Using the Lingyang Software Service to send unsolicited emails, electronic advertisements, or emails containing harmful information such as reactionary or pornographic content;
2)
Engaging in any act that damages the legitimate rights and interests of Lingyang and its Affiliates, including but not limited to violating any published service agreements/terms, management norms, or trading rules, and disrupting or attempting to disrupt a fair trading environment or normal trading order;
3)
Using the Lingyang Software Service to upload, download, store, or publish the following information or content, or providing any convenience for others to do so (including but not limited to setting up URLs or BANNER links):
a)
Political propaganda and/or news information that violates state regulations;
b)
Information related to state secrets, national security, intelligence, or espionage;
c)
Superstitious, obscene, pornographic, vulgar information, or information that incites crime;
d)
Illegal Internet publishing activities, such as operating illegal lotteries, running gambling games, running private game servers, or providing cheating programs;
e)
Information violating national ethnic and religious policies;
f)
Information compromising Internet operation security;
g)
Information or content infringing upon the legitimate rights and interests of others and/or impairing social order, social security, and public morality;
h)
Other content that violates laws and regulations on network information content ecology governance, departmental rules, or state policies.
4)
Conducting any behavior that undermines or attempts to undermine network security (including but not limited to phishing, hacker attacks, network frauds, injection of or suspected involvement in the spreading of viruses, Trojans, and malicious code to websites or cyberspace, and suspected involvement in attack behavior, such as scan, sniffers, ARP spoofing, and DDoS, against other websites and servers by using virtual servers).
5)
Modifying, translating, adapting, renting, lending, selling, sublicensing, distributing over an information network, or transferring the Lingyang Software without Lingyang’s prior written consent;
6)
Performing reverse engineering, decompilation, disassembly, or attempting to discover the source code of the Lingyang Software by any other means, or engaging in any act that alters or attempts to alter the configuration of the Lingyang system or compromise its security;
7)
Imitating or plagiarizing part or all of the software design of the Lingyang Software; or engaging in any act that endangers or may endanger the intellectual property rights of the Lingyang Software.
4.1.4.
You understand and agree that Lingyang has the right, but not the obligation, to review the content and information you publish by using the Lingyang Software Service. If, after review, Lingyang deems such content or information to be illegal, violating regulations, or in breach of this Agreement, Lingyang may notify you to delete or modify it, or do so by itself.
4.1.5.
You shall provide Lingyang with a list of contact personnel for the purpose of executing this Agreement, along with their contact details; and promptly notify Lingyang of any changes to this information. You shall be solely responsible for any consequences arising from the provision of inaccurate, incomplete, or false information about your contact personnel, as well as from any actions or inactions of such personnel.
4.1.6.
You shall comply with Lingyang’s current and updated service activation standards and admission rules, which include providing Lingyang with true, legal, accurate, and valid information and documents, including but not limited to business qualifications, trademark registration certificates, brand authorization documents, valid contact information, and other relevant supporting documents.
4.1.7.
Lingyang shall only have an obligation to perform a formal review of the information and materials you provide based on reasonable commercial judgment. If any information is found to be untrue, Lingyang has the right to require you to correct it and to compensate for any losses incurred by Lingyang and/or third parties as a result.
4.2.
Lingyang’s Rights and Obligations
4.2.1.
Lingyang shall provide services to you in accordance with the terms of this Agreement and as described for the Lingyang Software Service.
4.2.2.
You understand and agree that during your use of the Lingyang Software Service, Lingyang may send you various types of service information via SMS, email, phone, or other legal means, including notices and commercial information.
4.2.3.
Without disclosing your confidential information, Lingyang and its Affiliates may introduce the services under this Agreement in marketing materials or bid documents. For this purpose, Lingyang has the right to disclose the partnership, use your company name, corporate logo, and related trademarks.
4.2.4.
During your use of the Lingyang Software Service, Lingyang shall ensure the stability of the software system provided. If you can prove that you are unable to use the core functions of the Lingyang Software Service for reasons attributable to Lingyang, you shall promptly contact Lingyang for resolution. If Lingyang fails to resolve the issue or if the problem persists after handling, Lingyang shall provide you with corresponding compensation. In addition, Lingyang shall provide you with post-sales operation and maintenance (“O&M”) services and technical support. To ensure the effective provision of O&M services, you acknowledge and agree that during the service period, you shall grant necessary system permissions to the designated maintenance personnel of Lingyang, including but not limited to tenant management rights, key management rights, and the necessary operational permissions to access the relevant software systems and data. Upon the termination of the O&M service or this Agreement, you have the right to revoke all such system permissions granted to Lingyang.
4.2.5.
The Software Service provided by Lingyang is for reference only in your business operations. You shall make your own judgments and decisions regarding business strategies or actions. The provision of the Software Service does not constitute a guarantee by Lingyang for the correctness of your business decisions or actions.
4.2.6.
You agree that, on the premise of ensuring service quality, all or part of the services under this Agreement may be performed by Lingyang’s Affiliates or subcontracted to a third party without prior notice to you. Additionally, Lingyang reserves the right to transfer all or part of its rights and obligations under this Agreement to its Affiliates upon fifteen (15) days’ prior written notice to you.
5.
Subscription to the Software Service and Payment Method of the Fees
5.1.
You may subscribe to the Lingyang Software or Software Service based on your business needs. The price of the product/service will be listed on the relevant page of the Alibaba Cloud official website (www.alibabacloud.com), or calculated based on the specifications and configurations you select. Unless otherwise specified, the service price is a tax-inclusive price in RMB. You shall pay the corresponding fee according to the price system on the Alibaba Cloud official website at the time of subscription.
5.2.
You understand and acknowledge that after the expiration of the current price validity period, Lingyang has the right to adjust the Software Service fees.
5.3.
If you fail to pay any fees owed to Lingyang as scheduled, Lingyang has the right to suspend or terminate the provision of the corresponding product/service (including technical support), and you shall pay Lingyang liquidated damages equal to 0.05% of the overdue amount for each day of delay, with compound interest. If your payment is delayed for more than thirty (30) days, Lingyang has the right to suspend or terminate all services provided to you upon notice, without bearing any liability.
5.4.
Lingyang reserves the right to adjust the charging standards and methods of the Service as needed, and may also start charging for all or part of the previously free services. Before making any such adjustments, Lingyang shall send you a ten (10) working days’ notice, including but not limited to notifications or announcements on the relevant service ordering pages.
6.
Software License
6.1.
Granting of License. The scope of the Software license under this Agreement shall be subject to the products/services you have subscribed to. Lingyang grants you a non-exclusive, limited, non-transferable, non-sublicensable, and revocable right to use the Software solely for the purposes and within the scope expressly set forth in this Agreement. The rights granted herein are subject to Lingyang’s applicable software usage policies, product terms, and governing rules.
6.2.
Duration of the License. Unless otherwise agreed, the term of this Software license shall be consistent with the term of the products/services you have subscribed to.
6.3.
Non-Transfer of Ownership. Lingyang’s ownership of the Software, updates/upgrades, or service deliverables shall not be transferred to you during your paid use of the Lingyang Software Service. Lingyang reserves all rights not expressly granted to you. Any Intellectual Property Rights in the content provided by Lingyang under this Agreement and within the Lingyang Software Service shall be owned by Lingyang, its partners, and/or Affiliates.
6.4.
Updates, Fixes, and Patches. If you and/or a User receive any updates, fixes, or patches for the Software, you may accept and be bound by the accompanying license terms for such updates, fixes, or patches. In the absence of such terms, the updates, fixes, or patches shall be governed solely by this Agreement.
6.5.
Usage Restrictions. During your use of the Lingyang Software Service, you shall not:
6.5.1.
Remove any technical restrictions, logos, or other marks from the Software;
6.5.2.
Reverse engineer, decompile, or disassemble the Software, or otherwise attempt to discover its source code;
6.5.3.
Modify or forge the operating instructions or data of the Software to add, delete, or change the functions or performance of the Software, or use the Software or methods for operational purposes or public dissemination, regardless of whether such acts are for commercial purposes;
6.5.4.
Facilitate any third party to copy or use the Software without Lingyang’s authorization;
6.5.5.
Rent, lease, or lend the Software;
6.5.6.
Transfer the Software to any third party.
7.
Intellectual Property Rights
7.1.
Nothing in this Agreement shall constitute a transfer of ownership of any Intellectual Property Rights. The Intellectual Property Rights of any materials, technology, technical support, software, or services provided by a party to the other party under this Agreement remain owned by the providing party or its legal rights holder. Without explicit consent from the providing party or legal rights holder, the receiving party shall not copy, distribute, transfer, sublicense, or make available to third parties such Intellectual Property Rights. Otherwise, the receiving party shall bear corresponding liabilities.
7.2.
Lingyang warrants that it has full ownership/disposal rights or has obtained relevant authorizations for the products/services it sells, and that such products/services do not infringe upon the patents, trademarks, copyrights, or other legitimate rights of any third party. Under any circumstances, any Intellectual Property Rights licensed by its Affiliates or other third parties shall at all times remain the property of such third parties.
7.3.
Unless otherwise agreed, all Intellectual Property Rights independently developed by either party during the performance of this Agreement shall be owned solely by the developing party. All Intellectual Property Rights (i) owned by a party prior to the effective date of this Agreement, or (ii) developed by a party independently and outside the scope of this Agreement after the effective date, which are incorporated into the deliverables and/or services, shall remain the exclusive property of that party. The Intellectual Property Rights in and ownership of any new technologies, software, algorithms, models, or modeling methods developed or discovered by Lingyang during the service period shall solely vest in Lingyang.
7.4.
You shall not imitate or plagiarize, in whole or in part, any software design programs that are identical or similar to the Software. You shall not engage in any act that prejudices or may prejudice the Intellectual Property Rights in the Software. You shall ensure that your end users’ use of the Software complies with the product license terms set forth in this Agreement.
7.5.
The aforementioned and all other content and Intellectual Property Rights contained in this Agreement and the Product are protected by law. No person may use or create any derivative works based thereon in any form without the prior written permission of Lingyang.
8.
Confidentiality
8.1.
For the purposes of this Agreement, “Confidential Information” refers to business secrets (including financial secrets), technical secrets, operational know-how, and/or other information and materials that should be kept confidential, which a party (hereinafter referred to as the “Receiving Party”) acquires or knows from the other party (hereinafter referred to as the “Disclosing Party”), or arises from the performance of this Agreement, including but not limited to: product information, product plans, pricing, financial and marketing strategies, business strategies, customer information, customer data, research and development, software and hardware, application data interfaces (API), technical specifications, designs, special formulas, and special algorithms, regardless of the form or medium in which it is created or stored, and regardless of whether it is designated as confidential by the Disclosing Party in oral, graphic, written, or other form at the time of disclosure.
8.2.
Both parties shall take appropriate measures to properly safeguard the Confidential Information provided by the other party, with the degree of care no less than that exercised in protecting its own Confidential Information. Both parties shall use the Confidential Information solely for the purposes specified herein.
8.3.
Both parties undertake that the Confidential Information shall be known only to the principals and employees within their respective organizations who are engaged in the relevant business, and shall strictly require employees with access to such Confidential Information to comply with the confidentiality obligations under this Article.
8.4.
The foregoing restrictive provisions of this Article shall not apply to the following circumstances:
8.4.1.
Such Confidential Information was in the legal possession of the Receiving Party at or prior to the execution of this Agreement;
8.4.2.
Such Confidential Information was made public or available from the public domain at the time of disclosure to the Receiving Party;
8.4.3.
Such Confidential Information was obtained by the Receiving Party from a third party with no confidentiality or non-disclosure obligation to the Disclosing Party;
8.4.4.
Such Confidential Information is or becomes publicly available from the public domain without breach of this Agreement;
8.4.5.
Such Confidential Information is independently developed by the Receiving Party or its Affiliates or subsidiaries without benefiting from the information provided by the Disclosing Party or its Affiliates;
8.4.6.
The Receiving Party is required by a court or other legal or administrative authority (through oral questioning, interrogation, demands for documents or files, summons, civil or criminal investigations, or other proceedings) to disclose such Confidential Information;
8.4.7.
Such Confidential Information is disclosed by the Receiving Party to administrative authorities, industry associations, or other institutions for the purpose of applying for business qualifications, obtaining certifications, or complying with national or industry standards, provided that the Receiving Party adheres to the principle of minimum disclosure and ensures that the institution receiving the Confidential Information maintains confidentiality standards no lower than those in this Agreement.
8.5.
Both parties agree to use their best efforts to protect the Confidential Information from being disclosed. Upon discovery of any leakage of such Confidential Information, both parties shall cooperate in taking all reasonable measures to avoid or mitigate the occurrence of damage consequences. In the event of any direct economic losses thereby caused to the other party, the responsible party shall indemnify the other party therefor.
9.
Data Security and Personal Information Protection
9.1.
Data Security
9.1.1.
During your use of the Lingyang Software Service, both parties undertake and warrant that they will take technical security and confidentiality measures in accordance with applicable laws and regulations, and that they have established appropriate data security capabilities and implemented necessary administrative and technical measures, and will regularly inspect and evaluate the effectiveness of such measures to prevent data leakage, damage, loss, or tampering.
9.1.2.
Regarding personal information and business operational data stored on Lingyang’s servers arising from the use of the Lingyang Software Service, Lingyang shall implement reasonable technical security measures to safeguard such data.
9.1.3.
You shall ensure that all information you provide to Lingyang, all data you upload to the Software, your use of the Lingyang Software Service, and any results derived from your use of the Lingyang Software Service, do not infringe upon the legitimate rights and interests of any third party. If a third party files a complaint, claim, lawsuit, or any other type of demand against Lingyang regarding the information, data, actions, or results related to your use of the Lingyang Software Service, you shall take immediate action to resolve the issue and shall indemnify Lingyang for any economic losses thereby incurred, including but not limited to fees and compensation for damages.
9.1.4.
You clearly acknowledge that Lingyang provides you with software technical services under this Agreement, and Lingyang shall process data solely for the purposes and within the scope authorized by you. If you entrust Lingyang to process data during your use of the Lingyang Software Service, you shall separately execute a data processing agreement with Lingyang. Meanwhile, as the data controller, you warrant that the source of such data and the purpose and manner of the entrusted processing are lawful and compliant. You shall bear sole liability for any violations or losses caused to third parties resulting therefrom. Furthermore, you shall indemnify Lingyang for any losses incurred as a result thereof.
9.1.5.
If a data breach occurs during your use of the Lingyang Software Service due to your failure to take reasonable measures, you shall:
1)
Promptly notify Lingyang, and Lingyang will assist you in taking preventive or remedial measures to mitigate data security risks.
2)
Promptly inform the affected parties of the relevant circumstances of the incident via email, letter, telephone, push notification, or public announcement, in accordance with applicable laws and regulations.
3)
Promptly report the security incident to the competent authorities in accordance with applicable laws and regulations.
4)
Bear all losses and penalties arising from your notification to affected parties and/or delayed reporting to competent authorities.
9.2.
Personal Information Protection
9.2.1.
Both parties shall strictly comply with applicable cybersecurity and data protection laws and regulations. When you collect, store, process, or use personal information via the Lingyang Software Service, and conduct activities related to such data, you must comply with the principles of legality, legitimacy, and necessity, and comply with applicable laws and regulations, this Agreement, and applicable Lingyang rules.
9.2.2.
If the personal information of you, your employees, or any third party is involved, you shall warrant that the data is sourced in a lawful and compliant manner and collected for legitimate business purposes with the consent of personal information subjects and that there is no illegal acquisition, use, or disclosure of personal information.
9.2.3.
You shall cooperate if Lingyang is required to correct, delete, or cease the processing of personal information or data in accordance with legal provisions, third-party claims, or requests from a personal information subject, and such actions affect all or part of the Service functions. If a third party or a personal information subject makes a claim directly to you, you shall immediately notify Lingyang in writing and handle the issue in a manner that Lingyang deems appropriate. Prior to notifying Lingyang, you shall not independently settle or reach any solutions with the third party or individual.
9.3.
Data and personal information collected and generated by the parties in the course of business activities within the territory of China shall, in principle, be stored within the territory of China. If either party intends to provide data and personal information stored within China to recipients outside China, or allow access from outside of China, the party shall fulfill necessary compliance obligations in accordance with the Data Security Law of the People’s Republic of China, the Personal Information Protection Law of the People’s Republic of China, and other applicable laws and regulations, such as completing a security assessment for outbound data transfer, obtaining personal information protection certification, or entering into a standard contract formulated by the national cyberspace authority.
9.4.
The Lingyang Quick BI Software Service is available for deployment in multiple regions outside China, including the United States, Singapore, Hong Kong (China), Germany, Malaysia, Indonesia, and Japan. If you, as a User located outside of China, subscribe to the Service, or voluntarily choose to store data outside of China, the relevant data will be stored at one of the aforementioned sites. The specific site is selected based on factors such as network node location and access performance to optimize your service experience. You understand and acknowledge that data stored at sites outside China shall be subject to the laws of the jurisdiction where such site is located.
9.5.
You understand and agree that the aforementioned arrangements involve cross-border data transfer and storage. You shall independently bear all legal, compliance, and security risks associated therewith. You are obligated to ensure that:
9.5.1.
The collection, use, and transfer of the data you provide to sites outside China have been duly authorized and are in complete compliance with the applicable laws of the place where the data originated;
9.5.2.
Throughout the process of cross-border transfer and storage at sites outside China, the data shall continuously comply with all compliance requirements of the jurisdictions involved in the storage location and the transfer path;
9.5.3.
If any compliance investigation, dispute, claim, or loss arises from your choice to use site services outside China, or from the data and instructions provided by you in violation of relevant laws, you shall be solely responsible for resolving such issue and bear all liabilities arising therefrom.
10.
Anti-Commercial Bribery
10.1.
Neither party shall secretly provide any form of improper off-the-book benefits to the employees, consultants, relatives, or friends of the other party and its Affiliates, including but not limited to providing physical goods, cash, coupons, equity, shares, or cash equivalents to stakeholders under the guise of loans, commissions, gifts, kickbacks, brokerage fees, consulting fees, service fees, sponsorships, promotional expenses, rebates, gratuities, or “thank-you” fees. Both parties clearly understand and shall strictly comply with applicable anti-bribery laws and regulations of the People’s Republic of China and any other applicable countries or regions, regulations of the Communist Party of China, relevant international conventions, and relevant anti-bribery policies of both parties.
10.2.
If you become aware of or have reasonable grounds to suspect that an employee or any other related personnel has violated the compliance commitments and warranties, you are obligated to promptly inform Lingyang’s Integrity and Compliance Officer in writing. Lingyang undertakes to keep all contact information confidential.

11.
Export Control
11.1.
Both parties undertake to comply with applicable export control laws and regulations of the People’s Republic of China, as well as those of other countries applicable pursuant to international obligations. If you directly or indirectly sell, export, re-export, or transfer to a third party any controlled goods, software, technology, data, or services provided by Lingyang, you must comply with all applicable export control and sanctions laws and regulations.
11.2.
You warrant that all controlled goods, software, technology, or services acquired from Lingyang under this Agreement will not be used for the following purposes:
11.2.1.
Such items shall not be provided to any restricted country or region, or to any entity or individual on any restricted list as specified by applicable laws and regulations.
11.2.2.
Such items shall not be used for military purposes, or to disrupt international peace and security, including to design, develop, produce, store, or use in any way nuclear weapons, biological and chemical weapons, ballistic missiles or other weapons of mass destruction, or offensive weapons, or to transport weapons similar to the foregoing, or for any activities that support weapons similar to the foregoing.
11.2.3.
Both parties undertake to comply with the regulations on the export of goods, technology, services, and data, as well as the export of controlled items, as required by the Foreign Trade Law of the People’s Republic of China, the Export Control Law of the People’s Republic of China, the Data Security Law of the People’s Republic of China, and other applicable laws. All services under this Agreement shall not be used for the export of items concerning national security interests, including dual-use items, military products, nuclear, missiles, monitored chemicals, precursor chemicals, or other controlled chemicals, and biological dual-use items, whether in the form of physical goods, paper or electronic documentation, or technical data, unless all legally required governmental approvals or licenses have been obtained.
12.
Liability for Breach and Damages
12.1.
Both parties shall strictly comply with the terms of this Agreement. If either party fails to perform its obligations or if the performance does not conform to the agreed terms, such party shall bear the liability for breach, including continuing performance, taking remedies, or making compensation for losses.
12.2.
If you violate any law or this Agreement, or infringe upon the legitimate rights and interests of Lingyang or any third party, Lingyang may, in its sole discretion, take one or more of the following measures at any time:
12.2.1.
Suspend, interrupt, or terminate the provision of part or all of the Software Service to you;
12.2.2.
Require you to immediately modify or delete the non-compliant content;
12.2.3.
Delete any related algorithms, models, or data;
12.2.4.
Terminate your use of the Service and this Agreement without refunding any fees already paid.
12.2.5.
Pursue your legal liability and require you to compensate Lingyang for all losses incurred as a result of your breach;
12.2.6.
Take any other measures that Lingyang deems appropriate.
12.3.
If Lingyang suffers any losses, or receives any claims from other Users or any other third parties or any punishments from any administrative authorities as a result of your violation of relevant laws and regulations or this Agreement and relevant rules, you shall make full compensation to Lingyang, other Users or related third parties for the losses arising therefrom, including reasonable attorney fees.
13.
Limitation and Exclusion of Liability
13.1.
Given the specialized nature of the Software Service, you understand and agree that Lingyang may change, interrupt, or suspend part or all of the Software Services for all Users without prior notice to you and without incurring any liability.
13.2.
You understand and agree that, to the maximum extent permitted by law, Lingyang shall not be liable for any service interruption or obstruction resulting from:
13.2.1.
Any network issues, faulty equipment, or configuration adjustments beyond the scope of Lingyang’s systems and equipment, including but not limited to technical adjustments by telecommunications departments, or telecommunications/power line failures;
13.2.2.
The Software’s failure to operate normally due to your actions, third-party product malfunctions, network failures, or server failures, or any damage resulting from computer viruses, Trojans, other malicious programs, or hacker attacks;
13.2.3.
Your improper operation of the Lingyang Software Service, or your use of the Lingyang Software Service in a manner that violates this Agreement or is not authorized by Lingyang;
13.2.4.
Scheduled system maintenance or updates conducted by Lingyang upon prior notice to you, including service cutovers, repairs, upgrades, and simulated failure drills;
13.2.5.
Any other circumstances beyond Lingyang’s reasonable control or foresight.
13.3.
You understand and agree that, during any public beta, invitation testing, free trial period, or within any free usage quota for the Lingyang Software Service, Lingyang may provide support for service availability and reliability, but expressly disclaims any commitments regarding such availability or reliability. Furthermore, Lingyang shall not bear any liability for your work or the results arising from your use of, or inability to use, the Lingyang Software Service.
13.4.
If Lingyang discovers that you have ceased your capacity for civil conduct or civil rights has terminated for any reason, including but not limited to the dissolution, de-registration, or revocation of your organization, Lingyang shall have the right to immediately terminate the Service to protect the legitimate rights and interests of you and other entities, without incurring any liability.
13.5.
You understand and agree that Lingyang has the right to handle illegal or non-compliant content or conduct in accordance with this Agreement; however, such right shall not be construed as an obligation or commitment of Lingyang hereunder. Lingyang makes no warranty that any such illegal or non-compliant circumstances will be detected or addressed in a timely manner.
13.6.
In no event shall the total liability of Lingyang to you under this Agreement exceed the total amount paid under this Agreement. Furthermore, Lingyang shall not be liable for any indirect, incidental, special, or punitive damages or losses (such as loss of profits, loss of opportunity, fees paid to third parties, loss of or damage to reputation/goodwill, and data loss), whether based on contract, warranty, tort, or any other theory of liability, regardless of whether Lingyang knew or should have known of the possibility of such loss or damage.
14.
Term and Termination
14.1.
This Agreement shall be terminated early under any of the following circumstances:
14.1.1.
The parties agree on the early termination of this Agreement.
14.1.2.
Unless otherwise expressly agreed herein, where a party commits a non-material breach of this Agreement and fails to cure such breach within fifteen (15) calendar days after receiving a written notice from the non-breaching party, the non-breaching party shall have the right to terminate this Agreement by giving a written notice to the breaching party.
14.1.3
If Lingyang decides to suspend or terminate the Service under this Agreement for all Customers due to regulatory compliance requirements, adjustments to national laws or policies, or Lingyang’s business or product strategy adjustments, Lingyang shall have the right to terminate this Agreement by giving you a ten (10) working days’ prior written notice. If this Agreement is terminated due to Lingyang’s business or product strategy adjustments, Lingyang shall refund any prepaid but unconsumed fees to you; if you have not yet made payment, you shall remain liable for the service fees actually incurred as of the date of termination.
14.1.4.
If you breach any representations, warranties, undertakings, or obligations under this Agreement, or are under investigation by law enforcement authorities due to compliance risks, Lingyang may immediately terminate this Agreement by sending a written notice to you.
14.1.5.
If a party’s personnel, financial and/or business conditions undergo a material adverse change, or if there are clear indications of such a change, or if a party enters into bankruptcy or liquidation proceedings, the other party shall have the right to terminate this Agreement. This Agreement shall terminate upon the issuance of the termination notice by the party entitled to terminate.
14.1.6.
An Account registered with Lingyang or its Affiliates for the purpose of using the Service is terminated for any reason whatsoever.
14.2.
The clauses of this Agreement that, by their nature or as expressly agreed, are intended to survive the termination of this Agreement shall remain in full force and effect upon the termination hereof. Such clauses include, but are not limited to, Representations and Warranties, Intellectual Property Rights, Confidentiality, Data Security and Personal Information Protection, Export Control, Liability for Breach and Damages, Limitation and Exclusion of Liability, and Governing Law and Dispute Resolution clauses.
15.
Force Majeure
15.1.
If either party is unable to perform any of its obligations under this Agreement, in whole or in part, due to Force Majeure, such obligation shall be suspended to the extent affected by the Force Majeure during its duration. The party claiming Force Majeure under this Article shall be entitled to a reasonable extension of time for performance based on the actual circumstances, where necessary.
15.2.
For the purposes of this Agreement, “Force Majeure” refers to an objective event that is unpredictable, insurmountable, and unavoidable, and has a significant impact on either or both of the parties, including but not limited to natural disasters such as floods and earthquakes, public health events such as plagues, and social events such as war, turmoil, governmental acts, interruption of trunk lines of communication, hacker attacks, network congestion, technological adjustments by telecommunications departments, as well as government regulations; provided, however, that Force Majeure shall not include any financial difficulties experienced by the party claiming Force Majeure.
15.3.
The party affected by the Force Majeure shall notify the other party within three (3) days after the occurrence of the Force Majeure, take reasonable measures to mitigate the damages arising therefrom, and at same time, provide the other party with a supporting document issued by the competent authority. To the extent possible, the party affected by Force Majeure shall resume performance of its obligations under this Agreement within ten (10) days after the Force Majeure ceases. If the delay in performance of this Agreement due to Force Majeure exceeds thirty (30) days, the other party may terminate this Agreement by sending a written notice to the affected party.
16.
Notices and Service
16.1.
Lingyang may deliver various notices and information to you via one or more of the contact methods you provided upon signing this Agreement, such as telephone numbers or email addresses. You are obligated to promptly update relevant information if your contact methods change, and to maintain a reachable status. Your member Account (including any sub-accounts) used to receive in-site messages or system notifications shall also be deemed a valid method of service.
16.2.
Lingyang may deliver various notices to you via one or more of your provided contact methods. Such notices may have a material positive or adverse impact on your rights and obligations. So, please ensure you review them in a timely manner.
16.3.
Notices sent by Lingyang to you through the aforementioned contact methods shall be deemed served as follows: (1) written notices sent via electronic means, including public announcements, SMS messages sent to your provided mobile number, emails sent to your provided email address, and system messages or in-site messages sent to your account shall be deemed served upon successful transmission; (2) written notices delivered via physical media shall be deemed served on the fifth (5th) calendar day after being dispatched to your provided contact address.
16.4.
You shall ensure that the contact information provided are accurate, valid, and updated in real time. You shall solely bear any consequences and losses arising from inaccurate, incomplete, or outdated contact information or service addresses provided by you.
17.
Governing Law and Dispute Resolution
17.1.
The conclusion, effectiveness, interpretation, and performance of this Agreement shall be governed by the laws of China.
17.2.
Any dispute arising out of or in connection with this Agreement shall first be resolved by the parties through friendly negotiation or mediation. If the dispute cannot be resolved by the aforementioned means within thirty (30) days after its commencement, either party may file a lawsuit with the competent people’s court in the place where the defendant is located. In the course of dispute resolution, the parties shall continue to perform this Agreement except for matters in dispute.
18.
Miscellaneous
18.1.
Appendices hereto, as well as service descriptions and pricing details for the Quick BI Service on relevant pages of the Alibaba Cloud official website and the orders you confirm and agree to, including specific product terms, service descriptions, and operational documents, are an integral part of this Agreement.
18.2.
If any provision of this Agreement is held to be invalid for any reason whatsoever, such invalid provision shall not affect the validity of the remaining provisions hereof as if the invalid provision had never existed.
18.3.
No failure or delay on the part of either party in exercising any right hereunder shall be construed as a waiver of such right.
