AliExpress VIP Membership Service Agreement
Effective Date: 1 November 2023
 
The paragraph headings contained in this AliExpress VIP Membership Agreement (“this Agreement”) are for reference purposes only and shall not in any way affect the meaning or interpretation of this Agreement. In order to protect your own rights and interests, please read the following terms carefully.
[Read Carefully] Before agreeing to this Agreement, please be sure to read carefully and fully understand the content of each clause, especially the clauses relating to exemption or limitation of liability, governing laws, and dispute resolution. Exemption or limitation of liability clauses are highlighted in bold. If you have any questions about this Agreement, please contact AliExpress customer service.
[Sign the Agreement] By agreeing to this Agreement and subscribing to AliExpress VIP Membership according to the prompts on the subscription page, you have fully read, understood, and accepted all contents of this Agreement, and reached an agreement with AliExpress (as defined below) to become an AliExpress VIP member. If you do not agree to this Agreement or any part of it, you should immediately stop the subscription process.
 
1. Definitions
1.1 AliExpress: refers to the party with which you enter into this Agreement to provide you with AliExpress VIP Membership Service, generally AliExpress E-Commerce One Pte. Ltd. (registered in Singapore with registration No. 202216156R) or other legal entity that provides you with relevant AliExpress VIP Membership service. The service provider contracted with you may change due to the business adjustment, but the change of the service provider will not affect your rights and interests under this Agreement as the new service provider will continue to perform this agreement and provide services to you. In case of a dispute, you need to identify the party relating to the dispute and the specific actions that have affected or may affect your rights and interests based on the specific services you use.
1.2 AliExpress Site: refers to the websites, mobile sites, mobile applications, and other portals owned, controlled, operated, or provided by AliExpress and its affiliates in connection with the AliExpress e-commerce platform, including without limitation the website with the URL "www.aliexpress.com," its mobile-optimized website, its subdomains, and the AliExpress e-commerce platform's mobile app.
1.3 AliExpress VIP Membership: refers to a special status for registered individual users who have a good transaction history on the AliExpress Site. Such users can become AliExpress VIP members (“Members”) by signing this Agreement and paying the subscription fees according to the published fee standard. The name of the membership shall be subject to the name displayed during the subscription process and on the front page.
1.4 Member Benefits: refer to the exclusive benefits granted to Members, including the preferential treatment for specific products and services. The benefits are subject to change from time to time. Please pay attention to the AliExpress VIP Member Center.
1.5 Membership Service: refers to the service provided by AliExpress to users in order to protect the user's access to or use of Member benefits. The Membership Service may vary from country/region to country/region, and the supported countries/regions and the corresponding subscription fees can be found on the Membership Service subscription page. If you choose to subscribe to Country A’s Membership Service, you can enjoy the relevant services and benefits when you set Shipp to address as Country A on the AliExpress Site.
 
2. Scope of the Agreement
2.1 This Agreement, along with the following agreements and rules, constitutes the entire agreement between you and AliExpress:
(d) any other rules, policies, terms, etc. issued by AliExpress from time to time in accordance with laws in relation to AliExpress VIP Membership.
2.2 AliExpress will continue to improve the relevant terms and rules of service on the basis of this Agreement. Any updates or modifications will be made and published in compliance with applicable laws. All terms and conditions shall be an integral part of the Agreement and shall have the same legal effect as this Agreement.
 
3. Service Subscription, Trial, Cancellation, and Renewal
3.1 Service subscription
3.1.1 The AliExpress VIP Membership service is only open to users who have a good transaction history. Users who have no recorded orders that violate the principle of integrity or recorded malicious behaviors, depending on the judgment of the AliExpress system, are eligible for subscription. You have the right to choose to subscribe to the service or not, and AliExpress has the right to accept or reject your subscription application. In a specific ship to country or region, each user can only subscribe for one AliExpress VIP Membership service.
3.1.2 You need to register or log in to your AliExpress account to confirm member information, complete payment, and enjoy Membership Service. Service subscription and payment shall comply with the provisions of the Transaction Service Agreement and Alipay Service Agreement.
3.1.3 When you subscribe to the AliExpress VIP Membership service, you need to pay the corresponding Membership Service fees specified on the subscription page. AliExpress may adjust the Membership Service fees based on the adjustment to Member Benefits, market changes, and business development. The new Membership Service fees will take effect after they are published in accordance with legal procedures, and the AliExpress VIP Membership service before the effective date will not be affected. However, if you want to renew the AliExpress VIP Membership service, it will be paid in accordance with the new fee standard. AliExpress may also provide you with paid value-added services in association with Member Benefits. Before charging for value-added services, AliExpress will inform you of the service details and fee standard in an appropriate manner, and you have the right to reject value-added services.
3.2 Service trial
3.2.1 AliExpress may offer a 30-day trial to new users of the AliExpress VIP Membership service. Users can choose to subscribe to the AliExpress VIP Membership service directly or have a free trial first. For users who choose the trial, AliExpress will automatically activate the AliExpress VIP Membership Service for them after the end of the trial, with Membership Service fees automatically deducted according to the applicable fee standard before the official service period begins. When you activate the trial, you need to provide your Membership Service fee payment information and deduction authorization according to the prompts on the page. You can opt out of becoming an AliExpress VIP Member at any time in your account before the end of the trial.
3.3 Service renewal
3.3.1 The AliExpress VIP Membership subscription is valid for 365 days from activation. If you want to continue to enjoy the AliExpress VIP Membership service after the expiration, you need to renew or reactivate. By default, AliExpress will automatically renew the service for you at the end of the service period, and you understand and authorize AliExpress to automatically deduct the corresponding Membership Service fees at the beginning of the next service period through the payment channel you used for the last subscription according to the effective Membership Service fee standard. If you do not wish to renew automatically, you can cancel the auto renewal by going to the VIP Membership Channel page and clicking “Cancel Auto Renewal” at the bottom of VIP Membership Rules before the next service period starts. If you renew your subscription before the expiration of the current AliExpress VIP Membership Service period, you may cancel the renewal and request a refund at any time before the next service period starts.
3.4 Service cancellation
3.4.1 You have the right to unconditionally cancel the service within a certain period of time after the subscription. The unconditional cancellation period (“the Cancellation Period") may vary from country/region to country/region depending on applicable laws and regulations and AliExpress' business decisions at its sole discretion. Please see the AliExpress VIP Member Center for details. If you cancel the AliExpress VIP Membership service during the Cancellation Period, AliExpress will refund the full amount of the Membership Service fees you paid for that subscription. If you have used certain membership benefits before initiating the cancellation, AliExpress reserves the right to deduct the amount corresponding to such membership benefits at the time of refund.
3.4.2 You may also cancel the AliExpress VIP Membership service at any time outside of the aforementioned Cancellation Period at your sole discretion, in which case AliExpress will refund you for the days left in your membership term on a pro-rata basis. For the avoidance of doubt, the corresponding validity period of the relevant benefits will terminate when your unsubscription takes effect.
 
4. Use of AliExpress VIP Membership Service
4.1 AliExpress VIP Member Benefits include, but are not limited to, part or all of the following (the benefits may be increased or decreased, subject to the specific Member Benefits description):
1) In the process of purchasing specific goods, you may enjoy special benefits such as cashback bonus;
2) You may get various coupons issued on a regular or irregular basis. The specific rules of using coupons are subject to the description on the coupons and relevant benefits rules;
3) Specific services, such as dedicated customer service.
4.2 You understand that each member benefit has a validity period during the validity period of the membership services, which is subject to the specific benefit use rules (if any). In addition, there may be special rules for the use of specific benefits. Such rules on relevant Member Benefits constitute supplementary provisions and an integral part of this Agreement. In case of any inconsistency with this Agreement, such rules shall prevail.
4.3 In order to improve user experience and membership services, and ensure that AliExpress VIP Membership Service are consistent with the business demands of AliExpress, AliExpress has the right to modify the membership services, Member Benefits, functions, and interfaces. This includes developing new features/benefits, removing old features/benefits, etc. You may continue to use the relevant benefits, functions, or services and apply the relevant provisions of this Agreement after such changes to the Membership Service.
4.4 Membership Service and Member Benefits are only for your own use. Your account is important for you to access Membership Service and member benefits, so make sure you keep the username and password safe and secure.
4.5 Your AliExpress VIP Member account is personal and exclusive to you and is closely linked to your AliExpress VIP membership and member benefits. If you share your account with others, your account may be frozen or revoked, and AliExpress VIP member benefits may also be revoked or frozen. Therefore, please do not give your AliExpress account to others. It is fair and reasonable for you to understand that any actions or consequences that occur through your account are your sole responsibility.
4.6 [Improper use of membership services] Please ensure that you will use AliExpress VIP Membership Service appropriately. Do not use AliExpress VIP Membership Service for illegal profit. Do not transfer your Membership Service or member benefits in any form. Do not ask others to place orders on behalf of you. Do not share your membership services or member benefits with others directly or indirectly. If AliExpress has reasonable grounds to suspect that you have made any improper use of the membership services, AliExpress will cancel your membership, forfeit your member benefits, and you will not be entitled to a refund of the membership service fees paid by AliExpress. You are responsible for your improper use of the membership services and the consequences (including losses) thereof. If such behavior causes any loss to AliExpress, AliExpress has the right to recover the loss from you.
4.7 [Breach of good faith] You warrant that you shall abide by the principle of good faith in the process of obtaining and using the membership services. If AliExpress has reasonable grounds to suspect that you have any of the following behaviors, AliExpress may reject your subscription application for Membership Service, terminate or suspend the Membership Service, cancel or revoke all or part of the member benefits, and you have no right to receive a refund for the member service fees paid (if any):
a) Subscribing to Membership Service using any improper means such as using stolen identity information from others or in violation of the principle of integrity such as maliciously circumventing the normal subscription process;
b) Registering, holding, using, or controlling multiple member accounts;
c) Using seckill devices or other tools to place orders, collect preferential spreads, place false orders, provide false trading information, or disrupt trading order in violation of trading rules when using the Membership Service;
d) Sharing Member Benefits with others;
e) Other acts that violate the principle of good faith.
Further, AliExpress reserves the right to refuse any purchase request submitted by you under the foregoing circumstances at its sole discretion. If you have placed an order, AliExpress reserves the right to cancel the order and shall not be liable for that except as expressly provided by law. Besides, AliExpress reserves the right to freeze your account so that you cannot place orders or purchase goods through AliExpress.
4.8 You acknowledge and agree that in order to ensure that you can fully enjoy the Membership Service and avoid missing out on the Member Benefits, AliExpress may send you messages, notifications, and other forms of information.
 
5. Termination of AliExpress VIP Membership Service
5.1 You understand that the AliExpress VIP Membership Service has a validity period. If you do not renew or re-subscribe to the Membership Service after the expiration of the validity period, the Membership Service will be terminated and the corresponding member benefits will become invalid.
5.2 You understand that the performance of your obligations under this Agreement is the prerequisite for you to use AliExpress VIP Membership Service. If you violate the relevant provisions of this Agreement, AliExpress has the right to suspend or terminate, depending on the severity of your breach, your membership according to the provisions of this Agreement.
5.3 You acknowledge that the Membership Service fees paid by you are the overall cost for you to subscribe to and use the AliExpress VIP membership service and cannot be split according to the member benefits or validity period. In any of the following circumstances, AliExpress has the right to terminate or suspend your Membership Service, and you are not entitled to be refunded for part or all of the Membership Service fees:
1) Your account and/or your AliExpress VIP membership is canceled or terminated in accordance with the AliExpress.com Term of Use, AliExpress Free Membership Agreement, AliExpress Transaction Service Agreement, AliExpress Transaction Service Agreement for European Consumers, this Agreement, Member Benefit Rules, and other agreements and rules;
2) AliExpress determines that you have violated this Agreement or any applicable laws, committed fraud or abuse of membership, or acted in a manner detrimental to the interests of AliExpress or harmed other users.
5.4 AliExpress is constantly changing and improving its services. AliExpress may suspend or terminate the AliExpress VIP Membership Service based on its business decisions, government actions, force majeure, and other reasons. If such a situation occurs, AliExpress will notify you in advance in the form of an announcement. In the event that AliExpress terminates its services for the reasons set out above, AliExpress will refund you for the days left in your membership term on a pro-rata basis.
5.5 Termination of this Agreement shall not affect your rights and obligations with AliExpress under this Agreement prior to termination. If you cause AliExpress to suffer third-party claims, administrative penalties, etc., you shall compensate AliExpress for the losses and/or expenses incurred therefrom, including reasonable attorney fees, investigation and evidence collection costs, etc., and eliminate the negative impact caused to AliExpress.
 
6. No warranty and limitation of liability
6.1 You understand that AliExpress will make its best efforts to ensure that the services, as well as the technology and information involved in it, are secure, effective, accurate, and reliable. However, you understand and agree that limited by existing technology and AliExpress's service capabilities, AliExpress shall not be liable for your direct or indirect losses due to obstacles defects, delays, or changes in the performance of the contract in the following circumstances::
6.1.1 Force majeure factors such as natural disasters, strikes, riots, wars, terrorist attacks, government acts, and judicial administrative orders;
6.1.2 For the purpose of maintaining and managing network order, the violation detection and investigation mechanism set up by AliExpress misbelieves that you have violated the rules, resulting in the suspension of your services, but it is corrected or restored in time according to your request or application;
6.1.3 Technical adjustment or failure of the telecommunication services, communication network failure, and other public service factors;
6.1.4 Failure of the user’s own equipment, software, system, hardware, and communication lines, or the user uses the services in ways other than those agreed herein;
6.1.5 Emergent equipment/system failure/maintenance, unforeseeable network information and data security issues, and other circumstances that are beyond the control of AliExpress despite its all reasonable efforts.
6.2 Based on the principle of consistency, fairness, and reasonableness, in the event of abnormal interruption or unavailability of AliExpress VIP membership services, the maximum compensation you may receive shall not exceed the total amount of relevant service fees actually collected by AliExpress under this Agreement.
 
7. Governing Laws and Dispute Resolution
7.1 This Agreement shall be governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China ("Hong Kong"), without regard to its principles of conflicts of laws. The parties hereto agree to submit any dispute arising from this Agreement to the exclusive jurisdiction of the courts of Hong Kong, except as otherwise provided by applicable laws.
 
8. Miscellaneous
8.1 Due to the rapid development of the Internet, the terms set out in this Agreement between you and AliExpress cannot fully list and cover all rights and obligations between you and AliExpress, and the existing agreement cannot fully guarantee that it will meet the needs of future development. AliExpress may modify this Agreement from time to time according to changes in laws and regulations and the need to maintain service order and protect the rights and interests of users, and the changed Agreement (hereinafter referred to as "Changes") will be notified to you through statutory or agreed procedures and take effect according to law.
8.2 AliExpress may offer different AliExpress VIP membership trials or other temporary AliExpress VIP Membership Service to certain users, unless otherwise stated in the specific Services, such trial or temporary Membership Service are subject to this Agreement.
8.3 As some of the Services may be provided by and supported by AliExpress affiliates, AliExpress may delegate certain parts of the services to its affiliates. In addition, AliExpress reserves the right to transfer all or part of its rights and obligations under this Agreement to its affiliates.
8.3AliExpress's failure to promptly exercise any of its rights under this Agreement shall not constitute a waiver of any rights.
8.4 If you have other questions related to AliExpress VIP Membership Service, you can contact customer service through the contact information published by AliExpress.
8.5 Language version. If AliExpress publishes or makes available a translation of any of the terms of this Agreement, you agree that the translation is provided for reference purposes only and the English version shall govern your use of the AliExpress VIP Membership Service (unless prohibited by applicable laws).
