Papago Terms of Service

Welcome to Papago!

We are AVEIRO TECHNOLOGY PTE. LTD. (hereinafter referred to as “Papago” or “We”), a company incorporated and operating under the laws of Singapore, and located at 9 RAFFLES PLACE, #26-01, REPUBLIC PLAZA, SINGAPORE 048619. We operate Papago application (the “APP”) and website- www.aimap.com (the “Website”, and together with the App is hereafter referred to as the “Papago Platforms” or “Service”).

These Papago Terms of Service (“Terms”) govern your rights and obligations regarding your access and use of Papago Platforms and constitute a fully binding agreement between you and Papago. It is therefore recommended that you carefully read these Terms.

In addition, please refer to our Privacy Policyto better understand what information we collect about you when you are using the Service and how we collect, use, and disclose your personal data.

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO THESE TERMS AND ALL OF ITS PARTS; IF YOU DO NOT AGREE TO THESE TERMS OR ANY OF ITS PARTS, DO NOT ACCESS OR USE THE SERVICE.

You certify to Papago and agree that You are of the legal age of majority in the jurisdiction(s) in which you reside (at least 18 years of age in many countries) and have the right and authority to enter into these Terms on your own behalf.

THE ENGLISH LANGUAGE VERSION OF THESE TERMS SHALL BE THE ORIGINAL, GOVERNING INSTRUMENT AND UNDERSTANDING OF THE PARTIES. IF THESE TERMS ARE MADE AVAILABLE BY PAPAGO IN ANY LANGUAGE OTHER THAN ENGLISH, THE ENGLISH LANGUAGE VERSION SHALL GOVERN AND CONTROL IN THE EVENT OF ANY CONFLICT WITH ANY TRANSLATION INTO ANY OTHER LANGUAGE (TO THE EXTENT THIS DOES NOT CONTRADICT MANDATORY PROVISIONS OF APPLICABLE LAW).

KEY POINTS

The following key points of the Terms are highlighted here for your convenience only. These key points are not made in lieu of the full Terms and their presence in this section does not mean that they are intended to supersede or override any other terms or conditions provided by Papago.

Road information prevails. The information provided by the Service is not intended to replace the information provided on the road, such as travel direction, time-based restrictions, lane restrictions, road blockades, traffic signs, traffic lights, police instructions, etc. and for your reference only. Please do not rely solely on the Service for your driving and traveling.

Cautious driving. Always drive vigilantly according to road conditions and in accordance with traffic laws. Please do not operate Papago Platforms while driving, getting on or off a bus or any other vehicle, or walking, and please ensure to use AMAP Products or Services only when it is safe to do so, in order to prevent traffic accidents or other dangerous situations.

Location-based Service. Some features of the Service make use of detailed location and route information, for example in the form of GPS signals and other information sent by your mobile device on which the Papago application is installed and activated. These features cannot be provided without utilizing this technology.

Internet Connection. The Internet connection required to use the Service, and any associated charges (e.g. mobile data expenses) incurred by your use of the Service are your exclusive responsibility and made solely at your expense. If you use offline Service such as offline navigation, some online functions and services will not be available (such as real-time traffic updates, traffic restriction reminders, etc.). Please select according to your actual demand.

Privacy: Your privacy is important to us. Our Privacy Policyexplains our practices pertaining to the handling of your personal data and we ask that you read it carefully. You agree to the collection, use and disclosure of your personal data for the purposes set out in the Privacy Policy, and to the extent that your consent is required under the applicable data protection law, you acknowledge that we will obtain your consent in accordance with the requirements of the said law.

Advertisement: Third-party advertisements may appear on the Service from time to time. Papago does not endorse these advertisements, and the advertisements are not intended to be, nor should they be, viewed by drivers unless and until their vehicle has come to a complete stop.

Non-continuous updates: The information provided by the Service is dynamic and may be inaccurate, incomplete or outdated. Papago does not provide any warranties of such information’s credibility or reliability.

ABOUT THE SERVICE

1.1.

Papago provides location-based service to end users, including but not limited map browsing, location search, route planning, travel navigation, traffic conditions on an “as is” basis, according to the actual situation. The Service is provided mainly through the APP and certain Service may be subject to fees.

1.2.

Certain Service or function may require account registration to access. Upon successful registration, Papago will assign you a user account, which you are solely responsible for safeguarding. The ownership of the user account belongs to Papago, and you have the right to use the account upon completing the registration process.

USE LICENSE

2.1.

Papago hereby grants you a non-exclusive, time-limited, non-transferable, non-sub-licensable, revocable license to use the Service (including the APP) for non-commercial purposes, subject to these Terms.

2.2.

You may use the Service solely for private and personal purposes only.For example, you may not, without the prior written consent of Papago:(i) offer to third parties a service of your own that uses the Service; (ii) resell, rent, lease, market the Service (including any attempts or offers to do so); (iii) incorporate the Service or any portion thereof into any other program, product or service; or (iv) use the Service to obtain any benefit, whether directly or indirectly. For clarity, the foregoing examples listed are made for illustrative purposes only; they do not constitute an exhaustive list of nor should it be read as limiting the restricted activities involving the Service.

2.3.

You can only access or use the APP or visit the Website through Papago’s official website or any sources authorized by Papago.

2.4.

The Service may not be used in any way that is not expressly permitted by these Terms.

USE RESTRICTIONS

3.1.

If you access or use the Service, you shall comply with applicable laws, these Terms and relevant activity rules and in good faith. There are certain types of conduct that are strictly prohibited on the Service. Please read the following restrictions carefully. Your failure to comply with the provisions set forth below may result (at Papago’s sole discretion) in the termination of your access to or use of the Service and may also expose you to civil and/or criminal liability.

3.2.

You may not, whether yourself or through any other means or person, or allow any third party to:

3.2.1.

copy, modify, adapt, translate, createaderivativeworkof,reverse engineer, decompile, disassemble, distribute, publicly display, forward or make any use of any portion of the Service and any content included in the Service, including but not limited to code, mapping data, database, transportation information, address data, merchant lists, navigation voices, User Content (as defined at clause4.1) or any other content (hereafter referred to as “Content”),without Papago’s prior written consent;

3.2.2.

create a database by systematically downloading and storing all or any of the Content from the Service orengage in scraping, data mining, harvesting, screen scraping, data aggregating, indexing or other automated means to collect information from or otherwise interact with the Service. You agree that you will not use any robot, spider, scraper or other non-manual or automated means to access the Service’s database or to participate in any activity on the Papago Platforms for any purpose without the express prior written permission of Papago.

3.2.3.

transmit or otherwise make available in connection with the Service any virus, worm, Trojan Horse, time bomb, web bug, spyware, or any other computer code, file, or program that may or is intended to damage or hijack the operation of any hardware, software, or telecommunications equipment, or any other actually or potentially harmful, disruptive, or invasive code or component;

3.2.4.

interfere with or disrupt the operation of the Service, or the servers or networks that host the Service or make the Service available, or bypass or disobey any requirements, procedures, policies, or regulations of such servers or networks;

3.2.5.

frame or mirror any part of the Service without Papago’s prior express written authorization;

3.2.6.

use or display the Content separately from the Service, for example, you may not: (i) print any materials containing screenshots of the Content for promotion purpose, or (ii) integrate the Content as the core content into printed materials (such as printed maps or user guidance) for resale;

3.2.7.

use the Service or any part of the Content in artificial intelligence purpose or scenarios such as model and algorithm training;

3.2.8.

transfer or assign your Service accounts even temporarily, to a third party;

3.2.9.

interfere with, defame, abuse, harass, stalk, threaten, or otherwise violate any third party or other user’s right to privacy or other legal rights under applicable law, including, but not limited to, copyrights and any other intellectual property rights of others;

3.2.10.

use the Service for any illegal, immoral or unauthorized purpose;

3.2.11.

use the Service or the Content for non-personal or commercial purposes without Papago’s express prior written consent;

3.2.12.

download or use non-official Papago applications or software;

3.2.13.

register/login to Service account with a mobile phone number or email associated with high-risk cheating or suspected of high-risk cheating or a fraudulent account (e.g., bot accounts etc.), a virtual mobile phone number, or a third-party platform account;

3.2.14.

modify page parameters and tamper with device data;

3.2.15.

use illegal tools such as emulators, plug-ins, add-ons, and application cloning software, etc. to scan codes, download, install, register, login to the Service, participate in activities, claim activity rewards, withdraw cash, donate or resell activity rewards;

3.2.16.

use plug-ins, add-ons, group control systems, or third-party tools or other malicious means to interfere with, disrupt, modify, or exert other influences on the Service and activities. This includes without limitation to collude with other users or use machines or other means to cheat, manipulate activity rewards, or engage in other acts that disrupt the order of activities;

3.2.17.

register, hold, use, or control multiple Service accounts by the same user. Specifically, the term "the same user" refers to the situation where any one or several pieces of information related to user identity and acts, such as account member information, log information about Service, device information, and the mobile phone number and/or third party platform account used to register for the Service are the same or similar or are considered to be the same user for other reasonable grounds;

3.2.18.

gift, lend, rent, transfer, or sell your account to others; or

3.2.19.

engage in other acts that Papago has reasonable grounds to suspect of violating the principle of good faith, these Terms or applicable law.

USER CONTENT

4.1.

The Service allows users to submit and post information and content to other users (“User Content”). User Content can include, for example, map and road updates, traffic congestion updates, road accidents, comments on point of interest (POI) etc. You assume sole responsibility for any Content you post and you alone are liable for the consequences when you post any content.

4.2.

ALWAYS DRIVE VIGILANTLY ACCORDING TO ROAD CONDITIONS AND IN ACCORDANCE WITH TRAFFIC LAWS. IT IS STRICTLY FORBIDDEN TO SEND ANY CONTENT WHILE DRIVING. YOUR CONTENT SUBMISSIONS MAY ONLY BE SENT AFTER YOU HAVE STOPPED YOUR VEHICLE IN AN APPROPRIATE LOCATION PERMITTED BY LAW.

4.3.

If you publish any synthetic content generated by artificial intelligence technology through the Service, you should prominently identify the aforementioned content as such. Papago has the right to identify AI-generated content through technology and alert other users, refuse to display AI-generated content or give priority to displaying non-AI-generated content posted by users.

RESTRICTED USER CONTENT

5.1.

You are prohibited from submitting User Content of a commercial nature (including advertising), unless such posts pertain to Papago, the Service, or Papago’s products, and such User Content strictly complies with these Terms.

5.2.

When you submit User Content to be published by the Service, you agree that such content also comply with applicable laws and Papago User Comment Rule. For example, User Content must not:

5.2.1.

diminish or infringe others’ legal rights including but not limited to reputation rights, portrait rights, proprietary rights of others, including but not limited to copyright and trademarks;

5.2.2.

pose a risk to a person’s safety, security or health; identifies other persons without obtaining such person’s express written consent to the disclosure of their personal information, or pertains to minors and identifies minors or their personal information, including their full name, age, address or contact information;

5.2.3.

be unlawful, defamatory, libelous or invades the privacy of others, harassing, offensive, inflammatory, threatening or vulgar;

5.2.4.

encourage racism or unlawful discrimination, including but not limited to discrimination on the basis of race, origin, ethnicity, nationality, religion, gender, occupation, sexual orientation, illness, disability, political view, caste or socio-economical class;

5.2.5.

promote dangerous activities, self-harm, obscenity, pornography, gambling, violence, homicide, terrorism, extremism;

5.2.6.

encourage behavior that would constitute a criminal offense under any law or could give rise to civil liability;

5.2.7.

promote pyramid schemes, chain letters or disruptive commercial messages or advertisements, or anything else prohibited under these Terms or applicable laws;

5.2.8.

incite illegal gatherings, associations, demonstrations, or protests that disrupt public order;

5.2.9.

communicate or spread false news or information;

5.2.10.

falsely express or imply that such content is sponsored or endorsed by Papago;

5.2.11.

undermine international relations or global peace and stability; or

5.2.12.

contain any content that, in Papago’s sole judgement, is objectionable or may expose Papago, the Service and its users any liability or harm

5.3.

For avoidance of doubt, the foregoing examples in the above clause are only illustrative and do not constitute an exhaustive list of restricted User Content.

5.4.

Papago may decline to publish, or remove any User Content you submit without prior notice if you or the User Content have violated these Terms or if you engaged in any act or omission that is or may be harmful to Papago, its agents or affiliates, the Service, or its users. Papago also has the sole discretion to terminate your access to or use of the Service or prevent you from posting any further User Content on the Service. The provisions of this clause are made in addition to any rights afforded to Papago by any law.

RIGHTS IN CONTENT

6.1.

When you submit User Content to be published on the Service, you represent and warrant that you own all intellectual property rights in that User Content and that you are permitted to publish the User Content and to permit Papago to publish the User Content and exploit all intellectual property rights in and to the User Content under applicable laws. Papago receives no ownership rights in and to the User Content that you submit. However, by submitting User Content to Papago, you hereby grant Papago and the users of the Service an unconditional, irrevocable, worldwide, perpetual, non-exclusive, royalty-free, sub-licensable and fully transferable license to use, copy, distribute, modify, prepare and make derivative works, publish, transmit in any form, translate, display in public and publicly perform the User Content for commercial or non-commercial purposes. The license granted to Papago in and to the User Content you submit is not limited to personal use, but also extends to any commercial use of the User Content, at Papago’s sole and absolute discretion. However, other users of the Service may only use your Content for non-commercial purposes, unless Papago provides them with a prior written consent to use your User Content for commercial purposes (in such case, you authorize Papago to be your agent).

REVIEW OF USER CONTENT

7.1.

Papago may review and assessUser Content before or after its publication.

7.2.

You agree that we may, in our sole discretion, decide:

7.2.1.

whether to prevent publication of inappropriate or otherwise inadequate or erroneous User Content;

7.2.2.

whether to remove such User Content after its publication.

7.2.3.

which User Content will be published and the duration of publication;

7.2.4.

where, how and when it appears on the Service;

7.2.5.

its design and visual appearance on the Service; and

7.2.6.

any other matter pertaining to the publication of User Content within the Service.

7.3.

Papago does not guarantee that all User Content will be published in general or for any limited time.

7.4.

User Content submitted by users for publication does not reflect the views of Papago. Notwithstanding anything herein, the publication of User Content by Papago shall not be construed as a representation or warranty by Papago as to the accuracy, validity, or legality of such User Content.

7.5.

If you choose to give us feedback, such as suggestions to improve our services, we may act on your feedback without obligation to you.

TERMINATION OF USE

8.1.

You may terminate your access to or use of the Service at any time and for any reason without any notice to Papago. If you would like to delete your Papago account and your personal data contained in the account, please use the “Account Cancellation” function in the in APP Privacy Settings. Upon receiving such a request, Papago will use reasonable efforts to delete such information in accordance with applicable laws. However please note that we may retain your information where permitted or required by applicable laws. For more information on our personal data retention policy, please read ourPrivacy Policy.

8.2.

Papago retains the right to block your access to the Service and discontinue your use of the Service, at any time and for any reason we deem appropriate at our sole discretion.

NOTIFICATIONS

9.1.

To provide you with the Service, we sometimes send you service announcements and other information. To learn more about how we communicate with you, see Papago’s Privacy Policy.

10.

10.1.

All intellectual property rights in and to the Service, Papago’s database and Content, including copyrights, trademarks, industrial designs, patents and trade secrets – are either the exclusive property of Papago or its affiliates or are legally licensed to Papago. The Service is protected by applicable copyright laws.

10.2.

“Papago”, “AI Map”, “AVEIRO” and Papago logos, other trade and/or service marks are the property of Papago or its affiliates and you may not use such logos or marks for any purpose that is not expressly authorized in these Terms without the prior written consent of Papago.

10.3.

The design, trade dress, and the ‘look and feel’ of the maps of the Website and the App are protected works under applicable copyright laws and Papago and its affiliates retain all intellectual property rights in them. Unless otherwise permitted through Papago’s prior written consent, the license granted to you in these Terms does not include a license to use the maps displayed on the Service or any mark, indicator, logo or notation embedded in the maps that are displayed on the Service. You may not copy or print more than one copy of any data or material appearing on the Service.

10.4.

You shall not delete, hide, modify or replace any exclusive rights declarations attached to or contained in Papago Platforms, or any copyright logos, trademarks, service marks, logos, trade names, enterprise names, domain names and other conspicuous signs of Papago and its partners in any way.

10.5.

Papago may protect the Service by technological means intended to prevent unauthorized use of the Service. You undertake not to circumvent these means. Without prejudice to Papago’s rights under these Terms or under any applicable laws, any attempted or actual infringement of this provision will result in the termination of all your rights granted under these Terms. If you circumvent any of the means taken by Papago to protect the Service from unauthorized use, you must immediately cease any and all use of the Service, and you undertake to do so.

10.6.

If you reasonably believe that Papago or a third party has infringed upon your intellectual property rights or other legitimate rights and interests by utilizing the Service, please provide a right notice and supporting materials according to Papago's requirements (including but not limited to your proof of ownership of the suspected infringement content, a description of the specific circumstances of the infringement, the location of the suspected infringement content on Papago Platforms, your contact information, identity proof, registration proof of workplace, etc.) to Papago’s Legal Department at this address: 9 RAFFLES PLACE, #26-01, REPUBLIC PLAZA, SINGAPORE 048619.

10.7.

To ensure that Papago can process your relevant intellectual property rights requests in a timely and effective manner, please add the following authenticity statement to the rights notice: "I declare and warrant that the information stated in this notice is sufficient, true and accurate. If the content of this rights notice is not completely true, I will bear all the legal liabilities arising therefrom." If you are an individual, please sign this document; if you are an institution or organization, please ensure that the document is signed by a fully authorized representative and affix your official seal where required by applicable laws.

11.

EXPORT CONTROL

11.1.

You represent and warrant that: (i) you are not located in a country that is subject to sanctions laws that are applicable to Papago’s products, services, or technology that are being provided to you; and (ii) you are not listed on any governmental or export exclusion lists or subject to economic sanctions imposed by any relevant government entity.

12.

LIMITATION OF LIABILITY AND WARRANTY

12.1.

PAPAGO PROVIDES THE SERVICE AND CONTENT INCLUDED THEREIN FOR USE ON AN “AS IS” AND “AS AVAILABLE” BASIS. THEY CANNOT BE CUSTOMIZED TO FULFILL THE NEEDS OF EACH AND EVERY USER. TO THE EXTENT PERMITTED BY LAW, WE HEREBY DISCLAIM ALL WARRANTIES, CONDITIONS AND REPRESENTATIONS, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THE SERVICE AND CONTENT, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, FEATURES, QUALITY, NON-INFRINGEMENT, TITLE, COMPATIBILITY, PERFORMANCE, SECURITY OR ACCURACY.

12.2.

Additionally, and without prejudice to the above clause, Papago disclaims any warranties relating to the accuracy of the maps, Content, road conditions, driving directions, navigation routes and voice broadcasting, traffic restriction information, road congestion information, or position, presented or displayed in or by the Service. For instance, traffic may be congested in roads depicted by the Service as uncongested; existing roads may be missing from the map; users may submit faulty or inaccurate Content or reports; positioning may be delayed or not accurate if the satellite signal or network is missing or poor.

12.3.

To the extent permitted by applicable laws, you agree and acknowledge that you assume full, exclusive and sole responsibility for the use of and reliance on the Service, and you further agree and acknowledge that your use of or reliance on the Service is made entirely at your own risk. You further acknowledge that it is your responsibility to comply with all applicable laws (including traffic laws) while using the Service.

12.4.

THE INFORMATION PROVIDED BY THE SERVICE IS NOT INTENDED TO REPLACE THE INFORMATION PRESENTED ON THE ROAD. IN THE EVENT THAT THE INFORMATION PRESENTED ON THE ROAD (TRAVEL DIRECTION, TIME-BASED RESTRICTIONS, LANE RESTRICTIONS, ROAD BLOCKADES, TRAFFIC LIGHTS, TRAFFIC SIGNS, RELEVANT TRAFFIC AUTHORITY, ETC.) INSTRUCTS DIFFERENTLY THAN THE SERVICE, YOU MUST NOT RELY ON THE SERVICE.

12.5.

Papago exerts efforts to provide you with a high quality and satisfactory service. However, We do not warrant or represent that the Service will operate in a timely, uninterrupted or error-free manner, or that it will always be available or free from all harmful components, or that it is safe, secured from unauthorized access to Papago’s computers, immune from damages, free of malfunctions, bugs or failures, including, but not limited to hardware failures, software failures and software communication failures, originating either in Papago or any of its providers.

12.6.

TO THE EXTENT PERMITTED BY LAW, PAPAGO, INCLUDING ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGE, OR ANY OTHER DAMAGE, AND LOSS (INCLUDING LOSS OF PROFIT AND LOSS OF DATA), COSTS, EXPENSES AND PAYMENTS, EITHER IN TORT (INCLUDING WITHOUT LIMITATION, NEGLIGENCE), CONTRACTUAL, OR IN ANY OTHER FORM OF LIABILITY, ARISING FROM, OR IN CONNECTION WITH THE USE OF, OR THE INABILITY TO USE THE SERVICE, OR FROM ANY FAILURE, ERROR, OR BREAKDOWN IN THE FUNCTION OF THE SERVICE, OR FROM ANY FAULT, OR ERROR MADE BY OUR STAFF OR ANYONE ACTING ON ITS BEHALF, OR FROM YOUR RELIANCE ON THE CONTENT OF THE SERVICE, INCLUDING, WITHOUT LIMITATION, CONTENT ORIGINATING FROM THIRD PARTIES, OR FROM ANY COMMUNICATION WITH THE SERVICE, OR WITH OTHER USERS ON OR THROUGH THE SERVICE, OR FROM ANY DENIAL OR CANCELLATION OF YOUR USER ACCOUNT, OR FROM RETENTION, DELETION, DISCLOSURE AND ANY OTHER USE OR LOSS OF YOUR CONTENT ON THE SERVICE. IN ANY EVENT, YOUR SOLE REMEDY WILL BE LIMITED TO CORRECTING SUCH ERRORS, OR MALFUNCTIONS, AND IN LIGHT OF THE RELEVANT CIRCUMSTANCES.

13.

COMMERCIAL INFORMATION AND THIRD-PARTY SERVICE

13.1.

The Service may include commercial information or advertisements (collectively, “Ads”). Ads may pop up or be displayed on the Service from time to time. Papago or third parties may post Ads on the Service. Papago cannot and does not guarantee the reliability or accuracy of third-party Ads. Papago does not endorse the content of third-party Ads. The advertising of commercial content by Papago does not constitute a recommendation or encouragement to procure the goods or services advertised.

13.2.

Without prejudice to the foregoing and to the extent permitted by law, Papago will not be liable for any loss or damage incurred by you arising from your reliance on, or in connection with, the content of Ads posted on the Service, and services or content you have accessed via Ads or other links on the Service (including Third-party Services as defined in the clause below).

13.3.

Insofar as the Service may lead to or include websites, products, services or any other content provided by any third parties in forms including but not limited to external links and service interfaces (collectively referred to as "Third-party Services"), to the extent permitted by law, Papago will not be liable for any form of liability arising from your reliance on, or in connection with, use of any Third-party Service or any information provided by them, including but not limited to its completeness, availability, accuracy, correctness or it being up-to-date.

13.4.

When you use Third-party Services, please carefully read and understand the service terms, license agreements, privacy policies or other similar legal documents (if any) that third parties may require you to comply with.

14.

BREACH AND INDEMNITY

14.1.

To the extent permitted by law, you agree to indemnify, hold harmless and defend Papago and its employees, officers, directors and agents from and against all claims, damages, expenses, payments, losses, liabilities and costs (regardless whether any of the foregoing are direct or indirect, monetary or non-monetary) including, but not limited to, legal and attorney fees and expenses, that arise as a result of or in relation to a breach by you of any of these Terms.

15.

PRIVACY

15.1.

Papago respects your privacy during your use of the Service. Our privacy policy pertaining to the Service is readily accessible here. However, since the privacy policy is subject to periodic updates, it is recommended that you periodically review the policy for updates as well. Please refer to the privacy policy for more details.

16.

MODIFICATIONS TO THE SERVICE AND SOFTWARE

16.1.

Papago may, either partially or in its entirety and without being obligated to provide prior notice – modify, adapt or change the Service, the Service’s features, the user interface and design, the extent and availability of the contents in the Service and any other aspect related to the Service. You will have no claim, complaint or demand against Papago for applying such changes or for failures incidental to such changes.

17.

TERMINATION OF SERVICE

17.1.

To the extent permitted by law, Papago may, at any time, terminate the provision of the Service in its entirety or any part thereof, temporarily or permanently, at its sole discretion.

18.

MODIFICATIONS OF THESE TERMS

18.1.

Papago may modify these Terms from time to time. If material changes are introduced, a notice of updated Terms will be posted in appropriate place of Papago Platform. Your continued use of the Service after the Terms have been modified signifies your assent to the updated Terms. If you don’t agree to the updated Terms or to any term within them, you should discontinue all further use of the Service. You can also terminate your relationship with us at any time by deleting your account (i.e. by using the “Account Cancellation” function in the APP Settings).

19.

GOVERNING LAW AND JURISDICTION

19.1.

These Terms will be governed solely by the laws of Singapore, without giving effect to any conflicts of law principles. Any dispute, claim or controversy arising out of, connected with or relating to these Terms and the Service, will be under the exclusive jurisdiction of the competent court in Singapore.

20.

LIMITATION PERIOD

20.1.

To the extent permitted by law, should you desire to file any cause of action against Papago arising out of or related to the Service, you agree that you shall do so within one (1) year of the occurrence of the event or facts giving rise to the cause of action. Failure to initiate any proceeding or action within the aforementioned timeframe will bring about the permanent barring of the claim or cause of action, and will constitute your complete and final waiver of the right to pursue any claim or cause of action.

21.

ASSIGNMENT OF RIGHTS

21.1.

You may not assign or transfer your rights in and to the Service without the prior written consent of Papago. Papago may assign its rights in and to the Service to a third party at any time and in its sole and absolute discretion with or without notice to you, provided that the third party undertakes Papago’s obligations to you under these Terms.

22.

ENTIRE AGREEMENT

22.1.

These Terms shall all constitute the entire and complete agreement between you and Papago concerning the Papago Service. In the event of an inconsistency between these Terms and the synopsis of terms presented to the user during the App installation, these Terms shall prevail.

23.

NO LEGAL RELATIONSHIP

23.1.

Except otherwise specified therein, these Terms and your use of the Service, including the submission of User Content onto the Service, do not, and shall not be construed as creating any other relationships, including but not limited to partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship in any way and of any kind between the parties hereto. Your use of the Service is intended for your enjoyment and benefit and the provision of the Service to you (subject to your compliance with these Terms) constitutes the sole and sufficient consideration that you are entitled to receive for any User Content or other contributions you have made to the Service.

Jurisdiction-specific Appendix: For Users in Thailand

This Jurisdiction-specific Appendix (“Thailand Appendix”) supplements and forms an integral part of the Terms. This Thailand Appendix applies to you if you are the residence of Thailand, or use or access the Service from Thailand. To the extent that there are any inconsistencies between the terms of this Thailand Appendix and the terms of the Terms, this Thailand Appendix shall prevail.

Legal Age of Majority. You certify to Papago and agree that you are at least 20 years of age, unless you are legally married according to applicable laws of Thailand, and have the right and authority to enter into these Terms on your own behalf.

Governing Law and Venue. Notwithstanding clause 19.1 of the Terms, which stipulates that competent court in Singapore shall have exclusive jurisdiction over any dispute, claim or controversy arising out of, connected with or relating to these Terms and the Service, the parties hereto acknowledge that such terms do not limit nor prevent the competent courts in Thailand from asserting jurisdiction over such dispute, claim or controversy, where required or permitted by the applicable laws of Thailand.
