SUPPLIER INSURANCE REQUIREMENTS

本文件规定了适用于保险的条款与条件。本文件是贵方作为供应商（下文称“贵方”或“乙方”）与Tmall Global Universal Co., Limited（下文称“我方”或“甲方”）之间的具有法律约束力的协议。贵方承认并同意，贵方已经阅读、理解并同意受本条款的约束。

This document describes the terms and conditions applicable to insurance. This document is a legally binding agreement between you as a supplier (referred to as “you”, “your” or “Party B” hereinafter) and Tmall Global Universal Co., Limited (referred to as “we”, “our” or “Party A” hereinafter). You acknowledge and agree that you have read, understood, and agreed to be bound by the Terms.

乙方应在合同期限内须获得由国际知名、信誉良好、 非其关联方的保险公司承保的商品责任保险，并在合同期满或终止后12个月内保持该保险有效，以覆盖任何和所有因乙方向甲方提供的商品而产生的有关人身伤害、死亡、财物损毁、损失，或其他一切人士或实体遭受或据称遭受的损失而所产生的一切损失、损害（包括实际或间接损害）、责任、处罚、索赔、要求、诉讼或行动，以及相关的成本和费用（包括调查费用，律师费，判决费及和解费）。

该保险的金额或类型须与其他与其类似地位的公司维持的保险类同，而每次事故发生的覆盖金额须为最低一千万人民币（10,000,000人民币）。 

Party B shall obtain and keep in force during the Term and for a period of 12 months after the expiration or termination of this Agreement product liability insurance underwritten by an internationally reputable, credit-worthy, unaffiliated insurance company, to cover any and all losses, damages (actual, consequential or indirect), liabilities, penalties, claims, demands, suits or actions, and related costs and expenses of any kind (including without limitation, expenses of investigation, counsel fees, judgments and settlements) for injury to or death of any person or property damages or any other loss suffered or allegedly suffered by any person or entity arising out of or otherwise in connection with Party B Products sold by Party B to Party A. Such insurance shall be in amounts and of a type customarily maintained by companies similarly situated, provided that such insurance shall provide at least ten million CNY (¥10,000,000) in coverage per occurrence.
