SUPPLIER CODE OF CONDUCT
本文件规定了适用于供应商行为的条款与条件。本文件是贵方作为供应商(下文称“贵方”或“乙方”)与 Tmall Global Universal Co., Limited(下文称“我方”或“甲方”)之间的具有法律约束力的协议。贵方承认并同意,贵方已经阅读、理解并同意受本条款的约束。
This document describes the terms and conditions applicable to supplier code of conduct. This document is a legally binding agreement between you as a supplier (referred to as “you”, “your” or “Party B” hereinafter) and Tmall Global Universal Co., Limited (referred to as “we”, “our” or “Party A” hereinafter). You acknowledge and agree that you have read, understood, and agreed to be bound by the Terms.
甲方致力于可持续发展并且承认可持续发展是其品牌和商誉的重要组成部分。甲方将优先选用在其所有业务领域与甲方共同承诺诚实守信的乙方。甲方还将积极寻求选择将社会、环境和可持续性政策纳入其商业流程的乙方并与该等乙方合作。
Party A is committed to sustainable development and recognize that it is an important part of its brand and reputation. Party A will favor Party B who share its commitment to honesty and integrity in all areas of their business. Party A will also actively seek to select and work with Party B who integrate social, environmental and sustainability policies into their business processes.
遵守供应商行为准则
COMPLIANCE WITH THE SUPPLIER CODE OF CONDUCT
乙方及其雇员、代理和分包商(统称为“乙方”)在与甲方或代表甲方开展业务时必须遵守所有适用法律和本准则。若出现任何导致乙方违反本准则行事的情形,乙方必须立即通知其在甲方的联系人(或甲方管理层成员)。尽管乙方应对其遵守本准则的情况进行自我监督和证明,但甲方可聘请独立稽查员对乙方进行稽查并核实合规情况,包括通过与劳动者的秘密访谈。若任何乙方违反本准则或不配合甲方的稽查员,甲方有权终止甲方与该等乙方的关系。稽查完成后,乙方必须立即针对发现的各项问题提供详细整改计划。甲方将密切追踪整改情况并就重大问题开展后续稽查。在两次稽查之间,甲方雇员可在现场与乙方管理人员频繁会面,以探讨未决问题和整改进度。
Party B and their employees, agents, and subcontractors (collectively referred to as “Party B”) must comply with all applicable laws and this Code of while conducting business with or on behalf of Party A. Party B must promptly inform their contact at Party A (or a member of Party A management) when any situation develops that causes Party B to operate in violation of this Code. While Party B is expected to self-monitor and demonstrate their compliance with this Code, Party A may use independent auditors to audit Party B and verify compliance, including through confidential worker interviews. Party A may terminate its relationships with any Party B that violates this Code or does not cooperate with our auditors. Upon completion of an audit, a Party B must promptly provide a detailed remediation plan for each issue identified. Party A tracks remediation closely and conducts follow-up audits for significant issues. Between audits, Party A employees often meet on-site with Party B managers to discuss open issues and remediation progress.
法律和监管合规实践
LEGAL AND REGULATORY COMPLIANCE PRACTICES
所有供应商在与甲方和/或代表甲方开展业务时必须完全遵守适用法律法规开展业务活动,并且必须(不限于):
All Suppliers must conduct their business activities in full compliance with applicable laws and regulations while conducting business with and/or on behalf of Party A, and must, without limitation:
贸易。遵守所有适用的贸易管制以及所有适用的出口、再出口和进口法律法规;
Trade. Comply with all applicable trade controls, as well as all applicable export, re-export, and import laws and regulations.
反垄断。以完全遵守适用于其开展业务所在的司法辖区的反垄断和公平竞争法律的方式开展业务;
Antitrust. Conduct business in full compliance with antitrust and fair competition laws that govern the jurisdictions in which they conduct business.
抵制。不参与未经美国政府或适用法律认可的国际抵制;
Boycotts. Not participate in international boycotts that are not sanctioned by the United States government or applicable laws.
反贿赂。在与政府或私营企业来往的过程中,供应商不得为任何原因向任何人士提供或收受贿赂或其他形式的不正当利益;
No Bribery. Our suppliers must not offer nor accept bribes or other means of obtaining undue or improper advantages to anyone for any reason, whether in dealings with governments or the private sector.
反腐败。乙方必须遵守适用的反腐败法律,包括美国《海外反腐败法》和英国《反贿赂法案》,并且不得为获取或保留业务而直接或间接向政府官员提供任何有价物。乙方不得自行或通过第三方向政府官员进行非法付款。若任何乙方与任何国家的政府官员开展业务,该等乙方必须遵循甲方有关适用于向政府官员支付款项和馈赠礼物的法律的指引;
Anti-Corruption. Party B must comply with applicable anti-corruption laws, including the United States Foreign Corrupt Practices Act and the United Kingdom Bribery Act, and not offer anything of value, either directly or indirectly, to government officials in order to obtain or retain business. Party B must not make illegal payments to government officials themselves or through a third party. Party B who are conducting business with the government officials of any country must follow Party A’s guidance on the law governing payments and gifts to governmental officials.
举报人保护。乙方必须对作为举报人的劳动者的信息保密,并禁止对举报工作场所问题的劳动者打击报复。乙方必须创建允许劳动者匿名举报的机制。
Whistleblower Protections. Party B must protect worker whistleblower confidentiality and prohibit retaliation against workers who report workplace grievances. Party B must create a mechanism for workers to submit their grievances anonymously.

BUSINESS PRACTICES AND ETHICS
乙方必须以诚信开展其业务往来和活动,并且必须(不限于):
Party B must conduct their business interactions and activities with integrity and must, without limitation:
业务记录。诚实并准确地记录和报告所有业务信息并遵守有关其编制和准确性的所有适用法律。以完全遵守所有适用的法律和监管要求的方式创建、保存和处置业务记录。在与监管部门代表和政府官员会谈时做到诚实、直接和真实;
Business Records. Honestly and accurately record and report all business information and comply with all applicable laws regarding their completion and accuracy. Create, retain, and dispose of business records in full compliance with all applicable legal and regulatory requirements. Be honest, direct, and truthful in discussions with regulatory agency representatives and government officials.
媒体。仅在乙方获得甲方明确书面授权的情况下方可代表甲方接触媒体;
Press. Speak to the press on behalf of Party A only if Party B is expressly authorized in writing to do so by Party A.
礼物。避免向甲方雇员赠送礼物,因为即使是出于善意赠送的礼物也可能会在特定的情况下构成贿赂或造成利益冲突。不得出于为自身获取或保留利益或优势之目的而提供任何有价物,不得提供看起来可能会影响甲方雇员、损害其判断或使其负有义务的任何物品。如果向甲方雇员提供礼物、邀请进餐或提供娱乐招待,始终使用良好的判断、谨慎和节制。乙方提供的礼物必须符合甲方雇员所在的业务部门和所在国家的政策,因为甲方业务部门的政策和区域政策有可能绝对禁止赠送礼物或对礼物价值设定有不同金额的最高限额。任何礼物、邀请进餐或娱乐招待均必须符合适用法律,不得违反提供方和/或接受方就该事项的政策,并且必须符合当地习俗;
Gifts. Avoid gifts to employees of Party A because even a well-intentioned gift might constitute a bribe under certain circumstances, or create conflicts of interest. Do not offer anything of value to obtain or retain a benefit or advantage for the giver, and do not offer anything that might appear to influence, compromise judgment, or obligate the employees of Party A. If offering a gift, meal, or entertainment to employees of Party A, always use good judgment, discretion, and moderation. Any gift from a Party B must be permissible under the policy of the Party A employee’s business unit and country, because Party A business and regional policies may prohibit gifts entirely or set maximum gift value limits at varying amounts. Any gifts, meals, or entertainment must comply with applicable law, must not violate the giver’s and/or recipient’s policies on the matter, and must be consistent with local custom and practice.
利益冲突。避免可能出现的或实际的不当行为或利益冲突。若任何甲方雇员的配偶、家庭伴侣或其他家庭成员或亲属持有乙方的重大经济利益,乙方不得直接与该等甲方雇员进行业务往来。在就乙方协议进行谈判或履行乙方义务的过程中,若乙方人员的配偶、家庭伴侣或其他家庭成员或亲属受雇于甲方,乙方亦不得与上述人士直接进行业务往来。
Conflicts of Interest. Avoid the appearance of or actual improprieties or conflicts of interests. Party B must not deal directly with any Party A employee whose spouse, domestic partner, or other family member or relative holds a significant financial interest in Party B. In the course of negotiating Party B agreement or performing Party B’s obligations, dealing directly with a Party B personnel’s spouse, domestic partner, or other family member or relative employed by Party A is also prohibited.
劳资活动和人权
LABOR PRACTICES AND HUMAN RIGHTS
反歧视。乙方在招聘及其他雇佣活动中不得因年龄、残疾、民族、性别、婚姻状况、族裔渊源、政治面貌、种族、宗教、性取向、性别认同、工会会员或受国家法律保护的任何其他身份歧视任何劳动者。乙方不得要求验孕或进行医学检查,适用法律或法规要求的或出于工作场所安全考虑需进行的除外,并且乙方不得因检查结果进行不当歧视。
Antidiscrimination. Party B shall not discriminate against any worker based on age, disability, ethnicity, gender, marital status, national origin, political affiliation, race, religion, sexual orientation, gender identity, union membership, or any other status protected by country law, in hiring and other employment practices. Party B shall not require pregnancy or medical tests, except where required by applicable laws or regulations or prudent for workplace safety, and shall not improperly discriminate based on test results.
反骚扰及反虐待。乙方应致力于创造一个无骚扰、无虐待的工作场所。乙方不得以苛刻及不人道待遇威胁劳动者或使劳动者遭受此等待遇,包括但不限于口头虐待及骚扰、心理上的骚扰、精神或肉体胁迫以及性骚扰。
Anti-Harassment and Abuse. Party B shall commit to a workplace free of harassment and abuse. Party B shall not threaten workers with, or subject them to, harsh or inhumane treatment, including but not limited to verbal abuse and harassment, psychological harassment, mental and physical coercion, and sexual harassment.
防止非自愿用工和贩卖人口。乙方应确保所有劳动都是自愿开展的。乙方不得贩卖人口或使用任何形式的奴工、胁迫性劳工、债役劳工、契约劳工或监狱劳工。非自愿用工包括通过威胁、强迫、胁迫、绑架、欺诈或为剥削之目的付款给控制其他人士的任何人士的方式运输、隐匿、招聘、转移、接收或雇佣人员。
Prevention of Involuntary Labor and Human Trafficking. Party B shall ensure that all work is voluntary. Party B shall not traffic persons or use any form of slave, forced, bonded, indentured, or prison labor. Involuntary labor includes the transportation, harboring, recruitment, transfer, receipt, or employment of persons by means of threat, force, coercion, abduction, fraud, or payments to any person having control over another person for the purpose of exploitation.
乙方不得扣留劳动者的由政府签发的身份证件和旅游证件原件。乙方应确保劳动者的合同以可被劳动者理解的语言清楚表达了雇佣条件。乙方不得针对工作场所内的活动或进出公司提供的设施施加不合理的限制。乙方应确保其使用的第三方招聘机构遵守本准则和法律的规定。直接或通过第三方机构招聘外国合同工的乙方应负责支付所有招聘相关费用和支出。
Party B shall not withhold workers’ original government-issued identification and travel documents. Party B shall ensure that workers’ contracts clearly convey the conditions of employment in a language understood by the workers. Party B shall not impose unreasonable restrictions on movement within the workplace or upon entering or exiting company-provided facilities. Party B shall ensure that the third-party recruitment agencies it uses are compliant with the provisions of this Code and the law. Party B recruiting foreign contract workers either directly or through third party agencies shall be responsible for payment of all recruitment-related fees and expenses.
防止使用童工。乙方应仅雇佣至少年满15周岁或达到适用最低法定年龄(以较高者为准)的劳动者。乙方可提供与国际劳工组织《最低年龄公约》(第138号)第6条相符的合法工作场所学徒计划作为教育福利,或提供与国际劳工组织《最低年龄公约》(第138号)第7条相符的轻负荷工作。
Prevention of Underage Labor. Party B shall employ only workers who are at least 15 years of age or the applicable minimum legal age, whichever is higher. Party B may provide legitimate workplace apprenticeship programs for educational benefit that are consistent with Article 6 of ILO Minimum Age Convention No. 138 or light work consistent with Article 7 of ILO Minimum Age Convention No. 138.
未成年工保护。乙方可以雇佣达到适用最低法定年龄但未满18周岁的未成年人,但是根据国际劳工组织《最低年龄公约》(第138号)的规定,该等未成年人不得从事可能危害其健康、安全或道德的工作。乙方不得要求未成年工加班或上夜班。
Juvenile Worker Protections. Party B may employ juveniles who are older than the applicable legal minimum age but are younger than 18 years of age, provided they do not perform work that might jeopardize their health, safety, or morals, consistent with ILO Minimum Age Convention No. 138. Party B shall not require juvenile workers to work overtime or perform night work.
健康、安全和环境
HEALTH, SAFETY AND ENVIRONMENT
乙方应为其员工、访客和承包商以及可能受其活动影响的社区人员的健康、安全和福利计提适当的准备金。乙方应考虑到行业的普遍常识和任何特殊危险性,提供安全卫生的工作环境且推动最佳职业健康和安全实践。甲方鼓励乙方实施健康安全管理体系,例如职业健康安全管理体系(OHSAS)18001。乙方将通过承诺采用良好的环保措施爱护环境。乙方应实施与ISO 14001的要求相当的适当环境管理体系,并且甲方鼓励乙方获得第三方认证。乙方应评估健康、安全和环境风险并且落实适当的控制措施。
Party B will make proper provision for the health, safety and welfare of their employees, visitors and contractors and those in the community who may be affected by their activities. A safe and hygienic working environment should be provided and best occupational health and safety practice promoted, bearing in mind the prevailing knowledge of the industry and of any specific hazards. Party B are encouraged to implement a health and safety management system such as Occupational Health and Safety Assessment Series (OHSAS) 18001. Party B will care for the environment through a commitment to good environmental practices. They are expected to implement an appropriate environmental management system comparable with the requirements of ISO 14001 and are encouraged to gain third party certification. Health, Safety and Environmental risks shall be assessed and appropriate controls put in place.
资产和知识产权保护
PROTECTION OF ASSETS AND INTELLECTUAL PROPERTY
知识产权保护对于任何公司而言都是至关重要的。甲方依赖知识产权,例如信息、工艺和技术。
Protection of intellectual property rights is vital for any company. Party A depends on intellectual property such as information, processes and technology.
所有供应商均必须(不限于):
All Suppliers must, without limitation:
• 通过仅使用经合法取得和许可的信息技术和软件,尊重并保护所有当事方的知识产权。 仅按照相关许可或使用条款使用软件、硬件和内容;
Respect and protect the intellectual property rights of all parties by only using information technology and software that has been legitimately acquired and licensed. Use software, hardware, and content only in accordance with their associated licenses or terms of use.
• 经甲方授权使用相关资产时,保护并以负责任的方式使用甲方的实物资产和知识资产,包括知识产权、有形财产、供应品、消耗品和设备;
Protect and responsibly use the physical and intellectual assets of Party A, including intellectual property, tangible property, supplies, consumables, and equipment, when authorized by Party A to use such assets.
• 仅为经授权的甲方业务相关目的使用甲方提供的信息技术和系统(包括电子邮件)。 甲方严格禁止乙方使用甲方提供的技术和系统从事下述行为:(i)创建、访问、存储、打印、索求或发送任何恐吓、骚扰、威胁、辱骂、色情或其他攻击性的或不恰当的材料,或(ii)发送任何虚假的、贬损的或恶意的通讯;
Use Party A-provided information technology and systems (including email) only for authorized Party A business-related purposes. Party A strictly prohibits Party B from using Party A-provided technology and systems to (i) create, access, store, print, solicit, or send any material that is intimidating, harassing, threatening, abusive, sexually explicit or otherwise offensive or inappropriate, or (ii) send any false, derogatory, or malicious communications.
• 作为向甲方提供货物或服务或者有权访问甲方内部企业网络、系统和建筑物的前提条件,遵守甲方有关维持密码、保密性、安全性和隐私的所有要求和程序。在甲方拥有或租赁的设备上存储或传送的所有数据应被视为是私密的,并且是甲方的财产。甲方可监督对企业网络和所有系统(包括电子邮件)的所有使用,并且可访问使用甲方网络存储或传送的所有数据;
Comply with all Party A requirements and procedures for maintaining passwords, confidentiality, security and privacy as a condition of providing Party A with goods or services or receiving access to the Party A internal corporate network, systems, and buildings. All data stored or transmitted on Party A-owned or -leased equipment is to be considered private and is the property of Party A. Party A may monitor all use of the corporate network and all systems (including email), and may access all data stored or transmitted using the Party A network.
• 遵守甲方及他人的知识产权所有权,包括但不限于版权、专利、商标和商业秘密,并以保护知识产权的方式管理技术和专有知识的转让。
Comply with the intellectual property ownership rights of Party A and others including but not limited to copyrights, patents, trademarks, and trade secrets; and manage the transfer of technology and know-how in a manner that protects intellectual property rights.
