Rules for Use of Enterprise Account

Welcome to use Premium DingTalk Services and its exclusive Enterprise Account Service.

As an employee of an enterprise or organization and its affiliated companies (collectively referred to as the "Enterprise/Organization") using the premium DingTalk service (hereinafter referred to as "You"), Your Enterprise Organization has been verified as a DingTalk Certified Enterprise Organization User (hereinafter referred to as "Certified User") and has paid to apply premium DingTalk Service and Enterprise Account services. In order to conduct human resource management, information security control and other office operation needs, the Certified User has applied the Enterprise Office Account (hereinafter referred to as "Enterprise Account") to enable You to log in to the Enterprise Account and use the Premium DingTalk Services so as to conduct online mobile office work, communication, and collaboration with other employees within the Certified User's organization, and to achieve data security control and enterprise digital transformation and upgrading for the Certified User.

As an employee of Certified User and end user of Premium DingTalk office APP & Enterprise Account, You understand and agree to the following:

1.Account Management

The ownership of the Enterprise Account configured for You belongs to the Certified User. The Certified User has the right to authorize its administrator(s) to manage Your Enterprise Account on its behalf, including but not limited to configuring the Enterprise Account, viewing the login information and data security status of the Enterprise Account, and suspending, banning, or canceling the account. To avoid any doubt, The Certified User and its administrator(s) will comply with applicable laws and regulations when implementing Your account management, and will legally protect your personal information, privacy, and other legitimate rights and interests. Please feel free to use the exclusive Enterprise Account Service.

2.Personal Information Processing

The Certified User, as a party to the labor contract entered into with You, or as necessary for human resource management through legally established labor regulations and legally signed collective contracts with You, has the right to act as a personal information processor and data controller of Office Data. This includes personal information such as account information, human resource management information, communication and collaboration information, office document information, and other Office Data generated during the use of Premium DingTalk   office APP services and Enterprise Account. The Certified User has the right to entrust DingTalk, limited to the Premium DingTalk office APP services opened by The Certified User administrator(s), to encrypt and automate the processing of Your Office Data and/or Your personal information, based on the reasonable and necessary premise of human resource management and information security control, in order to achieve online mobile office, communication, and collaboration for The Certified User and its employees.

3. Ownership of Office Data

As an employee of The Certified User and an end-user of the Premium DingTalk Office APP, all data and materials generated during Your online mobile office, communication, and collaboration activities, which includes uploading, entering, publishing, transmitting, storing, and sharing, are considered the Certified User 's control data ("Office Data"). Before You leave the company/position, You should comply with The Certified User 's relevant regulations and complete the handover of Your work. After leaving the company/position, You will be removed from The Certified User 's DingTalk organization and will no longer be able to log in the Enterprise account to view, retain, use, or transmit the Office Data related to Premium DingTalk Office APP.

4. Data storage and transmission

4.1.The Premium DingTalk office App and the Enterprise Account services activated by the Certified User provides mobile office, communication and collaboration services through servers in mainland China. The data generated, uploaded, transmitted and processed by Your Premium DingTalk office App and Enterprise Account will be stored on servers in mainland China. If Your Certified User has paid and applied exclusive storage services, Your file data, group conversation data and other office data will be synchronously stored in the certified user's exclusive storage space, which including data storage services supported by Alibaba Cloud and other adapted cloud service providers, or self-built storage space by the customer(collectively referred to as "Exclusive Storage "); the storage rule of Exclusive Storage is based on Your nationality or office site and according to the principle of on-demand and proximity. For example, the Office Data of employees from P.R.China may be exclusively stored at Alibaba Cloud Chinese Data Center, the Office Data of employees from EU countries may be exclusively stored at Alibaba Cloud Frankfurt Data Center, the data of employees from Southeast Asian countries may be exclusively stored at Alibaba Cloud Singapore Data Center, and the data of employees from the United States may be exclusively stored at Alibaba Cloud Silicon Valley Data Center. The specific Exclusive Storage and Office Data residence location actually activated by the certified user shall prevail.

4.2. The Certified User 's Premium DingTalk Office APP and Enterprise Account Service may be used for online mobile office, communication, and collaboration among employees globally. This covers the cross-border transfer of Office Data and employee personal information between parent and subsidiary companies, or affiliated companies located in different countries and regions. To ensure the compliance of cross-border transfers of Office Data and employee personal information, The Certified User will comply with, and ensure that DingTalk complies with, the laws and regulations related to personal information protection and cross-border data transfer implemented in Your country. This includes legally implementing cross-border data compliance requirements between The Certified User 's parent and subsidiary companies, such as signing legally valid cross-border data transfer agreements, conducting cross-border data transfer security assessments so as to ensure the data security of The Certified User 's Office Data and employee personal information.

4.3. The Certified User will sign a legally valid entrusted data processing agreement with DingTalk to ensure that The Certified User and DingTalk comply with applicable laws and regulations that governing data transmission between relevant countries and regions, and to effectively ensure the security of corporate Office Data and Your personal information/data through technical and organizational safeguards.

5. Illegal Content Control

Any content You generate while using Premium DingTalk Office APP service, including but not limited to creating, copying, publishing, and disseminating information, such as Your Premium DingTalk Enterprise Account profile picture, name, user description, or other registration information, or information or content sent, forwarded, replied to, commented on, posted in the form of text, voice, images, or videos, etc., shall not interfere with or affect the normal office and business activities of The Certified User , nor infringe upon the legitimate rights and interests of other users or third parties. If The Certified User  discovers or receives reports or complaints from others regarding content generated by Your use of the Premium DingTalk Office APP service that is illegal, violates regulations, or contravenes employee conduct rules, The Certified User , after verification, has the right to unilaterally delete or block the relevant content without prior notice, and to take action against the Enterprise Account according to the severity of the behavior, such as issuing reminders, warnings, restricting or prohibiting the use of some or all functions, suspending, banning or canceling the account, or announcing the results of the action (Note: there is no order of priority).

6. Information Security Control

Your Certified User has the right to strengthen the information security control capabilities of the Premium DingTalk Office APP through SDKs, mini-programs, and other self-built applications, The Certified User has right to issue information security control regulations and authorize administrator(s) to implement information security control responsibilities on behalf of The Certified User , including but not limited to taking information security restrictions on Enterprise Account based on the severity of violations, such as prohibiting or withdrawing document and information publication, prohibiting or revoking the addition of contacts or organizations, prohibiting screenshots and downloads, restricting logins, freezing accounts, and restricting some or all functions.

You understand and agree that the Premium DingTalk APP and Enterprise Account is only for The Certified User 's office collaboration, organizational management, and governance purposes. You can create internal The Certified User chat groups, add The Certified User organizational friends, and use The Certified User 's internal DingTalk documents and knowledge base through the Premium DingTalk office APP and Enterprise Account (collectively referred to as "The Certified User Internal Usage"). When You communicate and collaborate with individuals, companies, or other organizations outside The Certified User  through Your Premium DingTalk Enterprise Account (including but not limited to adding external contacts, creating/joining external groups) or use information publishing functions  (collectively referred to as "The Certified User External Usage"), You need to complete real-name authentication of Your Enterprise Account; otherwise, You will not be able to initiate live broadcasts or engage in The Certified User external usage. By engaging in The Certified User external usage through Premium DingTalk, You authorize The Certified User to manage the related data generated therefrom in accordance with the aforementioned security control measures. If You no longer wish to use Your Enterprise Account, You can unbind the Enterprise Account Yourself or contact the Premium DingTalk administrator.

7.Miscellaneous

This Agreement forms part of the DingTalk Service Agreement, DingTalk Privacy Policy, and DingTalk Certified Enterprise/Organization Service Agreement, and has the same legal effect. In the event of any conflict between this Agreement andDingTalk Service Agreement, DingTalk Privacy Policy, and DingTalk Certified Enterprise/Organization Service Agreement, the provisions of this Agreement shall prevail.

For questions regarding the use of the Premium DingTalk Office APP and Enterprise Account, please contact Your administrator designated by Your Certified User or consult Premium DingTalk online customer service.

Chinese shall prevail in case of any discrepancies between the Chinese and English versions.
