Welcome to sign this Service Agreement of Kaola's Offshore Website (hereinafter referred to as "this Agreement") with the operator of Kaola's offshore website (see "Definitions" for details) and access the services.

【签约动作】一旦您通过网络页面点击确认或以其他方式接受本协议，即表示您已接受以下所述的条款和条件，并与我们达成一致，成为考拉海购海外站“用户”。本协议自您确认接受之时起或自您的使用行为发生之时起（以时间在先者为准）生效。阅读本协议的过程中，如果您不同意本协议或其中任何条款约定，您应立即停止注册、登录程序或其他使用行为。
[How to Sign the Agreement] Once you click to agree to this Agreement on the webpage or otherwise accept this Agreement, it means that you have accepted the following terms and conditions and reached an agreement with us to become a "user" of Kaola's offshore website. This Agreement shall become effective when you confirm the acceptance hereof or any usage behavior occurs (whichever occurs earlier). While reading this Agreement, if you do not agree to this Agreement or any of its terms, you shall immediately stop registration, login, or other usage behaviors.
一、定义
Definitions
考拉海购海外站：指考拉海购海外站点（域名为kaola.com.hk，包括PC、Wap）、客户端、小程序及其他应用程序。为了指代方便，除另有说明外，本协议中提及“考拉海购海外站”时均可指向考拉海购海外网站、客户端、小程序及其他应用程序中的一种或多种形态。
Kaola's Offshore Website refers to the offshore website of Kaola (the domain name is kaola.com.hk, including the PC version and WAP version) as well as its client, mini program, and other applications. For convenience's sake, unless otherwise specified, any reference to "Kaola's offshore website" in this Agreement refers to one or more forms of the offshore website of Kaola, and its client, mini program, and other applications.
考拉海购海外站经营者：指考拉海购海外站平台服务的提供方，即HQG,Limited（注册地址：26/F., Tower One, Times Square, 1 Matheson Street, Causeway Bay, Hong Kong ）。为了指代方便，除另有说明外，本协议中提及“考拉海购海外站”、“我们”时均特指考拉海购海外站经营者。
Operator of Kaola's Offshore Website refers to the service provider of the offshore platform of Kaola, namely HQG, Limited (registered address: 26/F., Tower One, Times Square, 1 Matheson Street, Causeway Bay, Hong Kong). For convenience's sake, unless otherwise specified, any reference to "Kaola's offshore website", "we", or "us" in this Agreement refers to the operator of Kaola's offshore website.
考拉海购海外站平台服务：指考拉海购海外站经营者基于互联网，以包含考拉海购海外站、客户端、小程序等在内的各种形态（包括未来技术发展出现的新的服务形态）向您提供的各项服务，下称“考拉海购海外站服务”。您在考拉海购海外站上可选购自营商品及第三方入驻商家提供的商品或服务，与之达成交易意向并进而完成交易，您还可以参加考拉海购海外站组织的活动，使用其它信息服务及技术服务。
Services of the Offshore Platform of Kaola refers to the services the operator of Kaola's offshore website provides for you based on the Internet in various forms including Kaola's offshore website, client, and mini program (including new service forms emerging in the future with technological advancement), which is hereinafter referred to as "Kaola's offshore website services." You can purchase self-operated commodities and the commodities or services provided by third-party merchants registered with Kaola's offshore website, reach a transaction intention with them and then complete the transaction. You can also participate in the activities organized by Kaola's offshore website and access to other information services and technical services.
自营商家：指考拉海购海外站上自营商品的销售与提供售后服务的主体。除网站页面另有说明外，商品详情页同时带有“自营”和“跨境”标识以及“自营”和“海外”标识的商品，由HQG, Limited和/或考拉海购海外站不时调整的关联公司销售并提供售后服务，但商品详情页面针对商品所属店铺经营主体（即商家）另有约定的除外。
Self-operating Merchant refers to the entity that sells self-operated commodities and provides after-sales service therefor at Kaola's offshore website . Unless otherwise stated on the webpage, the commodities with the marks of "self-operated" & "cross-border" or "self-operated" & "abroad" on the commodity detail page and its after-sales service are provided by HQG, Limited and/or its affiliated companies, upon adjustment made by the Kaola's offshore website from time to time, unless otherwise displayed on the commodity detail page.
第三方入驻商家：指入驻考拉海购海外站并陈列、售卖商品或服务，最终和您完成交易的第三方商家主体。考拉海购海外站上的非自营商家商品，由第三方入驻商家销售并承担相关责任。
Third-party Merchant refers to the third-party merchant that registers with Kaola's offshore website, displays and sells commodities or services on the site, and finally completes the transaction with you. The non-self-operated commodities at Kaola's offshore website are sold by third-party merchants. They also bear relevant responsibilities.
考拉海购海外站规则：指包括在所有考拉海购海外站规则频道内已经发布及后续发布的适用于考拉海购海外站服务的全部规则、解读、公告等内容，以及在帮助中心、产品或服务流程内发布的各类规则、实施细则、产品流程说明、公告等。
Kaola's Offshore Website Rules refer to all the rules, interpretations, and announcements, etc. that are applicable to Kaola's offshore website services and have been published or to be published in all channels of rules on Kaola's offshore website, as well as various rules, regulations, process explanations, announcements, etc. issued in the Help Center, or within product or service processes.
支付宝公司：指提供支付宝服务的主体Alipay.com Co., Ltd., Alipay Financial Services (HK) Limited及/或其关联公司。
Alipay refers to Alipay.com Co., LTD., Alipay Financial Services (HK) Limited, and/or the affiliated companies that provide Alipay services.
第三方支付机构：指与考拉海购海外站合作或由其指定并为商家提供开立账户及交易服务的第三方支付机构（包括支付宝或其他第三方支付机构）。
Third-party Payment Institution refers to the third-party payment institution (including Alipay or other third-party payment institutions) that cooperates with Kaola's offshore website or is designated by Kaola's offshore website to provide account opening and transaction services for merchants.
关联公司：指阿里巴巴集团控股有限公司（Alibaba Group Holding Limited）最新上市公司年报披露的考拉海购海外站服务提供者的关联公司。
Affiliated Companies refer to the affiliated companies of Kaola's offshore website service provider disclosed in the latest annual report of Alibaba Group Holding Limited as a listed company.
二、协议范围
Agreement Scope
2.1 签约主体
Contracting Parties
【平等主体】本协议由您与考拉海购海外站经营者共同缔结，本协议对您与考拉海购海外站经营者均具有合同效力。
[Equal Party] This Agreement is concluded by and between you and the operator of Kaola's offshore website and has the contractual effect on both you and the operator of Kaola's offshore website.
【主体信息】考拉海购海外站经营者是指经营考拉海购海外站的法律主体，即HQG,Limited（公司中文名为“天猫进出口环球购有限公司”）。本协议项下，考拉海购海外站经营者可能根据考拉海购海外站的业务调整（如有）而发生变更，变更后的考拉海购海外站经营者与您共同履行本协议并向您提供服务，考拉海购海外站经营者的变更不会影响您本协议项下的权益。考拉海购海外站经营者还有可能因为提供新的考拉海购海外站服务而新增，如您使用新增的考拉海购海外站服务的，视为您同意新增的考拉海购海外站经营者与您共同履行本协议。
[Party Information] The operator of Kaola's offshore website refers to the legal subject operating Kaola's offshore website, namely, HQG, Limited ("天猫进出口环球购有限公司" in Chinese). Under this Agreement, the operator of Kaola's offshore website may change according to the business adjustment (if any) of the Kaola's offshore website. The new operator of Kaola's offshore website will jointly perform this Agreement with you and offer services to you. The change in operators will not affect your rights and interests under this Agreement. Another operator(s) may also join in the Kaola's offshore website because of the introduction of new services to be offered by Kaola's offshore website. If you access to such new services, it is deemed that you agree to have the new operator(s) of Kaola's offshore website to jointly perform this Agreement with you.
2.2补充协议
Supplementary Agreement
由于互联网高速发展，您与考拉海购海外站经营者签署的本协议列明的条款并不能完整罗列并覆盖您与考拉海购海外站经营者所有权利与义务，现有的约定也不能保证完全符合未来发展的需求。因此，考拉海购海外站隐私权政策、考拉海购海外站规则均为本协议的补充协议，与本协议不可分割且具有同等法律效力。如您使用考拉海购海外站服务，视为您同意上述补充协议。
Considering the rapid development of the Internet, the terms listed in this Agreement signed by you and the operator of Kaola's offshore website cannot completely list and cover all the rights and obligations of you and the operator of Kaola's offshore website. Meanwhile, existing terms may not fully meet the need of future development. Therefore, the privacy policy of Kaola's offshore website and the rules of Kaola's offshore website are all supplementary agreements to this Agreement, inseparable to and having the same legal force as this Agreement. If you use the services provided by Kaola's offshore website, it is deemed that you agree to the above supplementary agreements.
三、账号注册与使用
Account Registration and Use
3.1用户资格
User Qualification
您确认，在您开始注册程序和/或登录使用考拉海购跨境服务前，或在您以我们允许的方式实际使用服务前，您应当是年满18岁并具备完全民事权利能力和完全民事行为能力的自然人、法人或其他组织。如您不具备前述与您行为相适应的民事行为能力，则您及您的监护人应承担因此而导致的法律后果，且我们有权注销或永久冻结您的账户。
You acknowledge that you are a natural person, legal person or other organization at the age of 18 or older and with the full capacity for civil rights and full capacity for civil conduct before you start the registration procedure and/or log in to use Kaola's cross-border services, or before you actually use the services in the way we allow. If you do not have the above-mentioned capacity for civil conduct appropriate to your behavior, you and your guardian shall bear the legal consequences arising therefrom, and we have the right to cancel or permanently freeze your account.
此外，您还需确保您不是任何国家、地区或国际组织实施的贸易限制、经济制裁或其他法律法规限制的对象，也未直接或间接为前述对象提供资金、商品、服务、软件或技术，否则您应当停止使用考拉海购海外站服务，同时您理解违反前述要求可能会造成您无法正常注册、登录及使用考拉海购海外站服务。
In addition, you also need to ensure that you are not a party subject to trade restrictions, economic sanctions or other legal and regulatory restrictions imposed by any country, region or international organization, nor directly or indirectly provide funds, commodities, services, software or technologies for the aforementioned parties; otherwise you shall stop using Kaola's offshore website services. At the same time, you understand that violating the above requirements may make you unable to register with, log into or use services of Kaola's offshore website.
3.2账号说明
Account Description
【账号获得】当您按照我们关联公司的考拉海购网站（kaola.com，以下同）注册页面提示填写信息和/或使用第三方账号授权登录，完成全部注册和/或登录程序后，您可获得考拉海购网站账号（含用户名和密码，下称“考拉海购账号”），并同意将注册账号过程中及登录账号相关信息授权给我们，用于登录考拉海购海外站并提交有效身份信息进行实名认证，以及我们为您提供本协议项下的其他各项服务。为方便您使用考拉海购网站、考拉海购海外站相关服务，您同意考拉海购网站“我的订单”或类似页面能查看您在考拉海购海外站购买的商品以及相应信息。
[Account Acquisition] After you fill in the information and/or authorize the entry of a third-party account according to the prompt on the registration page of the affiliated company's Kaola website (kaola.com, the same below), and complete all the registration and/or login procedures, you can obtain an account with Kaola's website (including a user name and password, hereinafter referred to as "Kaola Account") and agree to authorize us to access the information you provided during the account registration process and the information related to your login account, so as to log into Kaola's offshore website, submit valid identity information for real-name authentication, and enable us to offer you other services under this Agreement. In order to facilitate your access to relevant services of Kaola's website and Kaola's offshore website, you agree that the commodities you purchased at Kaola's offshore website as well as relevant information can be viewed under "My Order" or similar webpages of Kaola's website.
您理解并同意，如不同账号绑定或关联同一手机号、同一支付账户、同一身份证件信息、同一设备号或相同收货信息，前述不同账号将被视为关联账号。
You understand and agree that if different accounts are bound to or associated with the same mobile phone number, the same payment account, the same ID number, the same device number or the same receipt information, the above different accounts will be regarded as associated accounts.
【账号使用】由于您的考拉海购账号关联您的个人信息以及考拉海购海外站商业信息，您的考拉海购账号仅限您本人使用。未经我们同意，您直接或间接授权第三方使用您考拉海购账号或获取您账号项下信息的行为无效。如我们和/或关联公司根据考拉海购网站及海外站规则中约定的违约认定程序及标准判断您考拉海购账号的使用可能危及您的账号安全和/或考拉海购海外站信息安全、正常交易秩序的，我们和/或关联公司可拒绝提供相应服务或终止本协议。
[Account Use] Since your Kaola Account is associated with your personal information and the business information of Kaola's offshore website, your Kaola Account can only be used by yourself. Without our consent, any direct or indirect authorization on your side for the third-party to use your Kaola Account or obtain information under your account shall be deemed as invalid. If we and/or the affiliated companies determine, according to the procedures and standards determining a breach of contract concluded at the Kaola website or contained in the rules of Kaola's offshore website, that the use of your Kaola Account may endanger account security and/or information security and the normal transaction order of Kaola's offshore website, we and/or affiliated companies may refuse to offer corresponding services or terminate this Agreement.
【账号转让】由于用户账号关联用户信用信息，仅当有法律明文规定或生效司法裁定，否则您的账号不得以任何方式转让。如您违规转让的，我们有权拒绝继续向您提供考拉海购海外站服务并有权追究您的违约责任，且由此产生的责任及后果均由您自行承担。
[Account Transfer] Since the user account is associated with user credit information, your account cannot be transferred in any means unless required by law or a valid judicial decision. If you transfer the account against rules, we have the right to refuse to continue providing you with Kaola's offshore website services and have you bear the responsibilities of contract breach. All responsibilities and consequences arising therefrom shall be borne by yourself.
【实名认证】作为考拉海购海外站经营者，为使您更好地使用考拉海购海外站的各项服务，保障您的账号安全，我们可以要求您按照相关法律法规的规定完成实名认证。
[Real-Name Authentication] As an operator of Kaola's offshore website, in order to provide you with better services of Kaola's offshore website and ensure the security of your account, we can require you to complete real-name authentication in accordance with relevant laws and regulations.
【不活跃账号终止服务】如您的账号同时符合以下条件，您及您的关联账号可能被采取通知限期改正、暂停使用、注销登记等措施，我们可以决定终止继续向您提供考拉海购海外站服务，您的账号将不能再登录考拉海购海外站，相应服务同时终止：
[Service Termination for Inactive Account] If your account meets all the following conditions at the same time, you may be notified to make corrections within a time limit, suspend the use thereof, cancel registration or take other measures. This also applies to associated accounts. We can decide on terminating Kaola's offshore website services for you, and your account cannot be used to log into Kaola's offshore website anymore along with the termination of corresponding services.
1）您登录、使用账号头像、个人简介等信息资料存在违法和不良信息的；
Have illegal and harmful information identified in the login process, portfolio images you use, personal profiles or others;
2）冒用关联机构或社会名人登录、使用、填写账号名称、个人简介的；
Fraudulently log as affiliated institutions or social celebrities, use relevant services, or fill in their information as account names or in personal profiles;
3）您在我们或其关联方运营的网站有欺诈等侵犯他人合法权益或其他违反法律法规、相关网站规则等行为。
Commit fraud or have other violating behaviors that infringe upon the legitimate rights and interests of others or upset laws, regulations and relevant website rules at the website operated by us or our affiliated parties;
4）连续180天未用于登录考拉海购海外站，或者您被冻结的账号未在保留期内申诉找回或解冻；
Have no record of logging into Kaola's offshore website for 180 consecutive days, or have a frozen account left unrecovered or still frozen within the retention period;
5）不存在未到期的有效业务。
There is no valid business unexpired.

Authenticity and Legitimacy
【信息真实】在使用考拉海购海外站服务时，您了解并同意，您有义务保持您提供信息的真实性及有效性，以便我们或其他用户与您联系。
[Authentic Information] While using Kaola's offshore website services, you understand and agree that you are obliged to maintain the authenticity and validity of the information you provide, so that we or other users can reach you.
【信息合法】您设置的考拉海购账号昵称、头像、个性签名不得违反国家法律法规及考拉海购海外站相关规则的规定，不得出现违法、侵权和不良信息。如我们发现或第三方投诉您以虚假信息骗取账号注册、登录，或您的头像、昵称等信息存在违法、侵权或不良信息的，我们有权直接采取限期改正、限制账号权限、暂停或终止提供服务等措施。
[Legitimate Information] The nickname, profile image and short description of your Kaola Account shall not violate the provisions of national laws and regulations and relevant rules of Kaola's offshore website, and shall not contain illegal, harmful, or copyright-infringing information. If we identify or a third party complains that you use fabricated information to register or login an account by fraud, or your profile image, nickname or other information contains illegal, harmful or copyright-infringing information, we have the right to take measures directly such as requesting corrections within a time limit, restricting account permissions, or suspending or terminating services.
3.3.2更新维护
Update and Maintenance
您应当及时更新您提供的信息，在考拉海购海外站经营者适用法律有明确规定要求我们作为平台服务提供者必须对部分用户的信息进行核实的情况下，我们将依法不时地对您的信息进行检查核实，您应当配合提供最新、真实、完整、有效的信息。
You shall update the information you provide in a timely manner. In case that the laws applicable to the operator of Kaola's offshore website clearly stipulate that we, as the platform service provider, shall verify the information of some users, we will check and verify your information from time to time according to law, and you shall cooperate to provide the latest, authentic, complete and valid information.
如我们按您最后一次提供的信息与您联系未果、您未按我们的要求及时提供信息、您提供的信息存在明显不实或行政司法机关核实您提供的信息无效的，您将承担因此对您自身、他人及考拉海购海外站经营者造成的全部损失与不利后果。我们可向您发出询问或要求整改的通知，并要求您进行重新认证，直至中止、终止对您提供部分或全部考拉海购海外站服务。
If we fail to reach you with the latest contact information you provided, or you fail to provide the information in time according to our requirements, or the information you provided is obviously fabricated or proves to be invalid after verification with administrative and judicial organs, you will bear all losses and adverse consequences arising therefrom to yourself, others and the operator of Kaola's offshore website. We may send you a notice of inquiry or request for corrections, and ask you to re-certify until we suspend or terminate some or all of Kaola's offshore website services provided to you.
3.4账号安全

【账号安全保管义务】您的账号为您自行设置并由您保管，我们任何时候均不会主动要求您提供您的账号密码。因此，建议您务必保管好您的账号，并确保您在每个上网时段结束时退出登录并以正确步骤离开考拉海购海外站。
[Account Safekeeping Obligation] Your account is set up and kept by yourself. In no circumstance will we ask you to provide your account password. Therefore, it is recommended that you keep your account well, ensure that you log out after each online surfing and exit Kaola's offshore website in proper steps.
账号因您主动泄露、不当保管或因您遭受他人攻击、窃取、诈骗等行为导致的损失及后果，我们并不承担责任，您应通过司法、行政等救济途径向侵权行为人追偿。
We shall take no responsibility for the losses and consequences caused by the intended disclosure or improper keeping on your side, or the attacks, theft, frauds and other acts committed by others. You shall claim compensation from the infringer through judicial, administrative and other relief channels.
【账号异常】我们根据其数据分析及经验判断认为用户账号存在异常活动的，为了降低账号安全风险，考拉海购海外站可以采取限制登录保护等安全措施。如您发现任何人未经授权使用您的登录名和密码，或发生违反您与我们的任何保密规定的任何其他情况，您会立即通知我们，并授权将该信息同步给我们及其关联方。
[Account Exception] If we believe the user account has abnormal activities based on data analysis results and relevant experience, in order to reduce the security risk of the account, we can take security measures such as restricting the login into Kaola's offshore website. If you find anyone using your user name and password without authorization, or any other circumstance that violates any confidentiality regulation reached between you and us, you shall notify us immediately, and authorize us and our affiliated parties to access the information at the same time.
【账号行为责任自负】除我们存在过错外，您应对您账号项下的所有行为结果（包括在线签署各类协议、信息披露、发布信息、购买商品及服务、披露信息等）负责。
[Bear Responsibilities on Your Own for Account Behaviors] Unless it is due to our fault, you shall be responsible for all behaviors and consequences under your account (including signing various agreements online, disclosing information, releasing information, purchasing commodities and services, etc.).
【日常维护须知】如发现未经授权使用您账号登录考拉海购海外站或其他可能导致您账号遭窃、遗失的情况，建议您立即通知我们，并授权我们将该信息同步给支付、物流等机构。您理解我们对您的任何请求采取行动需要合理时间，且我们应您请求而采取的行动可能无法避免或阻止侵害后果的形成或扩大，除存在法定过错外，我们不承担责任。
[Daily Maintenance Instruction] If you find there is any unauthorized use of your account to log into Kaola's offshore website or any other circumstance that may cause your account to be stolen or lost, it is recommended that you immediately notify us and authorize us to synchronize the information to the payment, logistics and other institutions. You understand that it takes reasonable time for us to take actions on any of your requests, and the actions we take at your request may not avoid or prevent the occurance or expansion of the consequences of infringement. We bear no responsibility for this except for legal faults.

【服务概况】您有权在考拉海购海外站上享受商品和/或服务的浏览、收藏、购买与评价、交易争议处理、信息交流如问答及分享等服务。考拉海购海外站提供的服务内容众多，具体您可登录考拉海购海外站浏览。
[Service Overview] You have the right to browse, wishlist, purchase and comment on commodities and/or services, handle transaction disputes, and exchange Q&A, sharing and other information at Kaola's offshore website. Kaola's offshore website provides many services. You may log into Kaola's offshore website to view the details.
4.1商品和/或服务的浏览、收藏
Commodity and/or Service Browsing and Wishlisting
在您浏览考拉海购海外站过程中，我们为您提供了信息分类、关键词检索、筛选、收藏等功能，以更好地匹配您的需求。您可以对您感兴趣的商品和/或服务进行收藏、添加至购物车，关注您所感兴趣的店铺/品牌等。
During your browsing at Kaola's offshore website, we provide you with information classification, search by keyword, screening, adding to favorites and other functions to better match your needs. You can add the commodities and/or services you are interested into the favorites and the cart, and follow the stores/brands you are interested in.
4.2商品和/或服务的购买、支付与评价
Purchasing, Paying for, and Giving Reviews on the Commodities and/or Services
【信息准确性】您理解，基于向您提供服务以及商家向您交付商品或服务的履约需要，我们有权记录您在选购商品或服务时，在线填写的必要信息提供给商家、我们的关联方及第三方服务提供者（包括物流公司、第三方支付机构等）。您保证该等信息准确、合法，该等信息并将作为您本次交易的不可撤销的承诺，您承担因该等信息错误、非法等导致的后果。您授权我们在服务期间有权使用上述信息及将向有关第三方提供该信息。如您提供的信息过期、无效进而导致商家或我们无法与您取得联系的，因此导致您在使用我们服务中产生任何损失或增加费用的，应由您承担。
[Information Accuracy] You understand that based on the our obligation to provide services to you and the merchant's obligation to deliver commodities or services to you, we have the right to record the necessary information you fill in online when purchasing commodities or services and provide it to the merchants, our affiliated parties and third-party service providers (including logistics companies, third-party payment agencies, etc.). You guarantee that such information is accurate and legal, and such information will serve as your irrevocable commitment to this transaction. You shall bear the consequences caused by any errors and illegality of such information. You authorize us to use the above information during the service and provide it to relevant third parties. Kaola's offshore website does not participate in the transaction between you and the merchants, however, we will urge the merchants to perform the after-sales guarantee service for you according to the relevant rules of Kaola's offshore website. If you find that there is a quality problem with the commodities or services provided by the merchants, please contact the merchants or inform us, and we will check and take relevant measures to do our best to protect your legitimate rights and interests.

You know and understand that, due to the well-known Internet technology factors and other objective reasons, there may be a lag or error in the information displayed by Kaola's offshore website. If system failure or the fault of the offshore website or a merchant leads to obviously unreasonable information displayed (including obviously low product price), you shall not proceed to the next step and immediately notify us or the merchant to modify it. If you know that the information displayed is obviously unreasonable, and still submit the order, it will be deemed as malicious shopping, and we will have the right to deal with it in accordance with the corresponding terms hereof.

You understand and agree that, under any applicable regulatory laws and regulations, the third-party payment institution to which we access upon your authorization will send a request to purchase foreign currency to its partner bank and send relevant payment information and the real-name authentication information (including name and identity card number) of the payment account to us. You shall understand that the evaluation information that you publish on Kaola's offshore website is public; and you agree to publish the evaluation content anonymously for the purpose of protecting your identity information.
为确保评价内容能为消费者购物决策提供可靠的依据，反映商品和/或服务的真实情况，您的所有评价行为应遵守考拉海购海外站规则的相关规定，评价内容应当合法、客观、真实，与交易的商品和/或服务具有关联性，且不应包含任何污言秽语、色情低俗、广告信息及法律法规与本协议列明的其他禁止性信息；您不应以不正当方式帮助他人提升信用或利用评价权利对其他用户实施威胁、敲诈勒索。我们可按照本协议及考拉海购海外站规则的相关规定对您实施上述行为所产生的评价信息采取删除信息、账号限权等处置措施。
In order to ensure that the evaluation content can provide reliable basis for consumers' shopping decisions and reflect the real situation of products and/or services, you shall evaluate in accordance with relevant provisions of the Rules of Kaola's Offshore Website, with the evaluation content that shall be lawful, objective, and true, and relevant to the products and/or services traded and shall not contain any obscenity, pornography, vulgarity, advertising information, or any other prohibitive information specified in a law or regulation or this Agreement; and you shall not help others improve their credit in an improper manner, or use the right of evaluation to threaten or blackmail other users. We may take treatment measures such as deleting information and restricting account privileges for the evaluation information generated from your implementation of the above-mentioned acts pursuant to this Agreement and relevant provisions of the rules of Kaola's offshore website.
4.3交易争议处理
Transaction dispute resolution
【基本原则】您理解并保证，您在使用我们服务过程中遵守诚实信用原则，不扰乱考拉海购海外站的正常交易秩序，如果我们根据您的登录账号下的交易记录及其他相关信息，发现您有以下任一情形的：
[Basic Principles] You understand and warrant that you use our services in accordance with the principle of good faith and will not disturb the normal trading order of Kaola's Offshore Website, and that, if we find, according to the transaction records and other relevant information under your login account, that:
（一）您此前通过考拉海购网站或海外站购买的商品并非用于个人消费或使用用途的；
the products that you previously purchased via kaola.com or kaola.com.hk are not for personal consumption or use;
（二）您此前在考拉海购网站或海外站存在多次（2次及以上）恶意购物行为的，或追求一般购物以外的非合理自用目的或结果，对他人或考拉海购海外站可能造成消极影响的行为；
you have committed malicious shopping for multiple times (twice or more) on kaola.com or kaola.com.hk, or pursue an unreasonable self-use purpose or result other than general shopping, or an act that is likely to have a negative impact on others or the Kaola's offshore website; or
（三）我们有合理理由怀疑您存在违反诚实信用原则的其他行为。
we have reasonable suspicion that you have committed any other act that violates the principle of good faith,
我们有权自行或根据商家的要求拒绝您的购买需求；如您已下达订单的，我们将有权单方面取消订单不予发货或并通知商家不予发货而无需承担任何责任；同时有权视情况冻结您的登录帐号，使之无法通过海外站下达订单、购买商品。您确认并同意，前述管理措施将同样适用于您的关联账号。
we have the right to refuse your purchase request by ourselves or as required by the merchant. If you have already placed an order, we will have the right to unilaterally cancel the order and refuse shipment, or notify the merchant to refuse shipment, without bearing any liability. Meanwhile, we reserve the right to freeze your login account as appropriate so that you cannot place orders or purchase products via Kaola's offshore website. You acknowledge and agree that the above management measures will also apply to your associated account.
【交易争议处理途径】除本协议另有明确约定外，您在交易过程中与其他用户发生争议的，您或其他用户中任何一方均有权选择以下途径解决：
[Transaction Dispute Resolution Approach] Unless otherwise expressly agreed herein, in case of any dispute arising between you and any other user during a transaction, either party has the right to resolve such dispute by:
（一）与争议相对方自主协商；
independently negotiating with the other party;
（二）使用考拉海购海外站经营者和/或关联公司提供的争议调处服务；
using the dispute settlement service provided by the operator and/or affiliated companies of the Kaola's offshore website;
（三）请求消费者协会或者其他依法成立的调解组织调解；
requesting for the mediation from China Consumers Association or any other mediation organization legally established;
（四）向有关行政监督管理部门投诉；
complaining to the relevant administrative supervision authorities;
（五）根据与争议相对方达成的仲裁协议提请仲裁机构仲裁；
referring it to an arbitration agency pursuant to the arbitration agreement reached with the other party for arbitration; or
（六）向相应司法机构提起诉讼。
filing an action with the corresponding judicial organ.
【平台调处服务】如您依据考拉海购海外站规则使用考拉海购海外站经营者和/或关联公司的争议调处服务，则表示您认可并愿意履行我们和/或考拉海购网站客服（下称“调处方”）作为独立的第三方根据其所了解到的争议事实并依据我们和/或考拉海购网站规则所作出的调处决定（包括调整相关订单的交易状态、判定将争议款项的全部或部分支付给交易一方或双方等）。在调处决定作出前，您可选择上述（三）、（四）、（五）、（六）途径（下称“其他争议处理途径”）解决争议以中止我们和/或关联公司的争议调处服务。如您对调处决定不满意，您仍有权采取其他争议处理途径解决争议，但通过其他争议处理途径未取得终局决定前，您仍应先履行调处决定。
[Settlement Service by the Platform] If you use the dispute settlement service provided by the operator and/or affiliated companies of Kaola's offshore website pursuant to the rules of the Kaola's offshore website, it means that you acknowledge and are willing to perform the settlement decision (including the adjustment to the transaction status of relevant order and the determination on paying the disputed amount in full or in part to one or both parties to the transaction) made by the customer service of us and/or kaola.com (hereinafter referred to as the "Settlement Party") as an independent third party based on the facts of the dispute that it knows and the rules of us and/or kaola.com. Before the settlement decision is made, you may resolve the dispute via the above approach (3), (4), (5) or (6) (hereinafter referred to as "Other Dispute Resolution Approach") to suspend the dispute settlement service provided by us and/or affiliated companies. If you are not satisfied with the settlement decision, you still have the right to resolve the dispute via Other Dispute Resolution Approach, provided that you shall still perform the settlement decision before you obtain a final decision via Other Dispute Resolution Approach.
4.4信息交流

为满足用户间分享购物心得等信息交流需求，您可通过考拉海购网站及/或海外站提供的问答、晒单分享、群组及其他信息发布功能公开发布信息及与其他用户互动，信息的形式包括文字、图片、视频、直播内容等，您须确保您所发布的所有信息均符合相关法律法规及本协议的要求。
In order to meet the needs of information exchange between users such as sharing shopping experience, you may publish information and interact with other users via the information publishing functions, such as Q&A, unboxing, and grouping, provided on kaola.com and/or kaola.com.hk, in the form of text, picture, video, live-broadcasting content, etc., and you must ensure that all information that you publish meets the requirements of relevant laws and regulations and this Agreement.
4.5贸易限制
Trade Restrictions
针对通过考拉海购海外站取得的商品、服务、软件或技术（包括我们及其关联公司提供的软件或技术），您承诺遵守所有适用的进出口管制、贸易限制与经济制裁相关法律法规。基于维护考拉海购海外站交易秩序及交易安全的需要，如您违反前述承诺的，我们可在发现上述情形时主动执行关闭相关交易订单及作出账号处置等操作。您确认并同意，前述管理措施将同样适用于您的关联账号。
In terms of the products, services, software, or technologies (including the software or technologies provided by us and our affiliated companies) obtained via the Kaola's offshore website, you undertake to abide by all applicable laws and regulations related to import and export control, trade restriction, and economic sanction. Based on the need to maintain the trading order and transaction security of the Kaola's offshore website, if you violate the aforesaid undertaking, we may take the initiative to perform operations such as closing relevant transaction order and making account disposal when we discover the above circumstance. You acknowledge and agree that the aforesaid management measures will also apply to your associated account.
4.6行为规范
Code of Conduct
您在注册及使用考拉海购海外站服务过程中应当遵守诚实信用原则，不得扰乱考拉海购海外站正常交易秩序，您应当确保不从事以下禁止性行为：
In the course of registering and using the services of Kaola's offshore website, you shall follow the principle of good faith and shall not disturb the normal trading order of Kaola's offshore website, and you shall ensure that you will not engage in the following prohibitions:
（一）您购买的商品和/或服务并非用于个人消费或个人用途，包括使用同一账户购买的数量明显超出正常生活消费所需，使用、组织多个账户进行大量购买等；
The products and/or services that you purchase are not for personal consumption or personal use, including the quantity of the products and/or services purchased using the same account obviously exceeding the needs of normal personal consumption and large-scale purchases using or organizing multiple accounts;
（二）您进行不当注册（包括通过各种方式批量注册账号）、恶意购买、恶意维权的；
You conduct improper registration (including registering accounts in bulk by various means), malicious purchase, or malicious rights protection;
（三）无论处于何种目的，编译、反编译、反向工程或者以内置插件程序、劫持域名服务器等方式破坏考拉海购海外站安全、数据安全的；
You conduct compilation, decompilation, or reverse engineering, or undermine the security of Kaola's offshore website and data security by built-in plug-in program, domain name server hijacking, or any other means for whatever purpose;
（四）使用外挂和/或利用程序漏洞获得利益的；
You obtain benefits using plug-ins and/or exploiting program vulnerabilities;
（五）假冒考拉海购海外站经营者或其关联公司或商家发布诈骗、虚假信息的；
You pose as Kaola's offshore website operator or an affiliated company thereof or a merchant to publish fraudulent and false information;
（六）利用考拉海购海外站传播恶意程序或者计算机病毒的；
You spread malicious programs or computer viruses using Kaola's offshore website; and
（七）我们有合理理由怀疑您存在违反考拉海购海外站适用法律法规、公序良俗、诚实信用原则的其他行为。
We have reasonable suspicion that you commit other acts that violate the laws and regulations or the principle of public order and good customs or of good faith which are applicable to Kaola's offshore website.
我们一旦发现前述情形可采取关闭订单、限制交易、删除信息、账号限权、终止服务等处理措施。
We may take treatment measures such as closing orders, restricting transactions, deleting information, restricting account privileges, and terminating services, once the aforesaid circumstances are discovered.
同时，为维护考拉海购海外站的正常运行秩序及运行效率，未经我们和/或其关联公司许可，任何人不得自行、授权或协助第三方对考拉海购海外站及其系统进行地址扫描、网络端口扫描、操作系统探测等扫描和/或探测，或以包括通过机器人、蜘蛛等程序或设备监视、复制、传播、展示、镜像、上载、下载等方式擅自获取、使用考拉海购海外站内的任何内容。
Meanwhile, in order to maintain the normal operation order and operation efficiency of Kaola's offshore website, without the permission of us and/or our affiliated companies, no one may conduct address scan, network port scan, operating system detection, or other scans and/or detections against Kaola's offshore website and its systems by himself or herself or authorize or assist a third party to do so, or, without authorization, monitor, copy, disseminate, display, mirror, upload, download, or otherwise obtain or use any content in Kaola's offshore website through the programs or devices such as robots and spider.
4.7责任限制
Limitation of Liability
【不可抗力及第三方原因】我们依照法律规定履行基础保障义务，但对于下述原因导致的合同履行障碍、履行瑕疵、履行延后或履行内容变更等情形，您同意我们不承担违约责任，但我们将尽合理努力尽快恢复正常运作并止损：
[Force Majeure and Third-party Reasons] We perform our basic guarantee obligations in accordance with the law, provided that you agree that we are not liable for any impediment to, defect of, delay in, content change to, or other circumstance for the performance of this Agreement due to the following reasons, but we will use reasonable endeavors to resume normal operation and stop loss as soon as possible:
（一）因自然灾害、罢工、暴乱、战争、政府行为、司法行政命令等不可抗力因素；
force majeure factors such as natural disasters, strikes, riots, wars, government actions, and judicial and administrative orders;
（二）在考拉海购海外站已尽必要管理的情况下，定期检查或施工，更新软硬件而造成的常规或紧急服务中断，或突发性的软硬件设备与电子通信设备故障；
in the case that Kaola's offshore website has made every necessary endeavor in the management, regular inspection or construction, regular or urgent service outages caused by software and hardware updates, or sudden failures of software and hardware equipment and electronic and communication equipment;
（三）在我们已尽善意管理的情况下，因常规或紧急的设备与系统维护、设备与系统故障、网络信息与数据安全等因素。
in the case that we have exercised the utmost good faith in the management, factors such as regular or urgent equipment and system maintenance, equipment and system failures, and network information and data security;
（四）网络服务提供商线路故障或其他超出我们合理控制范围的第三方行为造成服务器遭受损害，无法正常运作。
failing of servers to normally operate due to the damage to the servers caused by line faults of the network service provider or by other third-party actions beyond our reasonable control;
（五）在紧急情况之下依照法律的规定而采取的措施；
(measures taken in accordance with the provisions of the law in case of an emergency;
（六）因您提供的身份信息不完整或不准确而导致的通关失败，或因商品违反有关法律规定、您自身相关原因导致所购买的商品被海关扣留；
customs clearance failure due to incomplete or inaccurate identity information provided by you, or customs detention of the purchased products due to a violation of the provisions of relevant laws or your own reasons; and
（七）您与其它任何第三方的纠纷。
disputes between you and any other third party.
【海量信息】您了解我们提供的考拉海购海外站作为您获取商品或服务信息、物色交易对象、就商品和/或服务的交易进行协商及开展交易的非物理场所，您理解我们无法控制交易所涉及的商家提供的商品的质量、安全及商品信息的真实性或准确性，以及交易各方履行其在贸易协议中各项义务的实际能力。您应自行谨慎判断确定相关商品及/或信息的有效性，并自行承担因此产生的责任与损失。
[Mass Data] You know that Kaola's offshore website offered by us is not a physical location for you to obtain information about products or services, look for trading objects, and negotiate and conduct transactions on products and/or services, and you understand that we cannot control the quality or safety of the products, and the authenticity or accuracy of the products information provided by the merchants involved in the transactions, as well as the actual ability of all parties to the transaction to fulfill their obligations under the trade agreement. You shall use your own discretion in determining the validity of relevant products and/or information, and bear the liability and loss arising therefrom.

（二）政治宣传、封建迷信、淫秽、色情、赌博、暴力、恐怖或者教唆犯罪的；
involving political propaganda, feudal superstition, obscenity, pornography, gambling, violence, terror or abetting a crime;
（三）欺诈、虚假、不准确或存在误导性的；
being fraudulent, false, inaccurate or misleading;
（四）侵犯他人知识产权或涉及第三方商业秘密及其他专有权利的；
infringing upon the intellectual property rights of others or involving trade secrets and other proprietary rights of a third party;
（五）侮辱、诽谤、恐吓、涉及他人隐私等侵害他人合法权益的；

六、用户的违约及处理

6.1违约认定
Breach Determination
发生如下情形之一的，视为您违约：
You shall be deemed to have breached under any of the following circumstances:

You violate relevant laws and regulations in using the services of Kaola's offshore website; or
（二）违反本协议或本协议补充协议（即本协议第2.2条）约定的。
You violate the provisions of this Agreement or the supplementary agreement hereto (i.e., Article 2.2 hereof).
您理解并认可，基于互联网服务的特点，我们将利用大数据分析和人工抓取相结合的方式，对用户的行为进行抓取、分析和判断。我们仅需要证明用户行为与普通用户比较，存在明显异常且该异常与违规之间存在关联性，即可认定用户存在涉嫌违约行为。用户有义务在指定时间内提供证据合理解释其行为。如我们认定用户对异常行为的解释不合理或举证不充分，您理解和同意我们可认定用户违约成立并最终依照本协议及相关规则进行处理。
You understand and acknowledge that based on the characteristics of Internet services, we shall capture, analyze, and judge a User's behavior by using the combination of big data analysis and artificial capture. We can determine that a User has committed a suspected breach if only we prove that such User's behavior is obviously abnormal compared with that of ordinary users and that there is a correlation between such abnormality and violations. Such User has the obligation to provide evidence within the designated time to reasonably explain its behavior. If we determine that the User's explanation of the abnormal behavior is unreasonable or the evidence provided is insufficient, you understand and agree that we may determine the breach by the User and will eventually handle such breach pursuant to this Agreement and relevant rules.
6.2违约处理措施

【行为限制】您在考拉海购网站上实施的行为，或虽未在考拉海购海外站实施但对考拉海购海外站及其用户产生影响的行为构成违约的，我们可依据本协议及相关规则对您执行账号限权、限制交易、关闭订单、中止向您提供部分或全部服务等处理措施。如您的行为构成根本违约或造成严重后果的，我们可查封您的账号，终止向您提供服务。
[Behavioral Restrictions] Where your behaviors on Kaola's offshore website, or behaviors that are not performed on Kaola's offshore website but have an impact on Kaola's offshore website and its users constitute a breach of contract, we may take the processing measures such as restricting your use of account permissions, restricting transactions, closing orders, and suspending the provision of some or all services to you pursuant to this Agreement and the relevant rules. Where your behavior constitutes a fundamental breach or causes serious consequences, we may seize your account and terminate the services provided to you.

您理解并同意，上述违约处理措施将同样适用于您的关联账号。
You understand and agree that the aforementioned breach handling measures will also apply to your associated account.
6.3赔偿责任
Liability for Damages
如您的行为使我们和/或其关联公司、支付宝公司遭受损失（包括自身的直接经济损失、商誉损失及对外支付的赔偿金、和解款、律师费、诉讼费等间接经济损失），您应赔偿我们和/或其关联公司、支付宝公司的全部损失。
If your behavior causes losses to us and/or our Affiliated Companies and Alipay (including direct financial losses, loss of goodwill and external payment of damages, payment under settlement agreement, attorney's fees, legal costs, and other indirect financial losses), you shall be liable for all losses sustained by us and/or our Affiliated Companies, and Alipay.
如您的行为使我们和/或其关联公司、支付宝公司遭受第三人主张权利，我们和/或其关联公司、支付宝公司可在对第三人承担金钱给付等义务后就全部损失向您追偿。
If a third party asserts its right against us and/or our Affiliated Companies and Alipay due to your behavior, we and/or Affiliated Companies, and Alipay may recover all losses from you after assuming obligations such as monetary payment to such third party.
如因您的行为使得第三人遭受损失或您怠于履行调处决定，您同意我们和/或其关联公司有权出于社会公共利益保护目的、使用自有资金代您偿付相关款项，您应当向我们和/或其关联公司返还该代偿费用并赔偿因此给我们和/或其关联公司造成的全部损失。
If a third party sustains losses due to your behavior or you are indolent in fulfilling the settlement decision, you agree that we and/or Affiliated Companies have the right to use our and/or their own funds to make the relevant payments on your behalf for the purpose of protecting social public interest, and you shall refund such payments to us and/or our Affiliated Companies and be liable for all the losses sustained by us and/or our Affiliated Companies as a result thereof.
6.4特别约定
Special Covenants
【商业贿赂】如您向我们和/或其关联公司的雇员或顾问等提供实物、现金、现金等价物、劳务、旅游等价值明显超出正常商务洽谈范畴的利益，则可视为您存在商业贿赂行为。发生上述情形的，我们可立即终止与您的所有合作并向您收取违约金和/或赔偿金，该等金额以我们因您的贿赂行为而遭受的经济损失和商誉损失作为计算依据。
[Commercial Bribery] If you provide employees or consultants of us and/or our Affiliated Companies with physical objects, cash, cash equivalents, labor services, tourism, and other interests of which the value is obviously beyond the scope of normal business negotiation, your behavior may be deemed as commercial bribery. In case of the aforementioned circumstance, we may immediately terminate all cooperation with you and collect from you liquidated damages and/or damages in the amount calculated based on financial losses and loss of goodwill sustained by us due to your bribery.
【关联处理】如您因严重违约导致我们终止本协议时，出于维护平台秩序及保护消费者权益的目的，我们和/或其关联公司可对与您在其他协议项下的合作采取中止甚或终止协议的措施，并以本协议约定的方式通知您。
[Associated Processing] If we terminate this Agreement due to your material breach, for the purposes of maintaining the order of the platform and protecting the rights and interests of consumers, we and/or Affiliated Companies may take measures to suspend or even terminate the cooperation with you under other agreements and notify you in the manner agreed herein.
如我们与您签署的其他协议及我们和/或其关联公司、支付宝公司与您签署的协议中明确约定了对您在本协议项下合作进行关联处理的情形，则我们将出于维护平台秩序的目的，可在收到指令时中止甚至终止协议，并以本协议约定的方式通知您。
If other agreements signed by us with you and the agreement signed by us and/or our Affiliated Companies, and Alipay with you clearly stipulates the circumstances in which your cooperation hereunder shall be subject to associated processing, then we may suspend or even terminate this Agreement upon receipt of relevant instructions for the purpose of maintaining the order of the platform and notify you in the manner agreed herein.
七、协议的变更
Modifications of the Agreement
您理解并同意我们可根据适用的法律法规变化及维护交易秩序、保护消费者权益需要，不时修改本协议、补充协议，变更后的协议、补充协议（合称“变更事项”）将通过页面公告通知您。
You understand and agree that we may modify this Agreement and supplementary agreements from time to time based on changes in applicable laws and regulations, and the need to maintain trading order and protect consumers' rights and interests, and we will notify you of the changed agreement and supplementary agreements ("Changed Matters" collectively) by releasing an announcement on the webpage.
如您不同意变更事项，您有权于变更事项确定的生效日前通过本协议约定方式联系我们反馈意见。如反馈意见得以采纳，我们将酌情调整变更事项。
If you do not consent to the Changed Matters, you have the right to contact us and give us feedback through the method agreed herein prior to the effective date of the Changed Matters. If your feedback is adopted, we will adjust the Changed Matters when appropriate.
如您对已生效的变更事项仍不同意的，您应当于变更事项确定的生效之日起停止使用考拉海购海外站服务，变更事项对您不产生效力；如您在变更事项生效后仍继续使用考拉海购海外站服务的，则视为您同意已生效的变更事项。
If you still dissent to the Change Matters that have taken effect, you shall stop using services of Kaola's offshore website from the determined effective date of the Changed Matters, and the Changed Matters are not binding upon you; if you continue to use services of Kaola's offshore website after the Changed Matters take effect, you shall be deemed to have consented to the effective Changed Matters.

九、协议的终止

9.1终止的情形
Circumstances of Termination
【用户发起的终止】您有权通过以下任一方式终止本协议：
[Termination by the User] You have the right to terminate this Agreement in any of the following manners:
（一）在满足考拉海购网站公示的账号注销条件时您通过网站自助服务注销您的账号的；
You cancel your account through website self-service when you meet account cancellation conditions publicized at Kaola's official website;
（二）变更事项生效前您停止使用并明示不愿接受变更事项的；
You stop using the Changed Matters and make it clear that you are unwilling to accept the Changed Matters before they take effect; or
（三）您明示不愿继续使用考拉海购海外站服务，且符合终止条件的。
You make it clear that you are unwilling to continue to use services of Kaola's offshore website, and meet the conditions for termination.
【我们发起的终止】出现以下情况时，我们可以本协议所列的方式通知您终止本协议：
[Termination by Us] We may terminate this Agreement through notifying you in the manner listed herein under any of the following circumstances:
（一）您违反本协议约定，我们依据违约条款终止本协议的；
If you violate the provisions of this Agreement, we terminate this Agreement according to the breach clause hereof;
（二）您盗用他人账号、发布违禁信息、骗取他人财物、售假、扰乱市场秩序、采取不正当手段谋利等行为的；
You steal other person' account, release prohibited information, defraud other person's property, sell fake products, disrupt market order, and take improper means to seek profits;
（三）除上述情形外，因您多次违反考拉海购网站或海外站规则相关规定且情节严重，我们或关联公司依据相应规则对您的账号予以限制或查封的；
In addition to the aforementioned circumstances, we or our Affiliated Companies restrict or seize your account according to the corresponding rules because you have repeatedly violated the relevant provisions of Kaola's official website or offshore website rules and the circumstances are serious;
（四）您的账号被我们关联公司依据相应协议回收的；
Your account is recovered by our Affiliated Companies according to the corresponding agreement; or
（五）其他应当终止服务的情况。

9.2协议终止后的处理
Processing upon Termination of the Agreement
【用户信息披露】本协议终止后，除法律有明确规定外，我们无义务向您或您指定的第三方披露您账号中的任何信息。
[Disclosure of User Information] Upon termination of this Agreement, we have no obligation to disclose any information pertaining to your account to you or a third party designated by you, unless expressly stipulated by law.
【历史违约行为】对于您过往的违约行为，我们仍可依据本协议向您追究违约责任。
[Historical Breaches] In respect of your prior breaches, we may still hold you liable for breach of contract pursuant to this Agreement.
【交易处理】本协议终止后，对于您在本协议存续期间产生的交易订单，我们可通知交易相对方并根据交易相对方的意愿决定是否关闭该等交易订单；如交易相对方要求继续履行的，则您应当就该等交易订单继续履行本协议及交易订单的约定，并承担因此产生的任何损失或增加的任何费用。
[Transaction Processing] Upon termination of this Agreement, in respect of your transaction orders arising during the existence hereof, we may inform the counterparties to such transactions and decide upon whether to close such transaction orders based on the intention of such counterparties. If a counterparty requires you to continue to perform such order, you shall continue to perform the provisions of this Agreement and such transaction order, and shall be liable for any losses or any increased costs arising therefrom.

Governing Laws, Jurisdiction, and Miscellaneous
【可分性】本协议任一条款被视为废止、无效或不可执行，该条应视为可分的且并不影响本协议其余条款的有效性及可执行性。
[Severability] Where any provision of this Agreement is deemed to be annulled, invalid, or unenforceable, such provision shall be deemed to be severable and shall not affect the validity and enforceability of the remaining provisions hereof.
【协议生效】在您阅读并同意本协议条款后，或您以其他我们允许的方式实际使用考拉海购海外站服务时，您即受本协议及所有有关规则的约束。
[Effectiveness of the Agreement] After you read and agree to the terms of this Agreement, or when you actually use services of Kaola's offshore website in other manners allowed by us, you shall be bound by this Agreement and all relevant rules.
【法律适用】本协议之订立、生效、解释、修订、补充、终止、执行与争议解决均适用中华人民共和国大陆地区法律；如法律无相关规定的，参照商业惯例和/或行业惯例。
[Governing Laws] The conclusion of this Agreement, its effectiveness, interpretation, amendment, supplement, termination, implementation, and dispute resolution shall be governed by the laws of the mainland of the People's Republic of China. If there are no relevant provisions in such laws, reference shall be made to commercial and/or industry practices.
【管辖】您因使用考拉海购海外站服务所产生的及与考拉海购海外站服务有关的争议，由HQG,Limited与您协商解决，协商不成时，任何一方均可将争议提交中国国际经济贸易仲裁委员会由三名仲裁员根据其现行有效的仲裁规则进行仲裁。
[Jurisdiction] Any dispute arising from your use of services of Kaola's offshore website and in connection with services of Kaola's offshore website shall be resovled by HQG, Limited through consultation with you. Where such consultation efforts fail, either party may submit such dispute to the China International Economic and Trade Arbitration Commission for arbitration by three (3) arbitrators in accordance with the current valid arbitration rules of such Commission.
您因订购、使用自营商品所产生的及与自营商品有关的争议，由争议所涉自营商品对应的自营商家与您协商解决，协商不成时，任何一方均可将争议提交中国国际经济贸易仲裁委员会由三名仲裁员根据其现行有效的仲裁规则进行仲裁。
Any dispute arising from your ordering and use of self-operated products and in connection with self-operated products shall be resolved by the merchant corresponding to the self-operated goods involved in such dispute through consultation with you. If such consultation efforts fail, either party may submit such dispute to the China International Economic and Trade Arbitration Commission for arbitration by three (3) arbitrators in accordance with its current valid arbitration rules of such Commission.
