User Agreement on Alibaba.com Machine Translation Service

Important Notice: Welcome to use Alibaba.com Machine Translation service (“Service”). Before using the Service, please carefully read through the User Agreement on Alibaba.com Machine Translation Service (“Agreement”). By using the Service, you agree that you have fully read and understood, and agree to be bound by, all contents of this Agreement. If you do not agree with any term of this Agreement, please do not use the Service. In addition, you shall comply with relevant rules and agreements of Alibaba.com, including the terms of use and privacy policy.

The title to, right to operate and right to manage the Service shall belong to Hangzhou Alibaba International Digital Commerce Co., Ltd. and its affiliates (collectively “Alibaba”). Alibaba may amend this Agreement, which amendment shall come into effect on the date specified in the announcement, but no earlier than 7 days after such announcement is made. You agree to regularly review this Agreement in order to check such amendments, and your continued use of the Service will be deemed as your acceptance of the amended Agreement.

Article 1  Definition

The Service is a multi-language translation service to users and developers, including but not limited to language identification, text translation and other machine-based translation services.

Article 2  User Obligations

1.        By using the Service, you undertake to comply with the laws and regulations of the relevant jurisdiction, international practices and treaties, and relevant rules and agreements, and to use the functions of the Service only for legal purposes without infringement upon any third party’s legitimate rights and interests.

2.        You undertake not to conduct, or attempt to conduct, any act infringing the intellectual property rights of Alibaba.

3.        You undertake not to damage or attempt to damage the cyber security.

4.        If you breach any of the above obligations, you shall be solely liable for all relevant legal liabilities incurred thereby. If Alibaba is held liable for your such breach, all relevant liabilities, losses and other adverse consequences suffered by Alibaba shall be borne by you.

5.        By inputting, posting, displaying, submitting, storing, sending or receiving any voice message, text or document (collectively, “User Contents”), you grant a worldwide, perpetual, royalty-free and irrevocable license to Alibaba to collect, use, host, store, copy, modify, translate or create derivative works from the User Contents, only for the purpose of making improvements of the Service by Alibaba and any third party engaged by it. You warrant and confirm that you have full legal and valid rights necessary to grant the above license.

Article 3  Disclaimers

1.        The Service generates translations by developing models based on machine learning algorithms and studying the characteristics of language materials. Such translations are provided by the Service automatically, and are not the results of manual sorting and editing. Accordingly, Alibaba disclaims any and all warranties regarding the accuracy and legality of any translation rendered, including all legal liabilities arising from any error or omission in, or any inappropriateness of, the translations generated by the Service, except as otherwise expressly provided by applicable laws. Your use of the Service is at your own sole risk and liability.

2.        By automatically generating translations based on the User Contents, neither the Service nor Alibaba approves any such User Contents or the translations. Except as expressly stipulated by laws, Alibaba bears no liability for any infringement or other violation of laws and regulations owing to the User Contents or the translations hereunder, or for any losses arising out of any dispute, action or arbitration relating thereto.

3.        Alibaba respects and protects the personal privacy of all users of the Service. Please be reminded that no User Content entered by users in using the Service will be deemed as their personal data.

4.        Alibaba will use its best endeavors to ensure the stability of the Service, provided however that, Alibaba shall not bear any liability or obligation for any dispute or loss incurred by any user a result of any failure to provide the Service due to any system or service failure or any other force majeure event. Alibaba reserves the right, upon announcement or notice, to suspend all or any part of the features of the Service for maintenance, upgrading or other purposes, and to request users to pay reasonable fees for their use of the Service in the future.

5.        The Service may be provided by a third-party provider designated by Alibaba.

Article 4  Notice of Infringement

If you find that the Service infringes upon your intellectual property rights, you, as the right owner, may send a written notice to Alibaba, in which case Alibaba will delete or modify machine translations in accordance with applicable laws and regulations and normative government documents. In order for Alibaba to handle the notice from the right owner in an efficient manner, please provide such notice in writing that meets the following requirements:

1.        Please provide proof of the right owner’s ownership of trademark right, copyright and/or other legally enforceable right over the allegedly infringing content;

2.        Please fully and clearly describe the allegedly infringed legitimate rights and interests of the right owner, and provide the infringing User Content and its corresponding translation;

3.        Please expressly specify that the allegedly infringing translation infringes the legitimate rights and interests of the rights owner specified under the above item 2;

4.        Please provide contact details of the right owner, including real name and a copy of his/her ID card or passport (in the case of a natural person), a copy of its entity registration certificate (in the case of an entity), mailing address, telephone number, fax number and email address;

5.        Please include into the notice of infringement the following statement regarding the authenticity of its content:

(1)     I am the legal right owner of the allegedly infringed right;

(2)     The relevant contents under the Service specified in my notice of infringement have infringed upon my legitimate rights and interests;

(3)     I hereby confirm that, if any information in this notice of infringement is not true, I will bear all legal liabilities arising therefrom.

6.        Please include the following statement in the notice of infringement:

“I represent and warrant that the information in this notice of infringement is complete, true and accurate, and that I am the legal right owner of the allegedly infringed right” or “I represent and warrant that the information in this notice of infringement is complete, true and accurate, and that I have been authorized to enforce the rights and interests as specified in the above item 2.”

7.        Please sign the notice and, in the case of a duly established institution or organization, affix your official seal;

8.        Please send the notice of infringement containing all information specified in items 1 to 7, relevant materials, and true and accurate contact information in writing to:

The sender of a notice of infringement shall be liable for relevant legal liabilities (including compensation of costs and attorney’s fees) arising from any false statement in such notice. If you are not sure whether the Service has infringed upon your legitimate rights and interests, it is suggested that you consult professionals first.

Article 5  Miscellaneous

1.        If any provision hereof is held invalid or unenforceable, such provision may be severed, and the remaining provisions shall remain legally effective.

2.        With a [7] working days’ prior notice to users, Alibaba has the right to transfer all of its rights and obligations hereunder to its affiliate (which must be a subsidiary, branch or holding company of, or a company directly or indirectly under the common control with, Alibaba) in light of its business operation.

3.        The laws and regulations governing this Agreement and the resolution of disputes hereunder shall be the same as those set forth in the Terms of Use of Alibaba.com.

4.        If you are from mainland China, this Agreement shall be governed by the laws of the People’s Republic of China (“PRC”), and the parties hereby submit to the exclusive jurisdiction of the PRC courts. If you live outside mainland China, this Agreement shall be governed by the laws of Singapore, without regard to its conflict of law rules.

5.        There are multiple language versions of this Agreement. In case of any discrepancies between the Chinese version and any other language version, the Chinese version shall prevail.
