Tmall Global Merchant Service Agreement
Terms and Conditions
服务条款
The Agreement is entered into by and between you ("Merchant") and Taobao China Holding Limited (“Tmall Global”).
本协议由您（下称“商户”）及淘宝中国控股有限公司（下称“天猫国际”）共同缔结。
Tmall Global and Merchant are each referred to as a “Party” and collectively the “Parties”.
天猫国际和商户中的任何一方以下应称为“一方”，合称“双方”。
定义
Unless otherwise defined within the Agreement, the following terms shall have the meanings below:
除非本协议另有注明，以下词语应具有下述含义：
1.1 Alipay means Alipay.com Co., Ltd, Alipay Financial Services (HK) Limited and/or its affiliates.
支付宝：Alipay.com Co., Ltd., Alipay Financial Services (HK) Limited及/或其关联公司。
1.2 Alipay Merchant Accounts means Merchant’s accounts with Alipay Financial Services (HK) Limited.
支付宝商户账户：指商户在Alipay Financial Services (HK) Limited的账户。
1.3 Cainiao means Hangzhou Cainiao Supply Chain Management Co., Ltd and/or its Affiliates.
菜鸟：杭州菜鸟供应链管理有限公司及/或其关联公司。
1.4 Government Authority means any national, provincial, or local governmental, regulatory or administrative authority, branch or commission or any court, tribunal, or arbitral or judicial body.
政府机构：指任何国家，省级或者地方的政府，监管或者行政机构，分支，或者委员会，或者任何法院，法庭，仲裁或司法机构。
1.5 Laws means any law, regulation, policies, requirements, judgment or order of any Government Authority.
法律：指任何政府机构颁发的法律，法规，政策，要求，判决或者命令。
1.6 Merchant Information means any and all information, materials, documents and supporting documents provided by Merchant to Tmall Global, including without limitations, the Supporting Documents, information uploaded by the Merchant onto the Tmall.hk Website, the Merchant’s contact information, supporting materials provided in accordance with Tmall Global’s testing and sampling inspection requirements.
商户材料：指商户向天猫国际提供的任何及所有的信息、资料、文件及证明材料，包括但不限于入驻证明文件、商户上传至天猫国际网站的信息，商户联系方式、基于天猫国际检测及抽检要求提供的支持材料等。
1.7 Network Information Services and Relevant Software Technology Services means information and software technology services relating to the network information hosting, the placement of orders, and transaction management provided by Tmall Global or its affiliates for Merchant, comprising:
a) product information searches;
b) information hosting (including, without limitation, posting information relating to products, services and reviews on the Tmall.hk Website); and
c) facilitating the execution of purchase agreements with other users of the Tmall.hk Website and transaction management.
网络信息服务及相关软件技术服务：指由天猫国际或天猫国际关联公司为商户提供的网络信息发布、订单生产、交易管理相关的信息与软件技术服务，包括
a) 商品信息搜寻;
b) 信息发布(包括，但不限于在天猫国际网站上发布商品信息、服务信息以及评价信息)；及
c) 协助商户与其它天猫国际网站用户订立采购合同、管理交易。
1.8 PRC Business Days means any day other than a Saturday, Sunday or a public holiday in the PRC when commercial banks are open for business.
中国工作日：除周六、周日和中国公共节假日以外商业银行在中国对外营业的日子。
1.9 Restrictive Measures means actions taken by Tmall Global against Merchant in accordance with this Agreement, including without limitations, takedown of products, deletion of information and content published by Merchant on the Tmall.hk Website, restricting or suspending the provision of Services to Merchant (e.g., block Merchant’s store from showing up in search results or putting Merchant’s store on a watch list) and freeze Merchant’s Alipay Merchant Accounts.
限制性措施：天猫国际根据本协议规定对商户采取的行动，包括但不限于下架，删除商户在天猫国际网站发布的信息内容，对商户实行服务功能限制（如搜索屏蔽、店铺监管等）或停止对该商户提供服务，对商户的支付宝商户账户采取冻结。
1.10 Sub-domain Services means a sub-domain name under the tmall.hk domain name assigned by Tmall Global to Merchant (the “Sub-domain Name”).
二级域名服务：指由天猫国际向商户提供的天猫国际网站域名下一个二级域名（简称，“二级域名”）。
1.11 Tmall.hk Website means the e-commerce platform where Tmall Global provides Internet related services and technical support at www.tmall.hk or such other URL or mobile application or site as amended by Tmall Global from time to time.
天猫国际平台：指由天猫国际提供互联网相关服务及技术支持的电子商务平台网站，网址为www.tmall.hk或依天猫国际根据业务需要不时修改的URL，手机应用程序或者网站。
2. Services
服务
2.1 Tmall Global agrees to provide or cause the provision of, during the Term, the following services to Merchant (the “Services”):
天猫国际同意在协议期间内向商户提供或促使商户被提供以下服务（下称“服务”）：
(a) A Tmall.hk Website merchant account;
一个天猫国际网站商户账户;
(b) Network Information Services and Related Software Technology Services;
网络信息服务及相关软件技术服务；
(c) Sub-domain Services; and
二级域名服务；及
(d) Other services that Tmall Global may from time to time provide to Merchant by itself or through third parties during the term of this Agreement.
天猫国际在协议期间内不时经其或第三方向商户提供的其他服务。
先决条件
3.1 Tmall Global will start providing Merchant with the Services, upon issuing a notice of Service Activation, within fourteen (14) PRC Business Days after Merchant has met all of the following conditions:
天猫国际会在商户满足以下先决条件后的十四（14）个中国工作日内开始提供服务（以发出服务开通通知为示）：
(a) Merchant has clicked “I have read and agreed to the Agreement” to indicate its consent to the terms and conditions of this Agreement online or has otherwise executed this Agreement ;
商户已经通过在线上点击“我已阅读以上协议，立即签署”表示同意本协议或者已签署本协议;
(b) Merchant has met all requirements specified in “Tmall Global Merchant Acceptance Standards” or renewal requirements (in the case of existing Merchants);
商户符合《天猫国际招商标准》或续签标准载列的要求（适用于续签的商户）;
(c) all supporting documents requested by Tmall Global (the “Supporting Documents”), including but not limited to those relating to brands and categories of products that the Merchant intends to sell, have been provided to, and have been approved by, Tmall Global;
所有天猫国际要求提供的证明文件(下称“入驻证明文件”)包括但不限于拟销售的商品品牌及类目的相关文件已经提交予天猫国际并已经天猫国际审核通过；
(d) Merchant has paid the Annual Fees and Deposit (each as defined below) in full；
商户全数支付年费及保证金(见下文定义)；
(e) Merchant has provided all the information or documents requested by Tmall Global and/or its affiliates in connection with performing their “know your customer” procedures;
商户已经提供了所有天猫国际和/或其关联方要求提供的为了进行其客户尽职调查程序的信息或文件；
(f) Merchant has executed the agreements with Alipay，Cainiao and all other required ancillary agreements with Tmall Global’s affiliates in order to operate Merchant’s store on Tmall.hk Website, including but not limited to:
商户已与支付宝，菜鸟签署相关协议及与天猫国际关联公司签署其他在天猫国际网站上开店必要的配套协议，包括但不限于：
(i) Tmall User Product Promotion Cooperation Agreement and related ancillary agreements;
《天猫权益类产品推广合作协议》及配套协议；
(ii) Import Services Agreement and related ancillary agreements;
《进口代理服务协议》及配套协议；
(iii) Cainiao Logistics Service Agreement and related specific service terms菜鸟物流服务协议和具体服务条款；
(iv) the Alipay Service Contract and Alipay Merchant Account Service Agreement; and
支付宝服务协议以及支付宝商户账户服务协议；并且
(g) Merchant has never been terminated by Tmall Global or breached any agreement with Tmall Global.
商户没有发生过被天猫国际清退或违反与天猫国际的协议的情形。
3.2 Conditions Precedent not Satisfied. If Merchant fails to satisfy any of these Conditions Precedent (unless waived by Tmall Global) within fourteen (14) PRC Business Days from the date when Merchant entered into this Agreement, Tmall Global shall have the right to terminate this Agreement immediately without any liabilities to Merchant.
不满足先决条件。如商户在签署本协议后十四（14）个中国工作日内仍未满足天猫国际要求的所有先决条件（且未获得天猫国际豁免），则天猫国际有权立即终止本协议，而且无需对商户承担任何责任。
3.3 Tmall Global reserves the right to revise the “Tmall Global Merchant Acceptance Standards” from time to time. If at any time during the term of this Agreement, Merchant wants to amend any of the Supporting Documents, sell products under additional brands or categories, or expands its operational scope, Merchant must comply with the then current “Tmall Global Merchant Acceptance Standards” and other requirements published on Tmall.hk Website from time to time.
4. Representations, Warranties and Covenants by Merchant
商户陈述,保证和承诺
Merchant represents, warrants and covenants to Tmall Global that:
商户向天猫国际承诺与保证：
(a) It is a company duly incorporated and validly existing and has all necessary corporate power to carry on its business.
其是有效成立，存续的公司，并且有所有的公司权力去经营其业务。
(b) It has the legal capacity and all requisite power and authority to execute this Agreement, perform its obligations hereunder and use the Services.
其拥有合法、完全的能力和授权缔结本协议，履行其在本协议下的义务并使用服务。
(c) It will comply with all applicable Laws, conform to public policy and carry out ethical business practices.
遵守所有适用的法律及社会公共利益及商业道德。
(d) It will comply with all other agreements entered into by Merchant with Tmall Global and/or Tmall Global’s affiliates.
遵守与天猫国际或天猫国际关联公司缔结的其他协议。
(e) It will comply with all Restrictive Measures imposed by Tmall Global in accordance with this Agreement or the Relevant Rules and all the measures imposed by Tmall Global in accordance with Section 5 of this Agreement.
遵守天猫国际根据本协议及有关规则采取的限制性措施以及其他根据本协议第5条采取的措施。
(f) All information supplied by Merchant to Tmall Global:
所有向天猫国际提供的商户材料：
(i) is true, accurate, complete, valid, and not misleading;
真实、准确、完整、有效且没有误导成份；
(ii) if amended, Merchant will notify Tmall Global immediately;
发生任何变更后立即通知天猫国际；
(iii) in relation to its identity, such as email address, contact telephone number, contact address, postal code, are valid, accurate and up-to-date, and Tmall Global and users of Tmall.hk Website will be able to reach Merchant via such information; and
保证提供的身份信息诸如电子邮件地址、联系电话、联系地址、邮政编码等内容的有效性，真实性并且是最新的，保证天猫国际及天猫国际网站其他用户可以通过上述联系方式与商户进行联系；及
(iv) does not infringe upon any third party’s rights and interests.
不侵犯任何第三方权益。
(g) It has met and will continue to meet all the requirements under “Tmall Global Merchant Acceptance Standards”.
商户已经满足并且会继续满足天猫国际招商标准下的要求。
(h) All Merchant Information is true, accurate, complete, valid and not misleading and complies with all applicable Laws and this Agreement, and does not infringe any third party’s rights and interests.
所有的商户材料均为真实、准确、完整、有效且没有误导成份，符合相关法律法规及本协议，且不侵犯任何第三方权益。
(i) Products listed and/or sold by Merchant on the Tmall.hk Website comply with all the applicable standards and Laws of the place of origin, place of original sales destinations and place of import and all applicable Laws relating to the import and export of goods and do not infringe any third party’s rights and interests.
商户在天猫国际网站发布和/或销售的商品符合原产地，销售地，进口地的所有适用的法律以及标准，符合商品出入境的相关管理规定，且不侵犯任何第三方权益。
(j) Merchant shall make sure that all products listed and/or sold by Merchant on the Tmall.hk Website are purchased from legitimate sources and all the records of such purchases (including, without limitation, purchase invoices and authorization letters) (the “Purchase Records”) will be maintained properly and submitted to Tmall Global for review upon request.
商户需要确保在天猫国际网站发布和/或销售的商品是从合法途径采购并且妥善保管所有的采购凭证（包括，但不限于，进货发票和授权函）（以下简称“采购凭证”），并在天猫国际要求时提交给天猫国际审阅。
(k) It shall comply with the measures imposed by regulatory authorities with respect to the takedown, return, recall and destruction of substandard or defective goods; and will indemnify buyers for all damages caused by products sold by Merchant on the Tmall.hk Website.
其会执行监管部门对不合格或存在质量缺陷商品采取的下架、退运、召回、销毁等措施，并对消费者因为商户出售的商品导致的损失履行赔偿义务。
(l) It shall conduct business in good faith, and not carry out on the Tmall.hk Website any fraudulent or malicious acts, engage unfair competition or disturb the normal operations or business processes of the Tmall.hk Website.
其应遵守诚实信用的原则，不在天猫国际网站上进行任何虚假或者恶意的行为，不正当竞争行为或任何恶意扰乱天猫国际网站正常运营或者业务流程的行为。
(m) It will engage Alipay and/or its affiliates to provide payment solutions for all of its transactions on the Tmall.hk Website.
商户只雇佣支付宝及/或其关联公司为其提供其在天猫国际网站达成所有交易的支付方案。
(n) It will engage Cainiao to provide logistic solutions for all of its transactions on Tmall.hk Website.
商户只雇佣菜鸟为其在天猫国际网站达成任何及所有交易的物流解决方案。
(o) It will not directly or indirectly induce or encouraging buyers, to transfer the payments for transactions on the Tmall.hk Website offline or through other payment or settlement channels.
不会直接或者间接引诱或者鼓励买家通过线下或者其他支付或结算渠道支付天猫国际网站的交易。
5. Management of Tmall.hk Website
天猫国际网站的管理
5.1 Tmall.hk Account. Merchant shall not transfer its Tmall.hk Account to any other person or authorize any person to use its Tmall.hk Account without Tmall Global’s prior written consent. Any operations, actions and undertakings made through Merchant’s Tmall.hk Account will be deemed to have been made by Merchant and the Merchant shall be solely responsible for all legal consequences.
天猫国际账户。未经天猫国际书面同意，商户不得向他人转让或授权他人使用其天猫国际账户。通过天猫账户完成的操作、行为以及承诺均视为商户的行为，并且商户独自承担对此产生的责任。
5.2 Website Maintenance and Merchant Management. During the term of this Agreement, Tmall Global shall maintain the operation of the Tmall.hk Website, and shall have the right to impose rules and/or measures on the Merchant with respect to its operations on Tmall.hk Website, including by not limited to:
网站维护及商户管理。 天猫国际应在协议期间内维护天猫国际网站的正常运行。天猫国际有权对商户施加天猫国际网站的运营规则和/或措施，这些规则包括但不限于：
(a) Product Listing Categories and Brands. Tmall Global may, based on the description of business scope set forth in Merchant’s business registration certificate (or the equivalent), the description of the scope set forth in the brand authorization letter obtained by Merchant and the description of Merchant’s storefront on the Tmall.hk Website, and/or the complaints against Merchant filed by third parties, and any updates to these documents, determine and/or adjust the product categories, types, quantity and/or brands of products that Merchant may post on the Tmall.hk Website. Tmall shall only be required to provide the Services where your product categories, types, quantity and/or brands have been approved by Tmall in advance.
商品发布类目和品牌。 天猫国际可以根据商户营业执照（或相当的文件）所载之经营范围、商户取得的品牌授权函里所列的范围、商户在天猫国际网站对自己店铺经营范围的描述以及/或第三方投诉或者该等文件的更新自行决定或调整商户于天猫国际网站有权发布商品的类目、种类、数量和品牌。天猫国际仅在您的商品的类目、种类、数量和品牌经天猫国际审查通过的情况下您提供服务
(b) Standards for Product Quality Control. Tmall Global may develop product quality standards in accordance with Laws of the product’s place of origin, place of sale or location of purchaser, and may develop acceptance rules and testing requirements with respect to types of products in accordance with such standards.
商品质量管控标准。天猫国际可以根据商品生产地、销售地，买家所在地的法律法规颁布天猫国际的商品质量标准，并根据该等标准制定商品类目的准入及检测要求。
(c) Category Management. Tmall Global may impose on the Merchant product acceptance rules and requirements on product listing, traceability and testing for each category.
类目管理。天猫国际可以制定各类目的准入、商品发布、商品溯源及检测要求。
(d) Inspections, Evaluation and Investigation. Tmall Global (or its appointed/authorized third party) and/or independent third party agents engaged by Tmall Global may from time to time conduct tests to determine the authenticity of the documents provided by the Merchant and the quality and authenticity of Merchant’s products and conduct due diligence on the credibility . If the results of such testing demonstrate that any Merchant Information is misleading or forged or the Merchant’s product is defective or not authentic or otherwise falling short of product quality standards set forth by Tmall Global, Merchant shall bear the costs incurred by Tmall Global and/or its affiliates for the sample testing and the preparation of related reports.
抽检、鉴定及调查。天猫国际（或其委托第三方）及/或独立第三方机构可能会不时对商户材料真伪及在售商品质量及真伪进行检验。如果检验结果显示商户材料具有误导性或者造假或商品存在质量瑕疵或证明为假货的，则商户应该承担天猫国际以及其关联方检验及准备相应的检验报告所产生的费用。
(e) Checks and inspection. Tmall Global shall have no obligation to review any Merchant’s transactions or related matters, but may take one or more of the following measures:
查阅及检查。天猫国际没有义务对任何商户的交易行为以及相关事项进行审查，天猫国际可以采取如下措施：
(i) Tmall Global may inspect the Supporting Documents and Purchase Records from time to time, and require Merchant to provide any additional documents as Tmall Global deems necessary under the circumstances.
对商户提供的入驻证明文件和采购凭证进行不定时的检查，并有权在其认为必要的情况下要求商户提供任何额外文件。
(ii) Tmall Global may carry out a review of the Merchant, after receiving a third party’s notice that Merchant has or might have committed an infringement, illegal activity or breach of this Agreement.
当天猫国际收到第三方通知商户存在或者可能存在任何侵权、违法或违反本协议的情况时对商户进行审查。
(iii) Tmall Global may carry out a review of the Merchant when Tmall Global has reason to believe that Merchant transactions or data may be inaccurate or not reflect proper business practices.
当天猫国际有理由认为商户交易或者数据可能不准确或者没有反应正当的业务操作时对商户进行审查。
(iv) Tmall Global may carry out a review of the Merchant when Tmall Global has reasons to believe that Merchant is or may be breaching this Agreement, the Relevant Rules or applicable law, or committing infringement (direct or indirect) of the rights of any third party.
当天猫国际有理由认为商户有存在或者可能存在违反本协议，有关规则或者适用的法律法规的情况或者直接或者间接侵犯第三方权益时，对商户进行审查。
(e) Publication. Tmall Global has the right to publish the following information about Merchant:
公布。天猫国际有权公布商户下述信息：
(i) Merchant’s violation of rules and regulations or breach of this Agreement on the Tmall.hk Website.
商户在天猫国际网站上的违法或违反协议的行为。
(ii) Merchant's information (such as business registration information) on Tmall.hk Website or, at customers’ request, such other information (e.g., Merchant’s contact information) as Tmall Global deems necessary to protect the interests of consumers or to facilitate transactions and resolve disputes between Merchant and consumers, or for compliance with applicable Laws.
天猫国际认为为了保障消费者权益，或者便于消费者与商户联系处理交易及解决交易纠纷相关事宜或者遵守相关的法律的规定有必要在天猫国际网站上公布的商户信息（如商业登记证信息）或根据消费者要求向其披露商户的联系方式等必要商户材料。
(iii) For publicity or for promotional purposes, Merchant’s sales volume for each product, user evaluation information and, during Merchant’s participation in promotional events (including, but not limited to "11.11 shopping festival"), the aggregate transaction volume for the event and the transaction volume of certain types of products or individual products.
天猫国际有权将商户每个商品的销量、用户评价信息对外公示或作宣传推广使用，且在商户参加推广活动期间（包括但不限于“11.11购物狂欢节”等），天猫国际有权对外公示商户店铺的活动总成交额、某类目或某单品的成交额，亦可将上述信息作宣传推广使用。
(f) Content Removal. Tmall Global shall have the right to delete any of the following information or take any other measures that it deems necessary with respect thereto without prior notice to Merchant:
信息删除。天猫国际将有权不通知商户自行删除以下信息或采取其他任何天猫国际认为合适的措施：
(i) information that could be used to avoid payment of Technical Service Fees (as defined below);
以规避技术服务费用（定义见下文）为目的的信息；
(ii) information that could be used to artificially increase Merchant’s ratings or sales volume on the Tmall.hk Website;
以在天猫国际网站上炒作商户的评分、销量为目的的信息；
(iii) information which Tmall Global believes is malicious, misleading, inaccurate or fraudulent in nature;
天猫国际相信存在恶意，误导性的，不正确的或虚假内容的信息；
(iv) information which Tmall Global believes has infringed or may infringe any third party’s rights or interests;
天猫国际相信侵犯或者可能侵犯第三方权益的信息；
(v) information which Tmall Global believes would facilitate malicious bidding or interfere the Tmall.hk Website’s transaction order;
天猫国际相信恶意竞价或其它试图扰乱天猫国际网站正常交易秩序的信息；
(vi) information which Tmall Global believes breaches any applicable Laws, or is defamatory, libelous, threatening or harassing, obscene, objectionable, offensive, sexually explicit, harmful to minors or unrelated to commercial activity;
天猫国际相信违反法律，诽谤、中伤、恐吓或骚扰、猥亵、令人反感、有攻击性、色情或有害于未成年人的或者和商业活动无关的信息；
(vii) any product information which is outside the scope of the brand, category, type or number of product listings that are allowed to be uploaded onto the Tmall.hk Website by Tmall Global;
天猫国际允许商户于天猫国际网站发布商品的品牌、类目、种类和数量以外的商品信息；
(viii) product information which has received complaints by buyers or third parties, or products which have been determined or warned by the competent government authorities to be defective; and
被买家或第三方投诉其商品，或经有管辖权的政府机构认定或警告存在质量问题的商品的信息；和
(ix) information which Tmall Global believes is contrary to public interests or would seriously jeopardize Tmall Global and/or other Tmall.hk Website users’ interests.
天猫国际相信属违反公共利益或可能损害天猫国际和/或其它用户利益的信息。
Tmall Global shall use its reasonable discretion in exercising its rights under this sub-section (f).
天猫国际在行使本条下的权利时应遵循合理裁量的原则。
(g) Information display. Tmall Global may display information relating to promotion events held by Tmall Global and/or its affiliates, consumer protection and/or other content or information designed or produced by Tmall Global on the Merchant storefront.
信息展示。 天猫国际可以于商户店铺内展示天猫国际或者其关联方的推广活动信息、消费者保障内容或其他由天猫国际设计、制作的内容或者信息。
(h) Restrictive Measures. Tmall Global shall have the right to take any Restrictive Measures if Merchant fails to cure any breach under this Agreement or any agreement between the Merchant and an affiliate of Tmall Global to the satisfaction of Tmall Global and its affiliates within the relevant notice periods (if any).
限制性措施。如发生商户违反本协议或者商户和天猫国际关联方的协议的约定并且在违约纠正期内未能以天猫国际以及其关联方满意的方式纠正其违约，天猫国际有权采取任何限制性措施。
6. Buyer Protection.
消费者保障
6.1 Description of Buyer Protection Measures. Merchant represents, warranties and undertakes to Tmall Global and consumers that:

(a) Truthful Description. All the product information that it uploads to the Tmall.hk Website accurately describe the product, and that Merchant shall bear the burden of proof in respect of the accuracy of the description and whether the product match the description of such product. Merchant’s obligations in respect of accurate descriptions shall include:
如实描述。商户上传于天猫国际网站的商品信息与实物相符，并对描述的准确和相符负有举证责任，如实描述义务应涵盖以下内容：
i. all the information displayed on the product listing pages (including, without limitation, text and product images) and all information relating to products (including, without limitations, product details, logistics terms and conditions, postage fees, shipment status, items ancillary to the transaction) that Merchant communicates to buyers via AliWangWang (阿里旺旺) shall be true, accurate, complete, valid, and not misleading.
买家可在该商品的详情页面上直接查看的商品资料，包括但不限于详情页面里的文字描述及商品图片，商户使用阿里旺旺与买家沟通的关于商品的任何及所有信息（包括但不限于商品详情、运输条款、邮费、发货情况、交易附带物件）应该是真实、准确、完整、有效且没有误导成份；
ii. Merchant shall describe in Chinese clearly the manufacturing standard, place of origin, product name, composition, content, applicable users, use precautions, import restrictions and trade restrictions in relation to the products on the product listing page and any other information that consumers would require in order to make an informed purchase decision.
商户须对商品生产标准、原产地、产品名称、成份、适用人群、使用注意事项、入境要求、交易限制等其他消费者购买前需要知道的信息在店铺页面对消费者做出明确的中文说明；
iii. If the Merchant sets up a brand flagship store, a shopping place-type flagship store or an industry-specific shopping place-type store flagship store, the Merchant shall only source products from the trademark holder(s) of the shop brands and the product brands it is authorized to sell.
如商户开设的为品牌旗舰店、卖场型旗舰店或行业卖场型旗舰店，则商户承诺其销售的商品均来自店铺及商品品牌商标持有人。
(b) Overseas Direct Supply. Unless otherwise approved by Tmall Global, all of the products listed on or sold via the Merchant’s store on the Tmall.hk Website shall be sourced from places outside Mainland China and not manufactured for sale in Mainland China. After a buyer has placed an order, the product shall be shipped to the buyer directly from the country or region outside of Mainland China or from a bonded warehouse within China that complies with the PRC Laws with respect to the import of the products purchased via cross-border e-commerce channel, and the buyer shall be provided with the shipment tracking information (from the product’s dispatch to its arrival at the destination). In the event that: (i) a buyer has reason to believe that the Merchant is in breach of this sub-section (b) and files a claim with Tmall Global after failing to reach a settlement with Merchant, and (ii) Tmall Global has determined the case in favor of the buyer, Merchant shall refund to buyer within seven calendar days after such determination: (x) the purchase price and any other fees incurred by the buyer in connection with settling the claim, (y) an additional amount as liquidated damages equal to 100% of the purchase price paid by the buyer, and (z) the shipping fees for purchasing and returning the product;
海外直供。除非经天猫国际同意，商户在天猫国际网站上展示或者销售的商品均采购自非中国大陆地区并且并非为中国大陆地区流通所生产的，消费者下单后，商品从中国大陆以外的国家或地区发出或从符合法律规定保税区仓库发出，且有物流公司提供的从商户发货地到消费者目的地之间完整物流状态信息.当(i)买家有理由相信商户违反本条的规定，买家与商户协商未果，买家向天猫国际申请消费者保障赔付且(ii)天猫国际判定买家赔付申请成立的，商户同意向买家在七个自然日内 (x) 退回其实际支付的商品价款及其他与本次交易和纠纷相关的费用，（y）增加赔偿其受到的损失，增加赔偿的金额为买家实际支付商品价款的一倍，并(z)承担商品购买和退货的物流费用；
(c) Mainland China Return Address. Merchant shall provide an address within Mainland China that is valid at all times during the term of this Agreement to which buyers may return products purchased from Merchant. If Merchant sells products to consumers outside of Mainland China, it shall provide the return address in the country or region where the shipment recipient resides.
中国大陆退货地址。 商户需提供一个在本协议期限内一直有效的中国大陆境内的退货地址供买家退还任何于从商户处购买的商品。如商户向中国大陆外其他地区消费者销售商品的，需提供收货者当地退货地址。
(d) Genuine Products Guarantee. In the event that: (i) a buyer has reason to believe that the products it purchased and received from Merchant through the Tmall.hk Website are counterfeits or infringing goods, or do not conform with the material/ingredient descriptions represented by Merchant, (ii) buyer files a claim with Tmall Global after failing to reach a settlement with Merchant, and (iii) Tmall Global has determined the case in favor of the buyer, Merchant shall refund to buyer within seven (7) calendar days after such determination: (x) the purchase price and any other fees incurred by the buyer in connection with settling the claim, (y) an additional amount as liquidated damages equal to 900% of the purchase price paid by the buyer, and (z) the shipping fees for purchasing and returning the product. Tmall Global may destroy or dispose of any products which buyer has sent to Tmall Global and which have been determined to be counterfeit or infringing goods.
正品保证。当(i)买家购买商户在天猫国际网站出售的商品，在收到货物后，如买家认为该商品为假冒或者侵权商品或假冒材质成份商品，且(ii)买家与商户协商未果，买家向天猫国际申请消费者保障赔付且(iii)天猫国际判定买家赔付申请成立的，商户同意向买家在七个自然日内 (x) 退回其实际支付的商品价款及其他与本次交易和纠纷相关的费用，（y）增加赔偿其受到的损失，增加赔偿的金额为买家实际支付商品价款的九倍，并(z)承担商品购买和退货的物流费用。对买家寄送天猫国际进行判定而被天猫国际判定为假货或者侵权的商品，天猫国际可以销毁或者处置。
6.2 Compensation in advance. If Merchant fails to comply with Section 6.1 and any other undertakings that it made to the consumers or obligations to consumers and was not able to reach a settlement with the buyer, or is otherwise required by any applicable laws or regulations to do so, Merchant hereby authorizes Tmall Global to:
先行赔付：如商户未履行6.1条或其对消费者的承诺或者替他对消费者的义务并且未能和买家就该等纠纷达成一致，或其他任何适用法律法规要求的场景下，商户就此授权天猫国际:
i. based on the relevant materials submitted by the buyer and the Merchant, decide whether Merchant is in breach using its reasonable discretion; and
根据买家和商户提交的相关证据材料行使合理裁量判定商户是否违约；及
ii. if Tmall Global determines that Merchant is in breach, (a) notify Alipay to directly deduct from the Deposit an amount equal to the amount payable to the buyer in accordance with the Relevant Rules or (b) make payments out of Tmall Global’s own funds on behalf of Merchant and have Merchant indemnify Tmall Global against all such payments.
在判定商户违约的情况下，(a)天猫国际有权通知支付宝自商户的保证金中直接划扣根据相关规则应赔付买家的金额支付给买家，(b)天猫国际亦有权使用自有资金代商户向买家进行支付，商户应向天猫国际赔付天猫国际使用自有资金赔付的等额款项。
6.3 Merchant shall indemnify Tmall Global from and against any and all Losses incurred as a result of consumer disputes relating to products sold by Merchant on the Tmall.hk Website and waives any and all claims against Tmall Global relating thereto.
商户应对所有因为商户在天猫国际网站销售的商品产生的消费者纠纷对天猫国际造成的损失进行弥偿，并且同意放弃一切对天猫国际的追偿。
7. Deposit and Alipay Merchant Accounts
保证金及支付宝商户账户
7.1 Deposit.
保证金。
(a) The exact amount of the Deposit payable by Merchant will depend on the category of products that Merchant sells on Tmall.hk Website and the number of jurisdictions that Merchant sells into and is set forth in the Tmall.hk Fee Standards published on Tmall.hk Website.
保证金的具体金额基于商户所经营的商品类目确定和销售的地区数量，以天猫国际网站公示的“天猫国际资费标准”为准。
(b) Merchant shall remit to its Alipay Merchant Accounts the full amount of Deposit (the “Threshold”) within seven (7) PRC Business Days after executing this Agreement to guarantee Merchant’s compliance with this Agreement. Tmall Global will instruct Alipay to freeze the Deposit in Merchant’s Alipay Merchant Accounts before making the Services available to Merchant.
商户需于签署本协议的七（7）个中国工作日内在其支付宝商户账户中缴纳足额的保证金（下称“额度”）用于担保商家对本协议的履行。 天猫国际在为商户开通服务之前将指令支付宝冻结商户的支付宝商户账户内相应的金额作为保证金。
(c) Adjustment or Top-up. Tmall Global shall have the right to adjust the Threshold from time to time during the term of this Agreement. If Tmall Global increases the Threshold or deduct any amount from the Deposit in accordance with this Agreement, Merchant shall, within fifteen (15) calendar days after receipt of notice from Tmall Global, return the amount of the Deposit to its full amount failing which Tmall Global shall have the right to instruct Alipay to freeze Merchant’s Alipay Merchant Accounts for such period as Tmall Global may deem necessary and prohibit Merchant from withdrawing any fund from its Alipay Merchant Accounts.
金额调整或补齐。天猫国际有权在本协议期间随时调整额度。如天猫国际对商户保证金额度进行调整或者天猫国际根据本协议扣除保证金，商户应在收到天猫国际通知的十五（15）个自然日内补足保证金，否则，天猫国际有权指令支付宝对商户支付宝商户账户冻结天猫国际认为必要长的期限并限制商户从支付宝商户账户中取款。
(d) Breach of Agreement and Unlawful Acts. In case of a breach by Merchant of this Agreement, any agreement between Merchant and Tmall Global’s affiliates, any applicable Laws, policies, or representation, warranties or covenants made to any buyer of the Tmall.hk Website, Tmall Global shall have the right to instruct Alipay to directly deduct the amount payable to Tmall Global, its affiliates and/or the consumers from the Deposit (including but not limited to, refunds for products, liquidated damages, damages for breach of contract). Neither Tmall Global nor any of its affiliates shall be liable for any liability that arises out of such deduction.
违约及违法行为。 如商户违反本协议，任何商户和天猫国际关联方之前的协议，任何适用的法律、政策或者对消费者的陈述，申明或承诺，商户同意天猫国际有权利直接通知支付宝在保证金内划扣相应款项对买家或天猫国际或其关联方进行赔付或支付（包括但不限于退还货款、支付违约金和/或赔偿金）。天猫国际与其任何关联公司无需为该等划扣承担任何责任。
7.2 Unfreeze the Deposit. Upon Merchant satisfying the following conditions, Tmall Global shall instruct Alipay to unfreeze the Deposit within ten (10) PRC Business Days after the expiry of three (3) months after the expiration of the term of this Agreement:
保证金解冻。商户符合如下条件的，天猫国际将在协议终止后的第三（3）个月届满后的十（10）个中国工作日内向支付宝发出指令，解除对保证金的冻结：
(a) there is no outstanding case where the Deposit might be deducted to settle amount payable to the buyers or Tmall Global or its affiliates;
商户未有尚未处理完毕的可能需要扣除保证金向消费者或天猫国际或者其关联方支付应付款的情形；
(b) all the transactions between Merchant and consumers have been completed; and
所有的消费者和商户之间的交易已经完结；及
(c) there are no outstanding claims or disputes against Merchant by any buyer or third party.
没有未处理完毕的来自消费者或者第三方的任何投诉或纠纷。
7.3 Alipay Merchant Accounts. Upon the occurrence of any of the following events which causes or might cause Tmall Global to be liable to other parties for an amount that exceeds the balance of the Deposit, Merchant agrees that Tmall Global shall have the right to instruct Alipay to freeze Merchant’s Alipay Merchant Accounts and/or directly deduct any amount payable to Tmall Global, its affiliates and/or consumers by Merchant in accordance with this Agreement from Merchant’s Alipay Merchant Accounts to indemnify Tmall Global for any and all Losses:
支付宝商户账户。发生下述情形，导致天猫国际对第三方支付或赔偿的款项超过保证金（该等支付或赔偿包括实际已经发生的或可能发生的），商户同意天猫国际有权要求支付宝将商户的支付宝商户账户冻结或者 要求支付宝将商户的支付宝商户账户下的款项直接支付给天猫国际以补偿天猫国际，其关联方和/或消费者所遭受的损失：
(a) Merchant becomes bankrupt or insolvent, or enters into liquidation whether compulsorily or voluntarily, or convenes a meeting of its creditors, or has a receiver appointed over all or part of its assets, or ceases for any reason to carry on business;
商户破产或无力偿债，或者进入自愿或者强制的清算，或者召开债权人会议，或者其所有或者部分财产被指定破产监管人或者因任何原因不再经营;
(b) Merchant’s operations on the Tmall.hk Website had rendered Merchant liable for any debt that exceeds the balance of Deposit;
商户因在天猫国际网站或其关联公司网站的经营行为导致其须对外承担高于保证金余额的债务；
(c) Tmall Global made an advance compensation payment to the buyer exceeding the balance of the Deposit at the time of such payment, or Tmall Global suffered a loss in an amount exceeding the balance of Deposit and Merchant has not reimbursed Tmall Global for the compensation payment, or replenished the Deposit within a time reasonably required by Tmall Global; or
天猫国际向买家先行赔付了超出商户的支付宝商户账户在赔付之时的保证金余额或天猫国际遭受的损失高于损失发生之时商户的支付宝商户账户中的保证金余额，且商户未向天猫国际偿付先行赔付费用或未在天猫国际指定的合理时间内补足保证金额度的；或
(d) Merchant has committed a material breach of this Agreement or has otherwise caused material damage to users of the Tmall.hk Website, Tmall Global, or its affiliates.
其他严重违反协议或危害天猫国际买家用户、天猫国际及其关联公司利益的情形。
7.4 Insufficient Funds. In the event that the Deposit is insufficient to cover the amount payable by Merchant pursuant to this Agreement, Merchant shall pay the shortfall directly to the relevant party.
不足赔付。 如保证金不足赔付任何本协议要求商户支付的赔偿时，商户应自行向有关方直接支付不足的赔付金额。
7.5 Authorization. Merchant hereby authorizes Alipay to freeze its Alipay Merchant Accounts for such period as Tmall Global may deem necessary and/or directly deduct any amount from Merchant’s Alipay Merchant Accounts in accordance with this Agreement.
授权。商户在此授权支付宝根据本协议的规定对商户的支付宝商户账户在天猫国际认为有必要长的期限内进行冻结以及/或者扣除相应的金额。
费用
8.1 Technical Service Fees.
技术服务费。
(a) Merchant shall pay technical service fees to Tmall Global as consideration for its use of the Services (the “Technical Service Fees”). The Technical Service Fees consist of “Annual Fee” and “Real-Time Transaction Fee”. Technical Service Fees are exclusive of any taxes, duties or other governmental levies or any financial charges.
商户同意，就其使用的服务向天猫国际支付技术服务费（下称“技术服务费”）。技术服务费包含 “年费”及“实时划扣费”。技术服务费不包含任何税项、关税、政府征费或其他财务费用。
(b) Merchant shall be responsible for paying any taxes, duties, governmental levies or financial charges for the use of the Services in addition to the Technical Service Fees. In the event that Tmall Global is required by any applicable Laws to collect or withhold any taxes or duties, Merchant shall pay any such taxes or duties to Tmall Global in addition to the Technical Service Fees.
除了技术服务费外，商户需自行支付任何因使用服务而产生的任何税项、关税、征费或财务费用。若天猫国际应法律的要求须向商户收取或预扣任何税项或征费，商户需向天猫国际支付在技术服务费外的该等税项或征费。
(c) Tmall Global shall have the right to adjust the Technical Service Fees upon one month’s prior written notice to Merchant.
天猫国际有权对技术服务费标准进行调整，并提前一个月以书面方式通知商户。
8.2 Annual Fee.
年费。
(e) Amount. The exact amount of the Annual Fee payable by Merchant will depend on the category of products that Merchant sells on Tmall.hk Website and are set forth in the Tmall.hk Fee Standards published on Tmall.hk Website.
金额：年费的具体金额基于商户所经营的商品类目确定，以天猫国际网站公示的“天猫国际资费标准”为准。
(f) Payment Terms. Merchant shall pay the full amount of the Annual Fee on a lump sum basis to Tmall Global before the Services are activated. The Services will only be made available to Merchant after Tmall Global has received the full amount of the Annual Fee.
支付条款。年费应由商户在服务开通前一次性向天猫国际缴纳。天猫国际收到年费全额后，服务方可开通。
In case that the Services are activated after January 1, 2020, the amount of Annual Fee payable by Merchant for 2020 shall be prorated, calculated as follows: the amount of the Annual Fee for the entire year divided by 12 months and then multiplied by the total number of months remaining in the year of 2020 at the time of the activation of the Services.
如果服务是在2020年1月1日之后开通，商户需要向天猫国际支付的2020年的年费的计算公式如下：整年的年费总额除以12个月再乘以服务开通之时2020年剩下的月数。
In case that this Agreement is terminated before December 31, 2020, Tmall Global shall return to Merchant the Annual Fee for 2020 on a pro-rata basis (the “Unused Annual Fees”), calculated as follows: the amount of the Annual Fee for the entire year divided by 12 months and then multiplied by the number of months remaining in the year of 2020 at the time of termination of this Agreement. Merchant shall not be refunded any Annual Fee for periods when Merchant’s rights to operate the store on Tmall.hk Website were limited due to its breach of this Agreement and/or Relevant Rules.
如果本协议于2020年12月31日之前终止，天猫国际将会向商户退还相应的部分的2020年的年费（简称，“未使用年费”）。未使用年费计算公式如下：整年的年费总额除以12个月再乘以本协议终止之时2020年剩下的月数。天猫国际就因为商户违反本协议或者相关规则导致其运营店铺的权利受到限制的期间，将不予退还任何年费。
8.3 Real Time Transaction Fees.
(a) Real Time Transaction Fees shall be calculated as a percentage of the transaction amount between Merchant and buyer on the Tmall.hk Website using Alipay, and shall be deducted in real time by Alipay in each transaction carried out between Merchant and buyer. The exact Real Time Transaction Fee rate for each category of products that Merchant sells on Tmall.hk Website is set forth in Tmall.hk Fee Standards published on Tmall.hk Website.
实时划扣费。 实时划扣费以商户与天猫国际网站买家通过支付宝成交金额的指定费率计算，并在商户和买家的每一笔交易的交易额中通过支付宝实时划扣。商户在天猫国际网站上经营的每个类目适用的费率在天猫国际网站上公布的“天猫国际资费标准”载列。
(b) The amount of each transaction concluded by Merchant with buyers on the Tmall.hk Website as recorded in the system of Alipay shall be conclusive and binding for calculating the Real Time Transaction Fees.
实时划扣费以商户与天猫国际网站买家达成每笔交易的交易额为基数。交易额以支付宝系统记录的商户支付宝交易额为准。
(c) In the event that a buyer filed an online application for a refund with Tmall Global and such refund has been remitted to the buyer via Alipay, upon verification of the application, Tmall Global shall return to Merchant the Real Time Transaction Fee that Merchant paid for such returned product. However, Merchant shall not be entitled to any refunds of Real Time Transaction Fees if the return applications are not filed online with Tmall Global, regardless of what evidence Merchant has provided to prove that the product(s) have been refunded.
如买家在线申请退货并且退款已经通过支付宝被支付给买家，而天猫国际证实该申请属实，天猫国际将向商户退还商户对此退还的商品支付的实时划扣费。 如果退货申请不是在天猫国际的线上系统中发起，无论商户提供何种证据证明退货相关的退款确实发生，天猫国际均不退还实时划扣技术服务费。
9. Disclaimers
免责条款
9.1 Tmall Global provides the Services on a “as is” and “as available” basis with all faults and without warranty of any kind, expressed or implied. Merchant acknowledges that Tmall Global shall not be liable for any software defects or, malfunctioning. In no event shall Tmall Global be liable as a result of any events or failure or delay in providing the Services caused by third parties (including, without limitation, Internet connection failure, computer system failures, communication failures, power failures, computer viruses, hacking, strikes, labor disputes, riots, insurrection, riots, fires, floods, storms, explosions and war).
天猫国际服务是按“现状”和“可得到”及所含一切錯誤的状态提供，天猫国际不做任何种类的明示或暗示的担保。商户认可天猫国际不对软件缺陷或者故障承担任何责任。不论在何种情况下，天猫国际均不对因为第三方原因（包括，但不限于，由于Internet连接故障、计算机系统故障、通讯故障、电力故障、电脑病毒、黑客入侵、罢工、劳动争议、暴乱、起义、骚乱、火灾、洪水、风暴、爆炸、战争等）而造成的不能服务或延迟服务或任何事件承担责任。
9.2 To the maximum extent provided by law, in no event shall Tmall Global be liable for any indirect, incidental or consequential damages relating to the Tmall.hk Website, including without limitation, damages for loss of profits, loss of data, business interruption or any other damages or losses however caused.
在法律允许的最大范围内，天猫国际对商户使用天猫国际网站产生的任何间接损失不承担任何责任，包括但不限于，利润的损失，数据的丢失，商业中断或者其他无论什么原因造成的任何损害和损失。
9.3 Tmall.hk Website shall only be used for the purpose of identifying consumers, facilitating negotiations in relation to trade of goods and services, and obtaining various trade related services. Tmall Global’s execution of this Agreement does not indicate that it agrees to be a participant of the transactions between Merchant and third parties on the Tmall.hk Website. Tmall Global is only providing Service to such transactions, and does not expressly or implicitly guarantee or take responsibility for: (i) the legality or effectiveness of the conducts of Merchant and buyers on the Tmall.hk Website, or (ii) the authenticity, legality, quality or fitness for purpose of goods sold on the Tmall.hk Website.
天猫国际网站只能被用来物色消费者，就货物和服务的交易进行协商，以及获取各类与贸易相关的服务。天猫国际签署本协议并不意味着其成为商户在天猫国际网站上与第三方所进行交易的参与者，对前述交易天猫国际仅提供技术服务，且不对(i) 商户和买家在天猫国际网站上的行为的合法性、有效性，或(ii) 天猫国际网站上销售的商品的真实性、合法性、质量或有效性作任何明示或暗示的担保，并且不承担与前述各项有关的任何及全部责任。
9.4 If a third party requests Tmall Global to delete information uploaded by Merchant, claiming that that there has been an infringement, Merchant agrees that Tmall Global shall not be liable for deleting such information even if it is ultimately determined that the third party made such a claim maliciously and failed to prove that the claim is legitimate. Merchant waives any and all claims against Tmall Global and agrees that it shall on its own recover damages from the third party.
当第三方以商户侵权为由要求天猫国际删除商户信息时，商户同意天猫国际对删除行为不承担任何责任，如最终证明第三方为恶意或缺乏权利凭证，商户同意不向天猫国际追究任何责任并自行向第三方进行追责。
10. Intellectual Property and Data
知识产权与数据
10.1 License. Merchant hereby grants Tmall Global a non-exclusive, sub-licensable (only to the affiliates of Tmall Global), worldwide and royalty-free license to use, copy, amend, rewrite, publish, translate, distribute, execute and display any and all information Merchant has provided to Tmall Global or uploaded onto the Tmall.hk Website (including but not limited to trademarks, logos, trade names, texts, software, audios, pictures, videos, graphics, logos, layouts, designs, advertisements and promotional materials)(collectively, the “Merchant’s Intellectual Properties”), to create derivative works from Merchant’s Intellectual Properties, and to incorporate Merchant’s Intellectual Properties into other works in any form or via any media or technology currently known or to be developed in the future, for the purpose of selling, marketing and/or promoting the products of Merchant and the Merchant during the term of this Agreement.
授权。商户在此授予天猫国际非排他的，全球范围的，可再许可的（限于许可给天猫国际的关联方），免费的许可，使用、复制、修订、改写、发布、翻译、分发和展示商户提供给天猫国际或者上传到天猫国际网站的任何信息(包括但不限于商品商标、标识、商业名称、视像、图片、影片、图案、图形、版面设计、外观设计、广告及宣传资料)（统称，“商户的知识产权”），制作其派生作品，和以现在已知或日后开发的任何形式、媒体或技术，将上述信息纳入其它作品内，用以在本协议期间内推广和销售商户的商品和商户。
10.2 Use of Intellectual Property. Merchant shall not, without the prior written approval of Tmall Global, use any intellectual property or information of Tmall Global, users of the Tmall.hk Website or any third party (including but not limited to the trademark, logo, product, technology, software, picture, sound, video, domain name or any proprietary intellectual property published on Tmall.hk Website).
知识产权作品使用。商户在未经天猫国际事先书面批准的情况下不得使用天猫国际网站上任何属于天猫国际或其他天猫国际网站用户之知识产权作品或资料，包括但不限于天猫国际之商标、图案、官方产品、技术、软件、程序、图标、音频、视频、域名或于天猫国际网站上的版权作品。
10.3 Ownership of Data. Tmall Global owns all rights, title, and interest (including but not limited to the copyright, ownership right and usage right) in all data, records, information and materials of any kind, that is created, developed or prepared for or, derived from the Tmall.hk Website and any data and records derived from the transactions on the Tmall.hk Website and browsing by users on Tmall.hk Website (the “Tmall Global Data”). Such Tmall Global Data include but are not limited to the webpages, entire content of texts, software, audios, pictures, videos, graphics, logos, layouts, designs, advertisements and promotional materials. For avoidance of doubt, this section 10.3 shall not in any way affect Merchant’s rights in the Merchant’s Intellectual Properties by providing them to Tmall Global or uploading them onto the Tmall.hk Website.
数据持有权。 天猫国际对天猫国际网站上创建、开发、准备或衍生的任何种类的数据、记录、资料及材料以及天猫国际网站上交易以及用户浏览天猫国际网站衍生的数据和记录拥有所有权利和利益（包括但不限于版权、所有权和使用权）（统称为，“天猫国际数据”）, 其中包括但不限于网页、文字、软件、视像、图片、影片、图案、图形、版面设计、外观设计、广告及宣传资料。商户对商户的知识产权的权利并不会因为商户将其提供给天猫国际或者上传至天猫国际网站而受本条的影响。
对于商户在使用本服务过程中产生的数据，天猫国际尊重并依法保护商户及其他相关主体的数据权利。在此前提下，天猫国际收集、记录的商户在使用本服务过程中及其他天猫国际平台运营过程中所产生的数据的相关权利归属于天猫国际，且是天猫国际的商业秘密。未经天猫国际事先书面同意，商户不得为本协议约定之外的目的使用前述数据，亦不得以任何形式将前述数据提供给他人。
Tmall Global respects and protects Merchant’s commercial information in regard to transaction amount of the Merchant’s store, or of a specific category or commodity. In order to promote the Merchant’s store or commodity, Tmall Global may disclose to the public the total transaction amount of the Merchant’s store, or of a specific category or commodity during its participation in the official marketing events held by Tmall (including without limitation the Double Eleven Shopping Festival), and use such information for advertising and promotion.
天猫国际尊重和保护商户店铺交易额、某类目或某单品的交易额等商户商业秘密信息。为推广商户店铺或其商品，天猫国际可在商户参加天猫国际官方举办的市场活动期间（包括“双十一全球狂欢节”等）对外公示商户店铺的活动总交易额、某类目或某单品的交易额，亦可将上述信息作宣传推广使用。
10.4 Personal Data Protection. Merchant shall comply with the Hong Kong Personal Data (Privacy) Ordinance and all other applicable rules and regulations with respect to personal data protections (collectively, the “Personal Data Protection Laws”) and shall maintain and enforce internal guidelines for data collection and marketing activities to ensure that its policies, procedures and practices comply with the requirements of the Personal Data Protection Laws. Such compliance shall include, without limitation, (a) taking all practicable steps to ensure the accuracy and protection of collected personal data, (b) training employees and agents responsible for handling collected personal data, and (c) contractually requiring third-party data processers to comply with all Personal Data Protection Laws, including by adopting security measures to protect collected personal data.
个人资料保护。商户应遵守香港的《個人資料（私隱）條例》以及其它所有适用的关于个人资料保护的法律法规（以下统称，“个人资料保护法律”）并且维持并执行商户内部的关于数据收集和营销活动的内部规范以确保其政策，程序和操作符合个人资料保护法律的要求。该等合规需包括，但不限于：(a)采取所有合理的步骤保证收集的数据的准确性和安全；(b)培训负责处理收集到的数据的员工和代理；并且(c)通过合同要求第三方数据处理者符合所有关于个人资料保护法的规定，包括采取安全措施保护收集到的数据。
Unless otherwise authorized by the user, the Merchant shall only apply user’s purchase order information and other information necessary for the transaction exclusively for the user’s purchase of commodities or services as specified in Tmall Global Privacy Policy; it is prohibited to use user’s information without the user’s express consent or beyond the user’s authorization or to provide the same to others in violation of laws.
在无用户其他授权的情况下，商户应将用户的订单信息等与交易有关的必要信息仅用于《天猫国际隐私权政策》中约定的为满足用户购买商品或服务、完成售后服务的目的；禁止未经用户明确同意或超出用户授权范围使用其信息或非法向他人提供用户个人信息等。
If the information provided by the Merchant to Tmall Global includes any sensitive personal information, the Merchant warrants that it has obtained the express consent of such individual, and the relevant use and purpose thereof comply with his/her own intentions and the requirements of relevant laws.
商户向天猫国际提交的信息中涉及个人敏感信息的，商户保证其已获得相关个人信息主体的明确同意，相关使用目的与行为符合本人意愿及相关法律的要求。
The Merchant shall use necessary technical measures to ensure data safety, and take remedial measures immediately, promptly notify the user and report to the competent authority in accordance with rules where there is or may be any information security risk.
商户应当采取必要的技术措施保障数据安全，在发生或可能发生信息安全风险时，应当立即采取补救措施，按照规定及时告知用户并向有关主管部门报告。
10.5 Sub-domain Name. Tmall Global shall authorize Merchant to use a sub-domain of the Tmall.hk Website in order to operate the Merchant storefront during the term of this Agreement, provided that Tmall Global may revoke the Merchant’s right to use the sub-domain in the event of breach of law or this Agreement by the Merchant, or suspected infringement of third party rights by the Merchant.
二级域名。在本协议期间，天猫国际会授权商户使用天猫国际网站的一个二级域名供商户运营其店铺使用，但天猫国际在商户违反本协议规定或者违法，或者有侵犯第三方权利的情况下，有权收回商户使用该二级域名的权利。
11. Business Integrity
诚信经营条款
11.1 Merchant shall not and shall cause all of its affiliates not to carry out any of the following actions, directly or indirectly:
商户及商户关联企业不得直接或间接从事如下行为：
(a) provide or imply to provide or assist with or procure the provision of bribery any time in the future to any employees, management members, agents or consultants of Tmall Global or Tmall Global’s affiliates (including, without limitation, any goods, cash, cash equivalents, services, travels) ;
向天猫国际或天猫国际关联企业的雇员，管理层，代理或顾问等提供或暗示在未来任何时候提供或者协助别人提供实物、现金、现金等价物、劳务、旅游等贿赂；
(b) engage in any terrorist-related, money laundering or other illegal activities;
参与任何与恐怖主义相关，洗钱或者其他违法活动；
(c) engage in any dealings with persons whom are the subject of international or national trade or economic sanctions; or
与任何被国际或者国家经济制裁的对象有往来；或
(d) engage in any other conducts that violate business integrity or may affect damage the reputation of Tmall Global or its affiliates.
其他违背诚信经营原则或者可能给天猫国际或天猫国际关联公司声誉造成损失的行为。
11.2 If Merchant breaches this Section 11.1, Tmall Global shall have the right to terminate this Agreement immediately and confiscate all of Merchant’s Deposit as liquidated damages.
商户违反本条约定的，天猫国际有权立即解除本协议并没收商户所有保证金作为违约金。
12. Confidential Information
信息保密
12.1 Confidential Information. “Confidential Information” shall refer to the terms of this Agreement and any information provided by one Party (“Discloser”) to the other Party (“Recipient”) through the course of cooperation (i) identified as “confidential” when disclosed; or (ii) to be understood as confidential in nature by anyone using reasonable commercial judgment. The term “Confidential Information” does not include information which (i) was publicly known and made generally available in the public domain prior to the time of disclosure to the Recipient, (ii) becomes publicly known and made generally available after disclosure to the Recipient through no action or inaction of the Recipient, (iii) is in the possession of the Recipient, without confidentiality restrictions, at the time of disclosure by the Discloser, or (iv) is independently developed by the Recipient without reference to any Confidential Information.
保密信息。 “保密信息” 指本协议的条款以及双方在合作过程中一方（“披露方”）向另一方（“接收方”）提供的（i）披露时说明是“保密”的信息；以及（ii）任何人通过合理商业判断将理解为保密的信息。 “保密信息”不包括以下信息：(i)披露方向接收方披露之前已被公众所知晓或在公共领域通常可由公众所取得的信息；(ii)在向接收方披露后，非因接收方的作为或不作为而成为被公众所知晓或通常可由公众所取得的信息；(iii)在披露方披露之时已由接收方所掌握的、无保密限制的信息；或(iv)系由接收方独立开发而并未参考任何保密信息的。
接收方未经披露方事先书面同意，均不得将披露方的保密信息向任何第三方披露、传播、编辑或展示。双方承诺，本协议终止后仍承担此条款下的保密义务，保密期将另行持续两年。接收方应采取所有合理措施以保护披露方的保密信息免于被未经授权使用或无意披露。
13. Indemnification
补偿条款
13.1 Merchant shall indemnify and hold harmless each of Tmall Global, its affiliates and their respective officers, employees, shareholders and agents from and against any and all losses, claims, damages, liabilities and expenses, including, without limitation, reasonable legal fees and disbursements (collectively, “Losses”), arising out of or in connection with Merchant’s reckless, negligent, willful or fraudulent acts or failure to act and any breach by Merchant (or any person acting on behalf of Merchant) of terms under this Agreement or applicable rules and regulations. The term “Losses” shall include, but not limited to:
商户应对天猫国际以及其关联方和他们各自的管理人员，员工，股东和代理所有因为商户的大意，疏忽，有意而为或者欺诈的行为或者不行为以及商户违反任何本协议下的规定或者法律法规而产生或者相关的任何和所有的损失，索赔，损害，责任和费用（包括，但不限于，合理的律师费和报销）（统称为，“损失”）进行弥偿并使其免于遭受损失。该等“损失”包括，但不限于：
(a) Loss of Tmall Global’s expected revenue;
因商户违约导致天猫国际预期收入的减损；
(b) Any refunds, liquidated damages or compensation that Tmall Global paid to consumers and other third parties;
天猫国际对任何消费者或者其它第三方支付的退款、违约金或赔偿额；
(c) Penalties imposed on Tmall Global as a result of any enforcement actions by administrative authorities against Tmall Global;
天猫国际被执行行政处罚的金额；
(d) Legal fees and other fees and expenses incurred by Tmall Global to eliminate, mitigate and/or otherwise manage the impact on Tmall Global arising out of or related to Merchant’s act or failure to act.
天猫国际支付的律师费用，消除，减轻或者处理因为商户的行为或者不行为对天猫国际造成的影响所支出的费用。
13.2 Unless otherwise agreed, Merchant shall pay Tmall Global liquidated damages at the rate of 1.0% per month over the outstanding amount in respect of any overdue payments.
商户对天猫国际存在任何期限届至而未付的款项时，除另有约定外，商户应自逾期之日起向天猫支付未付款项每个月百分之一的违约金。
14. Term and Termination
协议期限及终止
14.1 Term. For any renewing Merchant that has already opened a store, this Agreement shall become effective on January 1, 2020 and be valid until December 31, 2020. For any new Merchant, this Agreement shall become effective from the date when this Agreement is duly executed by both Parties or from the date Merchant agrees to this Agreement online and remain valid until December 31, 2020.
协议期限。 对于已经开店的续约商户，本协议自2020年1月1日起生效，有效期至2020年12月31日。对于新商户，本协议自各方签署之日或商户在线接受之日起生效至2020年12月31日为止。
14.2 Termination of this Agreement.
协议终止。
(a) Either Party may terminate this Agreement upon prior written notice (“Termination Notice”) to the other Party according to the provision in this clause. Merchant shall have the right to terminate this Agreement through submitting notice via the online platform designated by Tmall Global. However, if Merchant has guaranteed a minimum gross transaction volume and/or other key performance indicators, Merchant shall not unilaterally terminate this Agreement before it has met all the key performance indicators. Unless otherwise agreed, where the Termination Notice is issued by Tmall Global, Tmall Global may, after thirty (30) days from the date of the issuance of the Termination Notice, put Merchant’s store under supervision status without receiving Merchant’s confirmation; and where the Termination Notice is issued by the Merchant, Merchant’s store shall be put under supervision status after thirty (30) calendar days from the date Tmall Global confirms the Termination Notice. This Agreement remains valid after the issuance of the Termination Notice and throughout the supervision status, and shall be terminated thirty (30) calendar days after the start of the supervision status.
协议任何一方均可以根据本条款以提前书面通知的方式终止本协议（终止通知）。商户有权透过天猫国际线上退出平台向天猫国际发出终止本协议的通知，但若在商户向天猫国际承诺了保底交易额和/或其它业务指标，在未满足所有的业务指标前，商户不得行使单方解约权。除非另有约定:如终止通知由天猫国际发出，天猫国际有权在发出终止通知当天的30天后开始监管商户的店铺而无须获得商户确认;如终止通知由商户发出，则天猫国际将在确认终止通知当天的30个自然日后马上开始监管商户的店铺。各方发出终止通知截至监管开始后30个自然日期间，本协议持续生效。本协议将在监管开始后的第30个自然日马上正式终止。
(b) Tmall Global shall have the right to unilaterally terminate this Agreement with immediate effect and confiscate all Deposits as liquidate damages on the occurrence of any of the following events:
如发生如下情形，天猫国际有权立即单方解除本协议，并没收全部保证金作为违约金：
(i) Merchant has committed a material breach of this Agreement and/or any agreement between Merchant and Tmall Global’s affiliate(s);
商户严重违反本协议或者商户和天猫国际的关联方的协议；
(ii) Merchant has failed to correct a breach of this Agreement to the satisfaction of Tmall Global within fifteen (15) calendar days of Tmall Global first giving written notice to Merchant for such breach;
商家在天猫国际通知其已违反本协议的规定的15个自然日内未对该等违约做出让天猫国际满意的补救；
(iii) Merchant provided any false, fraudulent or forged documents or materials to Tmall Global;
商户提交给天猫国际的虚假、欺骗或者假造的文件或者材料；
(iv) Merchant disclosed or used buyer’s personal data in a manner which is not compliant with applicable Laws;
商户非法泄露或使用买家个人信息的；
(v) Merchant breaches any provisions with respect to Deposit or payments of Technical Service Fees under this Agreement;
商户违反本协议下关于保证金和技术服务费的任何条款；
(vi) There has been multiple complaints against the quality of Merchant’s products or services, and Merchant, after being notified by Tmall Global, has not rectified such situation within the cure period reasonably set by Tmall Global;
商户被第三方多次投诉其商品质量或服务质量，经天猫国际通知后，在天猫国际限定的合理期限内未能改善的；
(vii) The amount of Deposit fell below the Threshold and, after being informed by Tmall Global, Merchant has not been able to replenish the fund within the time frame set by Tmall Global;
商户保证金不足额，且未能自行补齐，经天猫国际催缴后仍未能在天猫国际指定时间内补足的;
(viii) Merchant has failed to pay any fees due and payable to Tmall Global and/or its affiliates in full on time within the time frame required by Tmall Global;
商户未能按期全额支付其对天猫国际以及/或者天猫国际的关联方的到期应付款，且在天猫国际规定的时限内仍未支付;
(ix) Merchant becomes bankrupt or insolvent, or enters into liquidation whether compulsorily or voluntarily, or convenes a meeting of its creditors, or has a receiver appointed over all or part of its assets, or ceases for any reason to carry on business;
商户破产或无力偿债，或者进入自愿或者强制的清算，或者召开债权人会议，或者其所有或者部分财产被指定破产监管人或者因任何原因不再经营;
(x) Merchant has not logged into its account with the Tmall.hk Website for more than thirty (30) calendar days; or
商户在超过连续30个自然日的时间内未登录天猫国际网站的；或
(xi) Merchant has failed to meet the preconditions set forth in Section 3.1 of this Agreement or other requirements for it to continue to operate or use the Services on the Tmall.hk Website.
商户无法继续满足本协议3.1条的先决条件或不具备其他在天猫国际网站继续经营或继续使用服务需要满足的要求。
14.3 Supervision status. Once this Agreement has been terminated, Merchant will be put under supervision status in accordance with Section 14.2, this means that Merchant’s store on Tmall.hk Website and all products within the store will not display and consumers will not be able to visit Merchant’s store or view the products within the store. Merchant can only use its Tmall.hk Account for the purpose of settling outstanding disputes and marking payments to Tmall Global, its affiliates, and any consumers or third parties permitted by Tmall Global. Merchant shall settle all the disputes, payments and invoices within thirty (30) calendar days of the start of the supervision status.
监管状态。一旦本协议被终止，则商户的店铺将立即进入“监管”状态，即意味着商户店铺及店铺内所有商品无法显示、消费者无法访问店铺或浏览店铺商品。商户仅可使用其天猫国际账户处理纠纷以及付款予天猫国际，其关联方，天猫国际批准的消费者和第三方。商户需要在监管状态开始的30个自然日内处理完毕所有的纠纷，付款和结账事项。
14.4 Post Termination Matters.
协议终止后事项处理.
(a) After the termination of this Agreement, Tmall Global shall have no obligation to maintain any data or information relating to Merchant (including, without limitation, Merchant’s account with the Tmall.hk Website and its transactions on Tmall.hk Website) or forward any such information to any third parties.
本协议终止后，天猫国际没有义务为商户保留与商户相关的资料或信息（包括，但不限于，商户在天猫国际网站的账户中以及其在天猫国际网站上的交易），或转发任何信息给任何第三方。
(b) Regardless of the cause for the termination of this Agreement, Merchant shall remain fully and solely liable for all of its liabilities accrued prior to the termination of this Agreement。
无论本协议因何原因终止，在协议终止前的行为所导致的任何赔偿和责任，商户必须完全且独立地承担。
(c) Tmall Global shall have the right and sole discretion to decide whether to cancel any outstanding transactions between Merchant and the consumers upon the termination of this Agreement and notify the buyers of the termination of this Agreement.
天猫国际有权自行决定是否取消在本协议解除时商户和消费者还未完成的交易并将本协议终止的情况通知该交易中的买方。
(d) Upon the termination of this Agreement, Tmall Global shall have the right to instruct Alipay to suspend Merchant’s ability to process any transactions through Merchant’s Alipay Merchant Accounts for thirty (30) calendar days for the purpose of settling payments by Merchant to Tmall Global, its affiliates, consumers or third parties arising from outstanding disputes at the time of the termination of this Agreement or that arise after the termination of this Agreement.
本协议终止后，商户同意天猫国际有权通知支付宝将商户的支付宝商户账户余额冻结30个自然日，用于解决本服务协议终止时或者终止后的商户和天猫国际，其关联方，消费者或第三方的之间的纠纷的赔付。
15. General Terms
一般性条款
15.1 Relevant Rules. All the terms, conditions and rules published and to be published by Tmall Global on the Tmall.hk Website (including without limitation, the User Service Agreement, Privacy Policy, Tmall International Service Terms) (collectively, the “Relevant Rules”) shall be an integral part of this Agreement and are incorporated in this Agreement by reference. Tmall Global may, in its discretion, to amend and restate any Relevant Rules from time to time (the “Amended and Restated Relevant Rules”). All Amended and Restated Relevant Rules shall become effective upon publication on the Tmall.hk Website. Merchant’s use of the Services after the publication of the Amended and Restated Relevant Rules shall be deemed as consent by Merchant to accept and be bound by the Amended and Restated Relevant Rules.
有关规则。天猫国际在天猫国际网站上已发布或将发布的条款和规则（包括但不限于“用户服务协议”、“隐私权保护政策”、“天猫国际服务条款规则”等）（以下合称“有关规则”）是本协议不可分割的一部分并且以提述方式纳入本协议。天猫国际可以自行酌定不时地修订及重述任何有关规则（下称“经修订及重述的有关规则”）。所有经修订及重述的有关规则将于天猫国际网站上公布后即自动生效。商户在经修订及重述的有关规则发布后继续使用服务应表示商户已接受经修订及重述的有关规则并同意受其约束。
15.2 No Assignment. Merchant may not assign or transfer any of its rights or obligations in whole or in part under this Agreement to any third party without the prior written consent of Tmall Global. Tmall Global may assign or transfer any and all rights and obligations under this Agreement to its affiliate(s). This Agreement will bind and inure to the benefit of the Parties’ permitted successors and assigns.
转让。未经天猫国际事先书面同意，商户不得向第三方转让本协议下的任何权利及/或义务。天猫国际有权将本协议项下的任何及全部权利义务转让给其关联公司。本协议对双方容许的承继方和受让方具有约束力，并为双方承继方和受让方利益而订立。
15.3 Governing Law and Settlement of Dispute. This Agreement shall be governed by the laws of Hong Kong without recourse to conflict of laws rules and principles. Any dispute or claim arising out of or in connection with this Agreement shall be submitted to the Hong Kong International Arbitration Center for arbitration in Hong Kong according to its arbitration rules in effect at the time of the notice of arbitration. There shall be three (3) arbitrators, and English shall be the language for the arbitration proceeding. The arbitration award shall be final and binding on both parties.
管辖法及争端解决。 本协议适用香港法律，任何香港的法律冲突规则或原则不适用于本协议。凡因本协议引起的或与之相关的争议或纠纷均应根据提交香港国际仲裁中心根据仲裁通知时其仲裁规则，在香港仲裁解决。仲裁员人数人三（3）名，仲裁语言为英文。仲裁裁决为终审决定并对双方具有约束力。
15.4 Notice
通知
(a) All notices from Tmall Global to Merchant shall be sent via one of the following methods:
本协议下天猫国际对商户所作一切通知以下述任一方式送达：
(i) Electronic delivery: Notices may be sent via AliWangWang messages, system messages and website messages to the Tmall account (including sub-accounts) that Merchant uses to log onto Tmall.hk Website, announcements posted on the Tmall.hk Website, text messages to the telephone number provided by Merchant, or email to the email address provided by Merchant. Notices delivered in electronic form shall become effective upon the messages being successfully sent.
电子送达：向商户在注册天猫国际网站时生成的用于登陆天猫国际网站的天猫账号（包括子账号）发送旺旺信息、系统消息以及站内信信息，发布天猫国际网站公告，向商户提供的联系电话发送手机短信，及向商户提供的电子邮件地址发送电子邮件。发送成功后即视为送达。
(ii) Offline delivery: All notices in hard copies shall be sent to the contact address that Merchant provided during the registration on the Tmall.hk Website. Notice delivered in hard copies shall become effective on the fifth day after Tmall Global dispatches the notice.
线下送达：以纸质载体发出书面通知，送达至商户在入驻天猫国际网站时提供的联系地址，交邮后的第五个自然日即视为送达。
(b) All notice from Merchant to Tmall Global shall be in writing and sent to: General Counsel, 26/F, Tower 1, Times Square, 1 Matheson Street, Causeway Bay, Hong Kong. Notice shall not become effective unless received by Tmall Global.
本协议下商户对天猫国际的通知应以书面纸质形式递交至：香港铜锣湾勿地臣街1号时代广场1座26楼， 总法律顾问收，收讫为准。
15.5 Force Majeure. If either Party is unable to perform or delays to perform its obligations under this Agreement due to events beyond its reasonable control (including but not limited to war, industry actions, acts of God, acts of government or regulatory body, breakdown of network or public utilities), the Party encountering such events shall not be liable thereto, provided that the affected Party shall promptly notify the other Party and take reasonable measures to minimize the impact of the force majeure event on such Party.
不可抗力。如果任何一方由於在其合理控制范围之外的事件（包括但不限于战争、工业行动、天灾、政府或者监管机构的行为、网络或公用事业故障）致使其不能履行或延迟履行其在本协议項下的任何义务，則遭受该事件的一方无需就此承担责任；但前提条件是受影响的一方需要及时通知另一方并且采取合理的措施减少不可抗力之间对对方的影响。
15.6 Non-Severability. If any terms of this Agreement are deemed unlawful, unenforceable or invalid, such terms shall be performed to the maximum extent permitted by laws, and the remaining terms of this Agreement shall not be affected and shall continue to have their full legal force.
不可分割。本协议任何条款被认为是违法的、无执行力的或者失效的，该部分条款应按法律容许的最大范围执行，本协议其他的条款将不受影响而仍有全部效力。
15.7 Waiver. The failure of either Party to exercise a right under this Agreement shall not constitute a waiver of the right by the said Party.
权利放弃。任何一方沒有行使其在本协议下的任何权利，不应被视为该方对该权利的放弃。
15.8 Entire Agreement. This Agreement constitutes the entire agreement between the Parties hereto, and shall replace any previous oral or written agreement or condition between the Parties. Unless otherwise provided in Section 15.1 in this Agreement, any amendment or supplement to this Agreement shall be in writing (including in electronic form) and become effective only after being executed by the Parties (including electronically).
完整协议。本协议构成双方之间完整协议，取代之前任何口头或书面之约定或条件。除非本协议15.1条另有规定，本协议的任何修改、补充必须以书面形式（包括电子形式）进行，并由双方签署后（包括电子方式）方能生效。
15.9 Survival. Any provisions of this Agreement relating to intellectual property rights, obligations of confidentiality, obligations to indemnify, post termination matters, or terms by their nature survive the expiration or termination shall survive the expiration or termination of this Agreement for two years.

15.10 Language. This Agreement shall be written in Chinese and English. In case of inconsistency between the two language versions, the English version shall prevail.
