The Agreement is entered into by and between the legal entity that you represent (hereinafter referred to as the "Merchant" or "you") and Alibaba.com Singapore E-Commerce Private Limited (hereinafter referred to as "Taobao Global" or “we”). Taobao Global and the Merchant shall be hereinafter referred to individually as a "Party" and collectively as the "Parties".

本協議由您所代表的法律實體（下稱“商戶”或“您”）及Alibaba.com Singapore E-Commerce Private Limited（下稱“淘寶全球”或“我們”）共同締結。淘寶全球和商戶中的任何一方以下應稱為“一方”，合稱“雙方”。

This Agreement consists of the main body, the appendices and attachments of the Agreement and the following agreements/rules - the Taobao Global Platform Service Agreement, the Taobao Global Privacy Policy, and other terms and rules that have been published or to be published on the Taobao Global Platform (as defined below) from time to time (hereinafter referred to collectively as the "Platform Rules") are an integral part of this Agreement and are incorporated into this Agreement by reference. Taobao Global may, at its discretion, revise and restate this Agreement and any relevant Platform Rules from time to time. Revised Agreement and/or Platform Rules will become effective automatically within a reasonable time after being published on the Taobao Global Platform. Merchant’s use of the Services after the publication of the revised Agreement and/or Platform Rules shall be deemed as consent by Merchant to accept and be bound by the revised Agreement and/or Platform Rules.

本協議包括協議正文、附件、附錄及以下約定/規則，《淘寶全球平台服務協議》《淘寶全球平台隱私權政策》以及其他淘寶全球平台（定義見下文）上不时發佈或將發佈的條款和規則（以下合稱“平台規則”）是本協議不可分割的一部分並且以提述方式納入本協議。淘寶全球可以自行酌定不時地修訂及重述本協議及任何有關平台規則，本協議及/或平台規則的所有修訂將於淘寶全球平台上公佈後的合理時間內自動生效。商戶在經修訂的本協議及/或平台規則發佈後繼續使用服務，即表示商戶已接受經修訂的本協議及/或平台規則並同意受其約束。

1.        Definitions

定義

Unless otherwise agreed in this Agreement, the following terms shall have the following meanings: 

除非本協議另有約定，下列詞語應具有下述含義： 

1.1     "Government Agencies" refer to any national, federal, state, territorial, provincial, or local government, regulatory, or administrative agencies, branches, or committees, or any court, tribunal, or arbitral or judicial bodies.

政府機構：指任何國家、聯邦、州、領地、省級或者地方的政府、監管或者行政機構、分支、或者委員會、或者任何法院、法庭、仲裁或司法機構。

1.2     "Laws" refer to any laws, regulations, policies, requirements, judgments, or orders promulgated by any Government Agency.

法律：指任何政府機構頒發的法律、法規、政策、要求、判決或者命令。

1.3     "Designated Area" refers to the country or region which the products and/or services of the Merchant can be sold to via the Taobao Global Platform. The specific list of the Designated Areas will be separately published by Taobao Global.

指定地區：指商戶通過淘寶全球平台可以將商品及/或服務銷往的國家或地區，具體名單由淘寶全球另行公示。

1.4     "Merchant Information" refers to any and all information, data, documents, and supporting materials provided by the Merchant to Taobao Global, including certification documents for admission, information uploaded by the Merchant onto the Taobao Global Platform, contact information of the Merchant, supporting materials provided for the test and sampling inspection as required by Taobao Global, etc.

商戶資料：指商戶向淘寶全球提供的任何及所有的信息、資料、文件及證明材料，包括入駐證明文件、商戶上傳至淘寶全球平台的資料、商戶聯繫方式、基於淘寶全球檢測及抽檢要求提供的支持材料等。

1.5     "Business Days" refer to the days when commercial banks are open for public business in Singapore and the Designated Areas, excluding Saturdays, Sundays, and public holidays.

工作日：除週六、周日和公共節假日以外商業銀行在新加坡和指定地區對外營業的日子。

1.6     "Restrictive Measures" refer to the actions taken by Taobao Global against the Merchant under this Agreement, including but not limited to removing products from the platform, deleting the information content published by the Merchant on the Taobao Global Platform, imposing service function restrictions (such as search blocking and store supervision) on the Merchant, ceasing provision of services to the Merchant, or freezing the Alipay Merchant Account of the Merchant.

限制性措施：淘寶全球根據本協議規定對商戶採取的行動，包括但不限於下架、刪除商戶在淘寶全球平台發佈的信息內容、對商戶實行服務功能限制（如搜索屏蔽、店鋪監管等）、停止對該商戶提供服務或對商戶的支付寶商戶帳戶採取凍結。

1.7     "Taobao Global Platform" refers to the e-commerce platform website and/or mobile application (including any new service forms emerging from technical development, e.g. mini-program) based on the business concept of "Global Buy, Global Sell", of which the Internet-related services and technical support are provided by Taobao Global.

淘寶全球平台：指基於“全球買、全球賣”商業理念，由淘寶全球提供互聯網相關服務及技術支持的電子商務平台網站及/或手機應用程式（包括隨技術發展出現的新的服務形態，如小程序）。

1.8     "Taobao Global Platform Service Provider" refers to Taobao Global.

淘寶全球平台服務提供者：指淘寶全球。

1.9     "Alipay Services" refer to the payment, settlement, and related services provided by Alipay.com Co., Ltd. ("Alipay China"), Alipay Singapore E-Commerce Private Limited, Alipay Merchant Services Pte. Ltd., and any of their affiliates that are involved in providing the Alipay Services (hereinafter referred to collectively as "Alipay").

支付寶服務：由支付寶（中國）網絡技術有限公司（“支付寶中國”）、ALIPAY SINGAPORE E-COMMERCE PRIVATE LIMITED（“Alipay Singapore”）、Alipay Merchant Services Pte. Ltd.及其涉及提供相關支付寶服務的關聯公司（以下合稱“支付寶公司”）提供的支付結算及相關服務。

1.10  “Alipay Merchant Account” means the account to be provided to you by Alipay Merchant Services Pte. Ltd., in accordance with the terms and subject to the conditions as determined by Alipay Merchant Services Pte. Ltd., from time to time.

支付寶商戶帳戶：指根據Alipay Merchant Services Pte. Ltd不時制定的條款和條件，由Alipay Merchant Services Pte. Ltd為您提供的帳戶。

1.11  "Logistics Service" refers to the service of shipping packages generated from Merchant’s sale of products on the Taobao Global Platform to the address designated by the buyer, which is provided to the Merchant by the logistics service provider(s) engaged by the Merchant (“Logistics Service Provider”) and cooperating with Taobao Global.

物流服務：指由商戶委托的且與淘寶全球合作的物流服務商（“物流服務商”）為商戶提供的將商戶在淘寶全球平台上銷售商品所產生的包裹運送至買家指定位址的服務。

1.12  "Affiliates" refer to the affiliated companies of the Taobao Global Platform Service Provider as disclosed by Alibaba Group Holding Limited in its latest annual report.

關聯公司：指阿里巴巴集團控股有限公司（Alibaba Group Holding Limited）最新上市公司年報披露的淘寶全球平台服務提供者的關聯公司。

1.13  "Alibaba Platform" refers to the websites and APPs operated by Taobao Global and its Affiliates, including but not limited to Taobao (Taobao.com), Tmall (tmall.com), 1688 (1688.com), Alibaba.com (alibaba.com), Tmall Global (tmall.hk), AliExpress (aliexpress.com), Alimama (alimama.com), Alibaba Cloud (aliyun.com), Xiami (xiami.com), YunOS (yunos.com), Dian Dian Chong (ddchong.com), Cainiao (cainiao.com), Shenma (sm.cn), Liangxinyao (maiyao.liangxinyao.com), and Hema (freshhema.com).

阿里平台：指包括淘寶全球及其關聯公司運營的包括但不限於淘寶網(域名為taobao.com)、天貓(域名為tmall.com)、阿里巴巴中文站（域名為1688.com）、阿里巴巴國際站（域名為alibaba.com）、天貓國際（域名為tmall.hk）、速賣通（域名為aliexpress.com）、一淘網（域名為etao.com）、阿里媽媽（域名為alimama.com）、阿里雲（域名為aliyun.com）、蝦米（域名為xiami.com）、雲OS（域名為yunos.com）、點點蟲（域名為ddchong.com）、菜鳥（域名為cainiao.com）、神馬搜索（域名為sm.cn）、良心大藥房網（maiyao.liangxinyao.com）、盒馬（域名為freshhema.com）等網站及用戶端。

1.14  "Special Terms for Designated Area" refer to the special terms applicable to the merchants selling products and/or services to the Designated Area, including the special terms listed in the Attachments hereto and the revisions, supplements, and updates thereof made from time to time. The Special Terms for Designated Area are an integral part of this Agreement and have the same legal effect as this Agreement. The main body of this Agreement and the appendices hereto shall remain unchanged and in force unless provided otherwise in the Special Terms for Designated Area. If the Special Terms for Designated Area are inconsistent with the main body of this Agreement, the Special Terms for Designated Area shall prevail to the extent of such inconsistency.

指定地區特殊條款：指適用于向指定地區銷售商品及/或服務的商戶的特別條款，包括本協議附錄中所列的特殊條款以及不時對其進行的修訂、補充和更新。指定地區特殊條款是本協議的組成部分，與本協議具有同等法律效力。除非指定地區特殊條款另有明確約定，否則本協議正文及其附件保持不變並繼續有效。如指定地區特殊條款與本協議正文約定不一致的，則在不一致的範圍內，優先適用指定地區特殊條款。

1.15  "Hong Kong" refers to the Hong Kong Special Administrative Region of the People's Republic of China.

香港：指中華人民共和國香港特別行政區。

2.        Services and fees

服務及費用

2.1     During the term of this Agreement, Taobao Global agrees to provide or have others to provide the Merchant with the following services (hereinafter referred to as the "Services"). Unless otherwise stated herein, the Services shall automatically be terminated in all respects upon the termination of this Agreement.

在本協議有效期內，淘寶全球同意向商戶提供或由他方向商戶提供以下服務（下稱“服務”）。除非本協議另有說明，否則在本協議終止後，所有服務亦將自動終止。

(a)      "Internet Information Service" refers to the service that Taobao Global, as the owner or authorized user of the domain name of the Taobao Global Platform, provides to the Merchant for display of the product and service information on the webpages and space for the transactions and/or communications between the Merchant and consumers. Taobao Global will not charge the Merchant for its Internet Information Service temporarily.

互聯網信息服務：淘寶全球作為淘寶全球平台域名的所有者或授權使用人通過其網站頁面為商戶展示其商品和服務信息，為商戶和消費者提供交易、交流的載體。淘寶全球就其提供的互聯網信息服務暫不向商戶收費。

(b)     "Sub-Domain Name Service" refers to the service that Taobao Global provides to the Merchant, which allows the Merchant to use a sub-domain name pursuant to the Taobao Global Store Naming Rules. The sub-domain name is owned by Taobao Global, and may be withdrawn by Taobao Global according to a complaint from a third party or for its own use. Taobao Global will not charge the Merchant for Sub-Domain Name Service temporarily. 

二級域名服務：淘寶全球根據淘寶全球店鋪命名規範允許商戶使用的二級域名。二級域名的所有權歸淘寶全球，淘寶全球可根據第三方的投訴或淘寶全球自用原因收回二級域名。淘寶全球就其提供的二級域名服務暫不向商戶收費。

(c)      "Internet Technology and Software Service Related to Order Generation and Transaction Management" shall include but not be limited to the software systems for product search, order generation, transaction management, and payment completion. Taobao Global will charge Merchant technical and software service fees (hereinafter collectively referred to as the "Technical Service Fees") which consist of “Annual Fee” and “Real-Time Transaction Fee”. The Technical Service Fees are exclusive of any taxes, customs duties, government levies, or other financial expenses. The specific amount of Annual Fee and Real-Time Transaction Fee shall be determined based on the categories of the products operated by the Merchant, and shall be subject to the Taobao Global Fee Standard published on the Taobao Global Platform.

訂單生成及交易管理相關互聯網技術與軟體服務：包括但不限於搜索商品、生成訂單、管理交易和完成支付的軟體系統。淘寶全球向商戶收取的技術及軟體服務費（合稱“技術服務費”）由年費和實時劃扣費兩部分組成。技術服務費不包含任何稅項、關稅、政府征費或其他財務費用。年費及實時劃扣費的具體金額基於商戶所經營的商品類目確定，以淘寶全球平台公示的淘寶全球資費標準為准。

(d)     "Other Services" refer to the marketing services, market consulting services, training services, and access to payment channels which Taobao Global may or have third party provide to the Merchant from time to time under this Agreement, as well as other services that Taobao Global needs to provide to the Merchant during its performance of this Agreement. Unless an agreement is otherwise signed or reached by and between the Parties, Taobao Global will not charge the Merchant for the above services temporarily.

其他服務：在本協議項下，淘寶全球可能或由第三方不時為商戶提供營銷服務、市場諮詢服務、培訓服務、支付渠道接入以及淘寶全球履行本協議過程中需要向商戶提供的其他服務等，除雙方另行簽署或達成收費協議外，淘寶全球就上述服務暫不向商戶收取費用。

2.2     Fees

費用

[Annual Fee]

【年費】

(a)      Unless a separate agreement is otherwise agreed, the specific amount and payment method of the Annual Fee shall depend on the standard in the corresponding year as published by Taobao Global. Unless expressly specified herein or in separate agreement, Merchant is obligated to pay the Annual Fee calculated on a pro-rata basis starting in the month of the execution of this Agreement.

除雙方另行簽署協議外，年費的具體金額及繳納方式以淘寶全球公示的對應年度年費繳納標準為准。除非本協議或另有協議明確規定，否則商戶應從本協議簽署當月開始按比例支付年費。

(b)     Incentive Program: For encouraging Merchant’s service, if Merchant has used the Services for more than one year, Taobao Global may offer a rebate for the Annual Fee according to the annual transaction amount of Merchant. If you have used the Services for less than one year, the specific discount of the Annual Fee may be considered and evaluated by Taobao Global according to the length of the period for your use of the Services (including the period in which the rights of store are restricted, the search thereof is restricted, or the store is blocked and suspended due to breach of this Agreement by the store) and the transaction amount to be completed by you. For avoidance of doubts, the above transaction amount only covers your transaction provided that Taobao Global has received the Real-Time Transaction Fees and all information and transaction are legitimate and correct. No Annual Fee will be refunded/rebated for the period when the Merchant's right to operate the store is restricted due to its breach of this Agreement or violation of relevant rules.

激勵計劃：為鼓勵商戶，若商戶使用淘寶全球服務已滿一年，淘寶全球可根據商戶的全年交易額進行年費返還結算；若您使用服務未滿整年，淘寶全球可能會根據您使用服務的時長（包括店鋪權利受到限制、搜索受到限制或店鋪因違反本協議被屏蔽和暫停的時長）和您將完成的交易額來考慮和評估年費的具體折扣。為免歧義，上述交易額僅指淘寶全球已收到實時劃扣費，且所有信息和交易均為合法正確的情形下的交易額。就因為商戶違反本協議或者相關規則導致其運營店鋪的權利受到限制的期間，將不予退還任何年費或獲得年費折扣。

(c)      The Annual Fee shall be paid in advance by the Merchant on a lump-sum basis after the execution of this Agreement and before the Services are activated. Taobao Global will activate the Services only after its receipt of the Annual Fee in full.

年費應由商戶在本協議簽署後服務開通前提前一次性繳納。淘寶全球收到年費全額後，服務方可開通。

[Real-Time Transaction Fees]

【實時劃扣費】

(a)      The applicable rate for Real-Time Transaction Fees for each category of the product operated by the Merchant on the Taobao Global Platform is set forth in the Taobao Global Fee Standard as published on the Taobao Global Platform.

商戶在淘寶全球平台上經營的每個類目適用的實時劃扣費的費率以在淘寶全球平台上公佈的淘寶全球資費標準為准。

(b)     The amount of each transaction concluded by Merchant with buyers on the Taobao Global Platform as recorded in the system of Alipay shall be conclusive and binding for calculating the Real Time Transaction Fees. When the commodity under a transaction order is confirmed to have been accepted by the buyer, Taobao Global will notify Alipay to deduct in real time the Real-Time Transaction Fees as calculated per the rate published by Taobao Global in the corresponding year. In case of return of commodity not attributable to Merchant, Taobao Global shall, after verifying the return of commodity based on Taobao Global's online refund record of Merchant and the buyer, return to Merchant the Real-Time Transaction Fees that have been deducted for such returned commodity. If the Merchant makes a refund to the buyer offline or not through Taobao Global's online system, Taobao Global will not return to the Merchant the Technical Service Fees deducted in real time for such refunded purchase, regardless of what evidence Merchant has provided to prove that the refund has been made.

實時劃扣費以商品支付寶交易額為基數（以支付寶軟體系統記錄的支付寶交易額為准），當交易訂單被買家確認收貨後，淘寶全球通知支付寶公司以淘寶全球公示的對應年度技術服務費費率實時劃扣。如發生退貨且您無過錯，淘寶全球將根據買家和您的淘寶全球線上退款記錄證實退貨屬實後向您退還因此退貨交易實時劃扣的技術服務費。若您對買家進行線下退款或退款不是在淘寶全球的線上系統中發生並進行，則無論您提供何種證據證明退款確實發生，淘寶全球均不支持向您退還就退款部分已實時劃扣的技術服務費。

 [Payment of Service-related Fees]

【支付服務相關費用】

(a)      Taobao Global will publicize and/or otherwise publish on the Taobao Global Platform separately the rates and method to charge fees of payment service.

淘寶全球將另行通過淘寶全球平台公示及/或以其他方式公佈支付服務相關費用的費率及收取方式。

2.3     Taxes: The Merchant shall be responsible for and shall pay all taxes due under this Agreement and on all amounts payable hereunder. Unless otherwise indicated, all payments payable by the Merchant to Taobao Global are exclusive of any taxes that may be levied by a Government Agency. If, according to the Laws of the country or region where the Merchant is located, taxes are required, taxes will be added to the amounts payable by Merchant to Taobao Global as applicable and as required by law. For greater certainty, taxes will not be added to the amounts payable by the Merchant to Taobao Global where Merchant has provided Taobao Global with sufficient evidence of a lawful and applicable exemption for such taxes in accordance with the Laws of the country or region where the Merchant is located. In addition to the Technical Service Fees, the Merchant shall pay any taxes, duties, levies, or financial expenses arising from the use of the Services on its own. If Taobao Global is required by law to collect or deduct any taxes or levies from the Merchant, the Merchant shall pay Taobao Global such taxes or levies in addition to the Technical Service Fees.

稅：商戶應負責並支付本協議項下所有應繳納的稅費。除非另有說明，商戶實際應付給淘寶全球的所有款項均不包括可能被政府機構徵收的任何稅費。如果商戶應付給淘寶全球的服務費按商戶所在國家或地區法律規定需要繳納稅費，則商戶應付給淘寶全球的服務費需要增加以上稅費。為進一步明確雙方的權利義務，僅當商戶能夠提供充足證據證明商戶應付給淘寶全球的服務費按商戶所在國家或地區法律規定可以免稅時，商戶應付給淘寶全球的服務費可無需增加以上稅費。除了技術服務費外，商戶需自行支付任何因使用服務而產生的任何稅項、關稅、征費或財務費用。若淘寶全球應法律的要求須向商戶收取或預扣任何稅項或征費，商戶需向淘寶全球支付在技術服務費外的該等稅項或征費。

2.4     Taobao Global shall have the right to adjust the standards for Technical Service Fees (including Real-Time Transaction Fees and Annual Fee) and notify the Merchant in writing one month in advance.

淘寶全球有權對技術服務費（包括實時劃扣費及年費）標準進行調整，並提前一個月以書面方式通知商戶。

2.5     Taobao Global Partners. In certain countries and regions ("Cooperation Area", which shall be otherwise published by Taobao Global), Taobao Global will introduce third-party strategic partner ("Partner") to provide the Services to the Merchant, so as to improve service quality and merchant experience in the Cooperation Area. If the Merchant agrees to sell your products and/or services to the Cooperation Area through the Partner's services, the Merchant shall sign a separate agreement with the Partner ("Partner Agreement"). The Partner Agreement is a special agreement between the Partner and the Merchant on the services within the Cooperation Area, and is a supplement to this Agreement. The Partner Agreement does not affect or prejudice the effectiveness of this Agreement, and this Agreement remains valid pursuant to its provisions and is applicable to the Cooperation Area in the meantime, provided that, the Partner Agreement shall prevail to the extent of inconsistency in case that the Partner Agreement is inconsistent with this Agreement with respect to the services within the Cooperation Area. Where the Merchant uses the Partner's services, the Partner shall have the right to obtain from Taobao Global, use and store the Merchant Information that has been provided by the Merchant to Taobao Global, including but not limited to the certification documents for admission, identity of legal entity, qualifications, and business status on the Taobao Global Platform. By entering into this Agreement, it shall be deemed that the Merchant has agreed to provide its personal data (if any) to local or overseas Partner.

淘寶全球合作方。在某些國家和地區（“合作區域”，以淘寶全球另行公示為准），淘寶全球將引入第三方戰略合作方（“合作方”），並通過合作方向商戶提供服務，以提升合作區域內的服務品質和商戶體驗。如商戶同意使用合作方的服務將其商品及/或服務銷往合作區域，則商戶應與合作方另行簽署相關協議（“合作方協議”）。合作方協議是合作方與商戶就合作區域內服務的專門約定，是對本協議的補充，合作方協議並不影響或減損本協議的效力，本協議根據其約定仍繼續有效並同時適用於合作區域。但如合作方協議對合作區域內服務的約定與本協議不一致的，則在不一致的範圍內，優先適用合作方協議的約定。商戶使用合作方服務的，合作方有權向淘寶全球調取並使用、存儲商戶已提供給淘寶全球的商戶資料，包括但不限於入駐證明文件、法律實體身份、資質及在淘寶全球平台的經營情況。簽署本協議即表示商戶同意將其個人資料（如有）提供予本地或境外合作方。

3.        Conditions Precedent

先決條件

3.1     For Merchant that meets the requirements of merchant acceptance policy of Taobao Global, Taobao Global will start providing the Services (which shall be subject to the activation notice) after the Merchant has met all of the following conditions:

對符合淘寶全球招商政策的商戶，淘寶全球會在商戶滿足以下所有先決條件後開始提供服務（以發出服務開通通知為准）：

(a)      Upon Merchant’s Acceptance of this Agreement;

商戶已經接受本協議；

(b)     The Merchant has met all the requirements specified in Taobao Global Merchant Acceptance Standards or renewal requirements (in the case of existing Merchants);

商戶符合淘寶全球招商規則的招商標準或續簽標準（適用于續簽的商戶）載列的要求；

(c)      All supporting documents required by Taobao Global (hereinafter referred to as the "Supporting Documents"), including but not limited to the authorization documents and certifications relating to brands and categories of products that the Merchant intends to sell, have been provided to, and have been approved by Taobao Global;

所有淘寶全球要求提供的證明文件（下稱“入駐證明文件”），包括但不限於擬銷售的商品品牌及類目的相關授權文件、證明文件已經提交予淘寶全球並已經淘寶全球審核通過；

(d)     Unless expressly specified herein or in separate agreement, the Merchant has paid the Annual Fee and Deposit (as defined below) in full;

除非本協議或另有協議明確規定，商戶已全數支付年費及保證金（定義見下文）；

(e)      The Merchant has provided or procured others to provide all the information or documents required by Taobao Global, Logistics Service Provider, Alipay, and/or its affiliates in connection with performing their “Know Your Customer” procedures;

商戶已經提供或授權他人提供了所有淘寶全球、物流服務商、支付寶公司和/或其關聯方為進行客戶盡職調查程序所要求提供的資料或文件；

(f)      The Merchant has executed relevant agreements with Alipay, Logistics Service Provider and all other required ancillary agreements with Taobao Global's affiliates or third party in order to operate Merchant’s store on the Taobao Global Platform, including but not limited to:

商戶已與支付寶公司、物流服務商簽署相關協議並與淘寶全球關聯方或第三方簽署其他在淘寶全球平台上開店必要的配套協議，包括但不限於：

(i)            logistics service agreement and related specific terms of service with Logistics Service Provider; and

與物流服務商的物流服務協議和具體服務條款；及

(ii)            Alipay payment service agreement and related specific terms of service.

支付寶公司支付服務協議和具體服務條款。

(g)     The Merchant has never violated any agreement(s) with Taobao Global and/or the Alibaba Platform prior to the Merchant’s application for use of the Service.

在商戶申請使用服務之前，商戶沒有發生過違反淘寶全球及/或阿里平台任何協議的情形。

3.2     Conditions Precedent not Satisfied. If the Merchant fails to satisfy any of these conditions precedent (unless waived by Taobao Global) within thirty (30) days from the date when the Merchant is accepted by Taobao Global in accordance with its merchant acceptance policy, Taobao Global shall have the right to terminate this Agreement immediately, without any liabilities to the Merchant.

不滿足先決條件。如商戶在淘寶全球根據招商政策接受商戶入駐申請後三十（30）日內仍未滿足淘寶全球要求的所有先決條件（且未獲得淘寶全球豁免），則淘寶全球有權立即終止本協議，而且無需對商戶承擔任何責任。

3.3     If at any time during the term of this Agreement, the Merchant wants to amend any of the Supporting Documents, sell products under additional brands or categories, or expands its operational scope, Merchant must comply with the then “Taobao Global Merchant Acceptance Standards” and other requirements published on the Taobao Global Platform.

如在本協議期限內，商戶需變更所提交的入駐證明文件或要求新增經營品牌及經營類目、擴大經營範圍的，則商戶須符合最新的淘寶全球招商標準及淘寶全球平台上發佈的要求。

4.        Representations, warranties, and undertakings by the Merchant

商戶陳述、保證和承諾

4.1     The Merchant represents, warrants and undertakes to Taobao Global that:

商戶向淘寶全球陳述、承諾與保證：

(a)      It is willing to sell the products and services to consumers in the Designated Area and independently bear all the liabilities and risks that may arise therefrom.

其願意向指定地區的消費者銷售商品和服務，並獨立承擔因此可能產生的責任與風險。

(b)     It agrees that Taobao Global can provide to or obtain from Alipay basic information related to the registration and account opening of the Merchant in order to complete required review for the purpose of "Know Your Customer".

其同意淘寶全球為完成基於“瞭解你的客戶”所必須的相應審查，向支付寶公司提供或從支付寶公司獲取商戶註冊、開戶相關基本資料。

(c)      It is a company duly incorporated and validly existing and has obtained all rights or authorizations required to carry on its business.

其是有效成立並存續的公司，並且已獲得經營其業務所需的所有權利或授權。

(d)     It has the legal capacity and all requisite power and authority to execute this Agreement, perform its obligations hereunder and use the Services.

其擁有合法、完整的能力和授權締結本協議，履行其在本協議下的義務並使用服務。

(e)      It will comply with all applicable laws, conform to public policy and carry out ethical business practices.

遵守所有適用的法律及社會公共利益及商業道德。

(f)      It will comply with all other agreements entered into by the Merchant with Taobao Global and/or Taobao Global’s affiliates.

遵守與淘寶全球或淘寶全球關聯公司締結的其他協議。

(g)     It will comply with all Restrictive Measures imposed by Taobao Global in accordance with this Agreement or relevant rules and all the measures imposed by Taobao Global in accordance with Clause 5 of this Agreement.

遵守淘寶全球根據本協議及有關規則採取的限制性措施以及其他根據本協議第5條採取的措施。

(h)     In relation to all Merchant Information supplied by Merchant to Taobao Global,

所有向淘寶全球提供的商戶資料：

(i)            it shall be true, accurate, complete, valid, and non-misleading;

均真實、準確、完整、有效且沒有誤導成份；

(ii)            in case of any amendment, Taobao Global shall be informed immediately;

發生任何變更後立即通知淘寶全球；

(iii)            in terms of the identity information, such as email address, contact number, contact address, and postal code, is valid, accurate, and up to date, and Taobao Global and users of Taobao Global Platform will be able to reach the Merchant via such information; and

保證提供的身份資料，諸如電子郵件地址、聯繫電話、聯繫位址、郵遞編碼等內容的有效性，真實性並且是最新的，保證淘寶全球及淘寶全球平台其他用戶可以通過上述聯繫方式與商戶進行聯繫；及

(iv)            it does not infringe upon the rights and interests of any third party.

不侵犯任何第三方權益。

(i)       The Merchant has met and will continue to meet all the requirements of Taobao Global Merchant Acceptance Standards.

商戶已經滿足並且會繼續滿足淘寶全球招商標準的要求。

(j)       All the Merchant Information is true, accurate, complete, valid, and non-misleading, and complies with all applicable laws and regulations and this Agreement, and does not infringe upon the rights and interests of any third party.

所有的商戶資料均為真實、準確、完整、有效且沒有誤導成份，符合相關法律法規及本協議，且不侵犯任何第三方權益。

(k)     The Merchant has been authorized to publish the product information on the Taobao Global Platform, and the product information will not infringe upon the legitimate rights and interests of any third party.

商戶在淘寶全球平台發佈的商品資料均由商家依法取得或者獲得授權，並不侵犯任何第三方合法權益。

(l)       Products listed and/or sold by the Merchant on the Taobao Global Platform comply with all the applicable Laws and standards of the place of origin, place of original sales destinations and place of import and all applicable laws relating to the import and export of goods and do not infringe any third party’s rights and interests.

商戶在淘寶全球平台發佈和/或銷售的商品符合原產地、銷售地、進口地的所有適用的法律以及標準，符合商品出入境的相關管理規定，且不侵犯任何第三方權益。

(m)    Merchant shall make sure that all products listed and/or sold by Merchant on the Taobao Global Platform are purchased from legitimate sources and all the records of such purchases (including, without limitation, purchase invoices and authorization letters) (the “Purchase Records”) will be maintained properly and submitted to Taobao Global for review upon request.

商戶需要確保在淘寶全球平台發佈和/或銷售的商品是從合法途徑採購並且妥善保管所有的採購憑證（包括但不限於進貨發票和授權函）（以下簡稱“採購憑證”），並在淘寶全球要求時提交給淘寶全球審閱。

(n)     It shall comply with the measures imposed by regulatory authorities with respect to the takedown, return, recall and destruction of substandard or defective goods; and will indemnify buyers for all damages caused by products sold by Merchant on the Taobao Global Platform.

其會執行監管部門對不合格或存在品質缺陷商品採取的下架、退運、召回、銷毀等措施，並對消費者因為商戶出售的商品導致的損失履行賠償義務。

(o)     It shall carry out business in accordance with the principle of acting in good faith, including but not limited to complying with the Letter of Undertaking on Operation in Good Faith attached hereto as Appendix I.

其應遵守誠實信用的原則（principle of acting in good faith），包括但不限於遵守本協議附件一《誠信經營承諾書》的規定。

(p)     It shall not carry out on the Taobao Global Platform any fraudulent or malicious acts, engage in unfair competition or disturb the normal operations or business processes on the Taobao Global Platform.

其不會在淘寶全球平台上進行任何虛假或者惡意的行為，不正當競爭行為或任何擾亂淘寶全球平台正常運營或者業務流程的行為。

(q)     It will engage Alipay and/or its affiliates to provide payment solutions for all of its transactions on the Taobao Global Platform.

其僱傭支付寶公司及/或其關聯公司為其在淘寶全球平台達成的所有交易提供支付方案。

(r)      It will engage Logistics Service Provider to provide logistic solutions for all of its transactions on the Taobao Global Platform.

其僱傭物流服務商為其在淘寶全球平台達成的所有交易提供物流解決方案。

(s)      It will not directly or indirectly induce or encourage buyers to transfer the payments for transactions on the Taobao Global Platform offline or through other payment or settlement channels.

其不會直接或者間接引誘或者鼓勵買家通過線下或者其他支付或結算管道支付淘寶全球平台的交易。

(t)       It will comply with all applicable Laws and regulations related to import and export control, trade restriction and economic sanction, and agree that Taobao Global may remove product, close relevant transaction orders and/or take necessary measures to dispose of its account when Taobao Global discovers or reasonably believes that there may occur the above circumstances.

遵守所有適用的進出口管制、貿易限制與經濟制裁相關法律法規，並同意淘寶全球可在發現或有合理理由懷疑上述情形時下架商品，關閉相關交易訂單及/或對帳戶做出必要處置的措施。

4.2     The Merchant agrees and recognizes that, where the Merchant is also a merchant on the Alibaba Platform, Taobao Global shall have the right to obtain from the Alibaba Platform the Merchant Information provided by the Merchant to the Alibaba Platform, including but not limited to identity of legal entity and qualifications and business status on such platform(s).

商戶同意並授權，如商戶亦為阿里平台入駐商戶的，淘寶全球有權向阿里平台調取商戶已提供給阿里平台的商戶資料，包括但不限於法律實體身份、資質及在電商平台的經營情況。

5.        Management of the Taobao Global Platform

淘寶全球平台的管理

5.1      Taobao Global Platform Account. Merchant shall not transfer its Taobao Global account to any other person or authorize any person to use its Taobao Global account without Taobao Global’s prior written consent. Any operations, actions and undertakings made through the Merchant’s Taobao Global account will be deemed to have been made by the Merchant and the Merchant shall be solely responsible for all legal consequences.

淘寶全球平台帳戶。未經淘寶全球書面同意，商戶不得向他人轉讓或授權他人使用其淘寶全球帳戶。通過其帳戶完成的操作、行為以及承諾均視為商戶的行為，並且商戶獨自承擔對此產生的責任。

5.2     Website Maintenance and Merchant Management. During the term of this Agreement, Taobao Global shall maintain the operation of the Taobao Global Platform, and shall have the right to impose rules and/or measures on the Merchant with respect to its operations on Taobao Global Platform, including by not limited to:

網站維護及商戶管理。淘寶全球應在本協議期間內維護淘寶全球平台的正常運行。淘寶全球有權對商戶施加淘寶全球平台的運營規則和/或措施，這些規則包括但不限於：

(a)      Product Listing Categories and Brands. Taobao Global may, based on the description of business scope set forth in Merchant’s business registration certificate (or the equivalent), the description of the scope set forth in the brand authorization letter obtained by Merchant and the description of Merchant’s storefront on the Taobao Global Platform, and/or the complaints against the Merchant filed by third parties, and any updates to these documents, determine and/or adjust the product categories, types, quantity and/or brands of products that the Merchant may post on the Taobao Global Platform. Taobao Global shall only be required to provide the Services where your product categories, types, quantity and/or brands have been approved by Taobao Global in advance.

商品發佈類目和品牌。淘寶全球可以根據商戶營業執照（或同等文件）所載之經營範圍、商戶取得的品牌授權函裡所列的範圍、商戶在淘寶全球平台對其店鋪經營範圍的描述及/或第三方投訴，或者前述文件或資料的更新，自行決定或調整商戶於淘寶全球平台有權發佈商品的類目、種類、數量和品牌。淘寶全球僅在您的商品的類目、種類、數量和品牌經淘寶全球審查通過的情況下向您提供服務。

(b)     Standards for Product Quality Control. Taobao Global may develop product quality standards in accordance with Laws of the product’s place of origin, place of sale or location of buyer, and may develop acceptance rules and testing requirements with respect to types of products in accordance with such standards.

商品品質管控標準。淘寶全球可以根據商品生產地、銷售地、買家所在地的法律法規頒佈淘寶全球的商品品質標準，並根據該等標準制定商品類目的准入及檢測要求。

(c)      Category Management. Taobao Global may impose on the Merchant product acceptance rules and requirements on product listing, traceability and testing for each category.

類目管理。淘寶全球可以制定各類目的准入規則和商品發佈、商品溯源及檢測要求。

(d)     Inspections, Evaluation and Investigation. Taobao Global and/or independent third party agents engaged by Taobao Global may from time to time conduct tests to determine the authenticity of the Merchant Information provided by the Merchant and the quality and authenticity of Merchant’s products and conduct due diligence on the credibility. If the results of such testing demonstrate that any Merchant Information is misleading or forged or the Merchant’s product is defective or not authentic or otherwise falling short of product quality standards set forth by Taobao Global, the Merchant shall bear the costs incurred by Taobao Global and/or its affiliates for the sample testing and the preparation of related reports.

抽檢、鑒定及調查。淘寶全球及/或獨立第三方機構可能會不時對商戶資料真偽及在售商品品質及真偽進行檢驗，並就可信度進行盡職調查。如果檢驗結果顯示商戶資料具有誤導性或者造假或商品存在品質瑕疵或證明為假貨的，則商戶應該承擔淘寶全球以及其關聯方檢驗及準備相應的檢驗報告所產生的費用。

(e)      Checks and Inspections. Taobao Global shall have no obligation to review any Merchant’s transactions or related matters. Nonetheless, Taobao Global may take one or more of the following measures:

查閱及檢查。淘寶全球沒有義務對任何商戶的交易行為以及相關事項進行審查。儘管如此，淘寶全球仍可以採取如下措施：

(i)            Taobao Global may inspect the Supporting Documents and Purchase Records from time to time, and require the Merchant to provide any additional documents and materials as Taobao Global deems necessary under the circumstances.

對商戶提供的入駐證明文件和採購憑證進行不定時的檢查，並有權在其認為必要的情況下要求商戶提供任何額外文件和資料。

(ii)            Taobao Global may carry out a review of the Merchant, after receiving a third party’s notice that the Merchant has or might have committed an infringement, illegal activity or breach of this Agreement.

當淘寶全球從第三方收到商戶存在或者可能存在任何侵權、違法或違反本協議的情況的通知時，對商戶進行審查。

(iii)            Taobao Global may carry out a review of the Merchant when Taobao Global has reason to believe that Merchant transactions or data may be inaccurate or not reflect proper business practices.

當淘寶全球有理由認為商戶交易或者資料可能不準確或者沒有反應正當的業務操作時對商戶進行審查。

(iv)            Taobao Global may carry out a review of the Merchant when Taobao Global has reasons to believe that Merchant is or may be breaching this Agreement, the relevant rules or applicable laws, or committing infringement (direct or indirect) of the rights of any third party.

當淘寶全球有理由認為商戶存在或者可能存在違反本協議、有關規則或者適用的法律法規的情況或者直接或者間接侵犯第三方權益時，對商戶進行審查。

(f)      Publication. Taobao Global has the right to publish the following information about the Merchant:

公佈。淘寶全球有權公佈商戶下述信息：

(i)            The Merchant’s violation of rules and regulations or breach of this Agreement on the Taobao Global Platform.

商戶在淘寶全球平台上違法或違反協議的行為。

(ii)            The Merchant's information (such as business registration certificate information) on the Taobao Global Platform or, at customers’ request, such other information (e.g., Merchant’s contact information) as Taobao Global deems necessary to protect the interests of consumers or to facilitate transactions and resolve disputes between Merchant and consumers, or for compliance with applicable Laws.

為了保障消費者權益，或者便於消費者與商戶聯繫處理交易及解決交易糾紛等相關事宜或者為了遵守相關的法律規定，淘寶全球認為有必要在淘寶全球平台上公佈的商戶資料（如商業登記證），或根據消費者要求，淘寶全球向消費者披露商戶的聯繫方式等必要商戶材料。

(iii)            Taobao Global shall have the right to publish or use the Merchant’s sales volume for each product, user evaluation information for promotional purposes, and, during the Merchant’s participation in promotional events, Taobao Global may publicize the gross merchandize value (“GMV”) of the Merchant’s store, the transaction amount of a certain category or an item. Taobao Global may also use the above information for promotion.

淘寶全球有權將商戶每個商品的銷量、用戶評價對外公示或作宣傳推廣使用，且在商戶參加推廣活動期間，淘寶全球有權對外公示商戶店鋪的活動總成交額、某類目或某單品的成交額，亦可將上述信息作宣傳推廣使用。

(g)     Content Removal. Taobao Global shall have the right to delete any of the following information or take any other measures that it deems necessary with respect thereto without prior notice to Merchant:

資料刪除。淘寶全球將有權不通知商戶自行刪除以下資料或採取其他任何淘寶全球認為合適的措施：

(i)            information that could be used to avoid payment of Technical Service Fees;

以規避技術服務費為目的的資料；

(ii)            Information that could be used to artificially increase Merchant’s ratings or sales volume on the Taobao Global Platform;

以在淘寶全球平台上炒作商戶的評分、銷量為目的的資料；

(iii)            Information which Taobao Global believes is malicious, misleading, inaccurate or fraudulent in nature;

淘寶全球認為存在惡意、誤導性的、不正確的或虛假的資料；

(iv)            Information which Taobao Global believes has infringed or may infringe any third party’s rights or interests;

淘寶全球認為侵犯或者可能侵犯第三方權益的資料；

(v)            Information which Taobao Global believes would facilitate malicious bidding or interfere the Taobao Global Platform’s transaction order;

淘寶全球認為惡意競價或其它試圖擾亂淘寶全球平台正常交易秩序的資料；

(vi)            Information which Taobao Global believes breaches any applicable Laws, or is defamatory, libelous, threatening or harassing, obscene, objectionable, offensive, politically related, sexually explicit, harmful to minors or unrelated to commercial activity;

淘寶全球認為違反法律，誹謗、中傷、恐嚇或騷擾、猥褻、令人反感、有攻擊性、涉及政治、色情或對未成年人有害的或者和商業活動無關的資料；

(vii)            Any product information which is outside the scope of the brand, category, type or number of product listings that are allowed to be uploaded onto the Taobao Global Platform as permitted by Taobao Global;

淘寶全球允許商戶於淘寶全球平台發佈商品的品牌、類目、種類和數量以外的商品資料；

(viii)            product information which has received complaints by buyers or third parties, or products which have been determined or warned by the competent Government Agencies to be defective; and

被買家或第三方投訴的商戶商品，或經有管轄權的政府機構認定或警告存在品質問題的商品的資料；和

(ix)            Information which Taobao Global believes is contrary to public interests or would seriously jeopardize Taobao Global and/or other Taobao Global Platform users’ interests.

淘寶全球認為違反公共利益或可能損害淘寶全球和/或其它用戶利益的資料。

Taobao Global shall use its reasonable discretion in exercising its rights under this Clause.

淘寶全球在行使本條下的權利時應遵循合理裁量的原則。

(h)     Information Display. Taobao Global may display information relating to promotion events held by Taobao Global and/or its affiliates, consumer protection and/or other content or information designed or produced by Taobao Global on the Merchant storefront.

資料展示。淘寶全球可以于商戶店鋪內展示淘寶全球和/或其關聯方的推廣活動資料、消費者保障內容和/或其他由淘寶全球設計、製作的內容或者資料。

(i)       Restrictive Measures. Taobao Global shall have the right to take any Restrictive Measures if Merchant fails to cure any breach under this Agreement or any agreement between the Merchant and an affiliate of Taobao Global to the satisfaction of Taobao Global and its affiliates within the relevant notice periods (if any).

限制性措施。如發生商戶違反本協議或者商戶和淘寶全球關聯方協議的約定並且在違約糾正期（如有）內未能以淘寶全球以及其關聯方滿意的方式糾正其違約，淘寶全球有權採取任何限制性措施。

5.3     Taobao Global may specify detailed rules for platform management measures and its implementation in Platform Rules.

淘寶全球可在平台規則中對平台的管理措施及執行做詳細規定。

6.        Consumer Protection

消費者保障

6.1     Description of Buyer Protection Measures. The Merchant represents, warranties and undertakes to Taobao Global and consumers that:

買家保障措施說明。商戶向淘寶全球和消費者陳述、保證和承諾如下：

(a)      Truthful Description. All the product information that it uploads to the Taobao Global Platform shall accurately describe the product, and that the Merchant shall bear the burden of proof in respect of the accuracy of the description and whether the product matches the description of such product. The Merchant’s obligations in respect of accurate descriptions shall include:

如實描述。商戶上傳於淘寶全球平台的所有商品資料與實物相符，並對描述的準確和相符負有舉證責任，如實描述義務應涵蓋以下內容：

(i)            all the product information displayed on the product listing pages (including, without limitation, text and product images) and all information relating to products (including, without limitations, product details, logistics terms and conditions, postage fees, shipment status, items ancillary to the transaction) that the Merchant communicates to buyers shall be true, accurate, complete, valid, and not misleading.

買家可在該商品的詳情頁面上直接查看的所有商品資料（包括但不限於詳情頁面裡的文字描述及商品圖片），商戶與買家溝通的關於商品的所有資料（包括但不限於商品詳情、物流條款、郵費、發貨情況、贈品）應該是真實、準確、完整、有效且沒有誤導成份；

(ii)            The Merchant shall describe clearly the manufacturing standard, place of origin, product name, composition, content, applicable users, use precautions, import restrictions and trade restrictions in relation to the products on the product listing page and any other information that consumers would require in order to make an informed purchase decision.

商戶須對商品生產標準、原產地、產品名稱、成份、適用人群、使用注意事項、入境限制、交易限制等其他消費者購買前需要知道的資料在店鋪頁面對消費者做出明確的說明；

(iii)            The Merchant shall only source products from the trademark holder(s) of the brands it is authorized to sell, and/or entities designated by such trademark holder(s).

商戶承諾其銷售的商品均來自品牌商標持有人及/或其指定公司。

(b)     Return Address in the Designated Area. Merchant shall provide an address within the Designated Area that is valid at all times during the term of this Agreement to which buyers may return products purchased from Merchant.

指定地區退貨地址。商戶需提供一個在本協議期限內一直有效的指定地區的退貨地址供買家退還從商戶處購買的商品。

(c)      Genuine Product Guarantee. In the event that: (i) a buyer has reason to believe that the products it purchased and received from the Merchant through the Taobao Global Platform are counterfeits or infringing goods, or do not conform with the material/ingredient descriptions represented by Merchant, (ii) buyer files a claim with Taobao Global after failing to reach a settlement with Merchant, and (iii) Taobao Global has determined the case in favor of the buyer, the Merchant shall within seven (7) calendar days after such determination: (a) refund to buyer the purchase price and any other expenses related to this transaction and claim, (b) compensate the buyer for the losses incurred, and (c) bear the shipping fees for purchasing and returning the product. Taobao Global may destroy or dispose of any products which buyer has sent to Taobao Global and which have been determined to be counterfeit or infringing goods.

正品保證。當(i)買家從商戶購買其在淘寶全球平台出售的商品，在收到貨物後，如買家認為該商品為假冒或者侵權商品或假冒材質成份商品，且(ii)買家與商戶協商未果，買家向淘寶全球申請消費者保障賠付，且(iii)淘寶全球判定買家賠付申請成立的，商戶同意在七（7）個自然日內向買家(a)退回買家實際支付的商品價款及其他與本次交易和糾紛相關的費用，（b）賠償買家受到的損失，並(c)承擔商品購買和退貨的物流費用。對買家寄送淘寶全球進行判定而被淘寶全球判定為假貨或者侵權的商品，淘寶全球可以銷毀或者自行處置。

6.2     Compensation in Advance. If the Merchant fails to comply with Clause 6.1 and any other undertakings that it made to the consumers or obligations to consumers and is not able to reach a settlement with the consumer, or is otherwise required by any applicable Laws or regulations to do so, Merchant hereby authorizes Taobao Global to:

先行賠付。如商戶未履行第6.1條及任何其對消費者的承諾或者對消費者的義務，並且未能和消費者就該等糾紛達成一致，或有其他任何適用的法律法規的要求，商戶就此授權淘寶全球：

(a)      based on the relevant materials submitted by the buyer and the Merchant, decide the liabilities of either party using its reasonable discretion; and

根據買家和商戶提交的相關證據材料行使合理裁量權並判定雙方責任；及

(b)     if Taobao Global determines that Merchant shall be held liable, (a) directly deduct from the Deposit, other guarantee funds or transaction funds of the Merchant an amount equal to the amount payable to the buyer, and pay the same to buyer, or (b) make payments to buyer on behalf of the Merchant out of Taobao Global’s own funds and have Merchant indemnify Taobao Global against all such payments; Taobao Global also has the right to directly deduct from the Deposit, other guarantee funds or transaction funds of the Merchant an amount equal to such payment made to the buyer.

在判定商戶需承擔責任的情況下，(a)淘寶全球有權自商家保證金、其他擔保資金或交易資金中直接劃扣應賠付給買家的金額並賠付買家，(b)淘寶全球亦有權使用自有資金代商戶向買家進行賠付，商戶應向淘寶全球償還淘寶全球使用自有資金賠付的等額款項，淘寶全球亦有權自商家保證金、其他擔保資金或交易資金中直接劃扣該等墊付資金。

6.3     Where it is attributable to the Merchant in case of any consumer dispute, Merchant shall indemnify Taobao Global from and against any and all Losses incurred as a result of consumer disputes relating to products sold by Merchant on the Taobao Global Platform and waives any and all claims against Taobao Global relating thereto.

在可歸責于商戶的前提下，商戶應對所有因為商戶在淘寶全球平台銷售的商品產生的消費者糾紛對淘寶全球造成的損失進行賠償，並且同意放棄對淘寶全球的一切追償。

7.        Deposit and Alipay Merchant Accounts

保證金及支付寶商戶帳戶

7.1     Deposit.

保證金。

(a)      The exact amount of the Deposit payable by Merchant will depend on the category of products that Merchant sells on the Taobao Global Platform and the number of jurisdictions that Merchant sells into and is set forth in the Taobao Global Fee Standard published on the Taobao Global Platform.

保證金的具體金額基於商戶所經營的商品類目和銷售的地區數量確定，以淘寶全球平台公示的淘寶全球資費標準或其他規則為准。

(b)     Merchant shall remit to its Alipay Merchant Account the full amount of Deposit (the “Threshold”) within seven (7) Business Days after executing this Agreement to guarantee the Merchant’s compliance with this Agreement. Taobao Global will instruct Alipay to freeze the Deposit in the Merchant’s Alipay Merchant Account before making the Services available to Merchant.

商戶需於簽署本協議後的七（7）個工作日內在其支付寶商戶帳戶中繳納足額的保證金（下稱“額度”）用於擔保商戶對本協議的履行。淘寶全球在為商戶開通服務之前將指令支付寶公司凍結商戶的支付寶商戶帳戶內相應的金額作為保證金。

(c)      Adjustment or Top-up. Taobao Global shall have the right to adjust the Threshold from time to time during the term of this Agreement. If Taobao Global increases the Threshold or deduct any amount from the Deposit in accordance with this Agreement, Merchant shall, within fifteen (15) calendar days after receipt of notice from Taobao Global, return the amount of the Deposit to its full amount failing which Taobao Global shall have the right to instruct Alipay to freeze the Merchant’s Alipay Merchant Account for such period as Taobao Global may deem necessary and prohibit the Merchant from withdrawing any fund from its Alipay Merchant Account.

金額調整或補齊。淘寶全球有權在本協議期間隨時調整額度。如淘寶全球對商戶保證金額度進行調整或者淘寶全球根據本協議扣除保證金，商戶應在收到淘寶全球通知的十五（15）個自然日內補足保證金，否則，淘寶全球有權指令支付寶公司對商戶的支付寶商戶帳戶凍結淘寶全球認為必要長的期限並限制商戶從支付寶商戶帳戶中取款。

(d)     Breach of Agreement and Unlawful Act. In case of a breach by Merchant of this Agreement, any agreement between Merchant and Taobao Global’s affiliates, any applicable laws and regulations, policies, or representations, warranties or undertakings made to any buyer of the Taobao Global Platform, Taobao Global shall have the right to instruct Alipay to directly deduct the amount payable to Taobao Global, its affiliates and/or the consumers from the Deposit (including but not limited to, refunds for products, liquidated damages, damages for breach of contract). Neither Taobao Global nor any of its affiliates shall be liable for any liability that arises out of such deduction.

違約及違法行為。如商戶違反本協議、任何商戶和淘寶全球關聯方之間的協議、任何適用的法律法規、政策或者對消費者的陳述、保證或承諾，商戶同意淘寶全球有權直接通知支付寶公司從保證金內劃扣相應款項對買家或淘寶全球或其關聯方進行賠付或支付（包括但不限於退還商品、支付賠償金和/或違約金）。淘寶全球與其任何關聯方無需為該等劃扣承擔任何責任。

7.2     Unfreeze the Deposit. Where this Agreement expires or terminates, Taobao Global shall instruct Alipay to unfreeze the Deposit within ninety (90) Business Days after Merchant satisfying all the following conditions:

保證金解凍。本協議到期或終止的，淘寶全球將在商戶符合如下全部條件後九十（90）個工作日內，向支付寶發出指令，解除對保證金的凍結：

(a)      all products in the Merchant’s store are removed;

商戶店鋪内的商品全部下架；

(b)     there is no outstanding case where the Deposit might be deducted to settle amount payable to the buyers or Taobao Global or its affiliates;

商戶未有尚未處理完畢的可能需要扣除保證金向消費者或淘寶全球或者其關聯方支付應付款的情形；

(c)      all the transactions between the Merchant and consumers have been completed; and

商戶和消費者之間的所有交易已經完結；及

(d)     there are no outstanding claims or disputes against Merchant by any buyer or third party.

沒有未處理完畢的來自消費者或者第三方的任何投訴或糾紛。

7.3     Alipay Merchant Account. Upon the occurrence of any of the following events which causes or might cause Taobao Global to be liable to other parties for an amount that exceeds the balance of the Deposit, Merchant agrees that Taobao Global shall have the right to instruct Alipay to freeze Merchant’s Alipay Merchant Account and/or directly deduct any amount payable to Taobao Global, its affiliates and/or consumers by Merchant in accordance with this Agreement from Merchant’s Alipay Merchant Account to indemnify Taobao Global for any and all Losses:

支付寶商戶帳戶。發生下述情形，導致淘寶全球對第三方支付或賠償的款項超過保證金（該等支付或賠償包括實際已經發生的或可能發生的），商戶同意淘寶全球有權要求支付寶公司將商戶的支付寶商戶帳戶凍結或者要求支付寶公司將商戶的支付寶商戶帳戶下的款項直接支付給淘寶全球以補償淘寶全球、其關聯方和/或消費者所遭受的損失：

(a)      the Merchant becomes bankrupt or insolvent, or enters into liquidation whether compulsorily or voluntarily, or convenes a meeting of its creditors, or has a receiver appointed over all or part of its assets, or ceases for any reason to carry on business;

商戶破產或無力償債，或者進入自願或者強制的清算，或者召開債權人會議，或者其所有或者部分財產被指定破產監管人或者因任何原因不再經營；

(b)     the Merchant’s operations on the Taobao Global Platform had rendered Merchant liable for any debt that exceeds the balance of Deposit;

商戶因在淘寶全球平台的經營行為導致其須對外承擔高於保證金餘額的債務；

(c)      Taobao Global made an advance compensation payment to the buyer exceeding the balance of the Deposit at the time of such payment, or Taobao Global suffered a loss in an amount exceeding the balance of Deposit and the Merchant has not reimbursed Taobao Global for the compensation payment, or replenished the Deposit within a time reasonably required by Taobao Global; or

淘寶全球向買家先行賠付了超出商戶的支付寶商戶帳戶在賠付之時的保證金餘額或淘寶全球遭受的損失高於損失發生之時商戶的支付寶商戶帳戶中的保證金餘額，且商戶未向淘寶全球償付先行賠付費用或未在淘寶全球指定的合理時間內補足保證金額度的；或

(d)     the Merchant has committed a material breach of this Agreement or has otherwise caused material damage to users of the Taobao Global Platform, Taobao Global, or its affiliates.

商戶嚴重違反本協議或其他危害淘寶全球用戶、淘寶全球及其關聯公司利益的情形。

7.4     Insufficient Funds. In the event that the Deposit is insufficient to cover the amount payable by the Merchant pursuant to this Agreement, the Merchant shall pay the shortfall directly to the relevant party.

不足賠付。如保證金不足賠付任何根據本協議要求商戶支付的賠償時，商戶應自行向有關方直接支付不足的賠付金額。

7.5     Authorization. The Merchant hereby authorizes Alipay to freeze its Alipay Merchant Account for such period as Taobao Global may deem necessary and/or directly deduct any amount from the Merchant’s Alipay Merchant Account in accordance with this Agreement.

授權。商戶在此授權支付寶公司根據本協議的規定對商戶的支付寶商戶帳戶在淘寶全球認為有必要長的期限內進行凍結和/或直接扣除相應的金額。

7.6     Guarantee. Where the Merchant is also a merchant on the Alibaba Platform, the Merchant agrees to use the deposit paid to the Alibaba Platform(s) as the guarantee for its performance of this Agreement. If the Merchant fails to indemnify Taobao Global and users of Taobao Global, Taobao Global shall have the right to instruct the relevant operator of Alibaba Platform(s) to freeze and deduct from the deposit the amount payable to Taobao Global.

擔保。如商戶亦為阿里平台入駐商戶的，商戶同意，將商戶向阿里平台繳納的保證金作為其對於履行本協議的擔保。如商戶怠于向淘寶全球和淘寶全球用戶履行賠付責任的，淘寶全球有權指令阿里平台的運營主體凍結、劃扣商戶在阿里平台的保證金。

8.        Disclaimer

免責條款

8.1     Taobao Global provides the Services on a “as is” and “as available” basis with all faults and without warranty of any kind, expressed or implied. Merchant acknowledges that Taobao Global shall not be liable for any software defects or, malfunctioning. In no event shall Taobao Global be liable as a result of any events or failure or delay in providing the Services caused by third parties (including, without limitation, Internet connection failure, computer system failures, communication failures, power failures, computer viruses, hacking, strikes, labor disputes, riots, insurrection, riots, fires, floods, storms, explosions and war).

淘寶全球是以“現狀”和“可得到”為基礎提供服務，不排除服務中可能的所有故障，淘寶全球不做任何種類的明示或暗示的擔保。商戶認可淘寶全球不對軟體缺陷或者故障承擔任何責任。不論在何種情況下，淘寶全球均不對因為第三方原因（包括但不限於，由於網路連接故障、電腦系統故障、通訊故障、電力故障、電腦病毒、駭客入侵、罷工、勞動爭議、暴亂、起義、騷亂、火災、洪水、風暴、爆炸、戰爭等）而造成的不能服務或延遲服務或任何事件承擔責任。

8.2     To the maximum extent provided by law, in no event shall Taobao Global be liable for any indirect, incidental or consequential damages relating to the Taobao Global Platform, including without limitation, damages for loss of profits, loss of data, business interruption or any other damages or losses however caused.

在法律允許的最大範圍內，淘寶全球對商戶使用淘寶全球平台產生的任何間接損失不承擔任何責任，包括但不限於利潤的損失、資料的丟失、業務中斷或者其他無論何種原因造成的任何損害和損失。

8.3     Taobao Global Platform shall only be used for the purpose of identifying consumers, facilitating negotiations in relation to trade of goods and services, and obtaining various trade related services. Taobao Global’s execution of this Agreement does not indicate that it agrees to be a participant of the transactions between the Merchant and third parties on the Taobao Global Platform. Taobao Global is only providing Services to such transactions, and does not expressly or implicitly guarantee or take responsibility for: (i) the legality or effectiveness of the conducts of Merchant and buyers on the Taobao Global Platform, or (ii) the authenticity, legality, quality or fitness for purpose of any goods and/or services sold on the Taobao Global Platform or provided by any third party.

淘寶全球平台只能被用來物色消費者、就貨物和服務的交易進行協商以及獲取各類與貿易相關的服務。淘寶全球簽署本協議並不意味著其成為商戶在淘寶全球平台上與第三方所進行交易的參與者，對前述交易淘寶全球僅提供技術服務，且不對(i)商戶和買家在淘寶全球平台上的行為的合法性、有效性，或(ii)淘寶全球平台上銷售的或由第三方提供的商品及/或服務的真實性、合法性、品質或有效性作任何明示或暗示的擔保，並且不承擔與前述各項有關的任何及全部責任。

8.4     If a third party requests Taobao Global to delete information uploaded by Merchant, claiming that there has been an infringement, the Merchant agrees that Taobao Global shall not be liable for deleting such information even if it is ultimately determined that the third party made such a claim maliciously and failed to prove that the claim is legitimate. The Merchant waives any and all claims against Taobao Global and agrees that it shall on its own recover damages from the third party.

當第三方以商戶侵權為由要求淘寶全球刪除商戶上傳的資料時，商戶同意淘寶全球對刪除行為不承擔任何責任，如最終證明第三方為惡意或缺乏權利憑證，商戶同意不向淘寶全球追究任何責任並自行向第三方進行追責。

9.        Intellectual property and data

知識產權與數據

9.1     License. Merchant hereby grants Taobao Global a non-exclusive, sub-licensable (only to the affiliates of Taobao Global), worldwide and royalty-free license to use, copy, amend, rewrite, publish, translate, distribute, execute and display any and all information the Merchant has provided to Taobao Global or uploaded onto the Taobao Global Platform (including but not limited to trademarks, logos, trade names, texts, software, audios, pictures, videos, graphics, logos, layouts, designs, advertisements and promotional materials) (collectively, the “Merchant’s Intellectual Properties”), to create derivative works from the Merchant’s Intellectual Properties, and to incorporate the Merchant’s Intellectual Properties into other works in any form or via any media or technology currently known or to be developed in the future, for the purpose of selling, marketing and/or promoting the products of Merchant and the Merchant during the term of this Agreement.

許可。商戶在此授予淘寶全球非排他的、可再許可的（限於許可給淘寶全球的關聯方）、全球範圍的、免費的許可，使用、複製、修訂、改寫、發佈、翻譯、分發和展示商戶提供給淘寶全球或者上傳到淘寶全球平台的任何資料（包括但不限於商品商標、標識、商品名稱、文字、軟體、音頻、圖片、視頻、圖案、圖形、版面設計、外觀設計、廣告及宣傳資料）（統稱“商戶知識產權”），製作其派生作品，和以現在已知或日後開發的任何形式、媒體或技術，將上述資料納入其它作品內，用以在本協議期間內推廣和銷售商戶的商品和商戶。

9.2     Data and Intellectual Property. Taobao Global respects and protects the Merchant's trade secrets such as the GMV of its store and the transaction amount of a certain category or an item. All rights (including copyright, trademark, patent, trade secrets, and other related rights) in all official products, technologies, software, programs, data, and other information (including without limitation text, icons, images, photos, audios, videos, graphics, color combinations, and layout designs) released by Taobao Global are owned by Taobao Global and its affiliates. Except for the data that the Merchant has the right to use for commercial purpose in accordance with the relevant laws, the Merchant agrees not to use any other data on Taobao Global Platform for commercial purpose, including but not limited to using any material displayed by other users on the Taobao Global Platform, by way of copying, transmitting, or disclosing to others without the prior written approval of Taobao Global.

資料及知識產權。淘寶全球尊重和保護商戶店鋪交易額、某類目或某單品的交易額等商戶商業秘密。淘寶全球推出的所有官方產品、技術、軟體、程式、資料及其他信息（包括但不限於文字、圖示、圖片、照片、音頻、視頻、圖表、色彩組合、版面設計等）的所有權利（包括著作權、商標權、專利權、商業秘密及其他相關權利）均歸淘寶全球及其關聯公司所有。除商戶依據相關法律有權進行商業性使用的資料外，商戶同意不對淘寶全球平台上其他任何資料作商業性使用，包括但不限於在未經淘寶全球事先書面批准的情況下，以複製、傳播或向他方披露等方式使用在淘寶全球平台上其他用戶展示的任何資料。

9.3     Data and Personal Data Protection. The Merchant must strictly comply with the requirements related to network security and data protection in the country and region where the Merchant is located, the Designated Area, and other applicable laws. Where the Merchant collects, uses, or shares personal information of a user of Taobao Global Platform during its operation, the Merchant must collect, use, or share the personal information for lawful, justified and necessary purpose, and in accordance with applicable laws, the Platform Rules, Taobao Global’s instructions and the agreements between the Merchant and the user, including as follows: unless otherwise authorized by the user, the Merchant shall only use the user's order information and other necessary information related to the transaction for the purpose to fulfill the user's purchase order of goods or services, and provide after-sales services as agreed in the Taobao Global Privacy Policy; the Merchant shall not use the user's information or illegally provide others with the personal information of the user without the user's explicit consent or beyond the scope of user's consent. Further, the Merchant agrees and consents to Taobao Global using and processing Merchant’s personal information as set out in the Taobao Global Privacy Policy, as amended from time to time.

資料及個人資料保護。商戶須嚴格遵守其所在國家和地區、指定地區以及其他適用的司法管轄區與網路安全與資料保護相關法律的要求，其中，商戶在店鋪經營過程中收集、使用及共享的資料中涉及淘寶全球用戶個人資料的，須遵循合法、正當、必要原則，並應遵守可適用的法律、平台規則、淘寶全球指示及商戶與用戶之間的約定，包括：在無用戶其它授權的情況下，商戶應僅能將用戶的訂單資料等與交易有關的必要資料用於《淘寶全球平台私隱權政策》中約定的為滿足用戶購買商品或服務、完成售後服務的目的；禁止未經用戶明確同意或超出用戶授權範圍使用其資料或非法向他人提供用戶個人資料等。此外，商戶同意淘寶全球可根據《淘寶全球平台私隱權政策》及其不時修訂使用、處理商戶的個人資料。

The Merchant shall take necessary technical measures to safeguard data security. When information security incident occurs or may occur, the Merchant shall immediately take remedial measures, notify the user in a timely manner, and report to relevant authorities in accordance with regulations.

商戶應當採取必要的技術措施保障資料安全，在發生或可能發生資料安全風險時，應當立即採取補救措施，按照規定及時告知用戶並向有關主管部門報告。

10.     Business Integrity

誠信經營條款

10.1  Merchant shall not and shall cause all of its affiliates not to carry out any of the following actions, directly or indirectly:

商戶及商戶關聯公司不得直接或間接從事如下行為：

(a)      provide or imply to provide or assist with or procure the provision of bribery any time in the future to any employees, management members, agents or consultants of Taobao Global or Taobao Global’s affiliates (including, without limitation, any goods, cash, cash equivalents, services, travels);

向淘寶全球或淘寶全球關聯公司的雇員、管理層、代理或顧問等提供、暗示提供、協助或促成在未來任何時候的賄賂（包括但不限於實物、現金、現金等價物、服務、旅遊等賄賂）；

(b)     engage in any terrorist-related, money laundering or other illegal activities;

參與任何與恐怖主義相關、洗錢或者其他違法活動；

(c)      engage in any dealings with persons whom are the subject of international or national trade or economic sanctions; or

參與任何被國際或者國家經濟制裁的對象有往來的活動；或

(d)     engage in any other conducts that violate business integrity (principle of acting in good faith) or may damage the reputation of Taobao Global or its affiliates, including but not limited to acts prohibited by the Letter of Undertaking on Operation in Good Faith attached hereto as Appendix I.

其他違背誠信信用原則 （principle of acting in good faith）或者可能給淘寶全球或淘寶全球關聯公司聲譽造成損失的行為，包括但不限於進行本協議附件一《誠信經營承諾書》項下禁止的行為。

10.2  If Merchant breaches this Clause 10, Taobao Global shall have the right to terminate this Agreement immediately and confiscate all of the Merchant’s Deposit as liquidated damages.

商戶違反本第10條約定的，淘寶全球有權立即解除本協議並沒收商戶所有保證金作為違約金。

11.     Confidentiality

資料保密

11.1  Confidential Information. “Confidential Information” shall refer to the terms of this Agreement and any information provided by one Party (“Discloser”) to the other Party (“Recipient”) through the course of cooperation (i) identified as “confidential” when disclosed; or (ii) to be understood as confidential in nature by anyone using reasonable commercial judgment. The term “Confidential Information” does not include information which (i) was publicly known and made generally available in the public domain prior to the time of disclosure to the Recipient, (ii) becomes publicly known and made generally available after disclosure to the Recipient through no action or inaction of the Recipient, (iii) is in the possession of the Recipient, without confidentiality restrictions, at the time of disclosure by the Discloser, or (iv) is independently developed by the Recipient without reference to any Confidential Information.

保密資料。“保密資料”指本協議的條款以及雙方在合作過程中一方（“披露方”）向另一方（“接收方”）提供的（i）披露時說明是“保密”的資料；以及（ii）任何人通過合理商業判斷將理解為保密的資料。“保密資料”不包括以下資料：(i)披露方向接收方披露之前已被公眾所知曉或在公共領域通常可由公眾所取得的資料；(ii)在向接收方披露後，非因接收方的作為或不作為而成為被公眾所知曉或通常可由公眾所取得的資料；(iii)在披露方披露之時已由接收方所掌握的、無保密限制的資料；或(iv)系由接收方獨立開發而並未參考任何保密資料的資料。

11.2  The Recipient shall not disclose, broadcast, edit or display the Confidential Information provided by the Discloser to any third parties without the prior written consent of the Discloser. The Parties undertake to comply with its confidentiality obligations under this Clause 11 for a period of two (2) years after the termination of this Agreement. The Recipient shall take all reasonable measures to protect confidentiality of the Discloser’s Confidential Information against unauthorized use or disclosure. 

接收方未經披露方事先書面同意，均不得將披露方的保密資料向任何第三方披露、傳播、編輯或展示。雙方承諾，本協議終止後仍承擔此條款下的保密義務，保密期將另行持續兩年。接收方應採取所有合理措施以保護披露方的保密資料免於被未經授權使用或無意披露。

12.     Indemnification

補償條款

12.1  Merchant shall indemnify and hold harmless each of Taobao Global, its affiliates and their respective officers, employees, shareholders and agents from and against any and all losses, claims, damages, liabilities and expenses, including, without limitation, reasonable legal fees and disbursements (collectively, “Losses”), arising out of or in connection with the Merchant’s reckless, negligent, willful or fraudulent acts or failure to act and any breach by Merchant (or any person acting on behalf of Merchant) of terms under this Agreement or applicable rules and regulations. The term “Losses” shall include, but not limited to:

商戶應對淘寶全球以及其關聯公司和他們各自的管理人員、員工、股東和代理所有因商戶的大意、疏忽、有意而為或者欺詐行為或者不作為以及商戶違反任何本協議下的規定或者法律法規而產生或者相關的任何和所有的損失、索賠、損害、責任和費用（包括但不限於，合理的律師費和報銷）（統稱為“損失”）進行彌償並使其免於遭受損失。該等“損失”包括，但不限於：

(a)      direct economic losses sustained by Taobao Global due to the Merchant's breach;

因商戶違約給淘寶全球帶來的直接經濟損失；

(b)     any refunds, liquidated damages, or compensation paid by Taobao Global to any consumer or other third parties;

淘寶全球對任何消費者或者其它第三方支付的退款、違約金或賠償金；

(c)      penalties imposed on Taobao Global as a result of any enforcement actions by administrative authorities against Taobao Global; and

淘寶全球被執行行政處罰的金額；

(d)     legal fees and other fees and expenses incurred by Taobao Global to eliminate, mitigate and/or otherwise manage the impact on Taobao Global arising out of or related to the Merchant’s act or failure to act.

淘寶全球支付的律師費用，消除、減輕或者處理因為商戶的作為或者不作為對淘寶全球造成的影響所支出的費用。

12.2  Unless otherwise agreed, Merchant shall pay Taobao Global liquidated damages at the rate of 1 % per month over the outstanding amount in respect of any overdue payments.

商戶對淘寶全球存在任何期限屆至而未付的款項時，除另有約定外，商戶應自逾期之日起向淘寶全球支付未付款項每個月百分之一的違約金。

13.     Term and termination of this Agreement

協議期限及終止

13.1  Term.  For any renewing Merchant that has already opened a store (if any), this Agreement shall become effective on publish date hereof and be valid until December 31, 2021 (“Expiration Date”). For any new Merchant, this Agreement shall become effective from the date when this Agreement is duly executed by both Parties or from the date Merchant agrees to this Agreement online and remain valid until the Expiration Date.

協議期限。對於已經開店的續約商戶（如有），本協議自發佈之日起生效，有效期至2021年12月31日（到期日）。對於新商戶，本協議有效期自各方簽署之日或商戶于線上接受本協議之日起至到期日為止。

13.2  Termination of this Agreement.

協議終止。

(a)      Either Party may terminate this Agreement upon prior written notice (“Termination Notice”) to the other Party according to the provision in this clause. However, if the Merchant has guaranteed a minimum gross transaction volume and/or other key performance indicators, Merchant shall not unilaterally terminate this Agreement before it has reached the gross transaction volume and/or met all the key performance indicators, unless otherwise agreed. Where this Agreement is terminated in accordance with this clause, Taobao Global will check and confirm if the Merchant has settled all the disputes, payments and invoices and fulfilled all other requirements for termination (including the conditions for unfreezing Deposit set out in Clause 7.2 and all other conditions set forth in the Platform Rules) within thirty (30) calendar days (“Check Period”) after issuance or receipt of the Termination Notice (where applicable). This Agreement shall remain valid during the Check Period, and will terminate upon Taobao Global’s confirmation all requirements for termination are met.

協議任何一方均可以根據本條款以提前書面通知的方式終止本協議（“終止通知”），但若商戶向淘寶全球承諾了保底交易額和/或其它業務指標，在商戶未滿足所有的業務指標前，商戶不得行使單方解約權，但雙方另有約定的除外。如根據本條款約定終止本協議的，淘寶全球將在發出或收到（按情形適用）終止通知后30個自然日（“審核期”）内審核並確認商戶是否已處理完畢所有的糾紛、付款和結帳事項並滿足其他退出條件（包括本協議第7.2條約定的保證金解凍條件以及平台規則規定的其他條件），本協議在審核期内仍然有效，並於淘寶全球確認商戶滿足全部退出條件后終止。

(b)     Taobao Global shall have the right to unilaterally terminate this Agreement with immediate effect and confiscate all Deposits as liquidate damages on the occurrence of any of the following events:

如發生如下情形，淘寶全球有權立即單方解除本協議，並沒收全部保證金作為違約金：

(i)            the Merchant provided any false, fraudulent or forged documents or materials to Taobao Global;

商戶向淘寶全球提交虛假、欺騙或者偽造的材料；

(ii)            the Merchant disclosed or used buyer’s personal data in a manner which is not compliant with applicable Laws;

商戶非法洩露或使用買家個人資料；

(iii)            there have been multiple complaints against the quality of the Merchant’s products or services, and the Merchant, after being notified by Taobao Global, has not rectified such situation within the cure period reasonably set by Taobao Global;

商戶被第三方多次投訴其商品品質或服務品質，經淘寶全球通知後，在淘寶全球限定的合理期限內未能改善；

(iv)            the amount of Deposit fell below the Threshold and, after being informed by Taobao Global, Merchant has not been able to replenish the fund within the time frame set by Taobao Global;

商戶保證金不足，且未能自行補齊，經淘寶全球催繳後仍未能在淘寶全球指定時間內補足；

(v)            the Merchant violates any provisions about service fee in this Agreement, or Merchant has failed to pay any fees due and payable to Taobao Global and/or its affiliates in full on time within the time frame required by Taobao Global;

商戶違反本協議下關于服務費的任何條款，或商戶未能按期全額支付其對淘寶全球以及/或者淘寶全球關聯方的到期應付款，且在淘寶全球規定的時限內仍未支付；

(vi)            the Merchant has failed to correct a breach of this Agreement to the satisfaction of Taobao Global within thirty (30) calendar days of Taobao Global first giving written notice to Merchant for such breach;

商戶未能在淘寶全球通知其已違反本協議的15個自然日內對該等違約做出讓淘寶全球滿意的補救；

(vii)            the Merchant becomes bankrupt or insolvent, or enters into liquidation whether compulsorily or voluntarily, or convenes a meeting of its creditors, or has a receiver appointed over all or part of its assets, or ceases for any reason to carry on business;

商戶破產或無力償債，或者進入自願或者強制的清算，或者召開債權人會議，或者其所有或者部分財產被指定破產管理人或者因任何原因不再經營；

(viii)            the Merchant has not logged into its account with the Taobao Global Platform for more than thirty (30) calendar days;

商戶在超過連續30個自然日的時間內未登錄淘寶全球平台的；

(ix)            the Merchant has failed to meet the conditions precedent set forth in Clause 3 of this Agreement or other requirements for it to continue to operate or use the Services on the Taobao Global Platform; or

商戶無法繼續滿足本協議第3條的先決條件或不具備其他在淘寶全球平台繼續經營或繼續使用服務所需滿足的要求；或

(x)            other circumstances in which the Merchant materially violates this Agreement or the agreement entered into by and between the Merchant and Taobao Global's affiliates.

其他商戶實質違反本協議或者商戶和淘寶全球的關聯方的協議情形。

13.3  Post Termination Matters

協議終止後的事項處理

(a)      After the termination of this Agreement, Taobao Global shall have no obligation to maintain any data or information relating to the Merchant (including, without limitation, the Merchant’s account with the Taobao Global Platform and its transactions on Taobao Global Platform) or forward any such information to any third parties.

本協議終止後，淘寶全球沒有義務為商戶保留與商戶相關的資料或信息（包括但不限於，商戶在淘寶全球平台的帳戶中以及其在淘寶全球平台上的交易），或轉發任何信息給任何第三方。

(b)     Regardless of the cause for the termination of this Agreement, the Merchant shall remain fully and solely liable for all of its liabilities accrued prior to the termination of this Agreement.

無論本協議因何原因終止，在協議終止前的行為所導致的任何賠償和責任，商戶必須完全且獨立地承擔。

(c)      If this Agreement is terminated, the Merchant shall continue to carry out, perform, and resolve any transactions, obligations, and disputes that have occurred prior to the termination hereof. Taobao Global shall have the right and sole discretion to decide whether to cancel any outstanding transactions between Merchant and the consumers upon the termination of this Agreement and notify the buyers of the termination of this Agreement.

本協議終止的，商戶應繼續履行和處理在本協議終止前已經發生的任何交易、義務、糾紛。淘寶全球有權自行決定是否取消在本協議解除時商戶和消費者還未完成的交易並將本協議終止的情況通知該交易中的買方。

(d)     Upon the termination of this Agreement, Taobao Global shall have the right to instruct Alipay to suspend the Merchant’s ability to process any transactions through Merchant’s Alipay Merchant Account for the purpose of settling payments by the Merchant to Taobao Global, its affiliates, consumers or third parties arising from outstanding disputes at the time of the termination of this Agreement or that arise after the termination of this Agreement. The Merchant's Alipay account shall be unfrozen within thirty (30) calendar days after the Merchant completes and resolves all transactions and disputes according to this Agreement and Platform Rules.

本協議終止後，商戶同意淘寶全球有權通知支付寶公司將商戶的支付寶商戶帳戶餘額進行凍結，用於解決本服務協議終止時或者終止後的商戶和淘寶全球、其關聯方、消費者或第三方之間的糾紛或賠付。支付寶帳戶至商戶根據本協議及平台規則處理完成所有交易、糾紛後的30個自然日內解凍。

14.     General Terms

通用條款

14.1  No Assignment. Merchant may not assign or transfer any of its rights or obligations in whole or in part under this Agreement to any third party without the prior written consent of Taobao Global. Taobao Global may assign or transfer any and all rights and obligations under this Agreement to its affiliate(s). This Agreement will bind and inure to the benefit of the Parties’ permitted successors and assigns.

不得轉讓。未經淘寶全球事先書面同意，商戶不得向第三方轉讓本協議下的任何權利及/或義務。淘寶全球有權將本協議項下的任何及全部權利義務轉讓給其關聯公司。本協議對雙方允許的承繼方和受讓方具有約束力。

14.2  Third Party Rights. No entity other than the Parties hereto (including any public institution and any legal person, corporation, or unincorporated body) (except for affiliates, successors, and assignees permitted by Clause 14.1 hereof) shall enforce or have the right to benefit from any provision of this Agreement pursuant to the Contracts (Rights of Third Parties) Ordinance (Cap. 623).

第三方權利。任何非本協議簽約方（包括任何公共機構和任何法人、法團或非法人團體）（除了本協議第14.1條允許的關聯公司、承繼方和受讓方外）不得根據《合約（第三者權利）條例》（香港法例第623章）而強制執行或享有本協議的任何條款的權利。

14.3  Governing Law and Dispute Resolution. This Agreement shall be governed by and construed in accordance with the laws of Hong Kong without regard to or application of conflict of laws rules and principles. Any controversy or dispute arising out of or related to this Agreement shall be submitted to Hong Kong International Arbitration Centre for arbitration in Hong Kong in accordance with its arbitration rules in effect at the time of the notice of arbitration. There shall be three (3) arbitrators, and Chinese shall be the language for the arbitration proceeding. The arbitration award shall be final and binding on both parties.

管轄法及爭端解決。本協議應受香港法律管轄並据其解釋，但不考慮亦不適用任何衝突規則或原則。凡因本協議引起的或與之相關的爭議或糾紛均應提交香港國際仲裁中心根據仲裁通知時其有效的仲裁規則，在香港仲裁解決。仲裁員人數為三（3）名，仲裁語言為中文。仲裁裁決為終審決定並對雙方具有約束力。

14.4  Notices

通知

(a)      Effective Contact Information. When the Merchant is registered as a user of Taobao Global Platform and receives services from Taobao Global, the Merchant shall provide Taobao Global with true and effective contact information (including without limitation the Merchant's email address, contact number, and contact address). If the Merchant's contact information changes, the Merchant has the obligation to promptly update the relevant information and make sure that the Merchant can be reached through the contact information left with Taobao Global.

有效聯繫方式。商戶在註冊成為淘寶全球平台用戶並接受淘寶全球服務時，商戶應該向淘寶全球提供真實有效的聯繫方式（包括但不限於商戶的電子郵寄地址、聯繫電話、聯繫位址等）。聯繫方式發生變更的，商戶有義務及時更新，並確保可通過留給淘寶全球的聯係方式聯繫到商戶。

The Taobao Global account (including sub-accounts) generated in the Merchant’s registration at Taobao Global Platform for login on the Taobao Global Platform to receive and send website messages, system messages, and AliWangWang instant messages or login on the seller center also serves as a valid way to contact Merchant.

商戶在註冊淘寶全球平台用戶時生成的用於登錄淘寶全球平台接收和發送站內信、系統消息和阿里旺旺即時信息或登錄賣家中心的會員帳號（包括子帳號），也作為商戶的有效聯繫方式。

Taobao Global will send notices to the Merchant through one or more ways set forth above, and such notices may have significant impact, positive or negative, on the Merchant’s rights and obligations, to which the Merchant must pay appropriate attention.

淘寶全球將向您的上述聯繫方式的其中之一或其中若干向您送達各類通知，而此類通知的內容可能對您的權利義務產生重大的有利或不利影響，請您務必及時關注。

(b)     Service of notices. Taobao Global can serve notices to the Merchant by any of the methods mentioned above. Notices delivered in electronic form, including without limitation announcements posted on Taobao Global Platform and/or seller center, text messages to the telephone number provided by the Merchant, emails to the email address provided by the Merchant, and AliWangWang messages, system messages, or website messages to the Merchant's account, shall become effective upon the messages being successfully sent. Notices delivered in hard copies shall be sent to the contact address that the Merchant provided and shall become effective on the fifth day after Taobao Global dispatches the notice.

通知的送達。淘寶全球通過上述聯繫方式向商戶發出通知，其中以電子方式發出的書面通知，包括但不限於在淘寶全球、賣家中心公告，向商戶提供的聯繫電話發送手機短信，向商戶提供的電子郵件地址發送電子郵件，向商戶的帳號發送旺旺信息、系統消息以及站內信，在發送成功後即視為送達；以紙質載體發出的書面通知，按照提供聯繫地址交郵後的第五（5）個自然日即視為送達。

The Merchant shall ensure that the contact information provided is accurate and effective, and updated in real time. The Merchant shall be solely liable for the legal consequences of failure in or delay of service of process due to inaccurate contact information provided by the Merchant or Merchant’s delay of notification of the new information.

商戶應當保證所提供的聯繫方式是準確、有效的，並進行即時更新。如果因提供的聯繫方式不確切，或不及時告知變更後的聯繫方式，使法律文書無法送達或未及時送達，由商戶自行承擔由此可能產生的法律後果。

14.5  Force majeure. If either Party is unable to perform or delays to perform its obligations under this Agreement due to events beyond its reasonable control (including but not limited to war, industry actions, acts of God, acts of government or regulatory body, breakdown of network or public utilities), the Party encountering such events shall not be liable thereto, provided that the affected Party shall promptly notify the other Party and take reasonable measures to minimize the impact of the force majeure event on such Party.

不可抗力。如果任何一方由於在其合理控制範圍之外的事件（包括但不限於戰爭、工業行動、天災、政府或者監管機構的行為、網路或公用事業故障）致使其不能履行或延遲履行其在本協議項下的任何義務，則遭受該事件的一方無需就此承擔責任；但前提條件是受影響的一方需要及時通知另一方並且採取合理的措施減少不可抗力事件對對方的影響。

14.6  Non-severability. If any terms of this Agreement are deemed unlawful, unenforceable or invalid, such terms shall be performed to the maximum extent permitted by laws, and the remaining terms of this Agreement shall not be affected and shall continue to have their full legal force.

不可分割。本協議任何條款被認為是違法的、無執行力的或者失效的，該部分條款應按法律容許的最大範圍執行，本協議其他的條款將不受影響而仍有全部效力。

14.7  Waiver. The failure of either Party to exercise a right under this Agreement shall not constitute a waiver of the right by the said Party.

權利放棄。任何一方沒有行使其在本協議下的任何權利，不應被視為該方對該權利的放棄。

14.8  Entire agreement. This Agreement constitutes the entire agreement between the Parties hereto, and shall replace any previous oral or written agreement or condition between the Parties. Unless otherwise provided in this Agreement, any amendment or supplement to this Agreement shall be in writing (including in electronic form) and become effective only after being executed by the Parties (including electronically).

完整協議。本協議構成雙方之間完整協議，取代之前任何口頭或書面之約定或條件。除非本協議另有規定，本協議的任何修改、補充必須以書面形式（包括電子形式）進行，並由雙方簽署後（包括電子方式）方能生效。

14.9  Language. This Agreement is written in English. If this Agreement is translated into any other language other than English and if the meaning of the translated version is different than the English version, the English version will control. 

語言。本協議以英文書寫。若本協議有其他語言的譯本且譯本的理解與英文版不同，則應以英文版爲準。

Appendix I

附件一

Letter of Undertaking on Operation in Good Faith

誠信經營承諾書

In order to jointly build a faithful and transparent online shopping environment, maintain a fair and regulated online operation order, and promote the healthy and sustainable development of the e-commerce ecosystem, this Store (I) hereby undertakes to global netizens and Taobao Global that I will:

為共同構建誠信、透明的網路消費環境，共同維護公平、規範的網路經營秩序，共同促進電子商務生態系統的健康持續發展，本店（本人）特向全球網民及淘寶全球承諾如下：

1. Not participate in, join or set up any credit hype organization (such credit includes but is not limited to sales volume, rating, and DSR);

不參與、不加入、不組建任何交易信用炒作組織（該交易信用包括商品銷量、評價、DSR評分等）；

2. Not commit any act of credit hype, and ensure that the content and trading credit of each transaction are true and credible, and there is no fraud or hype;

不進行任何交易信用炒作行為，保證每一筆交易內容、交易信用均為真實、可信，絕無虛構、炒作行為；

3. Not publish, disseminate, or promote any illegal information related to credit hype, and actively report on such illegal information;

不發佈、不傳播、不推廣任何有關交易信用炒作的違規信息，並積極舉報此類違規信息；

4. Actively accept the supervision by the netizens and Taobao Global, and strictly comply with and actively safeguard the rules of Taobao Global's trading credit system;

積極接受廣大網民及淘寶全球的監督，嚴格遵守、積極維護淘寶全球交易信用體系的各項規則；

5. Accept the measures taken by Taobao Global and bear the relevant liabilities arising therefrom if I violate any of the rules of Taobao Global's trading credit system. I solemnly undertake that I will always adhere to the aforementioned commitments, not engage in credit hype in any form, will strictly comply with the applicable laws and regulations and rules of Taobao Global, and conduct business activities in a good-faith, fair and well-behaved manner.

若本店違反淘寶全球交易信用體系的各項規則，本店願意接受淘寶全球的相應處理措施，並承擔因此引發的相關責任。本店鄭重承諾：本店將始終恪守上述承諾，不進行任何形式的交易信用炒作行為，嚴格遵守可適用的相關法律法規及淘寶全球的相關規定，誠信、公平、規範地開展經營活動。

6. Comply with the applicable laws and regulations, industry management, public order, and public moral in the country of export and import, place of sales, Designated Area, and other relevant places.

遵守出口國、進口國、銷售地、指定地區及其他可適用的法律法規、行業管理、公序良俗及公共道德。

Appendix II

附件二

Letter of Undertaking on Dangerous Goods Compliance

危險物品合規承諾書

The Merchant has clearly acknowledged that Taobao Global has developed the corresponding rules on prohibited items for sale, which prohibiting its members from publishing the information about dangerous goods and make transactions for dangerous goods on Taobao Global. Dangerous goods include but are not limited to firearms and ammunition, explosives, highly toxic chemicals, explosive hazardous chemicals and other hazardous chemicals, radioactive materials, nuclear materials, controlled equipment, as well as other items deemed dangerous or potentially dangerous to personal and property safety by the country of export and import, place of sales, Designated Area, and other applicable laws and regulations.

商戶已明確知曉下述內容：淘寶全球已經制定相應的禁售規則，禁止會員在淘寶全球發佈危險物品信息、交易危險物品。危險物品包括但不限於槍支彈藥、爆炸物品、劇毒化學品、易制爆危險化學品和其他危險化學品、放射性物品、核材料、管制器具等，以及其他出口國、進口國、銷售地、指定地區及可適用的法律法規認為能夠或可能危及人身安全和財產安全的物品。

This Store (I) solemnly undertakes that it will strictly comply with the applicable laws and regulations, and warrants that it will fulfill the following safety obligations:

本店（本人）鋪鄭重承諾如下：嚴格遵守可適用的相關法律法規的規定，並保證履行以下安全責任：

1. Voluntarily comply with the current laws, regulations, and policies in relevant countries and regions (including the Designated Area) on safety management and management of dangerous goods, and actively cooperate with the regulatory authorities in safety supervision and law enforcement inspection activities.

自覺遵守相關國家和地區（包括指定地區）現行有關安全管理、危險物品管理的法律法規和政策文件規定，積極配合有關監管部門開展的安全監督與執法檢查活動。

2. Voluntarily comply with Taobao Global's rules on prohibition of dangerous goods, actively carry out self-examination and self-inspection of the information on goods, not to release, disseminate, or make any transaction for the dangerous goods, and cooperate with Taobao Global in the management of product information and transaction for dangerous goods.

自覺遵守淘寶全球關於危險物品的相關禁售規則，積極開展商品資料的自檢自查工作，不發佈、不傳播、不交易上述危險物品，依規配合淘寶全球針對危險物品開展的商品資料與交易管理工作。

3. Not to avoid the management of dangerous goods by relevant regulatory authorities and Taobao Global by fraud in the process of product information release and order fulfillment.

在商品資料發佈與交易履行過程中，不弄虛作假規避有關監管部門及淘寶全球針對危險物品的管理工作。

4. In case that any goods sold by this Store are not dangerous itself, but can be used in the manufacturing or use of dangerous goods or for illegal purposes, not to introduce the manufacturing and using methods or illegal uses of such dangerous goods. If it is suspected that the buyer may commit a crime, this Store shall immediately cease the transaction with such buyer and report the relevant clues to the relevant regulatory authorities or platform management departments. 

若所售物品並非危險物品，但其可用於製造使用危險物品或可用於非法用途，絕不對相關危險物品的製造使用方法及非法用途進行介紹。若在交易中發現買方存在違法犯罪嫌疑，立即停止與其交易，並將相關線索上報相關監管部門或平台管理部門。

The Merchant has acknowledged the aforementioned obligations and made commitments on security responsibilities. If I do not perform the aforementioned legal obligations and commitments on security responsibilities, resulting in illegal and criminal activities or other consequences, I shall bear the corresponding legal liabilities according to law.

商戶已知曉上述義務，並作出安全責任承諾。若本店不履行上述法定義務與責任承諾，導致違法犯罪活動發生或其他損害後果，本店將依法承擔相應的法律責任。

Alibaba.com Singapore E-Commerce Private Limited（“淘寶全球”）

This Merchant agrees to receive the relevant services provided by Alibaba.com Singapore E-Commerce Private Limited ("Taobao Global") in accordance with the Taobao Global Merchant Service Agreement entered into by Taobao Global with this Merchant. This Merchant also agrees to receive relevant payment services provided by Alipay Singapore E-Commerce Private Limited, Alipay Merchant Services Pte. Ltd. and their respective affiliates that are involved in providing the relevant services (hereinafter referred to as "Alipay International" collectively) in accordance with relevant agreements entered into by Alipay International and this Merchant. In accordance with the requirements of applicable laws and regulations, and for the purpose of "Know Your Customers", Taobao Global and Alipay International will collect and review the following information of this Merchant, including but not limited to business registration information, valid certificate/license information, the information about the legal representative and controllers/directors (including valid identity card), basic information of shareholders (either legal person or natural person) holding more than 25% of equity in this Merchant (including valid identity card). The aforementioned company information and personal information are collectively referred to as "Required Information".

本商戶同意接受Alibaba.com Singapore E-Commerce Private Limited（ “淘寶全球”）依據與本商戶簽署的《淘寶全球商戶服務協議》提供相應服務。本商戶亦同意接受Alipay Singapore E-Commerce Private Limited及Alipay Merchant Services Pte. Ltd及其涉及提供相關支付寶服務的關聯公司（合稱“支付寶國際”）依據與本商戶簽署的相關協議提供相應支付服務。淘寶全球及支付寶國際依據相關法律法規要求，對本商戶以“瞭解你的客戶”為目的，收集並審查包括但不限於以下資料：企業註冊資料、有效證件/證照資料、法人代表人及控制人/董事身份資料（含有效證件資料）、持股大於25%的股東（法人或自然人）基本資料（含有效證件資料）等，以上所需公司資料及所需個人資料並稱“所需資料”。

Accordingly, this Merchant authorizes the following subjects to collect, store, transmit, and process the relevant information: 1) authorizing Taobao Global to obtain from Alipay International and store the Required Information legally retained by Alipay International; 2) authorizing Taobao Global to share the Required Information with Alipay International; 3) authorizing Alipay International to receive, store, and process the Required Information for the purpose of "Know Your Customers".  Taobao Global shall only collect, store, and transmit the Required Information to Alipay International for Alipay International's purpose of "Know Your Customers". Alipay International shall only receive, process, and store the Required Information for the its purpose of "Knowing Your Customers", and follow the principles of legality, justification, and necessity in processing the information, which is detailed in the Alipay Privacy Policy for Merchant Services.

據此，本商戶授權以下主體對相關資料進行收集、存儲、傳輸和處理： 1）授權淘寶全球向支付寶國際獲取、存儲其合法留存的所需資料；2）授權淘寶全球將上述所需資料與支付寶國際進行共享； 3）授權支付寶國際為進行“瞭解您的客戶”目的接收、存儲、處理所需資料。淘寶全球將僅依據支付寶國際“瞭解你的客戶”審查之目的收集、存儲、傳輸所需資料給支付寶國際。支付寶國際將僅以“瞭解你的客戶”審查之目的接收、處理、存儲所需資料，並遵循合法、正當、必要的原則進行資料處理，詳見《Alipay Privacy Policy for Merchant Services》的約定。

If this Merchant agrees to use services provided by the Partners, then this Merchant agrees to authorize Taobao Global to share the Required Information with the Partners.

如本商戶同意使用合作方提供的服務，則本商戶同意授權淘寶全球將所需資料與合作方進行共享。

To: Alipay.com Co., Ltd., Alipay Singapore E-Commerce Private Limited, Alipay Merchant Services Pte. Ltd., and their respective affiliates that are involved in providing the relevant services (hereinafter collectively referred to as "Alipay")

致：支付寶（中國）網絡技術有限公司、Alipay Singapore E-Commerce Private Limited、Alipay Merchant Services Pte. Ltd 及其涉及提供相關支付寶服務的關聯公司（以下合稱“貴司”）

This Merchant hereby informs Alipay that this Merchant authorizes Alipay to directly suspend or make payment out of the balance in the Alipay Merchant Account opened by this Merchant with Alipay as per the instruction from Taobao Global and/or the Partners (if applicable) in accordance with the Taobao Global Merchant Service Agreement entered into by and between this Merchant and Alibaba.com Singapore E-Commerce Private Limited ("Taobao Global") and appendices and attachments thereto, as well as the Partner Agreement (if applicable) entered into by and between this Merchant and the Partners during the term of the relevant agreements. 

本商戶特以此函通知貴司，本商戶授權貴司按本商戶與Alibaba.com Singapore E-Commerce Private Limited（“淘寶全球”）共同締結的《淘寶全球商戶服務協議》及其附件的規定，以及本商戶與合作方締結的合作方協議（如適用），在相關協議有效期內依淘寶全球及/或合作方（如適用）的指示直接對本商戶在貴司處的支付寶商戶帳戶餘額進行款項止付和支付。

Attachment: Special Terms for Designated Area

附錄：指定地區特殊條款

If the Designated Area which a Merchant incorporated in Hong Kong sells its goods and/or services to is Hong Kong, then the Merchant further agrees with the following special provisions:

如在香港註冊的商戶將其商品及/或服務銷往的指定地區為香港地區，則商戶進一步同意如下特殊條款：

1. Payment Method of Deposit

保證金繳納方式

1.1 The Merchant agrees that the transaction amount payable to the Merchant under the relevant purchase order with the consumer on the Taobao Global Platform shall be first used as the Deposit. The Merchant authorizes Alipay to immediately freeze the available balance in its Alipay Merchant Account (or such other account in which the transaction amounts payable to the Merchant may be held) as instructed by Taobao Global when each transaction amount is paid to the Merchant's Alipay Merchant Account (or such other account designated by Alipay to receive such transaction amounts payable to the Merchant) until the frozen amount reaches the Threshold.

如商戶未在其支付寶商戶帳戶繳付足額保證金的，則商戶同意，商戶依據其通過淘寶全球平台與消費者所達成的訂單所應當收取的交易額應優先用作保證金，商戶授權支付寶公司根據淘寶全球的指令，在每次交易額支付至支付寶商戶帳戶（或支付寶公司指定的其他收取應付給商戶的交易額的帳戶）時立即凍結支付寶商戶帳戶（或交易額應支付至的其他商戶持有的帳戶）內的可用餘額，直至凍結金額達到保證金額度。

1.2 If Taobao Global adjusts the Threshold or make deductions from the Deposit pursuant to this Agreement, then the transaction amount under the purchase order with the consumer after such adjustment or deduction shall be first used as the Deposit, and the Merchant authorizes Alipay to immediately freeze the available balance in its Alipay Merchant Account (or such other account in which the transaction amounts payable to the Merchant may be held) as instructed by Taobao Global when each subsequent transaction amount is paid to the Merchant's Alipay Merchant Account (or such other account designated by Alipay to receive such transaction amounts payable to the Merchant) until the frozen amount reaches the Threshold again.

如淘寶全球對商戶保證金額度進行調整或者淘寶全球根據本協議扣除保證金的，則額度調整或保證金扣除後所達成的消費者訂單的交易額應優先用作保證金，商戶授權支付寶公司根據淘寶全球的指令，在其後每次交易額支付至支付寶商戶帳戶（或支付寶公司指定的其他收取應付給商戶的交易額的帳戶）時立即凍結支付寶商戶帳戶（或交易額應支付至的其他商戶持有的帳戶）內的可用餘額，直至凍結金額重新達到保證金額度。

1.3 The Merchant can withdraw or transfer funds in excess of the Threshold from its Alipay Merchant Account after and only after the frozen Deposit has reach the Threshold.

只有當凍結的保證金達到額度后，商戶才可以從支付寶商戶帳戶中提取資金或轉賬。

2. Annual Fee

年費

Notwithstanding anything to the contrary in this Agreement (in particular Clauses 2.2(a) and 2.2(b)), under no circumstances will the Annual Fee be refundable to the Merchant where this Agreement is terminated prior to the Expiration Date for whatever reason. For the purpose of clarification, when the Merchant agrees to an annual transaction amount of its store, no matter if the Merchant has completed the annual transaction amount, the Annual Fee will not be refundable upon termination of this Agreement prior to the Expiration Date.

儘管本協議（尤其是第2.2(a)及2.2(b)條另有相反規定），如果本協議因任何原因在到期日前提前終止，年費均不退還給商戶。為進一步澄清，如果就商戶店鋪全年的交易額達成任何約定，則不論商戶是否完成全年交易額，年費在本協議早於到期日終止的情況下都不會退還給商戶。

3. Regulatory Compliance

符合監管要求

Notwithstanding the Clause 4 (Representations, warranties, and undertakings by the Merchant) and other terms and conditions of this Agreement, the Merchant expressly covenants and warrant that it will comply with all legal requirement in Hong Kong, including but not limited to Sale of Goods Ordinance (Cap. 26), Trade Descriptions Ordinance (Cap.362), Consumer Goods and Safety Ordinance (Cap.456), Personal Data (Privacy) Ordinance (Cap.486) and Unsolicited Electronic Messages Ordinance (Cap. 593).

儘管第4條（商戶陳述、保證和承諾）和本協議其他條款和條件另有規定，商戶明確承諾並保證，遵守所有香港法律要求，包括但不限於《貨品售賣條例》（香港法例第26章）、《商品説明條例》（香港法例第362章）、消費品安全條例（香港法例第456章）、《個人資料（私隱）條例》（香港法例第486章）以及《非應邀電子訊息條例》（香港法例第593章）。
