User Authorization Agreement (to Alibaba.com)
1.
Introduction
(1)
In the course of using Accio, you may be required to log into your account on third-party website(s) to further your product sourcing activities and/or to communicate with suppliers of products or services that interest you.
(2)
To provide a more seamless sourcing experience,Alibaba.com may enable you to centralize and manage your product sourcing activities across both Alibaba.com and Accio (“Underlying Purposes”). To achieve this, you agree that Accio will synchronize specified information from Alibaba.com.
2.
Authorization
(1)
This Authorization Agreement (“Agreement”) is entered into by and between: (i) Alibaba.com Singapore E-Commerce Private Limited (“Alibaba.com Entity”), the operating entity of Alibaba.com platform (“Alibaba.com”) being one of the third-party website operators; and (ii) you.
(2)
By agreeing to this Agreement, you hereby authorize the Alibaba.com Entity to share certain of your information (as described below) on Alibaba.com with Accio Global Technology Private Limited (“Accio Entity”), the operating entity of Accio to achieve the Underlying Purposes.
(3)
Please read this Agreement carefully before granting your authorization to the Alibaba.com Entity.
3.
Sharing of Information and its Purposes
You authorize Alibaba.com Entity to share the following information with Accio Entity for the following purposes:

(a) | Account information, such as your account id, username, and email. | For the unified management of your sourcing activities on both Alibaba.com and Accio. |
(b) | Communication information, such as your contact profiles, timestamped interactions, and the contents of any messages you send. |
4.
Security
The Alibaba.com Entity will implement appropriate technical and organizational measures to safeguard the shared information during its transfer and processing with Accio.
5.
Revocation
(1)
You may revoke this authorization at any time by submitting your request to Alibaba.com Entity viaDataProtection@service.alibaba.com.
(2)
Upon revocation, Alibaba.com Entity will cease sharing your information with Accio Entity. However, any information previously shared will continue to be governed by Accio’s privacy policy. Such revocation may affect some of the functions available on Accio.
6.
Liability Disclaimer
You acknowledge and agree that Alibaba.com Entity is not responsible for any claims, damages, or disputes arising out of or in connection with Accio and/or between you and Accio Entity.
7.
Account Security
You are responsible for the security of your account and must not share your account credentials with any unauthorized party.
8.
Governing Law and Dispute Resolution
This Agreement shall be governed and any disputes arising out of or in connection with this Agreement shall be resolved in the same way as provided in the Terms of Use of Alibaba.com.
9.
Amendments
The Alibaba.com Entity reserves the right to revise this Agreement at its sole discretion. Any significant changes will be communicated to you, and your continued use of the services will constitute acceptance of the revised terms.
10.
General Provisions
This Agreement shall read in conjunction with other terms and agreements of Alibaba.com and is not intended to replace them. In the case where there is any conflict or inconsistency between this Agreement and the other terms or agreements, this Agreement shall take precedence to the extent where it relates to the Underlying Purposes.
