OneTouch Terms and Conditions
Thank you for using our Services. Your use of the OneTouch Services is governed by these Terms and Conditions including its Schedules, as may be amended, modified, supplemented, and restated from time to time and at any time at our sole discretion. We offer a range of OneTouch Services, and sometimes the use of different services will be subject to different terms and agreements applicable to that OneTouch Service. Please read them carefully.
1.
ABOUT OneTouch
1.1.
These Terms and Conditions are entered into between you and OneTouch (Singapore) Pte. Ltd. (company registration number: 201630463G), a private limited company incorporated in Singapore ("we", "us", "OneTouch" or the "Company"), effective from the date OneTouch is licensed as a major payment institution under the Payment Services Act 2019 (No. 2 of 2019) (“PS Act”).
1.2.
The OneTouch Services are provided by OneTouch, which is licensed by the Monetary Authority of Singapore (“MAS”) under the PS Act as a major payment institution to provide account issuance services, e-money issuance services, cross-border money transfer services,domestic money transfer services and merchant acquisition services. You can check OneTouch’s license status by visiting the MAS’ financial institutions directory at https://eservices.mas.gov.sg/fid.
2.
AGREEMENT TO TERMS AND CONDITIONS
2.1.
By registering to use the OneTouch Services, you agree to these Terms and Conditions (as may be amended or supplemented from time to time) and our Privacy Policy (collectively, this “Agreement”). This Agreement constitutes the entire agreement between you and OneTouch concerning the use of OneTouch Services and supersedes all previous agreements, communications, representations and discussions between you and the Company relating to OneTouch Services. To the extent you use any of the services provided by OneTouch, you may have to accept additional or supplementary terms and conditions as notified to you when you register for or use such services. The additional or supplementary terms and conditions shall be deemed to form part of these Terms and Conditions.
2.2.
You are responsible for reviewing these Terms and Conditions regularly for changes. You can always view the current Terms and Conditions on the Merchant Portal. OneTouch, in its sole discretion, may amend, revise or update these Terms and Conditions and any additional or supplementary terms and conditions that may apply, and it will post the amended Terms and Conditions in the relevant section of the Merchant Portal. We shall notify you of any material changes via email or through the Merchant Portal. The changes will come into effect immediately unless otherwise specified in the notice of change. Any such change will not affect any transaction that was initiated prior to the effective date of such change. Your continued use of the OneTouch Services following any changes to the Terms and Conditions will mean that you accept and consent to the changes.
2.3.
These Terms and Conditions have been prepared in English. In the event of any inconsistency between the original English version and any translation, the English version shall govern.
3.
The OneTouch Services
3.1.
The OneTouch Services comprise of basic services ("Basic Services") and advanced services ("Advanced Services"). Once you have set up your OneTouch Account, you will be able to receive the Basic Services. The OneTouch Services that constitute Basic Services are as follows:
Basic Services | Settlement Service This service ("Settlement Service") enables you to: (a) receive settlement funds for goods and services which you have sold on the Alibaba Platforms or Approved Platforms, or such other funds as may be determined by OneTouch from time to time (“Settlement Funds”). We will use the Settlement Funds to purchase and hold credits in your OneTouch Wallet in Singapore dollars or such other foreign currencies that are offered. (the receipt of Settlement Funds and crediting your OneTouch Wallet shall collectively be referred to herein as "Settlement Service (Receipt)"); and (b) withdraw, at any time, all or part of the funds in your OneTouch Wallet to a bank account ("Settlement Service (Withdrawal)"). For the avoidance of doubt, where you are resident in Singapore, you will not be able to withdraw e‑money from your OneTouch Wallet, and to exchange the e‑money withdrawn for Singapore currency notes and coins in Singapore. Transaction Records Inquiry You may view and manage your online activity through the Merchant Portal. Others OneTouch may make available such other Basic Services from time to time. |
3.2.
Any or all of the Advanced Services are available only to selected registered users chosen by OneTouch at its discretion ("Selected User"). The type of Advanced Service offered to a Selected User depends on the profile of the Selected User. Selected Users who choose to receive any or all of Advanced Services are required to accept additional or supplementary terms and conditions as notified to the Selected User. The additional or supplementary terms and conditions shall be deemed to form part of these Terms and Conditions.
3.3.
You hereby authorize OneTouch to execute the transactions and payments as instructed by you in accordance with these Terms and Conditions.
3.4.
Once your OneTouch Account and OneTouch Wallet has been set up, you will be able to view the amount of funds in the various currencies held in your OneTouch Wallet by logging on to the Merchant Portal. OneTouch will hold all relevant money (as defined in the PS Act) on your behalf in a bank account designated as a trust account opened with a safeguarding institution for the purpose of providing the OneTouch Services. The relevant money in this bank account will be comingled with the relevant money of other OneTouch Account users, but held separately from OneTouch’s corporate funds and will not be used for its operating expenses or for any other corporate purposes. As such, you acknowledge, agree and accept that it is not possible to identify any portion of the relevant money in the trust account as specifically belonging to you and money in the trust account(s) could be withdrawn to meet the obligations of other clients. If the safeguarding institution with which the trust account(s) is/are maintained becomes insolvent, you may be delayed or prevented from recovering your full entitlement to the relevant money. Notwithstanding the foregoing, if the money received relates to services provided by OneTouch to you that fall within the scope of Regulation 32 of the Payment Services Regulations 2019 of Singapore, such funds may not be safeguarded.
3.5.
The OneTouch Account is not a bank account or deposit nor do the OneTouch Services offer the features and benefits of a traditional bank account or deposit. You should not attempt to use the OneTouch Account as a bank account or deposit. You will not receive any interest or other earnings from your OneTouch Account. The funds are held by OneTouch for your future use of the OneTouch Services. By accepting these Terms and Conditions you acknowledge that the Singapore Deposit Insurance Scheme provided under the Deposit Insurance and Policy Owners' Protection Schemes Act, Chapter 77B of Singapore or other government-sponsored insurance does not apply to the funds held in connection with the OneTouch Services. In the unlikely event that we become insolvent, you may lose the amount held in your OneTouch Account. We, however, strictly adhere to applicable requirements, such as the requirement to safeguard relevant customers’ funds by segregating relevant customers’ funds and depositing the same in a trust account, designed to ensure the safety and liquidity of funds held on behalf of customers.
3.6.
No person or entity other than the registered user of the OneTouch Account has any right in relation to the funds held in the OneTouch Account.
3.7.
The OneTouch Account and OneTouch Services may be subject to certain limits and availability, depending on your country of residence, Applicable Law and other factors we use to determine such limits and availability from time to time. Any determination of the limits and availability applicable to your OneTouch Account shall be made by us at our sole discretion.
3.8.
Attempting to impersonate any person or entity, falsely claiming an affiliation with any person or entity or using a fake identity is strictly prohibited. The OneTouch Services are intended to enable payment transactions for business-related and commercial activities in the course of business and are not intended for personal use. You may only use the OneTouch Services for the purposes as stated in these Terms and Conditions. We will block any and all transactions initiated for personal reasons.
3.9.
The OneTouch Services are available in multiple currencies. These currencies may change, as determined by OneTouch from time to time. You should choose the currencies under which you wish to have your OneTouch Account held in. You will receive information required to receive funds into your OneTouch Account (“Credentials”) for each currency that you hold funds in.
3.10.
You acknowledge and agree that OneTouch is not involved in the provision of any goods or services which you have sold to a buyer or obtained from any supplier. OneTouch shall not be liable in any way for the goods or services which you have sold or obtained, as applicable, including without limitation any defect, disruption, failure or unavailability of or relating to such goods and services. You shall address all queries and resolve any disputes regarding such goods or services with the relevant buyer or supplier.

Schedule A
Settlement Service (Receipt)
1.
Once you have set up your OneTouch Account, you will be able to receive into your OneTouch Account Settlement Funds. You agree that we will receive Settlement Funds into your OneTouch Account or return funds to a payer or buyer of your goods and services in accordance with your agreement with the buyer and Alibaba Platforms or Approved Platforms. You authorize OneTouch to collect such relevant information from our affiliates in order to perform our Settlement Service (Receipt) to you. For the avoidance of doubt, we take no part in and are not responsible for such underlying sale and purchase transaction.
2.
You can provide your Credentials to payers from whom you wish to receive payment. You will receive incoming funds based on the Credentials. You will not receive incoming funds if you provide incorrect Credentials.
3.
The time it takes for incoming funds to reach OneTouch is not within OneTouch's control. If you do not receive an expected inbound fund transfer, we may use reasonable efforts to assist you. Incoming funds may also be subject to the terms and conditions of the payer originating the funds transfer. Any issues or disputes associated with such terms and conditions should be resolved directly with the payer originating the fund transfer and are not the responsibility of OneTouch.
4.
You should be aware that using the OneTouch Services to receive incoming funds does not necessarily mean that these transactions cannot be reversed. We reserve the right to reverse a payment in case of an erroneous payment or if the payer or the payer's bank or payment service provider has reversed (or is reasonably likely to reverse) a payment which was used to fund the payment to you. To the extent you receive any funds in error, you agree to immediately notify OneTouch and consent to OneTouch reversing the transaction where necessary.
5.
We reserve the right to reject or limit payments and funds transfers to you at any time at our sole discretion. Payments and funds transfers to you may be rejected for any reason, including but not limited to reasons related to compliance with Applicable Law (including Applicable Law on anti-money laundering) or OneTouch risk management policies or procedures. When rejecting a payment or funds transfer to you, OneTouch will be under no obligation to disclose the reason for the rejection.
6.
Any costs and expenses associated with declined incoming fund transfers, fund reversals or refunds shall be borne by you or the payer, as applicable. If an incoming fund transfer is rejected for any reason, or if funds received have to be refunded to the originating source, fees may be charged by the bank or other provider sending the payment or fund transfer. You are solely responsible for any fees incurred in connection with payments or fund transfers that are rejected.
Schedule B
Settlement Service (Withdrawal)
In this schedule B, “you” refers to you or any person you have notified us as having the authority to act on your behalf, as the case may be.
Notice for non-Singapore residents:
OneTouch is licensed by the MAS to provide e-money issuance services. Please note that this does not mean you will be able to recover all the money you paid to OneTouch if OneTouch’s business fails.
1.
You can request, through the Alibaba Platforms or other Approved Platforms, a transfer of all or part of the funds held in your OneTouch Wallet at any time to an account with a financial institution or payment services provider(“Payment Instruction”), subject to Applicable Law and OneTouch’s policies and procedures.
2.
To effect the transfer, you must log into the Merchant Portal, provide the details of the bank account, and enter the amount to be transferred. We are no longer responsible for the transfer payment once the transferred funds are received by the beneficiary.
3.
The Settlement Service (Withdrawal) may be subject to withdrawal and transfer limits which we may impose in our sole discretion from time to time. These limits may be adjusted dynamically depending on the type of identification document(s) you have provided to us as well as on any other criteria we set from time to time. You can view these limits at any time in the Merchant Portal. Before transferring any funds to the specified bank account, you must ensure that your current transfer limits have not been
exceeded.
4.
We may decline or defer your request to transfer and require you to send us additional documents to verify certain information such as your identity, address or source of funds before we effect the transfer of funds. You agree to cooperate with us regarding such verification.
5.
You must ensure that the payment details you enter when requesting a transfer are correct and complete. Providing OneTouch with accurate information shall be your sole responsibility. We will not be liable for funds being sent to the wrong bank account as a result of you providing incorrect payment details. When withdrawing or transferring to a bank account, you must ensure that the account number, routing number, sort code, IBAN and/or BIC/SWIFT, and any other required information, are correct. In the event that OneTouch receives inaccurate payment information and the transfer is later rejected, you may be charged payment rejection fees which may be deducted from your current payment or any future payments. If you have withdrawn or transferred funds to the wrong bank account, you may request that we assist you in reclaiming the funds, however, we may charge you an administration fee for doing so and we cannot guarantee that the reclamation efforts will be successful.
6.
OneTouch will initiate a withdrawal or transfer to the specified bank account in the currency and amount you selected. Any fees which may be charged by the bank provider or any other payment provider not directly associated with OneTouch or the withdrawal or transfer are your sole responsibility and OneTouch shall not be liable for such fees.
7.
Once requested, transfers to the specified bank account may not be sent back to your OneTouch Wallet and you will not be able to refund funds transferred into the specified bank account back to your OneTouch Wallet.
8.
We will not be liable for any restrictions imposed by the bank or other payment service providers on any transfer.
9.
You can only make a withdrawal or transfer using your OneTouch Wallet balance to the extent that you have enough balance to support the withdrawals or transfers. You are not allowed to make a withdrawal or transfer in excess of your OneTouch Wallet balance. We will not extend credit in connection with your use of the OneTouch Wallet.
10.
In the event any withdrawal or transfer is not successful and the funds are returned to us, you authorize us to credit the funds back to your OneTouch Wallet, less any fees which may be charged by the bank provider or any other payment provider.
11.
You acknowledge and agree that we may process any instruction provided to us by your authorised signatories without seeking your approval or verifying the authority of such instruction. We do not assume any responsibility or liability for any loss incurred from the mistake or misconduct of your authorised signatory.
12.
You acknowledge and agree that OneTouch shall release funds to OneTouch International no later than seven (7) business days upon satisfaction of either of the following conditions: (i) the pre-conditions agreed between Alibaba Platform and you have been met, or (ii) you have provided a withdrawal notice.
Schedule C
General Terms and Conditions
This Schedule C sets out the general terms and conditions applicable to all OneTouch Services.
1.
REGISTERING FOR ONETOUCH
1.1.
In order to use the OneTouch Services you must first register in the Merchant Portal by completing the online application form. As part of the application process, you will be subject to OneTouch's Know Your Customer ("KYC") process and approval policies in place at the time of your application. As part of the registration process, you will need to accept these Terms and Conditions and other OneTouch policies. Depending on the types of Services you register for, you may be asked to provide additional information or documents or to accept additional or supplementary terms and conditions covering such Services.
1.2.
You understand and acknowledge that OneTouch may, directly or through third parties, make any inquiries we consider necessary to validate your identity or the identity of your business entity, and its directors and beneficial owners, as applicable. This may include asking you for further information, requiring you to provide your date of birth, a taxpayer identification number and other information that will allow us to reasonably identify you or your business entity, requiring you to take steps to confirm ownership of your email address or financial instruments, ordering a credit report, or verifying your information against third party databases or through other sources. Depending on the types of OneTouch Services you register for, OneTouch may be required to further verify some of your details or your business entity's details. OneTouch reserves the right to close, suspend, or limit access to the OneTouch Services you register for in the event we are unable to obtain or verify this information or if the information does not satisfy our requirements.
1.3.
Subject to our discretion, each business entity may only open one OneTouch Account.
1.4.
You agree to comply with any Applicable Law in the relevant jurisdictions. You may register for the OneTouch Services only if it is legal to do so in your country or other jurisdiction of residence. If you registered for the OneTouch Services on behalf of a business or commercial entity, you must be legally authorized under the business entity's formation documents to agree to these Terms and Conditions and you must be allowed to use the OneTouch Services by the Applicable Law of the jurisdiction governing the business entity. By registering, you represent and warrant to us that your use of the OneTouch Services does not violate any Applicable Law applicable to you.
1.5.
Once your application to use OneTouch Services has been approved, you will be provided with information to enable you to use the OneTouch Services.
1.6.
We may require you to provide us with additional information and documents from time to time to enable us to comply with Applicable Laws. Such additional information might include documents that will enable OneTouch to verify the source of the funds, including but not limited to invoices for services rendered, and payment confirmation from the entity sending the funds. Failure to provide such requested information may result in us denying your use of the OneTouch Services. All information you provide us must be accurate and complete. If we cannot verify that the information provided is accurate, we may deny your use of the OneTouch Services, or terminate your use of the OneTouch Services.
2.
MAINTAINING YOUR ONETOUCH ACCOUNT
2.1.
You must ensure that your information on record with OneTouch is always accurate and up to date and we shall not be liable for any loss arising out of your failure to do so. We may ask you at any time to confirm the accuracy of your information or to provide documents or other evidence verifying such information.
2.2.
We may contact you by e-mail, via the Merchant Portal or in other ways described in the How We Communicate paragraph below (paragraph 11 of this Schedule C), with information or notices regarding your use of the OneTouch Services. It is your responsibility to regularly check your OneTouch Account page online in the Merchant Portal and the proper functioning of your e-mail account or other methods of communication that you have registered with OneTouch and to promptly retrieve and read our communications relating to your use of the OneTouch Services. We shall not be liable for any loss arising out of your failure to do so. You will be liable for any loss that directly results from any failure to submit, or notify us of a change in, your contact details in accordance with these Terms and Conditions.
2.3.
Information regarding payments received, payments sent, withdrawals, fees charged and other OneTouch Services activity are displayed when you access your OneTouch Account in the Merchant Portal. Each transaction is shown in the transaction history. You should check your OneTouch Account balance and transaction history regularly. You should report any irregularities or clarify any questions you have as soon as possible by contacting OneTouch Global Merchant Management Team.
2.4.
In order to file a claim for an unauthorized or incorrectly executed transaction, you must immediately notify us after becoming aware of the unauthorized or incorrect transaction and in any event no later than sixty (60) days after the debit date of the transaction.
2.5.
If your funds remain with OneTouch for such period as may be prescribed by Applicable Law on escheat and we are unable to contact you, the funds may be required to be turned over to the relevant regulatory authorities under Applicable Law on escheat. Each jurisdiction has varying laws as to when the OneTouch Account is subject to escheat, and OneTouch may be required to send the funds to the jurisdiction of your last known address. We will make reasonable efforts to contact you before transferring escheatable funds to a relevant regulatory authority.
2.6.
We may close, suspend, or limit your access to your use of the OneTouch Account or OneTouch Services and/or limit access to your funds if you violate these Terms and Conditions or, any other agreement you enter into with OneTouch or pursuant to any proprietary fraud and risk modelling used by OneTouch when assessing the risk associated with your use of the OneTouch Services. We may also limit your access to funds per Applicable Law or the instructions of law enforcement or our regulators.
2.7.
If we receive a complaint and supporting materials (such as purchase records or a Temporary Restraining Order issued by a court) from a third-party right holder alleging intellectual property infringement against you, we may, in our sole discretion, terminate, suspend or limit your use of the OneTouch Services or access to funds in your OneTouch Account. The restraints we may put on your OneTouch Account include but are not limited to freezing all or part of the funds in your OneTouch Account. These restraints may remain in place until you fully resolve the disputes with the third-party complainant. In the event that you and the third-party complainant reach a settlement agreement, we may transfer funds from your OneTouch Account to the third-party complainant or its representative, in accordance with and for the purpose of fulfilling the settlement agreement.
2.8.
If you do not actively use the OneTouch Services, your account may be deemed to be inactive. Inactivity means that you (a) have not logged into your OneTouch Account on the Merchant Portal for six (6) months or (b) had no transactions on your OneTouch Account for six (6) months. Once you have been deemed inactive we may disable certain features and services, up to and including suspending your use of the OneTouch Services. You may request OneTouch to reactivate your OneTouch Account at any time and OneTouch may reactivate your OneTouch Account, in its sole discretion. To reactivate your OneTouch Account, you may be required to provide information to verify your identity. If you do not reactivate your OneTouch Account within one (1) year from the date you had last logged in or the last transaction date on your OneTouch Account, and you have a balance in your OneTouch Account, you may be charged a recurring inactivity fee which may over time reduce the balance in your OneTouch Account to zero. We reserve the right to close your OneTouch Account and terminate these Terms and Conditions in the event your OneTouch Account balance is zero at any time after one (1) year from the date you had last logged in or the last transaction date on your OneTouch Account. If you do not reactivate your OneTouch Account within two (2) years from the date you had last logged in or the last transaction date on your OneTouch Account, and you have a balance on your OneTouch Account despite being charged an administrative fee, we reserve the right to close your OneTouch Account and terminate these Terms and Conditions, and you agree that all moneys then standing to the credit of any OneTouch Account together with any property as may from time to time continue to accrue to those monies (whether by way of dividends, interest or otherwise) may forthwith be appropriated by us to ourselves to utilise in any manner we so wish for our own benefit subject to Applicable Laws. You thereafter shall have no right whatsoever to claim such monies (or any other property as may accrue to it), you being deemed to have waived and abandoned all your rights to such moneys (and any other property as may accrue to it in favour of us. We will make reasonable efforts to notify you (1) before we suspend your account, (2) before we start to charge a recurring inactivity fee and (3) before we close your OneTouch Account and terminate these Terms and Conditions.
2.9.
You acknowledge and agree that OneTouch has the right to retain any interests accrued on funds held in your OneTouch Account.
3.
KEEPING YOUR ONETOUCH ACCOUNT SAFE
3.1.
You must take all reasonable steps to keep your password to access your OneTouch Account safe at all times and never disclose it to anyone. OneTouch representatives will never ask you to provide your password to us or to a third party. Any message you receive or website you visit that asks for your password, other than the Merchant Portal, should be reported to us. If you are in doubt whether a website is genuine, you should contact OneTouch Global Merchant Management Team. It is advisable to change your password regularly in order to reduce the risk of a security breach. We also advise you not to choose a password that is easily determined from information someone may know or gather about you.
3.2.
If you have any indication or suspicion of your OneTouch Account, Merchant Portal login details, password, Credentials or other security feature being lost, stolen, misappropriated, used without authorization or otherwise compromised, you must immediately change your password, and contact OneTouch Global Merchant Management Team. Any delay in or failure to notify us may not only affect the security of your OneTouch Account but may result in you being liable for any losses as a result.
3.3.
We may suspend your OneTouch Account or otherwise restrict its functionality, in our sole discretion, on grounds relating to the security of the OneTouch Account or any of its security features or if we suspect that an unauthorized or fraudulent use of your OneTouch Account has occurred or that any of its security features have been compromised. We will lift the suspension and/or the restriction as soon as practicable after the circumstances for the suspension and/or restriction have ceased to exist.
3.4.
You must take all reasonable care to ensure that your e-mail account(s) are secure and only accessed by you, as your e-mail address is one of the ways used to reset passwords or to communicate with you about the security of your OneTouch Account. If the e-mail addresses registered with your OneTouch Account is compromised, you should immediately contact OneTouch Global Merchant Management Team.
3.5.
Regardless of whether you are using a public, a shared or your own computer to access your OneTouch Account, you must always ensure that your login details are not stored by the browser or cached or otherwise recorded. You should never use any functionality that allows login details or passwords to be stored by the computer you are using.
3.6.
Additional OneTouch products or services you use may have additional security requirements as specified in their applicable terms and conditions.
3.7.
Only the person named in OneTouch records is authorized to use the OneTouch Services. You may not appoint or authorize additional persons to use the OneTouch Services without our prior written consent. You are responsible for all transactions initiated and fees incurred(if applicable) by use of the OneTouch Services. If you allow another person to have access without our prior written consent, you will be liable for all transactions and fees incurred (if any) by such use. You are wholly responsible for the use of the OneTouch Services according to these Terms and Conditions.
4.
CLOSING YOUR ONETOUCH ACCOUNT
4.1.
You may close your OneTouch Account at any time by contacting OneTouch Global Merchant Management Team.
4.2.
If your OneTouch Account holds a balance at the time of its closure, we will ask you to withdraw your funds within a reasonable period of time, during which your OneTouch Account will be accessible for the purpose of withdrawing the remaining balance only. After the expiry of this period you will not be able to access your OneTouch Account but you may withdraw any remaining funds by contacting OneTouch Global Merchant Management Team and requesting that the funds be sent to you in a manner that is reasonably acceptable for us. You may continue to withdraw remaining funds for a period of six (6) months, or such later period subject to Applicable Law, from the date of closure of your OneTouch Account, but we suggest that you withdraw your remaining funds as soon as possible as they will not earn any interest while remaining in your OneTouch Account. Your obligations with regards to keeping your OneTouch Account safe as set forth in the Keeping Your OneTouch Account Safe paragraph above (paragraph 3 of this Schedule C) shall continue to apply.
4.3.
We reserve the right to carry out any necessary checks relating to money laundering, terrorism financing, fraud or other illegal activity before authorizing any withdrawal of your funds, including in relation to returning any funds to you after you have closed your OneTouch Account.
4.4.
Once your OneTouch Account is closed (whether by us in accordance with these Terms and Conditions or by you) and all funds have been withdrawn or your OneTouch Account balance is zero, these Terms and Conditions will be deemed to be automatically terminated (save for those provisions which are specifically stated as surviving termination).
5.
FEES
5.1.
The OneTouch Services may be subject to service, currency conversion and other fees. All pricing and fees are set forth in the Merchant Portal unless they have been separately advised and agreed with you (the "Pricing and Fees"). The Pricing and Fees (if any) are incorporated herein by reference and form part of these Terms and Conditions. The Pricing and Fees are subject to change in OneTouch's sole discretion.
5.2.
You agree to pay all Pricing and Fees (if any) and your continued use of the OneTouch Services indicates your continued acceptance of the Pricing and Fees (if any). We will publish any updated fees online and post a message in the Merchant Portal. If you are unclear as to any applicable fee, you should contact OneTouch Global Merchant Management Team.
5.3.
Your transactions may be subject to currency conversions. If you make a withdrawal or transfer from your OneTouch Account denominated in one currency to an account in a different currency, then there may be a fee for the conversion into the destination currency as specified in the Pricing and Fees.
5.4.
Fees payable by you (if any) will be deducted from your OneTouch Account and you hereby authorize us to deduct such fees. Transaction fees will be charged when the transaction is executed. If the balance in your OneTouch Account is insufficient to cover the fees, we may refuse to execute the payment. Reversal fees (if any) will be deducted when incurred.
5.5.
You may be charged a recurring inactivity fee if you have not used the OneTouch Services for a period of one year from your last log in or last transaction. Such fee (if any) may, over time, reduce the balance in your OneTouch Account to zero.
6.
FOREIGN EXCHANGE SERVICES
6.1.
The foreign exchange services provided to you and exchange rates displayed on the Merchant Portal, Alibaba Platform or Approved Platforms are provided to you by authorised third-party providers and OneTouch is not a party to such transactions. OneTouch makes no representations or warranties regarding the accuracy, completeness, or reliability of such rates. OneTouch further disclaims any responsibility or liability for any losses, damages, or inconveniences incurred by you in relation to foreign exchange transactions conducted on or through the Merchant Portal, the Alibaba Platform or Approved Platforms. You are advised to independently assess the suitability, accuracy, and reliability of exchange rates and foreign exchange services provided by the third-party provider. You should exercise due diligence and seek professional advice as necessary before engaging in any foreign exchange transactions. The inclusion of third-party exchange rates or the provision of foreign exchange services on the Merchant Portal, Alibaba Platform or Approved Platforms does not constitute an endorsement or recommendation by OneTouch. You are encouraged to conduct your own research and consider your individual circumstances before engaging in any foreign exchange transactions in the Merchant Portal, Alibaba Platform or Approved Platforms. OneTouch reserves the right to modify, suspend, or discontinue the provision of exchange rates on the platform at any time without prior notice.
6.2.
The third-party providers provide the foreign exchange services to support your commercial activities. Therefore, you should not use it for investment or speculative purposes such as by trying to profit from fluctuations in foreign exchange rates. Our third-party providers may decline to deal with you if they have reason to believe that you are the foreign exchange services for investment or speculative purposes.
6.3.
You also understand that the actual foreign exchange rate for each transaction is determined only at the time the foreign exchange transaction is processed and may differ from the rate provided to you due to possible exchange rate fluctuations. You acknowledge and confirm that you will be bound by the applicable foreign exchange rate at the time the foreign exchange transaction is processed and OneTouch will not be liable for any direct or indirect loss arising from foreign exchange rate fluctuations.
7.
YOUR DATA
7.1.
Our Privacy Policy applies to the use of OneTouch Services and our website, and its terms are made a part of these Terms of Use by this reference.We may, in our sole discretion, amend the Privacy Policy by an update on the Privacy Policy page of the Merchant Portal. You may review the Privacy Policy at any time by clicking on the Privacy Policy section on the Merchant Portal.
7.2.
In order to perform the obligations under this Agreement and for the purpose of providing you with OneTouch Services and/or other related services, your data may be collected by our affiliates, and they may share such data with us.
7.3.
YOU AGREE THAT ONETOUCH MAY COLLECT, USE, ACCESS AND DISCLOSE PERSONAL DATA RELATING TO YOU TO (A) COMPLY WITH ALL APPLICABLE LAW AND LAWFUL REQUESTS FROM GOVERNMENT AND/OR OTHER REGULATORY AUTHORITIES, INCLUDING DOING THE NECESSARY KYC, (B) TO PROTECT ONETOUCH, ITS CUSTOMERS AND OTHER USERS, (C)IF ONETOUCH HAS, IN ITS SOLE DISCRETION, REASON TO BELIEVE YOUR USE OF THE ONETOUCH ACCOUNT IS IN VIOLATION OF THESE TERMS AND CONDITIONS, (D) IF ONETOUCH IS OTHERWISE OBLIGED BY ITS PARTNER FINANCIAL INSTITUTIONS, PAYMENT SERVICE PROVIDERS OR SUCH OTHER THIRD PARTIES AS THE CASE MAY BE.
8.
REPRESENTATIONS AND WARRANTIES
8.1.
You represent and warrant to us that:
(a) you will use the OneTouch Services in good faith and in compliance with all applicable laws and regulations;
(b) the information and materials you provide in connection with the use of theOneTouchServices is true, complete, lawful and accurate, and is not false, misleading or deceptive;
(c) you will not use the OneTouch Services to defraud us, our affiliates, other users or any other person or engage in other unlawful activities (including dealing in products or services prohibited by law);
(d) if you are a seller of products, you have the legitimate right and authorization to sell, distribute or export the products sold by you through the services provided by the Alibaba Platform or Approved Platforms and the sale of such products do not violate applicable law or regulation, including import and export control laws and regulations and economic sanctions programs administered by applicable regulators, or infringe any third party’s rights, and that you have good title to the products sold on the Alibaba Platform or Approved Platforms, and the products meet all relevant descriptions and requirements;
(e) if you are a seller of services, you will provide the services ordered with reasonable care and skills;
(f) on each day on which settlement is made to you, that: (i) the remittance to a bank account is in compliance with all applicable law, in particular but not limited to, the applicable currency control, export control, anti-money laundering, anti-terrorism and tax related laws and regulations and does not constitute or form part of conduct relating to tax evasion giving rise to an offence under applicable law and you warrant to inform us immediately should this no longer be the case, (ii) neither you nor any of your officers, employees or other persons associated with it, have been convicted of any offence involving tax evasion or the facilitation of tax evasion, and (iii) you have not been and are not the subject of any investigation, inquiry or enforcement proceedings by any governmental, administrative or regulatory body regarding any offence or alleged offence concerning tax evasion or the facilitation of tax evasion. You shall indemnify and hold harmless us and our affiliates and representatives against any losses arising out of any breach or misrepresentation under this clause. In no event shall we be responsible for any losses arising from an inability to settle to the designated bank account should there be any breach or misrepresentations; and
(g) you are not incorporated, formed or registered in Singapore and do not carry on business in Singapore.
8.2.
You agree to promptly inform OneTouch if, at any time during the term of this Agreement, you become aware that you do not meet any of the representations or warranties. This notification should be provided in writing and include details regarding the specific representation or warranty that is not met.
9.
LIABILITY
9.1.
It is entirely your responsibility to ensure that you only make payments to or receive payments from persons or entities in connection with commercial transactions in compliance with any Applicable Law. The mere fact that a person or entity accepts payments through us is not an indication of the legality of the supply or provision of their goods and services. Our obligation under these Terms and Conditions is limited to providing you with the OneTouch Services and does not create any responsibility for, nor make any representation, warranty or statement in relation to or endorsement of the quality, safety or legality of any goods or services which you have purchased or sold. If you are in doubt as to the legality of a supply or purchase, you should not continue with your payment.
9.2.
In case of a (i) bona fide unauthorized payment or (ii) payment that was incorrectly executed due to fraud or gross negligence on our part, we shall at your request promptly refund the payment amount including all fees deducted therefrom, as long as you notify us of the unauthorized or incorrect payment within sixty (60) days from the date of the transaction. This shall not apply if you failed to comply with the provisions of the Keeping Your OneTouch Account Safe paragraph above (paragraph 3 of this Schedule C).
9.3.
In case of any incorrect or misdirected but authorized payment, we shall take reasonable measures to assist you with tracing and, if reasonably possible, recovering such payments, but we shall not be liable for any payments that cannot be recovered.
9.4.
Notwithstanding anything to the contrary herein, you acknowledge that there are risks inherent in using OneTouch Services but agree that the benefits justify these risks and you shall waive any claim you might have against OneTouch because of:
(a) Any failure, disruption or impairment of systems, the Alibaba Platform, Approved Platforms, OneTouch Services, intermediary services on which we rely on for the performance of our obligations hereunder, including telecommunications services and facilities, or compromise of the security of the email account used to register for OneTouch Services (as the case may be);
(b) Our acceptance of any unauthorized instructions which appear (or which the we believe) to be from you;
(c) Delays in the implementation of instructions from you;
(d) Delays in delivery or availability of, or failure to deliver or make available, any part of OneTouch Services including system suspensions we have announced in advance;
(e) Delays in dispatch or delivery of, or failure to dispatch or deliver, any notice or information provided or requested via OneTouch Services or any inaccuracy, error or omission in or from any such notice or in or from any information contained in any such notice;
(f) Your failure to use OneTouch Services in accordance with these terms and conditions;
(g) Your reliance, use or otherwise acting upon any information or materials provided via the Merchant Portal; or
(h) Our compliance with legal and regulatory requirements.
9.5.
You are solely responsible for reporting to all applicable government tax authorities all payments received into your OneTouch Account and for the payment of any applicable taxes that apply to such payments, as well as any other applicable reporting requirements, including but not limited to, any customs or foreign currency controls. You represent and warrant that you are in compliance with the U.S. Foreign Account Tax Compliance Act ("FATCA") and all Applicable Law on tax and will remain compliant during the term of these Terms and Conditions. OneTouch does not assume any responsibility for any tax reporting or 1099K filing obligations. In the event that OneTouch is required to collate information and documents from you for the purposes of reporting to any authorities at the request from the relevant authorities, OneTouch will request such from you and you are obligated to provide the same to OneTouch upon request.
9.6.
You agree to defend, reimburse or compensate us and hold us, our other companies in our corporate group and any third parties on which we rely or partner with to deliver products and services (collectively, the "Indemnified Persons") harmless from any losses, claim, demand, expenses or costs (including tax, legal fees, fines or penalties) that the Indemnified Persons incur or suffer due to or arising out of:
(a) breach of these Terms and Conditions by you, your agent, or persons authorised by you;
(b) breach of any Applicable Law (including any Applicable Law relating to anti-money laundering and countering the financing of terrorism, anti-bribery and anti-corruption, currency control and tax);
(c) use of the OneTouch Services;
(d) any third party alleging that our use of any information or material you provide to us in accordance with these Terms and Conditions infringes any Intellectual Property Rights;
(e) us acting on instructions provided to us by you and persons authorised by you, and instructions which we reasonably believe to have been made by you or persons authorised by you, and, for the avoidance of doubt, any losses we may incur from any errors made by you, your agents, or persons authorised by you, unless such errors arose due to our negligence, wilful default or fraud; or
(f) us funding or arranging to fund all or part of any transaction in accordance with instructions provided to us by you or persons authorised by you under these Terms and Conditions, which you subsequently cancel or fail to fund in full.
You hereby authorize us to set off any amounts which you owe to the Indemnified Persons pursuant to this paragraph from the balance in your OneTouch Account. This provision shall survive termination of these Terms and Conditions.
9.7.
YOUR USE OF THE ONETOUCH SERVICES IS AT YOUR OWN RISK. THE ONETOUCH SERVICES ARE PROVIDED ON AN "AS AVAILABLE, WHERE AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. ONETOUCH HEREBY DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED. We may, at our sole and absolute discretion, at any time add to, vary or limit the features and/or functions of the OneTouch Account, or any OneTouch Service which may be made available to you, and/or provide for, vary, supplement or amend the terms and conditions relating to your use of the OneTouch Account, or any OneTouch Service which may be made available to you without notice to you.
9.8.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES WILL ONETOUCH OR ITS AFFILIATES BE LIABLE UNDER ANY THEORY OF TORT, CONTRACT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR LOST PROFITS, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, EACH OF WHICH IS EXCLUDED BY AGREEMENT OF ONETOUCH AND YOU REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER ONETOUCH OR ANY ENTITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING IN THIS AGREEMENT TO THE CONTRARY, ONETOUCH’S CUMULATIVE LIABILITY, INCLUDING FOR CLAIMS, EXPENSES, DAMAGES OR INDEMNITY OBLIGATIONS UNDER OR IN CONNECTION WITH ITS OBLIGATIONS UNDER THESE TERMS AND CONDITIONS, WILL NOT EXCEED THE LESSER OF (A) USD$500,000 OR (B) THE TOTAL FEES PAYABLE BY YOU TO ONETOUCH FOR ONETOUCH SERVICES, WHERE SUCH SERVICES ARE PROVIDED IN THE SIX (6) COMPLETE CALENDAR MONTHS PRECEDING THE DATE OF THE EVENT GIVING RISE TO THE CLAIM UPON WHICH LIABILITY IS BASED. IN NO EVENT SHALL ONETOUCH, ITS AFFILIATES, AGENTS, REPRESENTATIVES, DIRECTORS, OFFICERS, OR EMPLOYEES BE LIABLE FOR ANY ACT OR OMISSION RESULTING FROM CIRCUMSTANCE BEYOND THEIR REASONABLE CONTROL. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY WAIVE ANY AND ALL RIGHTS TO BRING ANY CLAIM OR ACTION RELATED TO YOUR USE OF THE ONETOUCH SERVICES BEYOND ONE (1) YEAR FROM THE FIRST OCCURRENCE OF THE ACT, EVENT, CONDITION OR OMISSION ON WHICH SUCH CLAIM OR ACTION IS BASED.
9.9.
You acknowledge that OneTouch will provide the OneTouch Services using facilities and services provided by banks, payment service providers and clearing networks, and may also delegate any or all of its rights and responsibilities under these Terms and Conditions to its affiliates, independent contractors or other third parties (collectively, the "Providers"). No agreement exists between the Providers and yourself and each of the Providers will accordingly have no direct liability to you. You will not be a party to any agreement which OneTouch may enter into with the Providers from time to time, and accordingly you have no right to enjoy or enforce any benefit under such agreement or to claim against the Providers.
10.
TERMINATION AND SUSPENSION
10.1.
We may, at our sole discretion, terminate or suspend your use of the OneTouch Services with immediate effect at any time. Grounds for termination or suspension, including access to funds, include but are not limited to, (a) your violation of these Terms and Conditions, (b) your provision of any false, incomplete, inaccurate, or misleading information, (c) your engagement in fraudulent, money laundering, terrorism financing or other illegal activity or we reasonably suspect the same, (d) we reasonably believe that your OneTouch Account has been compromised or for other security reasons, (e) if we are required to do so under any Applicable Law, or at the direction of any regulatory, law enforcement or other competent authority, (f) if you have been deemed inactive, (g) as otherwise provided in these Terms and Conditions, or (h) any other reason as we may consider appropriate from time to time. We shall notify you either prior to the suspension or termination or, if prior notification is not possible under the circumstances, promptly after the suspension or termination, unless we are prohibited by Applicable Law to notify you. You may terminate your use of the OneTouch Services with us at any time in accordance with the Closing Your OneTouch Account paragraph above (paragraph 4 of this Schedule C). Upon termination, we shall cease to be subject to any future obligations set out in these Terms and Conditions, including but not limited to any obligations arising from any instruction you have submitted to us prior to the Termination Date. We assume no responsibility or liability for any loss arising from such termination of services and/or closure of account.
10.2.
If OneTouch or its affiliates reasonably conclude that any change in any Applicable Law, including but not limited to any applicable government authority’s ruling, notice, policy or guidance (“Change in Law”) requires, or will require, OneTouch or its affiliates to incur material incremental costs to comply with the change, or will prohibit OneTouch or its affiliates from performing material obligations under these Terms and Conditions, then OneTouch will modify any provision of these Terms and Conditions as may be necessary to enable OneTouch or its affiliates to comply with the Change in Law, as applicable. Notwithstanding anything contrary in these Terms and Conditions, in the event that any Change in Law requires OneTouch to terminate any or all of the OneTouch Services or these Terms and Conditions immediately, OneTouch has the right to terminate them immediately by written notice to you.
10.3.
If we have terminated your use of the OneTouch Services pursuant to these Terms and Conditions, we may in our sole discretion take steps to close your OneTouch Account. Together with a termination notice or at any time thereafter we may give you instructions on how to withdraw remaining funds.
10.4.
Termination of your use of the OneTouch Services will not affect our right to make deductions for any outstanding or unpaid fees. Any sums owed by you to us under these Terms and Conditions shall become immediately due and payable on the Termination Date. You shall pay such sums to a bank account designated by us as soon as reasonably practicable but in any case no later than five (5) Business Days after the Termination Date.
11.
HOW WE COMMUNICATE
11.1.
To the fullest extent permitted by Applicable Law, these Terms and Conditions and any other agreements, notices or other communications from OneTouch to you regarding our services being offered including but not limited to new product features and promotions ("Communications") may be provided to you electronically on a regular basis, and you consent and agree to receive Communications in an electronic form. Electronic Communications may be posted on the pages within the Merchant Portal and/or delivered to your email address. You can print a paper copy of or download any electronic Communication and retain it for your records. All Communications in electronic format will be considered to be "in writing". OneTouch reserves the right to provide Communications in paper format. Your consent to receive Communications electronically is valid until you revoke your consent by notifying us. If you revoke your consent to receive Communications electronically, we may terminate your right to use the Merchant Portal and OneTouch Services, and you accept sole liability for any consequence resulting from suspension or termination of the OneTouch Services, to the extent permitted by Applicable Law. If you do not wish to receive any notifications from us regarding new product features and promotions, please contact OneTouch Global Merchant Management Team.
11.2.
We usually communicate with you via e-mail or by posting messages in the Merchant Portal. For this purpose you must at all times maintain at least one valid e-mail address. You are required to check for incoming messages regularly and frequently. Messages may contain links to further communication on our website. Any communication or notice sent by e-mail will be deemed received by you on the same day if it is received in your e-mail inbox or is posted to the Merchant Portal before 5:00 PM Singapore time on a Business Day. If it is received after 5:00 PM Singapore time on a Business Day or at any other time, it will be deemed received on the next Business Day.
11.3.
Where legislation requires us to provide information to you on a durable medium, we will either send you an e-mail (with or without attachment) or send you a notification pointing you to information in the Merchant Portal in a way that enables you to print and retain the information or another format that can be retained by you permanently for future reference. You are required to keep copies of all communications we send or make available to you.
11.4.
You can request a copy of the current Terms and Conditions or any other contractual document relevant to you by contacting OneTouch Global Merchant Management Team.
11.5.
In order to view emails you need a computer with e-mail software that can display e-mails in HTML format. We may also send you attachments in Portable Document Format (PDF).
11.6.
If you are unsure whether a communication is originating from us, please contact OneTouch Global Merchant Management Team.
11.7.
We may make available different languages for communication, but we reserve the right to communicate with you in English and you will always accept communications made to you in English. Documents or communications in any other languages are for convenience only and shall not constitute an obligation on us to conduct any further communication in that language.
11.8.
Apart from communicating via e-mail, we may contact you via letter, telephone, SMS or mobile phone, where appropriate, and we may require communication via SMS in order to authenticate payments or other activity. Any communication or notice sent by post will be deemed received three (3) days from the date of posting. Any communication or notice sent by SMS will be deemed received the same day.
11.9.
Customer Service Information: We will use commercially reasonable efforts to make the OneTouch Services available twenty-four (24) hours a day, seven (7) days a week, except during (a) planned downtime for upgrades and maintenance of which we will give advance notice via our Merchant Portal; and (b) Force Majeure Events.
11.10.

12.
COMPLAINTS
12.1.
Any complaints about us or the services we provide should be addressed to us in the first instance by contacting OneTouch Global Merchant Management Team. You should clearly indicate that you wish to make a complaint to us. This helps us to distinguish a complaint from a typical query. We may send an acknowledgement of complaint or request additional information from you regarding your complaint.
12.2.
Our goal is to provide you with a prompt answer or resolution to your complaint where possible. Nothing contained herein, however, constitutes a commitment by OneTouch to resolve your complaint.
13.
MISCELLANEOUS
13.1.
No person other than the registered user of the OneTouch Account shall have any rights under these Terms and Conditions.
13.2.
Your use of the OneTouch Services is personal to you and you may not assign any rights under the Terms and Conditions to any third party nor grant any third party a legal or equitable interest in connection with your use of the OneTouch Services. You may not delegate, in whole or in part, these Terms and Conditions to any person or entity.
13.3.
We may amend any terms of this Agreement including these Terms and Conditions and other related agreements at any time, except to the extent prohibited by applicable law, by posting the relevant amended and restated version on the Merchant Portal. The amended terms shall be effective immediately upon posting, except to the extent prohibited by applicable law. We will endeavor to give you advance notice of material changes to this Agreement. By continuing to use the OneTouch Services, you agree that the amended terms will apply to you. This Agreement may not otherwise be amended except in writing by an authorized officer of OneTouch. Unless otherwise agreed by us in writing, an amendment will not affect any legal right or obligationincurred prior to the date on which such amendment becomes effective. You have the right to object to the proposed changes and to terminate your use of our services and close your OneTouch Account in accordance with clause 10.1.
13.4.
Our records in any form (including paper, electronic or other form) and any certificate issued by us (including reports, communications or statements electronically generated which requires no signature), or decision we make as to the monies and liabilities due to us or any other matter shall be final, conclusive and binding on you, save for fraud or manifest error.
13.5.
Except as specified in this Agreement, neither parties will be held to have defaulted on its contractual obligations to the extent that its performance has been hindered or prevented by force majeure. Force majeure means an unforeseeable, irresistible occurrence without the fault or negligence of the party invoking the force majeure and which such party is unable to prevent or provide against by the exercise of reasonable diligence, including without limitation, internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, flood, storms, explosions, pandemic, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, or non-performance of third parties or any suspension or disruption of business operation (including but not limited to delays or disruption of the resumption of work or operation ordered by any government agency) in the event of a national or regional spread of epidemic or pandemic. The party invoking force majeure will:
(a) immediately notify the other Party;
(b) make every effort to remedy the cause of non-performance; and
(c) perform the entirety of its obligations as soon as this cause has gone.
In the event that a force majeure event continues for more than two (2) months, both parties may terminate this Agreement by written notification without paying any compensation.
13.6.
These Terms and Conditions shall be governed by Singapore law. In the event of any dispute or claim arising from or in connection with these Terms and Conditions or your use of the OneTouch Services, the relevant parties shall resolve such dispute or claim through amicable negotiations. If such dispute or claim is still not resolved (including any dispute on the existence, validity or termination of these Terms and Conditions), you irrevocably consent to the matter being referred to and finally resolved by arbitration in Singapore administered by the Singapore International Arbitration Centre (“SIAC”). If any dispute is submitted to the SIAC for arbitration, the arbitration shall be conducted in accordance with the Arbitration Rules of the SIAC (SIAC Rules) in force at the time of applying for arbitration, which rules are deemed to be incorporated by reference in this paragraph. The seat of the arbitration shall be Singapore. The arbitration panel shall consist of one single arbitrator. Unless the parties agree otherwise, the arbitration shall be conducted in English. The arbitration award rendered by the SIAC shall be final and binding on all the relevant parties.
13.7.
If any provision of these Terms and Conditions is held to be invalid or unenforceable, such provision shall be deleted and the remaining provisions shall be enforced.
13.8.
Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section or paragraph.
13.9.
No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by these Terms and Conditions.
13.10.
Any failure by OneTouch to exercise any of our rights under these Terms and Conditions shall not constitute a waiver of such right or a waiver with respect to subsequent or similar breach. A waiver shall be effective only if made in writing.
13.11.
OneTouch shall have the right to assign these Terms and Conditions (including all of our rights, titles, benefits, interests, and obligations and duties in these Terms and Conditions) to any of our affiliates and to any successor in interest. OneTouch may delegate certain of OneTouch’ rights and responsibilities under these Terms and Conditions to its affiliates, independent contractors or other third parties.
13.12.
A person who is not a party to these Terms and Conditions has no rights under the Contracts (Rights of Third Parties) Act 2001 to enforce any term of these Terms and Conditions, save that where any obligations is owed by you to a OneTouch affiliate, each of such OneTouch affiliate may enforce the terms of these Terms and Conditions against you.
Schedule D
Prohibited Transactions
This Schedule D is applicable to all OneTouch Services.
1.
You will not use the OneTouch Services or website for any illegal, fraudulent or other prohibited activity. If OneTouch suspects that you may be engaging in or have engaged in a fraudulent, illegal or prohibited activity or have violated any of these Terms and Conditions, your access to the OneTouch Services and website may be suspended or terminated. Additionally, depending on the severity of the violations, we may contact law enforcement and will have no obligation to inform you of the same.
2.
It is strictly forbidden to make or receive payments as consideration for or in connection with the prohibited products and services as set out in https://www.alibaba.com/.
3.
You may not use the OneTouch Services if you are residing, working or conducting business in any country restricted by the U.S. Office of Foreign Assets Control, or subject to sanctions imposed under Applicable Law. We may in our sole discretion decide to discontinue or restrict our services to residents of other countries at any time and without prior notice.
4.
We reserve the right to suspend or terminate your use of the OneTouch Services at any time if we reasonably believe to be required to do so by Applicable Law or in order to comply with recommendations issued by a relevant government authority or recognized body for the prevention of financial crime.
5.
It is strictly forbidden to use the OneTouch Services for any illegal purposes including but not limited to fraud, money laundering and terrorism financing. We will report any suspicious activity to the relevant law enforcement agency. You are prohibited from using the OneTouch Services in any attempt to abuse, exploit or circumvent any Applicable Law.
6.
If you conduct or attempt to conduct any transaction in violation of the prohibitions contained in this Schedule D or without the necessary approval from OneTouch, we reserve the right to (i) reverse the transaction; (ii) terminate or suspend your use of the OneTouch Services or OneTouch Account; (iii) report the transaction to the relevant law enforcement agency; and (iv) claim damages from you.
Schedule E
Supplementary Terms and Conditions for Global Payment Service (Advanced Service)
These Supplementary Terms and Conditions for Global Payment Service (Advanced Service) (the "Supplementary Terms and Conditions (Global Payment Service)") supplement the OneTouch Terms and Conditions relating to the availability and use of the OneTouch Services ("Terms and Conditions") between you and OneTouch (Singapore) Pte. Ltd. (company registration number: 201630463G). Please read them carefully.
You agree that the Terms and Conditions you entered into with OneTouch will be supplemented as set out in these Supplementary Terms and Conditions (Global Payment Service) with immediate effect.
1.
SCOPE OF THESE SUPPLEMENTARY TERMS AND CONDITIONS
1.1.
These Supplementary Terms and Conditions (Global Payment Service) relate to the service ("Global Payment Service") which OneTouch will provide to enable you to make payment to (a) a bank account, OneTouch Account or OneTouch affiliate account of a supplier or Alibaba Platform as settlement payment for goods and services you obtained from such supplier or Alibaba Platform or (b) any other OneTouch Account or OneTouch affiliate account that you have notified to OneTouch.
1.2.
These Supplementary Terms and Conditions (Global Payment Service) supplement the OneTouch Terms and Conditions between you and OneTouch. These Supplementary Terms and Conditions (Global Payment Service) shall be deemed to form part of the Terms and Conditions. Accordingly, all references in the Terms and Conditions to the "Terms and Conditions" shall be construed as references to the Terms and Conditions as supplemented by these Supplementary Terms and Conditions (Global Payment Service). Subject to the provisions of these Supplementary Terms and Conditions (Global Payment Service), the Terms and Conditions shall remain in full force and effect.
1.3.
Capitalised words and phrases used in these Supplementary Terms and Conditions (Global Payment Service) shall have the meaning given to them in the Terms and Conditions, unless otherwise defined in these Supplementary Terms and Conditions (Global Payment Service).
1.4.
The Global Payment Service is subject to all provisions under the Terms and Conditions, as well as the additional terms set out below.
2.
GLOBAL PAYMENT SERVICE
2.1.
If you are eligible for and have elected to receive the Global Payment Service, you will be able to make payment to (a) a bank account, OneTouch Account or OneTouch affiliate account of a supplier or Alibaba Platform as settlement payment for goods and services you obtained from such supplier or Alibaba Platform or (b) any other OneTouch Account or OneTouch affiliate account that you have notified to OneTouch.
2.2.
You must ensure that the payment details you enter for making a payment are correct and complete.
2.3.
If you provide or confirm incorrect beneficiary details, we will not be liable for any loss you incur.
2.4.
If you inadvertently make a wrong payment, you may request that we assist you in reclaiming the funds; however, we may charge you an administration fee for doing so and cannot guarantee that the reclamation efforts will be successful.
2.5.
Making payments from your OneTouch Account may be subject to per-transaction limits, which may be adjusted from time to time in our sole discretion.
2.6.
We may decline or defer your request to make a payment and require you to send us additional documents to verify you and/or the receiving party's respective information such as identity, address, source of funds or reason for payment, before we effect the requested payment. You agree to cooperate with us in providing such documents and information.
2.7.
You can only make a withdrawal or payment using your OneTouch Account balance to the extent that you have enough balance to support the withdrawals or payments. You are not allowed to make a withdrawal or payment in excess of your OneTouch Account balance. We will not extend credit in connection with your use of the OneTouch Account.
2.8.
In the event any withdrawal or payment is not successful and the funds revert back to us, you authorize us to credit the funds back to your account, less any fees which may be charged by the bank provider or any other payment provider.
3.
MISCELLANEOUS
3.1.
These Supplementary Terms and Conditions (Global Payment Service) shall be governed by Singapore law. In the event of any dispute or claim arising from or in connection with these Supplementary Terms and Conditions (Global Payment Service) or your use of the OneTouch Services, the relevant parties shall resolve such dispute or claim through amicable negotiations. If such dispute or claim is still not resolved (including any dispute on the existence, validity or termination of these Supplementary Terms and Conditions (Global Payment Service)), you irrevocably consent to the matter being referred to and finally resolved by arbitration in Singapore administered by the Singapore International Arbitration Centre (“SIAC”). If any dispute is submitted to the SIAC for arbitration, the arbitration shall be conducted in accordance with the Arbitration Rules of the SIAC (SIAC Rules) in force at the time of applying for arbitration, which rules are deemed to be incorporated by reference in this paragraph. The seat of the arbitration shall be Singapore. The arbitration panel shall consist of one single arbitrator. Unless the parties agree otherwise, the arbitration shall be conducted in English. The arbitration award rendered by the SIAC shall be final and binding on all the relevant parties.
3.2.
If any provision of this Supplementary Terms and Conditions (Global Payment Service) is held to be invalid or unenforceable, such provision shall be deleted and the remaining provisions shall be enforced.
3.3.
A breach of these Supplementary Terms and Conditions (Global Payment Service) will be deemed to be a breach of the Terms and Conditions.
3.4.
Any failure by OneTouch to exercise any of our rights under these Supplementary Terms and Conditions (Global Payment Service) shall not constitute a waiver of such right or a waiver with respect to subsequent or similar breach. A waiver shall be effective only if made in writing.
3.5.
OneTouch shall have the right to assign these Supplementary Terms and Conditions (Global Payment Service) (including all of our rights, titles, benefits, interests, and obligations and duties in these Supplementary Terms and Conditions (Global Payment Service)) to any of our affiliates and to any successor in interest. OneTouch may delegate certain of OneTouch’ rights and responsibilities under these Supplementary Terms and Conditions (Global Payment Service) to its affiliates, independent contractors or other third parties.
3.6.
A person who is not a party to these Supplementary Terms and Conditions (Global Payment Service) has no rights under the Contracts (Rights of Third Parties) Act 2001 to enforce any term of these Supplementary Terms and Conditions (Global Payment Service), save that where any obligations are owed by you to a OneTouch affiliate, each of such OneTouch affiliate may enforce the terms of these Supplementary Terms and Conditions (Global Payment Service) against you.
3.7.
In the event of a conflict between these Supplementary Terms and Conditions (Global Payment Service) and the Terms and Conditions, the provision requiring a higher standard shall apply.

Definitions
Various terms in these Terms and Conditions have a defined meaning as set out in the table below. Words importing the singular shall include the plural and vice versa.

Business Day | means any day other than a Saturday or a Sunday or a public or bank holiday in Singapore. |
Credentials | has the meaning ascribed to it in paragraph 3.9. |
Force Majeure Event | means any circumstances beyond our reasonable control, including but not limited to an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, pandemic, epidemic, quarantine, strike or other labour problem (other than one involving our employees), internet service provider failure or delay, breakdown of communication facilities, web host, or acts undertaken by third parties, including without limitation, denial of service attack. |
Merchant Portal | means the portal developed by us for the use of the OneTouch Services by the merchants who are our registered members. |
OneTouch Global Merchant Management Team | means our merchant services and management team, which you can reach by emailing Onetouch_Singapore@service.alibaba.com. |
OneTouch, we, us, our, or Company | means OneTouch (Singapore) Private Limited (company registration number: 201630463G) and its successors and assigns. |
OneTouch Services | means all of our products and services and any other features, technologies and functionalities offered by us on the Merchant Portal or through other means (each a "Service”), and which comprise the Basic Services and Advanced Services. |
OneTouch Account | means the account established for each user of OneTouch Services to effect the registration for, and enable the ongoing use of, the OneTouch Services and does not constitute a bank account or other financial instrument. Such OneTouch Account includes customer information, payment history and other information related to such customer's use of the OneTouch Services. OneTouch Wallet is part of your OneTouch Account. |
OneTouch International | means OneTouch International Limited incorporated in Hong Kong with unique business identifier 65914781 and whose registered address is 26/F, Tower One, Times Square, 1 Matheson Street, Causeway Bay, Hong Kong and licensed by the Hong Kong Customs and Excise Department as a money service operator. |
OneTouch Wallet | means the e-wallet account offered by OneTouch for the purposes of containing e-moneys. These e-moneys will be denominated in Singapore Dollars and/or those foreign currencies as are from time to time made available to you. Such e-moneys is capable of being used by you to carry out such transactions as OneTouch may from time to time specify. |

关于 OneTouch
1.1.

3.
OneTouch 服务
3.1.
OneTouch 服务包括基础服务(“基础服务”)和高级服务(“高级服务”)。建立 OneTouch 账户后,您便可以获得基础服务。构成基础服务的 OneTouch 服务如下:

3.2.
任何或所有高级服务仅适用于 OneTouch 自行选定的注册用户(“选定用户”)。向选定用户提供的高级服务类型取决于该选定用户的个人数据。选择接收任何或所有高级服务的选定用户需接受其已获知的附加或补充条款和条件。此类附加或补充条款和条件应被视为本条款和条件的组成部分。
3.3.
您特此授权 OneTouch 根据本条款和条件以及您的指示执行交易并付款。
3.4.
您的 OneTouch 账户和 OneTouch 钱包建立后,您便能够登录商家门户网站,查看 OneTouch 钱包中各种货币的资金量。OneTouch 将代您持有被指定为信托账户(由保护机构开立)的银行账户中的所有相关资金(定义见《支付服务法》),以便提供 OneTouch 服务。此类银行账户中的相关资金将与其他 OneTouch 账户用户的相关资金混放,但不与 OneTouch 的企业资金混放,并且不会用于其运营费用或任何其他企业目的。因此,您承认、同意并接受,无法确定信托账户中的哪些相关资金具体属于您,信托账户中的资金可能会被提取用于履行其他客户的义务。如果负责维护信托账户的保护机构破产,您可能会延迟或无法收回您应得的全部相关款项。尽管有上述规定,如果收到的资金与 OneTouch 向您提供的服务有关,且此类服务属于新加坡 2019 年《支付服务法》第 32 条规定的范畴,则此类资金可能不受保护。
3.5.
OneTouch 账户不是银行账户或存款账户,OneTouch 服务亦不提供传统银行账户或存款账户的功能和优势。您不得试图将 OneTouch 账户用作银行账户或存款账户。您的 OneTouch 账户不会收到任何利息或其他收入。此类资金由 OneTouch 持有,将来您可以使用此类资金购买 OneTouch 服务。接受本条款和条件,即表示您承认根据新加坡《存款保险和保单持有人保护计划法》(第 77B 章)提供的新加坡存款保险计划或其他由政府发起的保险不适用于与 OneTouch 服务有关的资金。万一我们破产,您可能会损失您 OneTouch 账户中的金额。我们会严格遵守适用的要求(例如分离相关客户的资金并将其存入信托账户,以保护相关客户的资金),确保代客户持有的资金安全且可流动。
3.6.
除 OneTouch 账户的注册用户外,任何个人或实体均无权动用 OneTouch 账户中的资金。
3.7.
OneTouch 账户和 OneTouch 服务可能受到特定的限制并且可能无法使用,具体取决于您的居住国家/地区、适用法律以及我们不时用于确定此类限制和可用性的其他因素。您的 OneTouch 账户所适用的限制及其是否可用应由我们自行确定。
3.8.
严禁试图冒充任何个人或实体、谎称与任何个人或实体有关联或使用虚假身份。OneTouch 服务拟在业务过程中,为业务相关活动和商业活动开启付款交易,OneTouch 服务不供个人使用。您只能将 OneTouch 服务用于本条款和条件中所述的目的。我们将阻止针对个人用途发起的一切交易。
3.9.
OneTouch 服务支持多种货币。支持的货币种类可能会更改,具体由 OneTouch 不时确定。您应选择您希望自己的 OneTouch 账户使用的货币。您会收到将资金汇入您的 OneTouch 账户所需的信息(“凭证”),此类凭证适用于您存入 OneTouch 账户的每种货币。
3.10.
您承认并同意,OneTouch 不参与提供您已出售给买方或已从任何供应商处获得的任何商品或服务。OneTouch 不以任何方式对您已出售或获得的商品或服务承担责任,包括但不限于此类商品和服务的任何缺陷、中断、故障或无法使用。您应解答所有疑问,并与相关买方或供应商解决有关此类商品或服务的任何争议。

附录 A
结算服务(收款)

一旦您建立 OneTouch 账户,您将可以使用您的 OneTouch 账户收取结算资金。您同意,我们将根据您与买方和阿里巴巴平台或获批准平台的协议,将结算资金汇入您的 OneTouch 账户或将资金退还给您商品和服务的付款人或买方。您授权 OneTouch 向我们的关联公司收集此类相关信息,以便我们向您提供结算服务(收款)。为免生疑问,我们不参与此类相关买卖交易,亦不对该等交易负责。
2.
您可以将您的凭证提供给要向您付款的付款人。付款人将根据您的凭证向您付款。如果您提供的凭证有误,便收不到入账资金。
3.
款项到达 OneTouch 所需的时间不在我们的控制范围内。如果您没有收到预期的入账资金转账,我们会尽合理的努力为您提供帮助。入账资金也可能受发起资金转账的付款人的条款和条件的约束。如有任何涉及此类条款和条件的问题或争议,应直接提交发起资金转账的付款人解决,OneTouch 对此免责。
4.
您应知悉,使用 OneTouch 服务接收入账资金的交易亦有可能会被撤销。如果付款有误,或者付款人或付款人的银行或支付服务提供商已经撤销(或可能有理由撤销)向您支付的款项,我们保留撤销付款的权利。如果您收到任何错转的资金,您同意立即通知 OneTouch,并且同意 OneTouch 在必要时撤销交易。
5.
我们保留随时自行决定拒绝或限制付款人向您付款和转账的权利。我们可能会出于任何原因拒绝向您付款和转账,包括但不限于与遵守适用法律(包括适用的反洗钱法律)或 OneTouch 风险管理政策或程序有关的原因。当我们拒绝向您付款和转账时,OneTouch 没有义务披露拒绝原因。
6.
因拒绝入账资金转账、资金回转或退款产生的任何成本和费用,应由您或付款人(如适用)承担。如果入账资金转账因任何原因被拒,或者如果已收到的资金须退还付款源,银行或其他汇款或转账的提供商可能会收取费用。因付款或资金转账被拒而产生的任何费用应全部由您承担。
附录 B
结算服务(提现)
本附录 B 中,“您”是指您或您通知我们的、有权代表您行事的任何人(视情况而定)。
非新加坡居民须知:
经 MAS 许可,OneTouch 可以提供电子货币发行服务。请注意,这并不是说,如果 OneTouch 经营倒闭,您便能收回您支付给 OneTouch 的所有款项。

您可以通过阿里巴巴平台或其他获批准平台,随时请求将您的 OneTouch 钱包中的全部或部分资金转入某一金融机构或支付服务提供商的账户(“付款指示”),但须遵守适用法律和 OneTouch 的政策和程序。
2.
为完成转账,您必须登录商家门户网站,提供银行账户的详细信息,并输入转账金额。一旦收款人收到转账资金,我们对转账款项不再负有责任。
3.
结算服务(提现)可能需要遵守我们不时自行决定施加的提现和转账限额。我们可能会根据您提供给我们的身份证明文件的类型以及我们不时设置的任何其他标准,对此类限额进行动态调整。您可以随时在商家门户网站上,查看此类限额。在将任何资金转入指定的银行账户之前,您必须确保没有超出您当前的转账限额。
4.
我们可能会拒绝或推迟您的转账请求,并且要求您在我们进行资金转账之前向我们发送其他文件以验证您的身份、地址或资金来源等特定信息。您同意对此类验证予以配合。
5.
您必须确保在请求转账时输入的付款信息准确且完整。您有责任向 OneTouch 提供准确的信息。对于因您提供的付款信息不准确而导致资金转入错误银行账户的情况,我们概不负责。在提现或转账至银行账户时,您必须确保账户号码、路由号码、分类代码、IBAN 和/或 BIC/SWIFT 以及任何其他所需信息准确无误。如果 OneTouch 收到的付款信息不准确,并且转账由此被拒,您可能需支付付款被拒费用,该笔费用可能会从您当前的付款或任何未来的付款中扣除。如果您已提现或转账至错误的银行账户,您可以要求我们协助您收回资金。但是,我们可能会向您收取管理费,并且我们不保证能成功收回资金。
6.
OneTouch 将按您选定的货币和金额,提现或转账至指定的银行账户。您应全额承担银行提供商或任何其他与 OneTouch、提现或转账不直接相关的支付提供商可能收取的任何费用,OneTouch 对此类费用免责。
7.
提出请求后,转入指定银行账户的资金可能无法转回您的 OneTouch 钱包,并且您将无法将转入指定银行账户的资金退还至您的 OneTouch 钱包。
8.
对于银行或其他支付服务提供商对任何转账施加的任何限制,我们概不负责。
9.
您只能使用您的 OneTouch 钱包余额进行提现或转账,条件是您有足够的余额来支持提现或转账。您的提现或转账金额不得高于您的 OneTouch 钱包余额。我们不会为您使用 OneTouch 钱包提供更多信用额度。
10.
如果任何提现或转账失败,并且资金退还给我们,您可授权我们将资金退还至您的 OneTouch 钱包,但我们会扣除银行提供商或任何其他支付提供商可能收取的任何费用。
11.
您承认并同意,我们可以处理您的授权签字人提供给我们的任何指令,无需寻求您的批准或验证此类指令的授权。对于因您的授权签字人的错误或不当行为而造成的任何损失,我们概不负责。
12.
您知悉并同意,我们应在满足以下任一条件后的不迟于七(7)个营业日内向OneTouch International存入资金:(i)阿里巴巴平台与您约定的先决条件已经得到满足,或(ii )您已提供提款通知。
附录 C
一般条款和条件
本附录 C 载明适用于所有 OneTouch 服务的一般条款和条件。
1.注册 OneTouch
1.1 为使用 OneTouch 服务,您必须首先在商家门户网站进行注册,填写在线申请表。申请过程中,您应遵守 OneTouch 的了解您的客户(“KYC”)流程和批准政策。注册过程中,您需要接受本条款和条件以及其他 OneTouch 政策。根据您注册的服务类型,您可能需要提供其他信息或文件,或接受涵盖此类服务的附加或补充条款和条件。
1.2 您理解并承认,OneTouch 可以直接或通过第三方进行任何我们认为必要的查询,以验证您的身份或您的业务实体及其董事和实益拥有人(如适用)的身份。这可能包括要求您提供其他信息;要求您提供您的出生日期,纳税人识别号和其他信息,以便我们合理地识别您或您的业务实体;要求您采取措施确认您的电子邮件地址或金融工具的所有权;索要信用报告;或通过第三方数据库或其他来源验证您的信息。根据您注册的 OneTouch 服务的类型,OneTouch 可能需要进一步验证您的某些详细信息或您业务实体的详细信息。OneTouch 保留权利在我们无法获取或验证此类信息或此类信息不符合我们要求的情况下,关闭、暂停或限制您访问您所注册的 OneTouch 服务。
1.3 我们规定,每个商业实体只能开立一个 OneTouch 账户。
1.4 您同意遵守相关司法管辖区的任何适用法律。您注册 OneTouch 服务所在的国家/地区或其他居住地必须合法允许您注册。如果您代表企业或商业实体注册 OneTouch 服务,您必须获得商业实体组建文件的合法授权,才可同意本条款和条件,并且您必须根据商业实体所在司法管辖区的适用法律,获得 OneTouch 服务的使用许可。进行注册即表示您声明并保证,您使用 OneTouch 服务不违反任何适用于您的适用法律。
1.5 一旦您的 OneTouch 服务使用申请获得批准,您将收到确保您能够使用 OneTouch 服务相关的信息。
1.6 我们可能会不时要求您向我们提供附加信息和文件,以便我们能够遵守适用法律。此类附加信息可能包括促使 OneTouch 验证资金来源的文件,包括但不限于所提供服务的发票以及资金转账实体的支付确认函。如您未能提供所请求的信息,则可能导致我们拒绝您使用 OneTouch 服务。您向我们提供的所有信息必须准确且完整。如果我们无法验证所提供的信息是否准确,我们可能会拒绝您使用 OneTouch 服务,或终止您使用 OneTouch 服务。
2. 维护您的 OneTouch 账户
2.1 您必须确保您在 OneTouch 登记的信息始终准确且为最新信息,我们对于因您未能这样做而造成的任何损失概不负责。我们可能会随时要求您确认您的信息是否准确,或要求提供证明此类信息的文件或其他证据。
2.2 我们可能会通过电子邮件、商家门户网站或下文“我们的通信方式”(本附录 C 第 9 段)所述的其他方式,以及您使用 OneTouch 服务的信息或通知与您联系。您应定期登录商家门户网站,在线查看您的 OneTouch 账户页面,以及您在 OneTouch 注册的电子邮件账户或其他通信方式是否正常运行,并及时检索和读取我们之间涉及您使用 OneTouch 服务的通信信息。对于因您未能这样做而造成的任何损失,我们概不负责。您将承担因未能根据本条款和条件提交您的联系方式或将其中的变更情况通知我们而直接导致的任何损失。
2.3 当您登录商家门户网站访问您的 OneTouch 账户时,账户将显示汇入款项、汇出款项、提现、已收费用和其他 OneTouch 服务活动信息。每笔交易都显示在交易历史记录中。您应定期查看您的 OneTouch 账户余额和交易历史记录。您应尽快联系 OneTouch 全球商家管理团队,上告任何违规行为或阐述您的任何问题。
2.4 为针对未经授权或误执行的交易提出索赔,您必须在发现未经授权或误执行的交易后立即(在任何情况下均不得迟于交易的记账日期后六十 (60) 天)通知我们。
2.5 如果您的资金在 OneTouch 留存的时间达到了适用法律规定的充公期限,且我们无法与您取得联系,我们将根据适用法律,将您的资金移交相关监管机构充公处理。关于 OneTouch 账户何时充公,不同司法管辖区的法律有着不同的规定,OneTouch 可能需要将资金转至您最后已知地址所属的司法管辖区。在将可充公资金转至相关监管机构之前,我们将尽合理努力与您联系。
2.6 如果您违反本条款和条件或您与 OneTouch 签订的任何其他协议,或根据 OneTouch 在评估您的 OneTouch 服务使用风险时所用的任何专有欺诈和风险模型,我们可能会关闭、暂停或限制您使用 OneTouch 账户或 OneTouch 服务和/或限制您使用资金。我们亦可能会根据适用法律或执法部门或我们的监管机构的指示,限制您使用资金。
2.7 如果我们收到第三方权利人指控您侵犯知识产权的投诉和支持材料(如购买记录或法院签发的临时限制令),我们可能会自行决定暂停或限制您使用 OneTouch 服务或您 OneTouch 账户中的资金。我们可能对您 OneTouch 账户施加的限制包括但不限于冻结您 OneTouch 账户中的全部或部分资金。在您完全解决与第三方投诉人之间的争议前,此类限制措施将始终保持有效。如果您与第三方投诉人达成和解协议,我们可能会根据和解协议并出于履行和解协议的目的,将资金从您的 OneTouch 账户转给第三方投诉人或其代表。
2.8 如果您使用 OneTouch 服务不积极,您的账户可能被视为不活跃账户。“不活跃”是指您 (a) 在六 (6) 个月内未登录商家门户网站查看您的 OneTouch 账户,或 (b) 在六 (6) 个月内未使用您的 OneTouch 账户进行任何交易。一旦您的账户被视为不活跃账户,我们可能会禁用特定功能和服务,包括暂停您使用 OneTouch 服务。您可以随时要求 OneTouch 重新激活您的 OneTouch 账户,OneTouch 可以自行决定是否重新激活您的 OneTouch 账户。要重新激活您的 OneTouch 账户,您可能需要提供身份验证信息。如果您在上次登录 OneTouch 账户的日期或上次交易日期起一 (1) 年内,未重新激活您的 OneTouch 账户,并且您的 OneTouch 账户有余额,您可能会因账户不活跃而被收取周期性费用,您的 OneTouch 账户的余额可能会随着时间的推移减至零。如果您的 OneTouch 账户余额在您上次登录 OneTouch 账户或上次交易日期起一 (1) 年后归为零,我们保留关闭您的 OneTouch 账户并终止本条款和条件的权利。如果您自上次登录 OneTouch 账户或通过 OneTouch 账户进行上次交易起两 (2) 年内没有再次登录或使用,并且在收取了管理费后您的账户仍有余额,则我们保留关闭您的 OneTouch 账户并终止本条款和条件的权利,且您同意,届时 OneTouch 账户内的所有款项以及可能不时继续累积到其中的任何财产(无论是通过股息、利息还是其他方式)可以立即划拨给我们,以便我们根据适用法律以我们希望的方式为我们自己的利益使用。此后,您无权索取此等款项(或可能累积到其中的任何其他财产),您被视为放弃与此等款项(以及能累积到其中的任何其他财产)相关的所有权利,此等权利由我们享有。我们将尽合理努力:(1) 在暂停您的账户前;(2) 在我们开始收取账户闲置费之前;以及 (3) 在我们关闭您的 OneTouch 账户和终止本条款和条件之前通知您。
2.9 您承认并同意 OneTouch 有权保留您 OneTouch 帐户中的资金所产生的任何利息。
3. 确保您 OneTouch 账户的安全性
3.1 您必须采取一切合理措施,始终保持 OneTouch 账户访问密码的安全,切勿将其透露给任何人。OneTouch 代表绝不会要求您向我们或第三方提供账户密码。若您收到任何要求您提供密码的消息,或在访问任何网站时要求您提供密码(商家门户网站除外),您应向我们报告。如果您不确定某个网站是否真实,请联系 OneTouch 全球商家管理团队。建议定期更改密码,以降低出现安全漏洞的风险。此外,建议您不要用他人可能从知晓或收集的关于您的信息中能够轻易确定的信息作为密码。
3.2 如果有任何迹象表明或者您怀疑自己的 OneTouch 账户、商家门户网站登录信息、密码、凭证或其他安全功能丢失、被盗、被盗用、未经授权使用或以其他方式受到损害,您必须立即更改密码,并联系 OneTouch 全球商家管理团队。任何延迟或未能通知我们,不仅会影响您 OneTouch 账户的安全性,而且可能让您对由此造成的任何损失承担责任。
3.3 出于与 OneTouch 账户或其任何安全功能的安全性有关的原因,或者如果我们怀疑您的 OneTouch 账户被未经授权或欺诈性使用或其任何安全功能被破坏,我们可以全权决定暂停您的 OneTouch 账户或以其他方式限制其功能。我们将在导致暂停和/或限制的情况消除后,尽快解除暂停和/或限制。
3.4 您必须采取一切合理的谨慎措施,确保您的电子邮件账户的安全性,并且账户只能由您访问,因为您的电子邮件地址是用于重置账户密码或与您沟通有关 OneTouch 账户安全性的方式之一。如果您用于注册 OneTouch 账户的电子邮件地址遭到破坏,您应立即联系 OneTouch 全球商家管理团队。
3.5 无论您是使用公共计算机、共享计算机还是自己的计算机访问 OneTouch 账户,您都必须始终确保您的登录信息不会被浏览器存储、缓存或以其他方式记录。切勿使用任何允许计算机存储登录信息或密码的功能。
3.6 若您使用其他 OneTouch 产品或服务,其适用条款和条件中可能规定有其他安全要求。
3.7 只有 OneTouch 记录中指定的人员才有权使用 OneTouch 服务。未经我们事先书面同意,您不得任命或授权其他人员使用 OneTouch 服务。您应对使用 OneTouch 服务发起的所有交易和产生的费用(如适用)负责。如果您在未经我们事先书面同意的情况下允许他人访问您的 OneTouch 账户,您将对此类使用产生的所有交易和费用(如有)承担责任。您全权负责根据本条款和条件使用 OneTouch 服务。
4. 关闭您的 OneTouch 账户
4.1 您可以随时联系 OneTouch 全球商家管理团队,关闭您的 OneTouch 账户。
4.2 如果您的 OneTouch 账户在关闭时有余额,我们将要求您在合理的期限内提取款项。在此期间,您的 OneTouch 账户只能用于提取剩余余额。在此期限到期后,您将无法访问您的 OneTouch 账户,但您可以通过联系 OneTouch 全球商家管理团队并申请以我们合理接受的方式向您返还资金来提取任何剩余款项。自您的 OneTouch 账户关闭之日起六 (6) 个月内,或适用法律规定的更长期限内,您可以继续提取剩余款项,但我们建议您尽快提取,因为这些款项不会在您的 OneTouch 账户中产生任何利息。上述“确保您 OneTouch 账户的安全性”条款(本附录 C 第 3 款)中规定的有关确保您的 OneTouch 账户安全性的义务将继续适用。
4.3 我们保留在授权提取您的款项(包括在您关闭 OneTouch 账户后向您返还任何款项)之前进行与洗钱、恐怖主义融资、欺诈或其他非法活动有关的任何必要检查的权利。
4.4 一旦您的 OneTouch 被关闭(无论是由我们根据本条款和条件关闭还是由您关闭)并且所有款项已被提取,或您的 OneTouch 账户余额为零,本条款和条件将被视为自动终止(明确规定在协议终止后仍有效的条款除外)。
5. 费用
5.1 OneTouch 服务可能需要支付服务费、货币兑换费和其他费用。除单独通知并与您达成一致的定价和费用外,所有定价和费用均在商家门户中列出(简称“定价和费用”)。定价和费用(如有)通过引用纳入本文件,构成本条款和条件的组成部分。OneTouch 可自行决定更改定价和费用。
5.2 您同意支付所有定价和费用(如有),继续使用 OneTouch 服务即表示您继续接受定价和费用(如有)。我们将在线发布更新后的费用,并在商家门户网站上发布消息。如果您对任何适用费用不清楚,请联系 OneTouch 全球商家管理团队。
5.3 您的交易可能需要进行货币兑换。如果您从以某种货币结算的 OneTouch 账户提款或转账到另一种货币的账户,则可能需要按照价格和费用中的规定,支付转换为目标货币的费用。
5.4 您应支付的费用(如有)将从您的 OneTouch 账户中扣除,您在此授权我们扣除此类费用。交易费用将在进行交易时收取。如果您的 OneTouch 账户余额不足以支付费用,我们可能会拒绝执行付款。撤销费(如有)将在发生时扣除。
5.5 如果您在上次登录或上次交易后的一年内未使用 OneTouch 服务,我们可能会向您收取账户闲置费。随着时间的推移,您的 OneTouch 账户余额可能被全部用于支付此类费用(如有)。
6. 外汇服务
6.1 向您提供的外汇服务以及商家门户网站、阿里巴巴平台或经批准的平台上显示的汇率由授权第三方提供商提供,OneTouch 不是此类交易的当事方。OneTouch 对此类费率的准确性、完整性或可靠性不作任何声明或保证。对于您在商家门户网站、阿里巴巴平台或经批准的平台上或通过其进行外汇交易而遭受的任何损失、损害或不便,OneTouch 不承担任何责任或义务。建议您独立评估第三方提供商提供的汇率和外汇服务的适宜性、准确性和可靠性。在进行任何外汇交易前,您应进行尽职调查并在必要时寻求专业建议。在商家门户网站、阿里巴巴平台或经批准的平台上提供第三方汇率或外汇服务,并不表示 OneTouch 对此等汇率或外汇服务予以认可或推荐。我们鼓励您在商家门户网站、阿里巴巴平台或经批准的平台上进行任何外汇交易之前,自行开展调查并考虑您的具体情况。OneTouch 保留随时修改、暂停或停止在平台上提供汇率的权利,恕不另行通知。
6.2 第三方提供商提供外汇服务,为您的商业活动提供支持。因此,您不应将此类服务用于投资或投机目的,例如试图从汇率波动中获利。如果我们的第三方提供商有理由相信您出于投资或投机目的使用外汇服务,他们可能会拒绝与您进行交易。
6.3 您还了解,每笔外汇交易采用的实际汇率是处理该笔交易时的实时汇率,并且可能由于汇率波动而与提供给您的汇率有所不同。您承认并确认,在处理外汇交易时,您将受到适用外汇汇率的约束,OneTouch 对因外汇汇率波动而产生的任何直接或间接损失不承担任何责任。
7. 您的数据
7.1 使用 OneTouch 服务和我们的网站须遵守我们的隐私政策,其条款通过引用纳入这些使用条款。我们可以自行决定通过更新商家门户网站的隐私政策页面来修改隐私政策。您可以随时点击商家门户网站上的隐私政策板块,查看隐私政策。
7.2 为了履行本协议项下的义务以及向您提供 OneTouch 服务和/或其他相关服务,我们的关联公司可能会收集并与我们分享您的数据。
7.3 您同意,OneTouch 可以出于下述目的收集、使用、访问和披露与您相关的个人数据:(a) 遵守所有适用法律以及政府和/或其他监管机构的合法请求,包括进行必要的 KYC;(b) 保护 OneTouch 及其客户和其他用户;(c) OneTouch 根据自行判断有理由相信您对 OneTouch 账户的使用违反了本条款和条件;(d) OneTouch 需要向与其合作的金融机构、支付服务提供商或其他第三方(视情况而定)履行此类义务。
8.声明和保证
8.1 您向我们声明并保证:
(1)
您将真诚善意地使用 OneTouch 服务,并遵守所有适用的法律法规。
(2)
您提供的与使用 OneTouch 服务相关的信息和材料真实、完整、合法且准确,并非虚假或具有误导性或欺骗性。
(3)
您不会将 OneTouch 服务用于对我们、我们的关联公司、其他用户或任何其他人员实施欺诈,或从事任何非法活动(包括处理法律禁止的产品或服务)。
(4)
若您是产品销售商,您拥有合法权利和授权销售、分销或出口您通过阿里巴巴平台或经批准的平台提供的服务进行销售的产品,并且此类产品的销售不违反适用法律或法规(包括进出口管制法律法规以及适用监管机构实施的经济制裁计划),不会侵犯任何第三方权利,且您对阿里巴巴平台或经批准平台上销售的产品拥有良好的所有权,且产品符合所有相关描述和要求。
(5)
若您是服务卖家,您应当按照合理的谨慎度和技能提供订购的服务。
(6)
在每次向您进行结算时:(i) 向银行账户的汇款符合所有适用法律,特别是(但不限于)适用的货币管制、出口管制、反洗钱、反恐和税务相关法律法规,且此等汇款不会构成与导致违反适用法律的逃税相关的行为,且您保证如果出现此等情况将立即通知我们;(ii) 您或您的任何职员,员工或与之相关的其他人员都未被判犯有任何涉及逃税或协助逃税的罪行;以及 (iii) 您没有也不是任何政府、管理或监管机构开展的关于逃税或协助逃税的任何犯罪或涉嫌犯罪的调查、询问或执法程序的对象。您应保护我们及我们的关联公司和代表,使其免于承担因违反本条规定或因虚假声明而产生的任何损失。如有任何违反或虚假声明,我们在任何情况下都不对因无法向指定银行账户结算而造成的任何损失负责。
(7)
您并非在新加坡注册、组建或成立的公司,也未在新加坡开展业务。
8.2 您同意,在本协议期限内的任何时候,如果您知晓自身与任何声明或保证不符,您将立即通知 OneTouch。该通知应以书面形式提供,并包括有关未满足的特定声明或保证的详细信息。
9. 责任
9.1 您应全权负责确保您仅根据任何适用法律,与个人或实体进行与商业交易有关的付款或收款。个人或实体通过我们接受付款,并不意味着其商品和服务的供应或提供具有合法性。我们在本条款和条件下的义务仅限于为您提供 OneTouch 服务。对于您购买或出售的任何商品或服务的质量、安全性或合法性,我们不承担任何责任,也不作出与之相关的任何声明、保证或认可。如果您对供应或购买的合法性存有疑问,您不应继续付款。
9.2 如果 (i) 出现善意的未经授权的付款,或 (ii) 由于欺诈或我们的重大过失而错误执行了付款,您应在交易之日起六十 (60) 天内将此等未经授权或错误的付款通知我们,我们将应您的要求立即退还付款金额(包括从中扣除的所有费用)。如果您未能遵守上述“确保您 OneTouch 账户的安全性”条款(本附录 C 第 3 款)的规定,则不适用此规定。
9.3 如果任何错误或误导性的付款是在授权情况下进行的,我们将采取合理措施协助您进行追踪,并在合理可能的情况下追回此类付款,但我们对无法追回的任何付款不承担任何责任。
9.4 尽管存在任何相反的规定,您承认使用 OneTouch 服务存在固有的风险,并同意使用服务获得的利益证明这些风险是合理的,并且在以下情况下,您应放弃针对 OneTouch 的任何索赔:
(1)
系统、阿里巴巴平台、经批准的平台、OneTouch 服务、我们履行本协议项下义务所依赖的中间服务(包括电信服务和设施)出现任何故障、中断或损害,或用于注册 OneTouch 服务的电子邮件账户的安全性受损(视情况而定);
(2)
我们接受看似(或我们认为)来自您的任何未经授权的指示;
(3)
延迟执行您的指示;
(4)
延迟交付或提供,或未能交付或提供 OneTouch 服务的任何部分,包括我们提前宣布的系统暂停;
(5)
延迟发送或交付,或未能发送或交付通过 OneTouch 服务提供或要求的任何通知或信息,或任何此类通知中包含的任何信息不准确或存在错误或遗漏;
(6)
您未能按照本条款和条件使用 OneTouch 服务;
(7)
您对通过商家门户网站提供的任何信息或材料的依赖、使用或其他行动;或
(8)
我们按照法律和监管要求采取行动。
9.5 您全权负责向所有适用的政府税务机关报告 OneTouch 账户收到的所有款项,并支付此类款项的任何适用税费,以及遵守任何其他适用报告要求,包括但不限于任何海关或外汇管制要求。您声明并保证您遵守美国《外国账户税收遵从法案》(简称“FATCA”)以及所有适用的税收法律,并将在本条款和条件的有效期内保持合规。OneTouch 不对任何纳税申报或 1099K 申报义务承担任何责任。如果 OneTouch 需要整理您提供的信息和文件,以便按要求向相关机构报告,OneTouch 将向您提出此类要求,并且您有义务应要求向 OneTouch 提供相关信息和文件。
9.6 如果我们、我们集团内的其他公司、我们依赖或与我们合作以提供产品和服务的任何第三方(统称为“受偿方”)因以下原因发生、招致或产生任何损失、索赔、要求、支出或费用(包括税金、律师费、罚金或罚款),您同意为我们提供辩护、赔偿并使受偿方免受损害:
(1)
您、您的代理或您授权的人员违反本条款和条件;
(2)
您违反任何适用法律(包括与反洗钱和打击恐怖主义融资、反贿赂和反腐败、货币管制和税收有关的任何适用法律);
(3)
您对 OneTouch 服务的使用;
(4)
任何第三方声称我们根据本条款和条件使用您向我们提供的任何信息或材料侵犯了任何知识产权;
(5)
我们按照您和您授权的人员(以及我们有理由相信是您或您授权的人员)提供给我们的指示行事,且为免生疑问,还包括我们可能因您、您的代理或您授权的人员的过失而产生的任何损失,除非此类过失是由于我们的疏忽、故意违约或欺诈而造成;或
(6)
我们按照本条款和条件根据您或您授权的人员提供的指示,为任何交易的全部或部分提供或安排提供资金,且您随后取消或未能提供全部资金。
您特此授权我们,从您的 OneTouch 账户余额中扣除您根据本款规定应支付给受偿方的任何金额。本条款和条件终止后,此规定应继续有效。
9.7 您使用 OneTouch 服务的风险由您自行承担。OneTouch 服务在“可用”的基础上提供,不存在任何形式的保证。OneTouch 特此否认所有明示或暗示的保证。我们可以全权自行决定随时添加、更改或限制 OneTouch 账户的特性和/或功能,或任何可能提供给您的 OneTouch 服务,和/或提供、更改、补充或修改与您使用 OneTouch 账户或可能向您提供的任何 OneTouch 服务有关的条款和条件,恕不另行通知。
9.8 在适用法律允许的最大范围内,在任何情况下,OneTouch 或其关联公司均不会根据任何侵权理论、合同理论、严格责任理论或其他法律或衡平理论,对利润损失以及间接、偶然、特殊、后果性、惩戒性或惩罚性损害承担责任,无论此类损害是否可预见,或者 OneTouch 或任何实体是否已被告知发生此类损害的可能性,前述情况均经 OneTouch 和您达成一致意见予以排除。尽管本协议中存在任何相反的规定,OneTouch 的累积责任,包括根据本条款和条件承担的或与之相关的索赔、费用、损害赔偿或赔偿义务,将不超过以下两项中的金额较低者:(a) 500,000 美元;或 (b) 您就 OneTouch 服务应向 OneTouch 支付的总费用,且此类服务是在引起索赔的事件发生之日前的六 (6) 个完整日历月内提供。在任何情况下,OneTouch 及其关联公司、代理、代表、董事、职员或员工均不对超出其合理控制范围的情况导致的任何作为或不作为负责。在适用法律允许的最大范围内,自与您使用 OneTouch 服务相关的索赔或诉讼所依据的行为、事件、条件或疏忽首次发生之日起一 (1) 年后,您放弃提出与此相关的索赔或诉讼的任何及所有权利。
9.9 您承认,OneTouch 将使用银行、支付服务提供商和清算网络提供的设施和服务提供 OneTouch 服务,并且还可将 OneTouch 在本条款和条件下的任何或所有权利和责任授予其关联公司、独立承包商或其他第三方(统称为“提供商”)。提供商与您之间不存在任何协议,因此每个提供商对您不承担任何直接责任。您不会成为 OneTouch 可能不时与提供商签订的任何协议的当事方,因此您无权享有或行使此类协议下的任何权益,也无权向提供商索赔。
10. 终止和暂停服务
10.1 我们可以自行决定随时终止或暂停您对 OneTouch 服务的使用,且此类终止或暂停立即生效。终止或暂停服务(包括资金存取)的理由包括但不限于:(a) 您违反本条款和条件;(b) 您提供任何虚假、不完整、不准确或误导性信息;(c) 您参与欺诈、洗钱、恐怖主义融资或其他非法活动,或我们合理怀疑存在此类情况;(d) 我们有理由认为您的 OneTouch 账户已被盗用或出于其他安全原因;(e) 根据任何适用法律或任何监管机构、执法机构或其他主管机构的指示,我们需要这样做;(f) 您的账户被视为闲置;(g) 本条款和条件中另有规定;或者 (h) 我们不时认为适当的任何其他原因。除非适用法律禁止,否则我们将在暂停或终止服务之前通知您,或者如果根据当时的情况无法事先通知,我们将在服务暂停或终止之后立即通知您。您可以根据上述“关闭您的 OneTouch 账户”(本附录 C 第 4 款)部分的规定,随时终止对 OneTouch 服务的使用。服务终止后,我们将不再受本条款和条件中规定的任何未来义务的约束,包括但不限于您在终止日期之前提交给我们的任何指示所产生的任何义务。对于因终止服务和/或关闭账户而产生的任何损失,我们不承担任何责任或义务。
10.2 如果 OneTouch 或其关联公司合理地认为,任何适用法律的任何变更,包括但不限于任何适用的政府机构的裁决、通知、政策或指导(统称为“法律变更”)要求或将要求 OneTouch 或其关联公司承担重大增量成本以遵守变更,或将禁止 OneTouch 或其关联公司履行本条款和条件下的重大义务,OneTouch 将根据需要修改本条款和条件的任何规定,以使 OneTouch 或其关联公司能够遵守适用的法律变更。尽管本条款和条件中存在任何相反的规定,如果任何法律变更要求 OneTouch 立即终止任何或所有 OneTouch 服务或本条款和条件,OneTouch 有权通过向您发出书面通知立即终止。
10.3 如果我们根据本条款和条件终止了您对 OneTouch 服务的使用,我们可以自行决定采取措施关闭您的 OneTouch 账户。我们可能会通过终止通知或在之后的任何时间向您提供说明,告知您如何提取账户内的剩余款项。
10.4 终止您使用 OneTouch 服务不会影响我们扣除任何未结清或未支付费用的权利。您根据本条款和条件应向我们支付的任何款项应在终止日期立即到期并支付。在合理可行的情况下,您应尽快向我们指定的银行账户支付该等款项,但在任何情况下均不得迟于终止日期后五 (5) 个营业日。
11. 我们的通信方式
11.1 在适用法律允许的最大范围内,本条款和条件以及 OneTouch 向您提供的有关我们服务的任何其他协议、通知或其他通信,包括但不限于新产品功能和促销(统称为“通信”),可能会定期以电子方式向您提供,且您同意以电子形式接收通信。电子通信内容可能会发布在商家门户网站的页面和/或发送到您的电子邮件地址。您可以下载任何电子通信内容或打印为纸质副本,以供留存。所有电子格式的通信内容将被视为“书面形式”。OneTouch 保留以纸质格式提供通信的权利。除非您通知我们撤销您的同意,否则您对以电子方式接收通信的同意一直有效。如果您撤销对以电子方式接收通信的同意,我们可能会终止您使用商家门户网站和 OneTouch 服务的权利,并且在适用法律允许的范围内,您对因暂停或终止 OneTouch 服务而导致的任何后果承担全部责任。如果您不希望收到我们关于新产品功能和促销的任何通知,请联系 OneTouch 全球商家管理团队。
11.2 我们通常通过电子邮件或在商家门户网站发布消息与您进行沟通。为此,您必须始终保留至少一个有效的电子邮件地址。您需要经常并定期查看收到的消息。消息可能会包含链接,供您进一步访问我们网站上的通信内容。通过电子邮件发送的任何通信或通知,如果在营业日下午 5:00(新加坡时间)之前发送到您电子邮件的收件箱或发布到商家门户网站,则视为您在当天收到。如果在营业日下午 5:00(新加坡时间)之后或其他任何时间收到,则视为在下一个营业日收到。
11.3 如果法律要求我们通过持久媒介向您提供信息,我们将向您发送电子邮件(带或不带附件)或向您发送通知,告知您访问商家门户网站中的信息,以使您能够打印和保留信息,或以其他格式永久保留信息以备参考。您须保存我们发送或提供给您的所有通信的副本。
11.4 您可以联系 OneTouch 全球商家管理团队,索取本条款和条件或任何其他与您相关的合同文件的副本。
11.5 为了查看电子邮件,您需要一台装有电子邮件软件的计算机,且该软件能以 HTML 格式显示电子邮件。我们可能也会以便携式文档格式 (PDF) 向您发送附件。
11.6 如果您不确定某条通信是否由我们发送,请联系 OneTouch 全球商家管理团队。
11.7 我们可能会以不同的语言提供通信,但我们保留用英语与您通信的权利,并且您将始终接受我们用英语与您通信。采用任何其他语言的文件或通信仅为方便起见,不构成我们以该语言进行任何进一步通信的义务。
11.8 除了通过电子邮件进行通信外,我们还可能在适当的情况下通过信件、电话、短信或手机与您联系,并且我们可能需要通过短信进行通信,以对付款或其他活动进行验证。通过邮寄方式发送的任何通信或通知,将被视为自邮寄之日起三 (3) 日内收到。通过短信发送的通信或通知,将被视为在当天收到。
11.9 客户服务信息:我们将尽商业上合理的努力,每周七 (7) 天、每天二十四 (24) 小时提供 OneTouch 服务,但以下情况除外:(a) 在计划的升级和维护停机期间(对此,我们将通过商家门户网站提前通知);以及 (b) 不可抗力事件。
11.10 您可以随时通过向 OneTouch 全球商家管理团队发送电子邮件与我们联系。我们的办公室地址是:51 Bras Basah #01-21 Lazada One, Singapore 189554。我们的办公时间是营业日上午 9 点至下午 6 点,周末和公共假日不办公。
12. 投诉
12.1 有关我们或我们服务的任何投诉,应首先通过联系 OneTouch 全球商家管理团队提出。您应该明确表明希望向我们提出投诉,这有助于我们区分投诉和普通询问。我们可能会向您发送投诉接收回执或要求您提供有关投诉的其他信息。
12.2 我们的目标是尽可能为您提供及时的投诉答复或解决方案。尽管如此,本文包含的任何内容均不构成 OneTouch 为您解决投诉的承诺。
13. 其他规定
13.1 除 OneTouch 账户的注册用户外,任何人不得享有本条款和条件下的任何权利。
13.2 您对 OneTouch 服务的使用仅限于您个人,不得将本条款和条件下的任何权利转让给任何第三方,也不得向任何第三方授予与您使用 OneTouch 服务相关的法律或衡平权益。您不得将本条款和条件的全部或部分授权给任何个人或实体。
13.3 除非适用法律禁止,否则我们可以随时通过在商家门户网站发布相关的修订和重述版本,修订本协议的任何条款,包括本条款和条件以及其他相关协议。经修订的条款应在发布后立即生效,适用法律禁止的除外。本协议如有重大变更,我们将尽力提前通知您。继续使用 OneTouch 服务,即表示您同意经修订的条款将适用于您。本协议只能由 OneTouch 授权人员以书面形式进行修订。除非我们提供书面同意,否则本协议的修订内容不得影响在该修订生效日之前产生的任何法律权利或义务。您有权反对拟议更改,并根据第 10.1 条终止使用我们的服务和关闭您的 OneTouch 账户。
13.4 除非存在欺诈或明显错误,否则我们以任何形式(包括纸质、电子或其他形式)进行的记录和我们签发的任何证书(包括以电子形式生成的无需签名的报告、通信或声明),或者我们就应付给我们的款项、应向我们承担的责任或任何其他事项做出的决定应是最终且具有决定性的,并对您具有约束力。
13.5 除非本协议另有规定,如果任何一方对本协议义务的履行受到不可抗力的阻碍或阻止,双方均不得被视为违约。“不可抗力”是指并非因提出不可抗力的一方的过错或疏忽而发生且该方无法通过合理努力来预防或防范的不可预见、不可抗拒的事件,包括但不限于互联网故障、计算机、电信或任何其他设备故障、电力故障、罢工、劳资纠纷、骚乱、暴动、内乱、劳动力或材料短缺、火灾、洪水、风暴、爆炸、流行病、天灾、战争、政府行动、国内或外国法院或法庭的命令,或在国家或地区疫情或大流行蔓延的情况下,第三方不履约或业务运营的任何暂停或中断(包括但不限于根据任何政府机构的命令延迟或中断复工或恢复运营)。提出不可抗力的一方应:
(1)
立即通知另一方;
(2)
尽一切努力纠正导致其无法履约的原因;以及
(3)
在导致无法履约的原因消除后,立即履行全部义务。
如果某一不可抗力事件持续超过两 (2) 个月,双方均可通过发出书面通知终止本协议,无需支付任何赔偿。
13.6 本条款和条件受新加坡法律管辖。对于因本条款和条件或您使用 OneTouch 服务而引起或与之相关的任何争议或索赔,相关方应通过友好协商进行解决。如果此类争议或索赔(包括关于本条款和条件的存在、有效性或终止的任何争议)仍无法解决,您不可撤销地同意该事项可交由新加坡国际仲裁中心(简称“SIAC”),在新加坡进行仲裁并最终解决。如有任何争议提交至 SIAC 申请仲裁,则仲裁应按照申请仲裁时有效的 SIAC 仲裁规则(简称“SIAC 规则”)进行,该规则被视为通过引用纳入本款。仲裁地点应为新加坡。仲裁小组应由一名仲裁员组成。除非双方另有约定,否则仲裁应以英语进行。SIAC 作出的仲裁裁决应为终局裁决,对所有相关方均具有约束力。
13.7 如果本条款和条件的任何规定被认定为无效或不可执行,则该规定应被删除,其余规定仍应予以执行。
13.8 标题仅供参考,不以任何方式定义、限制、解释或描述相关章节或条款的范围或程度。
13.9 本条款和条件无意建立任何代理、合伙、合资、雇佣或特许经营关系。
13.10 OneTouch 未行使我们在本条款和条件下的任何权利,不构成对此类权利的放弃,也不构成对后续或类似违约的弃权。只有以书面形式作出的弃权才具效力。
13.11 OneTouch 有权将本条款和条件(包括我们在本条款和条件下的所有权利、所有权、利益、权益以及义务和责任)转让给我们的任何关联公司和任何利益继承人。OneTouch 可以将本条款和条件下的某些权利和责任委托给其关联公司、独立承包商或其他第三方。
13.12 根据 2001 年《合同(第三方权利)法》,非本条款和条件当事方的人员无权执行本条款和条件的任何规定。除非您对 OneTouch 关联公司负有任何义务,则此类 OneTouch 关联公司可以对您强制执行本条款和条件的规定。
附录 D
禁止的交易
本附录 D 适用于所有 OneTouch 服务。

您不得将 OneTouch 服务或网站用于任何非法、欺诈或其他被禁止的活动。如果 OneTouch 怀疑您可能正在从事或曾从事欺诈、非法或被禁止的活动,或者违反了本条款和条件中的任何规定,您对 OneTouch 服务和网站的访问可能会被暂停或终止。此外,根据违规的严重程度,我们可能会联系执法部门,且没有义务通知您。

如果您在受美国外国资产控制办公室(U.S. Office of Foreign Assets Control)限制或受到适用法律制裁的任何国家/地区居住、工作或开展业务,则不得使用 OneTouch 服务。我们可以自行决定随时停止或限制我们对其他国家/地区居民的服务,恕不另行通知。
4.
如果我们合理地认为适用法律有要求,或者为了遵守相关政府机构或公认机构为预防金融犯罪而发布的建议,我们保留随时暂停或终止您使用 OneTouch 服务的权利。
5.
严禁将 OneTouch 服务用于任何非法目的,包括但不限于欺诈、洗钱和恐怖主义融资。我们会向相关执法机构举报任何可疑的活动。禁止您以任何滥用、利用或规避任何适用法律的方式,使用 OneTouch 服务。
6.
如果您进行或试图进行的交易违反本附录 D 中包含的禁止项或未经 OneTouch 批准,我们保留以下权利:(i) 撤销交易;(ii) 终止或暂停您对 OneTouch 服务或 OneTouch 账户的使用;(iii) 向相关执法机构报告交易;以及 (iv) 向您索取损害赔偿。
附录 E
全球支付服务(高级服务)补充条款和条件
全球支付服务(高级服务)补充条款和条件(简称“补充条款和条件(全球支付服务)”)旨在对您和 OneTouch (Singapore) Pte. Ltd.(公司登记号:201630463G)签订的、与 OneTouch 服务的可用性和使用相关的 OneTouch 条款和条件(简称“条款和条件”)进行补充。请仔细阅读本补充条款和条件。
您同意,本补充条款和条件(全球支付服务)将对您与 OneTouch 签订的条款和条件进行补充,并立即生效。
1.
补充条款和条件的范围
1.1 本补充条款和条件(全球支付服务)涉及 OneTouch 提供的服务(简称“全球支付服务”)。该服务使您能够:(a) 向供应商或阿里巴巴平台的银行账户、OneTouch 账户或 OneTouch 关联账户付款,以结算您从此类供应商或阿里巴巴平台购买产品或服务的款项;或者 (b) 向您已通知 OneTouch 的其他 OneTouch 账户或 OneTouch 关联账户付款。
1.2 本补充条款和条件(全球支付服务)对您与 OneTouch 之间签订的 OneTouch 条款和条件进行补充。本补充条款和条件(全球支付服务)应视为 OneTouch 条款和条件的组成部分。因此,OneTouch 条款和条件中对“条款和条件”的所有提及均应解释为提及本补充条款和条件(全球支付服务)补充的条款和条件。根据本补充条款和条件(全球支付服务)的规定,OneTouch 条款和条件仍具有完全效力。
1.3 本补充条款和条件(全球支付服务)中使用的加粗字词和短语应具有 OneTouch 条款和条件中赋予的含义,本补充条款和条件(全球支付服务)中另有定义的除外。
1.4 全球支付服务受 OneTouch 条款和条件下的所有规定以及下文所述的附加条款的约束。
2. 全球支付服务
2.1 如果您有资格并选择接受全球支付服务,您将能够:(a) 向供应商或阿里巴巴平台的银行账户、OneTouch 账户或 OneTouch 关联账户付款,以结算您从此类供应商或阿里巴巴平台购买产品或服务的款项;或者 (b) 向您已通知 OneTouch 的其他 OneTouch 账户或 OneTouch 关联账户付款。
2.2 您必须确保输入的付款详细信息正确且完整。
2.3 如果您提供或确认的受益人信息不正确,我们不会对您的任何损失承担责任。
2.4 如果您无意中进行了错误的付款,您可以要求我们协助您追回资金;但是,我们可能会向您收取管理费,并且不保证一定能成功追回资金。
2.5 从您的 OneTouch 账户进行付款可能会受到单笔交易限制,我们可能不时根据自行决定调整该限制。
2.6 我们可能会拒绝或推迟您的付款请求,并在完成所请求的付款前要求您向我们发送其他文件,以验证您和/或收款方的相应信息,如身份、地址、资金来源或付款原因。您同意配合我们提供此类文件和信息。
2.7 您只能使用您的 OneTouch 账户余额进行提现或付款,前提是您有足够的余额来支持提现或付款。不允许进行超出您 OneTouch 账户余额的提现或付款。我们不会提供与您使用 OneTouch 账户相关的信贷。
2.8 如果任何提现或付款不成功且资金退还给我们,您授权我们将资金返还至您的账户,并从中扣除银行提供商或任何其他支付提供商可能收取的任何费用。
3. 其他规定
3.1 本补充条款和条件(全球支付服务)受新加坡法律管辖。因本补充条款和条件(全球支付服务)或您使用 OneTouch 服务而产生或与之相关的任何争议或索赔,相关方应通过友好协商予以解决。如果此类争议或索赔(包括关于本补充条款和条件(全球支付服务)的存在、有效性或终止的任何争议)仍无法解决,您不可撤销地同意该事项可交由新加坡国际仲裁中心(简称“SIAC”),在新加坡进行仲裁并最终解决。如有任何争议提交至 SIAC 申请仲裁,则仲裁应按照申请仲裁时有效的 SIAC 仲裁规则(简称“SIAC 规则”)进行,该规则被视为通过引用纳入本款。仲裁地点应为新加坡。仲裁小组应由一名仲裁员组成。除非双方另有约定,否则仲裁应以英语进行。SIAC 作出的仲裁裁决应为终局裁决,对所有相关方均具有约束力。

3.5 OneTouch 有权将本补充条款和条件(全球支付服务)(包括我们在本补充条款和条件(全球支付服务)下的所有权利、所有权、利益、权益以及义务和责任)转让给我们的任何关联公司和任何利益继承人。OneTouch 可以将本补充条款和条件(全球支付服务)下的某些权利和责任委托给其关联公司、独立承包商或其他第三方。
3.6 根据 2001 年《合同(第三方权利)法》,非本补充条款和条件(全球支付服务)当事方的人员无权执行本补充条款和条件(全球支付服务)的任何规定。除非您对 OneTouch 关联公司负有任何义务,则此类 OneTouch 关联公司可以对您强制执行本补充条款和条件(全球支付服务)的规定。
3.7 如果本补充条款和条件(全球支付服务)与 OneTouch 条款和条件之间存在冲突,则应适用要求执行更高标准的条款。
